<p>While at a <a href="http://kara.allthingsd.com/20091112/author-ken-auletta-talks-about-google-and-its-lack-of-emotional-intelligence/">book party for author Ken Auletta</a> in San Francisco last night, BoomTown took the opportunity to ask those gathered whether they were scared or not of Google and its growing power.</p>
<p>The Auletta book covers a lot about the search giant, but also drills in on how traditional media and advertising, as well as the government, have all become increasingly wary of Google&#8217;s hegemony over key businesses on the Web.</p>
<p>But as it turned out, the Silicon Valley types I queried had nothing but attaboys for Google (GOOG). Oddly enough, many mentioned how they love the food served up at the Googleplex.</p>

<p>Quincy Smith, the high-profile <a href="http://www.cbsnews.com/stories/2006/11/17/utility/main2194068.shtml">CEO of CBS Interactive</a>, is planning on leaving his job at the media giant in January to start an advisory firm in Silicon Valley, according to several sources.</p>
<p>But, in an interesting twist, Smith (pictured here) will remain an adviser to CBS (CBS) under a multiyear contract, sources added, making it his first client.</p>
<p><strong>UPDATE:</strong> CBS confirmed the move BoomTown earlier reported, in a press release below.</p>
<p>Apparently, Smith will focus intently on video monetization, authentication and other digital issues for the company. CBS is calling it a &#8220;transition to a new role,&#8221; in its official statement.</p>
<p>CBS Interactive President Neil Ashe will take over Smith&#8217;s duties, but without the CEO title, which was a relatively new one for Smith.</p>
<p>CBS is television&#8217;s most popular network again this season and its interactive properties are among the top ten in aggregate in both traffic and video.</p>
<p>&#8220;I&#8217;m very pleased to extend our relationship with Quincy, who is one of the finest minds working in Interactive media today,&#8221; said Leslie Moonves, president and CEO of CBS Corporation, in a statement. &#8220;Quincy helped put CBS Interactive on the map and we are now a Top 10 presence in premium content.&#8221;</p>
<p>Said Smith: &#8220;It&#8217;s a huge honor to count CBS as my first client. In three years, this company has grown its Interactive profile immeasurably, and yet there is so much more to be done. I love CBS and its people and I look forward to working closely with them to help CBS become the premier video content company, regardless of platform or screen.&#8221;</p>
<p><a href="http://mediamemo.allthingsd.com/20090511/cbs-digital-boss-quincy-smith-plans-his-next-deal-his-own-ma-shop/">MediaMemo&#8217;s Peter Kafka wrote in May</a> about the possibility of Smith departing CBS, where he has worked since late 2006. </p>
<p>As Kafka wrote, Smith has long wanted to start a new media consultancy and has also wanted to return to Silicon Valley. </p>
<p>In fact, the man BoomTown has dubbed the &#8220;Energizer Bunny of the Web&#8221; was an early employee at Netscape Communications in the Web 1.0 heyday, tried his hand at venture capital and worked on tech deals for media banking firm Allen &#038; Co.</p>
<p>At CBS during the Web 2.0 era, Smith has been aggressively guiding the company into a series of transactions, including the $280 million acquisition of Last.fm in 2007 and the $1.8 billion purchase of CNET last year.</p>
<p>Smith has also been involved with digital issues related to CBS&#8217;s strong television assets. He has championed&#8211;unlike other media giants&#8211;widely distributing CBS content online and keeping control of its advertising sales. </p>
<p>People close to Smith say he often talks of trying to emulate Dan Case, the late brother of AOL founder Steve Case and the former CEO of Hambrecht &#038; Quist, one of the more influential among Silicon Valley investment banks during the first Web boom.</p>
<p>Sources said that the time has now come and that the move is expected to be announced very soon. </p>
<p>It is also likely that Smith&#8217;s top business development exec at CBS, Mike Marquez, will also leave to join him at the still unnamed firm.</p>
<p>BoomTown suggestion for a name: <em>Q 3.0</em>.</p>

<p>Perhaps the sides in the ever-escalating war over the Skype deal will work out their differences and settle&#8211;which is what should and probably will eventually happen after everyone realizes how stupid all this noisy legal wrangling over the Internet telephony giant is.</p>
<p>But that day is decidedly not today, given a pair of recent PR hires by parties involved.</p>
<p>The founders of Skype, via the two tech companies they control, Joost and Joltid, have hired <a href="http://www.sitrick.com/home.html">Sitrick &#038; Company</a>, headquartered in Los Angeles, while Index Ventures has tapped <a href="http://joelefrank.com/">Joele Frank, Wilkinson Brimmer Katcher</a>, based in New York.</p>
<p>Both strategic communications and public relations firms are well known for employing some very sharp elbows and extremely tough talk when it is time for some creative corporate crisis management.</p>
<p>And both are familiar with tech issues, having worked on contentious issues related to companies such as Microsoft (MSFT), Yahoo (YHOO), CBS (CBS) online unit CNET, and others.</p>
<p>And there is plenty of bad blood to work with here.</p>
<p>Yesterday, in yet another legal volley, <a href="http://kara.allthingsd.com/20091014/exclusive-skype-founders-keep-on-punching-file-injunction-against-volpi-and-index/">Joost and Joltid filed a motion for preliminary injunction</a> against former Joost CEO Michelangelo Volpi and Index Ventures, where Volpi now works as a partner.</p>
<p>They are asking that he not use knowledge or confidential information he got at the video start-up in current dealings with Skype.</p>
<p>Legal attacks have become the negotiating tool of choice from the founders of Skype, Niklas Zennström and Janus Friis, who were on the losing side of the $2 billion deal to buy the Internet telephony giant from eBay (EBAY).</p>
<p>Volpi is now a partner at London-based Index, which was one of the smaller players on the winning side of the bid, putting up $75 million.</p>
<p>To complicate things further, the innovative and entrepreneurial pair also own a company called Joltid, which has licensed key technology for Skype to eBay.</p>
<p>Joltid and eBay have already been fighting in court over that agreement, bickering back and forth about whether eBay violated the terms of that deal or not.</p>
<p>Via Joltid, Zennström and Friis also filed suit again against Skype and its owner, eBay, for copyright violations in the U.S.</p>
<p>For good measure, they added the winning buyout group, including Index, Silver Lake Partners, Andreessen Horowitz and the Canada Pension Plan Investment Board.</p>
<p>And both Joltid and Joost have also sued Volpi personally, as well as Index, making serious allegations about his behavior as Joost CEO.</p>
<p>This kind of mud-slinging could get even worse with the hiring of big PR firms.</p>
<p>Along with Frank and Sitrick, by the way, Silver Lake&#8211;which is the big player on the winning side&#8211;has hired Edelman&#8217;s crisis and issues management team.</p>
<p>Interestingly, several sources said, the various players have also been engaged in settlement talks, even as the lawsuits have piled up.</p>
<p>Coming to some agreement is clearly the best outcome, although it does not appear that the spate of lawsuits has yet derailed the eBay deal with the Silver Lake-led group, which could even close in the next several weeks.</p>
<p>&#8220;Everyone should be thinking ahead of the headlights,&#8221; said one source. &#8220;But right now, it seems to be all about emotions.&#8221;</p>

<p>Today, it&#8217;s Trip Adler, CEO of its much larger rival, Scribd. </p>
<p>Launched in early 2007, the San Francisco-based online publishing company allows customers to share a wider range of documents, including books and manuscripts. It now claims to have 10 million documents uploaded.</p>
<p>Recently, some of those landed Scribd in a bit of hot water, with a lawsuit filed by an author alleging copyright violations. The lawsuit claimed that the start-up &#8220;built a technology that&#8217;s broken barriers to copyright infringement on a global scale.&#8221;</p>
<p>No surprise, Scribd denied the allegations. </p>
<p>&#8220;Scribd does not want unauthorized content on our site,&#8221; the company said. &#8220;We built the industry&#8217;s leading (filtering) technology to prevent the upload of unauthorized documents. This is one of the reasons why best-selling authors and many of the world&#8217;s largest publishers have chosen to put their works on Scribd.&#8221;</p>
<p>That includes a deal this summer with Simon &#038; Schuster, a division of CBS (CBS), to sell digital copies of its books, offering publishers more control over pricing and how works are distributed.</p>
<p>Such efforts to become a kind of YouTube for text is certainly part of the plan for Scribd, which has garnered about $13 million in funding, including from Redpoint Ventures. </p>
<p>Of course, YouTube owner Google (GOOG) also has designs in the arena&#8211;although it has become embroiled in loud legal battles over the issue with publishers. And so does Kindle-creator Amazon (AMZN), of course.</p>
<p>Those are mighty rivals, along with the need to police itself.</p>
<p>Scribd&#8217;s traffic has declined from about 60 million unique monthly visitors to half that recently as it has tried to get a good handle on piracy and other reasons. That traffic has since recovered a bit to about 40 million.</p>
<p>The company has also been adding features, including making the site more social, in order to goose online document and book sales and advertising.</p>

<p>Brad Garlinghouse&#8217;s appointment to a new job at AOL today <a href="http://kara.allthingsd.com/20090907/sticky-situation-of-the-month-ex-yahoo-communications-head-and-peanut-butter-manifesto-scribe-garlinghouse-to-helm-similar-unit-at-aol/">as its new communications czar</a> is yet another sign of an interesting trend for those keeping score of the comings and goings of top Internet execs. </p>
<p>Garlinghouse came to the Time Warner (TWX) online unit after a year-long break, <a href="http://kara.allthingsd.com/20080626/more-on-yahoos-reorg-dietzen-is-garlinghouse-replacement/">preceded by six years at Yahoo</a> (YHOO).</p>
<p>As anyone who watches the digital space knows by now, this kind of management musical chairs is common and never-ending. </p>

<p>But, given all the movement of late, this insider seat-switching seems more frantic than ever, as allegiances shift, competitors become friends and colleagues become rivals faster than you can tweet.</p>
<p>When he left Yahoo last summer, in fact, the digital chatter was that Garlinghouse would take a job either as a venture capitalist (he had been one once) or helming a start-up (that too, at Dialpad.com).</p>
<p>In fact, sources said, Garlinghouse had been considering two mobile gigs, but opted for helping to try to overhaul a troubled Web giant.</p>
<p>Fixing messes was the impetus of Owen Van Natta, who <a href="http://kara.allthingsd.com/20080219/owen-van-natta-to-leave-facebook">left a top job at social networking giant Facebook</a> in early 2008 and by the end of the year, <a href="http://kara.allthingsd.com/20081110/van-natta-takes-playlist-ceo-job-with-new-investment-by-pittman">headed over to run Project Playlist</a>, a controversial online music-sharing service.</p>
<p>But then he had hightailed it by spring to <a href="http://kara.allthingsd.com/20090422/former-facebook-exec-van-natta-set-to-take-over-at-myspace-as-founder-dewolfe-steps-down">try his hand at reviving MySpace</a>, as its CEO. </p>
<p>His boss, News Corp. (NWS) digital head <a href="http://kara.allthingsd.com/20090327/jon-miller-to-news-corp-as-digital-head">Jon Miller, did the same</a>, getting the hook (unfairly to my mind) at AOL several years ago and then creating an investment firm with former MySpace head Ross Levinsohn.</p>
<p>The pair considered being part of a bid to oust Yahoo management in 2008.</p>
<p>Miller&#8217;s freedom lasted only until he got an offer that he presumably could not refuse from News Corp. head Rupert Murdoch recently. (Full disclosure: News Corp. owns Dow Jones, which owns this site.)</p>
<p>The list goes on, chock full of ex-Yahoos, in fact.</p>
<p>Its one-time COO, Dan Rosensweig, left the company in 2006, for example, and joined the well-known private-equity firm, Quadrangle Group.</p>
<p>But, soon enough, he was scooped up by Activision Blizzard (ATVI) to <a href="http://kara.allthingsd.com/20090322/exclusive-dan-rosensweig-steps-up-to-takes-his-licks-as-guitar-hero-frontman">run its Guitar Hero division</a>.</p>
<p>Yahoo Network head Jeff Weiner also <a href="http://kara.allthingsd.com/20080612/weiner-will-leave-yahoo-but-might-not-be-replaced">departed from the Internet giant, in mid-2008</a>, for a stint at two VC firms.</p>
<p>He landed at LinkedIn, the business-networking service <a href="http://kara.allthingsd.com/20090624/weiner-nabs-ceo-job-at-linkedin-hoffman-to-executive-chairman-plus-the-official-press-release">where he was named CEO in late June</a>.</p>
<p>Greg Coleman ran <a href="http://kara.allthingsd.com/20070829/hey-kids-lets-put-on-a-yahoo-reorg/">Yahoo ad sales until mid-2007</a> before <a href="http://kara.allthingsd.com/20090203/aol-ad-head-clarizio-out-being-replaced-by-former-yahoo-sales-head-coleman/">taking a job at AOL earlier this year</a>, which he <a href="http://kara.allthingsd.com/20090429/exclusive-platform-a-head-coleman-out-at-aol-as-well-as-cfo-and-more-to-come">lost after it got new management</a> soon after.</p>
<p>At Yahoo, Coleman sparked with former advertising sales head Wenda Harris Millard, <a href="http://kara.allthingsd.com/20070625/wenda-was-robbed/">whom he ousted</a>. She <a href="http://kara.allthingsd.com/20080701/martha-stewart-living-omnimedias-wenda-harris-millard-speaks/">went onto Martha Stewart Living Omnimedia</a> (MSO) and <a href="http://mediamemo.allthingsd.com/20090421/wenda-millard-out-at-martha-stewart">left there this spring</a> for the Media Link consultancy.</p>
<p>Presto! She <a href="http://kara.allthingsd.com/20090820/myspace-to-hire-millard-and-also-media-link-to-take-over-ad-sales-whither-berman/">is now helping MySpace&#8217;s Van Natta</a> fix the social networking site&#8217;s ad business.</p>
<p>Current Yahoo U.S. advertising head <a href="http://kara.allthingsd.com/20080909/yahoo-brings-in-drum-roll-please-a-former-microsoft-exec-to-head-ad-sales">Joanne Bradford actually came from Microsoft</a> last summer, via her own short visit to the <a href="http://kara.allthingsd.com/20080313/microsoft-exec-sprints-over-to-spot-runner/">troubled ad start-up SpotRunner</a>.</p>
<p>Former Yahoo search techie <a href="http://kara.allthingsd.com/20081204/former-yahoo-tech-star-qi-lu-likely-to-be-named-microsofts-digital-head-by-next-week">Qi Lu now runs digital for Microsoft</a> (MSFT), along with a big gang of ex-Yahoo techies he has recruited.</p>
<p>And Scott Moore is even better at the switcheroo. He was at Microsoft running MSN U.S. content, switched to Yahoo as its media poobah, <a href="http://kara.allthingsd.com/20081103/yahoos-scott-moore-and-al-warms-to-depart-this-week/">left last year to consider a start-up</a> and then <a href="http://kara.allthingsd.com/20090130/exclusive-former-yahoo-scott-moore-heads-back-to-microsoft-as">headed back to Microsoft as head of U.S. content</a> this year.</p>
<p>But former Google (GOOG) execs have also been busy shuttling hither and yon, mostly to innovative start-ups.</p>
<p>Of course, many find refuge at Facebook (<a href="http://kara.allthingsd.com/20080304/sheryl-sandberg-will-become-coo-of-facebook">COO Sheryl Sandberg</a>, PR major domo Elliot Schrage and many more) and Twitter (GC  Alexander Macgillivray and COO Dick Costolo).</p>
<p>Recent departures&#8211;such as <a href="http://kara.allthingsd.com/20090407/top-google-exec-cassidy-to-accel-partners-as-ceo-in-residence-a-boomtown-interview-plus-press-release/">Sukhinder Singh Cassidy</a>, who landed at Accel Partners for now&#8211;are also likely to find new homes soon enough.</p>
<p>And, of course, there&#8217;s always Garlinghouse&#8217;s new boss, former Google ad head Tim Armstrong, <a href="http://mediamemo.allthingsd.com/20090312/aol-gets-a-new-ceo-google-sales-boss-tim-armstrong">who took over at AOL earlier this year</a>.</p>
<p>We&#8217;ll skip former Joost CEO and former Cisco (CSCO) exec Mike Volpi (who is now a VC); former Netscape Communications/short-term VC/ex-banker/current-for-now CBS (CBS) digital head Quincy Smith; and Joanna Shields, who has worked at Real Networks (RNWK), Google and Bebo (which was bought by AOL)&#8211;for now.</p>

<p>It&#8217;s another packed week for tech, especially in Silicon Valley, where the kibitzing never ends and the econalypse is almost completely ignored.</p>
<p>First up this week is an event today at which BoomTown will appear called <a href="http://www.thefreesummit.com/">&#8220;The Free! Summit: Inside the Digital Economy&#8221;</a> in San Mateo.</p>
<p>Given all the recent debate about free versus paid, as traditional media companies take aim at the issue, it should be interesting.</p>
<p>I will be on an afternoon panel called &#8220;Business Models That Work,&#8221; which is about the the future of news and what&#8217;s next for journalism in the digital economy.</p>
<p>The other panelists are: Dan Gillmor, Director, Knight Center for Digital Media Entrepreneurship, Arizona State University; Alan Mutter, Adjunct Faculty Member, Graduate School of Journalism at UC Berkeley and founder, &#8220;Reflections of a Newsosaur&#8221;; and Marshall Van Alstyne, Associate Professor of Information Economics, Boston University and Visiting Professor, MIT.</p>
<p>Later in the day, the event will morph into the third <a href="http://events.techpolicycentral.com/tps/agenda.php">&#8220;Tech Policy Summit,&#8221;</a> where I get to do a one-on-one interview with Facebook&#8217;s Chief Privacy Officer, Chris Kelly, who is still at the social-networking site but is also now running for the job of California&#8217;s Attorney General.</p>

<p>On Thursday, ContentNext Media is holding its third <a href="http://www.econsm.com">EconSm</a> conference, this time focusing on mobile, in an all-day event in San Francisco.</p>
<p>Speakers include: Zander Lurie, CFO, CBS (CBS) Interactive; angel investor Ron Conway (see my recent <a href="http://kara.allthingsd.com/20090506/boomtowns-annual-chat-with-silicon-valley-angel-investor-ron-conway/">video interview with him here</a>); Eric Johnson, president and COO, Wolfgang&#8217;s Vault; Joe Kennedy, CEO and president, Pandora; and Kevin Thau, director of mobile business development at Twitter.</p>
<p>Wrote paidContent&#8217;s Staci Kramer: &#8220;Much has changed as we get ready for our third EconSM&#8211;including the name. The acronym is still the same but this year it’s about the intersection of social and mobile. Social media has passed the gimmick stage&#8211;although not everyone has figured that out&#8211;and is part of the daily fabric for an increasing number of people.&#8221;</p>

Lasica&#8217;s 110-page e-book, <a href="http://www.socialmedia.biz/2009/05/08/free-ebook-identity-in-the-age-of-cloud-computing/">&#8220;Identity in the Age of Cloud Computing: The Next-Generation Internet’s Impact on Business, Governance and Social Interaction.&#8221;</a></p>
<p>Lasica told me that he wrote the report after a roundtable of 30 experts in identity and technology (people like John Seely Brown and Esther Dyson) was convened in Aspen to discuss the ramifications of the cloud on a societal level.</p>
<p>He talked the Aspen Institute into releasing the e-book under a Creative Commons license, the first time it has ever done that.</p>

We feel very lucky to get here, especially in the midst of what our own site's Digital Daily scribe, John Paczkowski, has so perfectly dubbed the "econalypse."

Ironically, Walt Mossberg and I planned to launch the very first conference in the middle of the last major downturn for tech, in 2001. But, in the carnage of the Web 1.0 meltdown, we actually held off for two years, with our first D gathering taking place in 2003.

Well, we're still going--making the same long-term bet that the digital revolution will keep rolling as we did at D1. Here's our lineup for D7.]]></description>

<p>Both have been onstage many times over the years, including a <a href="http://d5.allthingsd.com/20070531/video-steve-jobs-and-bill-gates-highlight-reel/">historic interview the pair of tech titans did together in 2007</a> at <strong>D5</strong>.</p>
<p>Other amazing speakers have included: Howard Stringer of Sony (SNE), Barry Diller of InterActiveCorp (IACI), legendary director George Lucas, Time Warner (TWX) CEO Jeff Bewkes, Jeff Bezos of Amazon (AMZN), former eBay (EBAY) CEO Meg Whitman, News Corp. (NWS) head Rupert Murdoch, Microsoft head Steve Ballmer, Walt Disney (DIS) honcho Bob Iger, Bobby Kotick of Activision Blizzard (ATVI), CBS (CBS) CEO Les Moonves, Democratic and Republican pols like former Vice President Al Gore and Sen. John McCain, all the leadership of Google (GOOG) and many, many more.</p>
<p>We have had a lot of great moments onstage with all these tech and media players over the years, to be sure, with interviews ranging from the funny to the sublime to the truly disastrous. </p>
<p>But, like the digital industry and the innovation our conference focuses on, we also like to lean forward to try to figure out what the Next Big Thing is around the corner, whether it comes from Silicon Valley or not.</p>

<p>That&#8217;s why we&#8217;re kicking off our conference on May 26 with two of the founders of Twitter&#8211;Biz Stone and Evan Williams&#8211;who are riding high on tech&#8217;s latest hot thing, which might turn out to be either a rocket ship or a shooting star.</p>
<p>They&#8217;ll be followed up over the next two days by a plethora of interesting players, from the leaders of several major mobile companies to content execs hit hard by fast-moving digital forces to a new Internet leader like Yahoo (YHOO) CEO Carol Bartz, who is trying to turn around one of the Web&#8217;s great icons from its more recent lackluster path.</p>
<p>And, as we always do, we will be featuring a spate of demos too, trying to see if we can unearth that next <em>next</em> thing.</p>
<p>In the past, the <strong>D</strong> stage has seen the debut of start-up products like Sling Media&#8217;s Slingbox, Aliph&#8217;s Jawbone and Pure Digital&#8217;s Flip, all of which have gone onto glory. And also some, like Palm&#8217;s Foleo, which did not.</p>
<p>While not everyone can attend <strong>D</strong>, our crack staff is committed to bringing all the action from this year&#8217;s conference to readers of the <strong>All Things Digital</strong> site via up-to-the-minute blogs, photos, videos, tweets, digs and more. We&#8217;ll also, as soon as we can, post the videos of each of the onstage sessions, in their entirety.</p>

Her answer was a decided yes, especially with great journalists working online, such as the new managing editor of the Huffington Post, whom the mega-blog has just hired.</p>
<p>That would be former CNET Networks Editor-in-Chief Jai Singh (pictured here), who <a href="http://news.cnet.com/CNET-editor-in-chief-steps-down/2100-1030_3-6231171.html">quit the tech news and reviews company last year</a> after a dozen-year run. </p>
<p>&#8220;The bottom line is the Huffington Post has figured out how new media should be&#8230;and that&#8217;s what attracted and appealed to me,&#8221; said Singh in an interview today.</p>
<p>While only on the job for a few days, he noted that he will be looking at more video on the site, as well as focusing on its new vertical strategy.</p>
<p>Singh is moving from San Francisco to New York, where the Huffington Post HQ is located. (Huffington herself is, ironically, located in L.A., doing her work out of her Brentwood abode.)</p>
<p>Singh has been a true online news pioneer, creating News.com for CNET in 1996. CNET is now owned by CBS (CBS). </p>

<p>As everyone knows by this morning, Spot Runner&#8211;the heavily-funded and once-hyped online-offline advertising agency&#8211;<a href="http://online.wsj.com/article/SB124017966286632847.html">is being sued by one of its more prominent investors</a>. </p>
<p>Ad behemoth WPP, which is making a variety of harsh allegations in a lawsuit filed about two weeks ago, is saying it is still not too big to be snookered by the start-up&#8217;s top execs and some of its other investors.</p>
<p>WPP (WPPGY), which has been quite active in making digital ad investments over the last several years, is alleging that Spot Runner sold over $54 million in &#8220;secondary&#8221; shares to line its own pockets without telling WPP much, all while losing money, running out of funding and not building a sustainable business.</p>
<p>The lawsuit essentially paints an ugly picture of Spot Runner as the Bernie Madoff of Web 2.0.</p>
<p>In its strongest phrasing, the lawsuit alleges:</p>
<blockquote><p>&#8220;Rather than working to make Spot Runner a successful and profitable venture, they perpetuated a &#8216;pump-and dump&#8217; scheme in which they aggressively promoted the Company to new investors (often by promoting that WPP was an investor in and supported of the Company) and then sold new investors large quantities of their own secondary shares at ever-increasing valuations. Such secondary sales were accomplished surreptitiously and without disclosures to Investors required by the controlling Investor agreements or federal and state securities laws.&#8221;</p></blockquote>
<p>Those named in the suit include: Spot Runner CEO and co-founder Nick Grouf, CTO and co-founder David Waxman, venture investors Battery Ventures and Index Ventures, and board members, such as former AOL exec Robert Pittman.</p>
<p>This is obviously a bad turn of events for Spot Runner, which is currently reeling from the advertising downturn too.</p>
<p>Before that, it had gotten over <a href="http://kara.allthingsd.com/20080506/another-web-20-superfunding-spot-runner-gets-51-million-more/">$100 million in funding from a strong slate of investing luminaries</a>.</p>
<p>Investors included international media giants Daily Mail and General Trust and Grupo Televisa, investment company Legg Mason Capital Management (LM) and luxury conglomerate Groupe Arnault/LVMH.</p>
<p>Spot Runner’s previous investors are Allen &#038; Company, Battery Ventures, Comerica Bank (CMA), Lachlan Murdoch, Vivi Nevo, Capital Research and Management, CBS (CBS), Index Ventures, Interpublic Group (IPG), Tudor Investment Corporation and WPP.</p>
<p>All that money had, when times were good, given Spot Runner an eye-popping valuation upward of $500 million.</p>

<p>And that&#8217;s the very kind of bubble economics that apparently allowed some at the company to make those lucrative secondary sales the lawsuit alleges, with lots of demand to get in to the latest hot start-up.</p>
<p>To be clear, such sales are not uncommon at tech start-ups in Silicon Valley, often done to allow entrepreneurs to take some money off the table, especially if there is no clear path to liquidation.</p>
<p>But the scope of the sales alleged is quite unusual, with Grouf getting half the proceeds of the transactions, which were made from early 2006 to early 2008.</p>
<p>That said, WPP&#8211;which is seeking $11.5 million in damages, as well as legal fees, after investing $10 million&#8211;leaves itself open to its own tsk-tsking, since it finally got to participate some in the sales too, dumping $900,000 worth  of shares in the last one.</p>
<p>That makes it seem like WPP is just miffed that it did not get enough while the getting was good, which is underscored by the small amount of money being asked for in the lawsuit, in comparison to the large and loud accusations.</p>
<p>Worse still, perhaps, for everyone involved, is the suit&#8217;s revelation that Spot Runner was not the revenue geyser it had touted itself as being&#8211;which should not come as a huge shock to anyone who has followed any Web 2.0 company in an even cursory way.</p>
<p>Very few, including the star, Facebook, <em>make money</em>, as BoomTown and others have pointed out a lot to little interest.</p>
<p>The lawsuit says the profit-free Spot Runner had $5 million in revenue in 2007 and $9 million in 2008. It alleges too that the company only has $20 million left of its funding and is spending $35 million to $45 million a year.</p>
<p>That&#8217;s because Spot Runner was trying to create a new online ad system, which was essentially a do-it-yourself model that tries to iron out inefficiencies in the buying and selling of advertising and bridge the gap between the traditional and online ad markets. It has since changed its strategy and is working on other products, such as a <a href="http://www.adweek.com/aw/content_display/news/media/e3i4e22c70790e72ba2ec37b4ca6502e88d">digital-media buying platform called Project Malibu</a>. </p>
<p>Other than Spot Runner&#8217;s statement that it would defend itself vigorously, there were mostly no comments all around.</p>
<p>“This situation is unfortunate; we had hoped that we would have had a long relationship with WPP.  We believe the claims are without merit and we will vigorously defend against them, including taking all necessary legal action to protect Spot Runner’s reputation,&#8221; said a Spot Runner spokeswoman in a statement.</p>
<p>But one source close to the Spot Runner side, while not addressing the specific allegations, noted in an interview with me that what looks bad now did not then:</p>
<p>&#8220;These are different times and things look differently.&#8221;</p>
<p>You can say <em>that</em> again. And again after that.</p>

<p>As point of that fact, check out a <a href="http://kara.allthingsd.com/20080731/spot-runners-ceo-nick-grouf-speaks">video I did, below, with Grouf last July at Spot Runner offices in Los Angeles</a>, right after it had gotten one of its giant piles of money. (Grouf is pictured here.)</p>
<p>This video took place right after a lot of the transactions that the lawsuit alleges, which makes sense since Spot Runner was the hot start-up at that moment and many would have been trying to get into the action.</p>
<p>I met Grouf many years ago when he&#8211;along with Waxman&#8211;founded PeoplePC and Firefly Networks.</p>
<p>Grouf sold the struggling PeoplePC&#8211;which hawked computers bundled with an online service&#8211;to Earthlink (ELNK) in 2002 for $10 million and assumption of $35 million in liabilities, in a Web 1.0 meltdown deal that followed a disastrous IPO.</p>
<p>But with a hot new start-up, everything looked pretty again, perhaps too pretty, for Grouf.</p>
<p>As I wrote at the time about the hype, which including rumors of Spot Runner being sold for big bucks to Google (GOOG) or Microsoft (MSFT):</p>
<p>&#8220;This is its biggest burden, I think, setting expectations very high for what is still a little start-up&#8230;Who knows whether the company will be able to overcome its hype, but time (and money) will tell.&#8221;</p>
<p>Obviously, we can tell a lot more now.</p>

<p>As you may have heard, WPP, a minority shareholder (less than 3%) in Spot Runner since 2006, filed a lawsuit against the company and its board members primarily related to the sale of Spot Runner stock and Spot Runner’s communications with WPP. This situation is unfortunate, as we appreciate and value the relationships we have with all of our investors and we had hoped for a long and supportive relationship with WPP. We believe these claims are without merit and we will vigorously defend against them, including taking all necessary legal action to protect Spot Runner’s reputation.</p>
<p>We feel strongly that WPP’s complaint contains many baseless accusations and we want to give you a broader perspective on the matter. This lawsuit is unrelated to our products and services&#8211;it is centered on legal agreements entered into with WPP, a sophisticated investor, regarding the way that shareholder stock sales were handled. WPP alleges that Spot Runner’s board members failed to disclose to WPP the stock sales by shareholders, allegedly in violation of the board’s obligations to stockholders, among other things.</p>
<p>We are confident that Spot Runner complied with all of its obligations under the various shareholder agreements. When these sales occurred, there was overwhelming demand for Spot Runner stock and the company did not want to dilute existing shareholders by issuing new shares. Therefore, the founders (in 2006) and the board members and other preferred shareholders (in 2007 and early 2008) agreed to make room for important, new investors and respond to their desire to invest in Spot Runner by selling their own shares. In 2007 and 2008, WPP and other preferred shareholders were given notice that the sales were occurring and they had the opportunity to participate in the sales. In fact, WPP signed various documents acknowledging this opportunity.</p>
<p>Spot Runner and all of its employees conduct business with the utmost integrity. Our team, technologies, and products and services are core assets of which we can all be proud. It is because of your hard work that we have come this far. To that end, we continue to drive hard toward successfully launching Project Malibu and realizing its full potential. You also should know that our board members remain majority shareholders in Spot Runner&#8211;a concrete sign of their commitment to and confidence in the business.</p>
<p>Our outside counsel will work with the board and management team to develop a formal reply, which ultimately will be filed with the court. These legal proceedings should not affect our day-to-day operations. </p>
<p>We are grateful that we can count on you to remain focused on serving our clients and partners to the best of your abilities. </p>

<p>Susan Boyle&#8217;s <a href="http://kara.allthingsd.com/20090416/good-luck-trying-to-share-the-angelic-voice-of-susan-boyle/">sensational television singing performance jumped from that medium to become a viral Internet hit</a>, fueling more television that is, of course, headed to the Internet again.</p>
<p>Who says old and new media can&#8217;t work together?</p>
<p>For example, one of many online now, here&#8217;s the 47-year-old Scottish woman&#8211;who bowled over everyone watching the TV show, &#8220;Britain&#8217;s Got Talent,&#8221; with an astonishing rendition of &#8220;I Dreamed a Dream&#8221; from the musical &#8220;Les Miserables&#8221;&#8211;in an interview on &#8220;The Early Show&#8221; on CBS (CBS) yesterday morning.</p>
<p>Try to ignore the cloying discomfort of the interviewers, who don&#8217;t know what to make of the antimedia stylings of Boyle, who can nonetheless sing like nothing else.</p>
<p>She does just that in the first clip, aiming to please dopey CBS talking heads in a song she is going to have to sing a zillion times from now on. </p>
<p>And then, in the second, she got to chat via phone with Broadway legend Patty LuPone, who first sang &#8220;I Dreamed a Dream.&#8221;</p>
<p>Of course, LuPone watched Boyle&#8217;s rendition via Google (GOOG) video service YouTube, and Boyle was genuinely thrilled to be talking to LuPone.</p>
<p>The YouTube official version of the original TV performance is now at 15.6 million views.</p>

<p>Back in the heyday, Peter Currie was the money man to see in Silicon Valley.</p>
<p>As CFO of Netscape Communications, he led the start-up into history, as the first great Internet rocket ship, when it went public on Aug. 9, 1995. </p>
<p>With the first consumer-friendly browser software, which made the Web easily understandable to the masses, Netscape was at the red-hot center of the nascent digital revolution.</p>
<p>&#8220;Wall Street went bonkers,&#8221; said one news reporter about the IPO, and the craziness did not stop for quite a while. </p>
<p>Rising to insane levels, the stock was ground zero of the Internet gold rush too, despite the fact that it had no profits to speak of. </p>
<p>But it did have a 23-year-old co-founder and tech wunderkind in Marc Andreessen, and a growth trajectory that was astounding.</p>
<p>If you think it sounds somewhat similar to Facebook today&#8211;where <a href="http://kara.allthingsd.com/20090331/former-netscape-cfo-peter-currie-will-be-new-facebook-financial-adviser-until-new-cfo-is-found/">Currie will now help out as temporary financial adviser</a> after the social-networking site <a href="http://kara.allthingsd.com/20090331/facebook-cfo-gideon-yu-out-fast-growing-social-network-says-its-doing-fine-financially/">parted ways with its CFO, Gideon Yu, yesterday, following mutual disagreements</a> and announced a search for a replacement&#8211;you are correct.</p>
<p>In that job, the 53-year-old Currie will be helping Facebook CEO and founder Mark Zuckerberg, 24, navigate&#8211;albeit temporarily&#8211;through some stormy economics seas on a journey that will hopefully end in an initial public offering.</p>
<p>The search for a new CFO will also involve Currie, obviously, and will be conducted by Jim Citrin of Spencer Stuart.</p>
<p>But until a new CFO is in place, Facebook&#8217;s quest still entails sorting out a substantive advertising monetization strategy while also keeping up its speedy growth rates and managing the high costs that mount with its popularity.</p>
<p>That certainly was Netscape&#8217;s major challenge, which it never met successfully and which was made worse by intense attacks from Microsoft (MSFT) on Netscape&#8217;s core browser business.</p>
<p>That eventually led to the antitrust trial against the software giant, even as Netscape saw its star fall dramatically.</p>
<p>It was sold to AOL in 1998 for $4 billion, a shadow of its bubble valuation, and is <a href="http://netscape.aol.com/">now more of a footnote</a> than an ongoing tech product (although the now-popular Mozilla browser is a direct descendant of Netscape).</p>
<p>In fact, in 2008, Time Warner (TWX) online unit AOL dropped its support for the Netscape browser and said it was no longer releasing new versions.</p>
<p>Still, a lot of former Netscape execs now hold other key jobs in the Web space.</p>
<p>Its investor relations exec, <a href="http://kara.allthingsd.com/20080718/sure-the-cbs-cnet-deal-seems-crazy-but-maybe-in-a-good-way/">Quincy Smith</a>, now heads up the digital arm of CBS (CBS), for example.</p>
<p>And Andreessen has started a number of companies and has transformed himself into an kind of elder statesman of Silicon Valley of late, as well as a <a href="http://kara.allthingsd.com/20090220/marc-andreessens-new-venture-fund-project-a">newly minted venture investor</a>.</p>
<p><a href="http://kara.allthingsd.com/files/2009/04/picture-2091.jpg"><img src="http://kara.allthingsd.com/files/2009/04/picture-2091.jpg" alt="picture-2091" title="picture-2091" width="197" height="150" class="alignleft size-full wp-image-11522" /></a></p>
<p>Andreessen, many sources said, was a shadow influence on Zuckerberg&#8217;s decisions related to Yu, with whom relations had gotten tense, and to bring in Currie (pictured here).</p>
<p>Currie is certainly a great choice, in terms of the close-knit tech sector&#8217;s respect and experience.</p>
<p>Currie is also unusually tall, aggressively avuncular and laid-back, loves Elvis and enjoys pranking reporters like BoomTown. (Case in point: He once tried to spread the rumor that I am short due to a medical condition.)</p>
<p>Now the president of Currie Capital, a private investment firm, he had previously worked at General Atlantic in private equity.</p>
<p>After Netscape, he was a partner and co-founder of the Barksdale Group, an early-stage venture capital firm.</p>
<p>Before Netscape, he was CFO of McCaw Cellular Communications and also worked at Morgan Stanley (MS).</p>
<p>Currie is also board-happy, serving as a director of a variety of tech firms, private and public. They have included CNET Networks, Critical Path, Clearwire (CLWR), Safeco, Ofoto, Tellme Networks and Zantaz, as well as Sun Microsystems (JAVA). </p>
<p>He has an MBA from Stanford University and went to Williams College.</p>

<p>On BoomTown&#8217;s recent grand tour of Europe, I paid a visit a week ago to London to moderate some sessions at <a href="http://www.guardian.co.uk/changingmediasummit">Media Guardian&#8217;s Changing Media Summit 2009</a>.</p>
<p>As in the U.S., a lot of the same questions were asked there about when and how the new media business would cross the Rubicon to transform into a strongly profitable and sustainable enterprise.</p>
<p>Via advertising? Subscriptions? Product placement?</p>
<p>&#8220;We&#8217;ve got to get to a place where we&#8217;re going to become an industrialized-sized business,&#8221; said one panelist at a session on monetizing such media, in what was a common question.</p>
<p>Well, considering how small the revenues in new media still are compared to traditional media, along with the recent negative impact of the econalypse, even a profitable popcorn stand would be an admirable achievement right about now.</p>
<p>Still, the room was packed at the Park Plaza Riverbank Hotel overlooking the Thames River and Big Ben, as people searched for answers.</p>
<p>One of the panels I moderated had the much-too-vaunted title of &#8220;The Future of Media: Capturing the Essence of Reinvention in the New Age.&#8221;</p>
<p>The panelists talked about what the media company of tomorrow looks like, as well as discussing the Next Big Thing.</p>
<p>The group included Ashley Highfield, managing director and VP, consumer and online for Microsoft (MSFT); Larry Kramer, former president of CBS (CBS) Digital and senior adviser to Polaris Ventures; Peter Smith, president of GE (GE) NBC Universal&#8217;s international unit; and Mike Volpi, CEO of video start-up Joost.</p>
<p>Here&#8217;s a video of interviews I did talking about all this and more while at the Guardian Media Group&#8217;s new digital-heavy offices in London.</p>

<p>With Macworld out of the way (basic verdict: Phil Schiller did not bomb), a chunk of the crack <strong>All Things Digital</strong> squad is now winging its way both east and west to the annual gadgetopocalypse in Las Vegas, a.k.a. the Consumer Electronics Show. </p>
<p>Despite the fact that the show is feeling the pinch of the economy&#8211;I was able to get a better room at a cheaper price last night, which was unheard of in the past&#8211;and that there are really no big products to speak of, except perhaps the new Palm (PALM) smartphone, CES is still one of the biggest and most important gatherings of the tech year.</p>
<p>Las Vegas turns into a geek moshpit every year&#8211;with the spicier pornies thrown in, with that industry&#8217;s convention also taking place at the same time&#8211;as legions of vendors, buyers, press and others converge to be overwhelmed for days by noise, long lines for cabs, keynotes, demos and more.</p>
<p>That also means the <strong>ATD</strong> team, including: <a href="http://walt.allthingsd.com">Walt Mossberg</a>, who gets the kind of attention from techies at CES normally reserved for Brangelina; <a href="http://solution.allthingsd.com">Mossberg Solution columnist Katherine Boehret</a>, who trolls the convention center floor looking for cool new products; <a href="http://mediamemo.allthingsd.com">MediaMemo&#8217;s Peter Kafka</a>, who has scheduled himself to the gills; and me, who has not. </p>
<p>Still, there will be parties thrown by Facebook, CBS (CBS) and more to attend, a cornucopia of gadgetry to try and panels to moderate (I am manning one supersession called, I kid you not: <a href="http://www.cesweb.org/sessions/search/sessionDetail.asp?ID_session=SS1&#038;ID_track=SS_CES09">&#8220;What Will They Think of Next? Consumer Technology in 2025&#8243;</a>).</p>
<p>Also, I&#8217;ll be honest, gambling at the Pussycat Dolls Lounge with a passel of nerds.</p>
<p>Between the hands of poker, look for our ongoing coverage over the next few days, including interviews, videos and news (we hope!).</p>
<p>It will all begin tonight with coverage of Microsoft CEO Steve Ballmer&#8217;s preshow opening keynote, taking over from longtime first-nighter Bill Gates.</p>
<p>Until then, here is the fabulous Ann-Margret doing a mean bugaloo in &#8220;Viva Las Vegas&#8221; (the Pussycat Dolls have nothing on her) with super-handsome-phase Elvis Presley singing like a dream:</p>
