<p>One of Microsoft&#8217;s top execs, Debra Chrapaty (pictured here), who heads its infrastructure business, is leaving the software giant to take a top job at Cisco (CSCO), sources said.</p>
<p>Chrapaty&#8211;whose title is corporate VP of Global Foundation Services&#8211;is also one of increasingly few top women tech execs at Microsoft (MSFT), where she has worked for seven years. </p>
<p>The job put her in charge of, as a <a href="http://www.microsoft.com/presspass/exec/debrac/">Microsoft site</a> notes, &#8220;strategy and delivery of the foundational platform for Microsoft Live, Cloud and Online Services worldwide including physical infrastructure, security, operational management, global delivery and environmental considerations. Her organization supports over 200 online services and web portals from Microsoft for consumers and businesses.&#8221;</p>
<p>In other words: A lot of plumbing.</p>
<p>She was featured onstage with other key execs at <a href="http://kara.allthingsd.com/20090730/microsofts-financial-analysts-meeting-today-billion-dollar-belly-flop-with-a-side-of-yahoo/">Microsoft&#8217;s Financial Analysts Meeting</a> earlier this summer.</p>
<p>Sources said Chrapaty will now shift to products at Cisco, running the collaboration software group. </p>
<p>That unit&#8217;s former exec, Doug Dennerline, recently moved to Salesforce.com (CRM) to take a job as its EVP of sales for the Americas.</p>
<p>At Cisco, as had Dennerline, Chrapaty is likely to play a large role in forming the networking giant&#8217;s cloud computing and software-as-a-service strategies.</p>
<p>Chrapaty has worked at a lot of tech companies, including Organic, AllBusiness and Etrade Technologies. She was also CTO of the National Basketball Association.</p>

<p>Revenge is a dish best served cold&#8211;except, of course, when one decides to serve it piping hot.</p>
<p>And that&#8217;s just what part of one of the losing sides of the $2 billion deal to buy Skype from eBay (EBAY) is doing in an unusual attack on Michelangelo Volpi, a well-known tech exec in Silicon Valley.</p>
<p>You see, until recently, Volpi was CEO of Joost, <a href="http://kara.allthingsd.com/20070604/volpi-in-at-joost/">arriving at the much-hyped online video start-up to great fanfare in mid-2007</a>.</p>
<p>But the London-based Joost never quite caught fire and <a href="http://mediamemo.allthingsd.com/20090630/here-comes-the-video-shakeout-joost-scales-down-ceo-mike-volpi-steps-out">began layoffs and contraction</a> this summer.</p>
<p>As part of that development, Volpi then <a href="http://kara.allthingsd.com/20090706/mike-volpi-jumps-from-joost-to-index-a-boomtown-interview-and-full-press-release">went to Index Ventures</a>, a venture firm also based in London.</p>
<p>And, in one of Volpi&#8217;s first deals, Index was one of the smaller players on the <a href="http://mediamemo.allthingsd.com/20090901/sold-finally-ebay-ditches-65-of-skype-for-19-billion">winning side of  the deal</a> to buy Skype, putting up $75 million.</p>
<p>But also <a href="http://voices.allthingsd.com/20090414/kkr-warburg-providence-and-elevation-surface-in-skype-bid/">vying for the prize</a> were the Internet telephony service&#8217;s founders, Niklas Zennström and Janus Friis, who had hooked up with a group of private equity investors.</p>
<p>To complicate things further, the innovative and entrepreneurial pair also own a company called Joltid, which has licensed key technology for Skype to eBay.</p>
<p>It gets better! Joltid and eBay have been fighting in court over that agreement, bickering back and forth about whether eBay violated the terms of that deal or not.</p>
<p>Finally, in the past few days, in what is obviously a related move, Joost said that it had dumped Volpi as a director and as chairman, a job he had retained when he left for Index in July. </p>
<p>Said the company in a statement:</p>
<p>&#8220;Mr. Volpi was removed from the board of directors and from his position as chairman of Joost by shareholder vote. The company and its board of directors is conducting an investigation into Mr. Volpi’s actions during his tenure as CEO and as chairman.”</p>
<p>Volpi had no comment.</p>
<p>BoomTown does: It looks like a lame attempt at kneecapping him to me, as part of a larger rumble!</p>
<p>But, for many, this comes as a surprise, since it had been thought that Volpi&#8211;a former dealmaker with Cisco (CSCO)&#8211;would play the role of a peacemaker in the eBay-Joltid fighting.</p>
<p>Actually, according to numerous sources, Volpi had also struggled with Zennström and Friis when he ran Joost, and there is no love lost among them.</p>
<p>In fact, here&#8217;s a glimpse of that tension in a <a href="http://kara.allthingsd.com/20080924/kara-visits-joost-hq-in-london-restarting-the-start-up-with-a-little-help-from-its-friends/">video interview BoomTown did with Volpi a year ago</a> in London, when I visited its office there.</p>
<p>It took place just after Joost was forced to rejigger itself to gain momentum (which never happened).</p>
<p>&#8220;Restarting a start-up is definitely not easy,&#8221; said Volpi in the interview. </p>
<p>As it turned out, that was the least of his worries.</p>

<p>Brad Garlinghouse&#8217;s appointment to a new job at AOL today <a href="http://kara.allthingsd.com/20090907/sticky-situation-of-the-month-ex-yahoo-communications-head-and-peanut-butter-manifesto-scribe-garlinghouse-to-helm-similar-unit-at-aol/">as its new communications czar</a> is yet another sign of an interesting trend for those keeping score of the comings and goings of top Internet execs. </p>
<p>Garlinghouse came to the Time Warner (TWX) online unit after a year-long break, <a href="http://kara.allthingsd.com/20080626/more-on-yahoos-reorg-dietzen-is-garlinghouse-replacement/">preceded by six years at Yahoo</a> (YHOO).</p>
<p>As anyone who watches the digital space knows by now, this kind of management musical chairs is common and never-ending. </p>
<p>In fact, borrowing a quote by IAC/InterActiveCorp (IACI) CEO and chairman <a href="http://d6.allthingsd.com/20080528/diller/">Barry Diller from an onstage interview</a> I did with him at the sixth <strong>D: All Things Digital</strong> conference and switching out Hollywood for Silicon Valley: &#8220;[It] is a community that&#8217;s so inbred, it&#8217;s a wonder the children have any teeth.&#8221;</p>
<p>But, given all the movement of late, this insider seat-switching seems more frantic than ever, as allegiances shift, competitors become friends and colleagues become rivals faster than you can tweet.</p>
<p>When he left Yahoo last summer, in fact, the digital chatter was that Garlinghouse would take a job either as a venture capitalist (he had been one once) or helming a start-up (that too, at Dialpad.com).</p>
<p>In fact, sources said, Garlinghouse had been considering two mobile gigs, but opted for helping to try to overhaul a troubled Web giant.</p>
<p>Fixing messes was the impetus of Owen Van Natta, who <a href="http://kara.allthingsd.com/20080219/owen-van-natta-to-leave-facebook">left a top job at social networking giant Facebook</a> in early 2008 and by the end of the year, <a href="http://kara.allthingsd.com/20081110/van-natta-takes-playlist-ceo-job-with-new-investment-by-pittman">headed over to run Project Playlist</a>, a controversial online music-sharing service.</p>
<p>But then he had hightailed it by spring to <a href="http://kara.allthingsd.com/20090422/former-facebook-exec-van-natta-set-to-take-over-at-myspace-as-founder-dewolfe-steps-down">try his hand at reviving MySpace</a>, as its CEO. </p>
<p>His boss, News Corp. (NWS) digital head <a href="http://kara.allthingsd.com/20090327/jon-miller-to-news-corp-as-digital-head">Jon Miller, did the same</a>, getting the hook (unfairly to my mind) at AOL several years ago and then creating an investment firm with former MySpace head Ross Levinsohn.</p>
<p>The pair considered being part of a bid to oust Yahoo management in 2008.</p>
<p>Miller&#8217;s freedom lasted only until he got an offer that he presumably could not refuse from News Corp. head Rupert Murdoch recently. (Full disclosure: News Corp. owns Dow Jones, which owns this site.)</p>
<p>The list goes on, chock full of ex-Yahoos, in fact.</p>
<p>Its one-time COO, Dan Rosensweig, left the company in 2006, for example, and joined the well-known private-equity firm, Quadrangle Group.</p>
<p>But, soon enough, he was scooped up by Activision Blizzard (ATVI) to <a href="http://kara.allthingsd.com/20090322/exclusive-dan-rosensweig-steps-up-to-takes-his-licks-as-guitar-hero-frontman">run its Guitar Hero division</a>.</p>
<p>Yahoo Network head Jeff Weiner also <a href="http://kara.allthingsd.com/20080612/weiner-will-leave-yahoo-but-might-not-be-replaced">departed from the Internet giant, in mid-2008</a>, for a stint at two VC firms.</p>
<p>He landed at LinkedIn, the business-networking service <a href="http://kara.allthingsd.com/20090624/weiner-nabs-ceo-job-at-linkedin-hoffman-to-executive-chairman-plus-the-official-press-release">where he was named CEO in late June</a>.</p>
<p>Greg Coleman ran <a href="http://kara.allthingsd.com/20070829/hey-kids-lets-put-on-a-yahoo-reorg/">Yahoo ad sales until mid-2007</a> before <a href="http://kara.allthingsd.com/20090203/aol-ad-head-clarizio-out-being-replaced-by-former-yahoo-sales-head-coleman/">taking a job at AOL earlier this year</a>, which he <a href="http://kara.allthingsd.com/20090429/exclusive-platform-a-head-coleman-out-at-aol-as-well-as-cfo-and-more-to-come">lost after it got new management</a> soon after.</p>
<p>At Yahoo, Coleman sparked with former advertising sales head Wenda Harris Millard, <a href="http://kara.allthingsd.com/20070625/wenda-was-robbed/">whom he ousted</a>. She <a href="http://kara.allthingsd.com/20080701/martha-stewart-living-omnimedias-wenda-harris-millard-speaks/">went onto Martha Stewart Living Omnimedia</a> (MSO) and <a href="http://mediamemo.allthingsd.com/20090421/wenda-millard-out-at-martha-stewart">left there this spring</a> for the Media Link consultancy.</p>
<p>Presto! She <a href="http://kara.allthingsd.com/20090820/myspace-to-hire-millard-and-also-media-link-to-take-over-ad-sales-whither-berman/">is now helping MySpace&#8217;s Van Natta</a> fix the social networking site&#8217;s ad business.</p>
<p>Current Yahoo U.S. advertising head <a href="http://kara.allthingsd.com/20080909/yahoo-brings-in-drum-roll-please-a-former-microsoft-exec-to-head-ad-sales">Joanne Bradford actually came from Microsoft</a> last summer, via her own short visit to the <a href="http://kara.allthingsd.com/20080313/microsoft-exec-sprints-over-to-spot-runner/">troubled ad start-up SpotRunner</a>.</p>
<p>Former Yahoo search techie <a href="http://kara.allthingsd.com/20081204/former-yahoo-tech-star-qi-lu-likely-to-be-named-microsofts-digital-head-by-next-week">Qi Lu now runs digital for Microsoft</a> (MSFT), along with a big gang of ex-Yahoo techies he has recruited.</p>
<p>And Scott Moore is even better at the switcheroo. He was at Microsoft running MSN U.S. content, switched to Yahoo as its media poobah, <a href="http://kara.allthingsd.com/20081103/yahoos-scott-moore-and-al-warms-to-depart-this-week/">left last year to consider a start-up</a> and then <a href="http://kara.allthingsd.com/20090130/exclusive-former-yahoo-scott-moore-heads-back-to-microsoft-as">headed back to Microsoft as head of U.S. content</a> this year.</p>
<p>But former Google (GOOG) execs have also been busy shuttling hither and yon, mostly to innovative start-ups.</p>
<p>Of course, many find refuge at Facebook (<a href="http://kara.allthingsd.com/20080304/sheryl-sandberg-will-become-coo-of-facebook">COO Sheryl Sandberg</a>, PR major domo Elliot Schrage and many more) and Twitter (GC  Alexander Macgillivray and COO Dick Costolo).</p>
<p>Recent departures&#8211;such as <a href="http://kara.allthingsd.com/20090407/top-google-exec-cassidy-to-accel-partners-as-ceo-in-residence-a-boomtown-interview-plus-press-release/">Sukhinder Singh Cassidy</a>, who landed at Accel Partners for now&#8211;are also likely to find new homes soon enough.</p>
<p>And, of course, there&#8217;s always Garlinghouse&#8217;s new boss, former Google ad head Tim Armstrong, <a href="http://mediamemo.allthingsd.com/20090312/aol-gets-a-new-ceo-google-sales-boss-tim-armstrong">who took over at AOL earlier this year</a>.</p>
<p>We&#8217;ll skip former Joost CEO and former Cisco (CSCO) exec Mike Volpi (who is now a VC); former Netscape Communications/short-term VC/ex-banker/current-for-now CBS (CBS) digital head Quincy Smith; and Joanna Shields, who has worked at Real Networks (RNWK), Google and Bebo (which was bought by AOL)&#8211;for now.</p>

<p>It&#8217;s hard to know what to think of the economy&#8217;s direction, even if you are trying to glean some knowledge from those whom you imagine might know a thing or two about it.</p>
<p>Indeed, if you listened to a variety of tech and media execs talk about what its status is of late, it&#8217;s a wonder we can get out of the woods, since no one knows exactly where we are in them.</p>
<p>According to CIsco (CSCO) CEO John Chambers, for example, in <a href="http://digitaldaily.allthingsd.com/20090805/a-46-percent-drop-in-profit-and-cisco-still-beats-estimates/">reporting estimate-beating-though-still-lackluster fourth-quarter earnings</a> yesterday, we might be at a &#8220;tipping point.&#8221;</p>
<p>Said Chambers in a statement: &#8220;If we continue to see these positive order trends for the next one to two quarters, we believe there is a good chance we will look back and see that the tipping point occurred in our business in Q4.&#8221;</p>
<p>Would that be tipping or teetering?</p>
<p>In reporting dismal-ish fourth-quarter earnings also yesterday, News Corp. (NWS) CEO <a href="http://digitaldaily.allthingsd.com/20090805/news-corp-swings-to-loss-on-impairment-and-by-impairment-i-mean-myspace/">Rupert Murdoch seemed positive, except not</a>.</p>
<p>&#8220;I think the worst may be behind us,&#8221; said Murdoch during a conference call with analysts. &#8220;But there are no clear signs yet of a fast economic recovery.&#8221;</p>
<p>Microsoft (MSFT) CFO Chris Liddell turned that on-one-hand-on-the-other-hand around <a href="http://kara.allthingsd.com/20090730/live-from-redmond-kiwi-cute-microsoft-cfo-chris-liddell-plus-ray-ozzie-apperates">when speaking at the software giant&#8217;s recent Financial Analyst Meeting</a>. </p>
<p>&#8220;I can’t say this is good that we&#8217;re still down relative to where we were a year ago,” he said. &#8220;But, on a relative basis, it was a reasonable year from a shareholder value point of view, given the context of the environment that we had.&#8221;</p>
<p>So, essentially, Liddell was saying things were bad, except it was good, given how bad it was.</p>
<p>Well, at least it was not Google (GOOG) CEO Eric Schmidt, who repeatedly discounted the economic downturn as it developed in 2008, with quotes like &#8220;What recession?&#8221;</p>
<p>While he did reluctantly go negative, after it became clear things were really bad, Schmidt was back to being positive about the economy soon enough.</p>
<p>While at an <a href="http://mediamemo.allthingsd.com/20090626/google-less-unhappy-days-are-here-again/">advertising event in Europe in June</a>, using U.S. jobless claims as a reference, Schmidt noted that the business cycle was at the &#8220;beginning of the bottom.&#8221;</p>
<p>Which, I guess, means what goes down must come up. Mustn&#8217;t it?</p>

<p>Noted the TMZ celebrity news site:</p>
<p>&#8220;During last night&#8217;s &#8216;20/20&#8242; Michael Jackson special, Walters showcased footage shot by an ABC producer sitting next to her at the memorial. The video captures Katherine Jackson and Michael&#8217;s kids two rows in front of Barbara watching the service&#8211;despite the fact that tickets to the event clearly state &#8216;no camera/video/recording.&#8217;&#8221; </p>
<p>While readers of this blog know I am all for annoying execs with the Flip treatment, pointing and shooting at what is essentially a funeral service, given how much video was available already of those kids (already being sadly overexposed, but that&#8217;s another issue): <em>Yuk</em>.</p>

<p>What hath the Flip digital video camera wrought?</p>
<p>Well, for one, getting to see a major Silicon Valley tech exec do duck calls online, that&#8217;s what.</p>
<p>Cisco (CSCO) PR guy John Earnhardt, who is obviously studying technique from BoomTown&#8217;s shaky-cam video style, caught company CEO and Chairman John Chambers quacking away in his office.</p>
<p>And, of course, he then proceeded to capture the moment on the popular digital video recorder, which was made by the small and innovative San Francisco-based Pure Digital that <a href="http://kara.allthingsd.com/20090319/flip-flips-to-cisco-for-590-million-in-stock">Cisco bought for $590 million in March</a>.</p>
<p>Wrote <a href="http://blogs.cisco.com/news/comments/duckcalls_at_cisco_with_our_ceo/">Earnhardt on the company blog</a>:</p>
<p>&#8220;I was sitting at my desk a few minutes ago when I heard a duck call echoing down the corridor. Then, that inimitable John Chambers laughter. With my trusty Flip Mino HD video camera in hand I strolled into Chambers office to capture the duck call for you, our loyal readers. His lesson was brief, but it is very clear that he is a man of many talents.&#8221;</p>
<p>Well, that&#8217;s the Cisco PR spin on it, at least! (My spin: Chambers is one wacky dude.)</p>
<p>Cisco is now calling for duck call competitors to challenge Chambers on its blog or at its <a href="http://www.youtube.com/user/CSCOPR">PR YouTube channel</a>.</p>
<p>The best duck call gets a free Flip Mino CD from Chambers.</p>

<p>Now, he is headed to Index as a partner at the venture firm, in what some might think is an ironic move.</p>
<p>That&#8217;s because last week, after much effort to get traction for Joost, Volpi announced that the <a href="http://mediamemo.allthingsd.com/20090630/here-comes-the-video-shakeout-joost-scales-down-ceo-mike-volpi-steps-out">service was undergoing a major shakeout</a>&#8211;drastically cutting staff and shifting its business model and strategy.</p>
<p>Volpi also stepped down as it top exec, although he will stay on as chairman of Joost.</p>
<p>The development for the much-hyped Joost caused a small hubbub across the Internet, with much second guessing over could-have, would-have and should-haves about its strategies and product.</p>
<p>At Index, according to the press release, Volpi will be &#8220;based in the London office as part of the venture team where he will lead early stage investments in the Internet, telecom/networking and media sectors and contribute to the firm’s later stage growth fund.&#8221;</p>
<p><a href="http://kara.allthingsd.com/files/2009/07/joost1.gif"><img src="http://kara.allthingsd.com/files/2009/07/joost1.gif" alt="joost1" title="joost1" width="196" height="95" class="alignleft size-full wp-image-15456" /></a></p>
<p>BoomTown talked with Volpi by phone from London about the move, which will be announced today, and about what happened at Joost.</p>
<p>Taking a job at Index, which is also located in London, was a natural one, said Volpi, who made a $10 million investment in Index&#8217;s first fund while an exec at Cisco (CSCO). </p>
<p>Over the years, he has gotten to know its partners well, including Danny Rimer.</p>
<p>Volpi also said he thinks it is a great time to be a VC, a new job for him. &#8220;In a market downturn, it is a good time to invest,&#8221; said Volpi. &#8220;There are a lot of great opportunities out there now.&#8221;</p>
<p>Currently, he is very interested in Web companies built around transactional business models rather than ad-supported ones, which he thinks need a lot more development to become significant.</p>
<p>Volpi should know, given his recent experience at Joost, which relied on the still nascent advertising business for online video.</p>
<p>&#8220;At the end of the day, the consumer offering we had was not working, a lot because we did not have enough access to content we needed to build traffic,&#8221; said Volpi.</p>
<p>Joost was competing with outfits like Hulu, which is joint venture of two major media companies, News Corp. (NWS) and GE (GE) unit NBC Universal, as well as Google (GOOG) video unit YouTube.</p>
<p>The video service was started by Janus Friis and Niklas Zennström, whom Volpi met when he served on the board of their last hit, Skype.</p>
<p>Volpi said that to keep competing, it needed more funding. And, since no online video service was making money, he said it was decided a change was needed instead of just keeping on the same path.</p>
<p>Thus, the shift to a white-label video service, becoming a back end for other video players, which is still putting Joost into what is still a very competitive business. </p>
<p>Volpi acknowledged this, although he noted: &#8220;It is better to be competing in sector that has profitable rivals than one that does not.&#8221;</p>
<p>Discussions with possible acquirers of Joost also did not pan out, due mostly to price issues. But, said Volpi, it yielded some insight about Joost&#8217;s future direction. </p>
<p>&#8220;Not everyone wanted to pay a lot to own Joost, but a lot of people wanted to rent it,&#8221; said Volpi. </p>
<p>Volpi called his time at Joost &#8220;a fantastic experience,&#8221; which he also hopes will be the case at Index.</p>

<p>BoomTown is at the lovely Santa Clara Marriott in Silicon Valley at the 2009 Yahoo annual meeting, liveblogging the event, which should be spectacularly dull.</p>
<p>Here is a rundown of what went on.</p>
<p><strong>10:05 am:</strong> The meeting kicked off with a little video presentation with various and sundry television talking heads saying &#8220;Yahoo&#8221; in quick succession.</p>
<p>Actually, this was the year during which all of those hype-magnets repeated &#8220;Twitter&#8221;&#8211;the hottest media trend these days&#8211;so many times that it has began to make my ears bleed.</p>
<p>But I like the spirit of trying to make Yahoo (YHOO) seem relevant and innovative again.</p>
<p>Then, CEO Carol Bartz (pictured below) walked onto the small stage in the California Ballroom, declaring: &#8220;Well, that made me feel good.&#8221;</p>

<p>Exactly when does Carol <em>not</em> feel good?</p>
<p>She explained why: &#8220;I am having a ball,&#8221; speaking about her rehaul job at Yahoo, and then thanked shareholders after what was &#8220;a tough year last year.&#8221;</p>
<p>The board was introduced, with most of them being present at the meeting, except for Ron Burkle and Carl Icahn. </p>
<p><strong>10:12 am:</strong> General Counsel Mike Callahan comes on with the blah-blah-blah about rules and votes.</p>
<p>I soon started thinking of the lovely breakfast pastries outside that I passed by outside. <em>Drat!</em></p>
<p>This year, the 12-member board, now including Bartz, was up for reelection.</p>
<p>Last year, as you might remember, many of those board members were under siege by shareholder discontent.</p>
<p>Not in 2009. A major shareholder who was unhappy last year told me there would be no protest vote.</p>
<p>&#8220;Carol is doing a good job,&#8221; said the investor.</p>
<p>Yahoo was also asking for approval of its accounting firm, Price Waterhouse.</p>

<p>There were several important votes before the shareholders.</p>
<p>One was a standard one regarding executive compensation or a “say on pay” proposal, which was introduced by an outside stockholder.</p>
<p>Yahoo&#8217;s board recommended against it.</p>
<p>Another proposal regarded changes to be made to a 1995 stock plan and to a 1996 employee stock purchase plan.</p>
<p>The latter was most important, because it was a request to authorize more shares for future employee options grants. It will mean a large addition to the pool&#8211;30 million more shares&#8211;if authorized.</p>
<p>The stock will be used to keep valuable Yahoo talent in place. Good idea.</p>
<p><strong>10:23 am:</strong> The floor was then opened for comments on the proposal and ballots were collected. </p>
<p>I was <em>not</em> on the edge of my seat. </p>
<p>Like clockwork or an election in the former Soviet Union, the board was elected, the stock plans approved and Price Waterhouse was in.</p>
<p>The &#8220;say for pay&#8221; proposal? It went down in defeat.</p>
<p>The people have spoken!</p>

<p><strong>10:29 pm:</strong> Bartz took back the stage, which immediately livened things up.</p>
<p>She went through the history of her coming to Yahoo, which began with former Yahoo CEO and Co-Founder Jerry Yang (pictured here) asking if she was interested in the job at a Cisco (CSCO) board meeting.</p>
<p>Both are on its board.</p>
<p>Bartz also briefly recounted her meeting with Yang at his house, although she minimized the insulting aspect of the story.</p>
<p>She has maximized it in other tellings&#8211;such as in an <a href="http://d7.allthingsd.com/20090618/yahoo-ceo-carol-bartz-the-full-d7-session-unexpurgated">onstage interview with me recently</a> at the <strong>D: All Things Digital</strong> conference.</p>
<p>The basic thrust of the story was that Yahoo was a big mess that needed the Carol treatment.</p>
<p>Bartz, of course, did not stress that as much today. After all, Yang was sitting right in front of her.</p>
<p>Bartz noted that she has been asked about two things since coming on board: </p>
<p>What about a deal with Microsoft? And what the heck is Yahoo anyway?</p>
<p>She had nothing to say about Microsoft (MSFT) and said it would be said publicly only after any such deal was struck.</p>
<p>Actually, she has commented about talks with the software giant publicly many times, but let&#8217;s overlook that.</p>
<p>The Bartz went into the definition of Yahoo. It&#8217;s simple, she said. The largest global online media company. With technology. That everyone knows. Plus email.</p>
<p><strong>10:34 am:</strong> Bartz ran through the new staff she has put in place, such as CMO Elisa Steele and others.</p>

<p>She then moved onto the top-to-bottom reviews she has been doing of Yahoo.</p>
<p>Including what she dubbed &#8220;space debris,&#8221; which are Yahoo sites that should be shut down, repaired or outsourced.</p>
<p>Bartz&#8217;s tone? Calm and comforting and reassuring&#8211;less the live wire she usually telegraphs and more the I&#8217;m-in-charge-here-so-remain-calm vibe.</p>
<p>She hit all the big targets, for good measure. Front page. Mobile. And, of course, advertising. </p>
<p>&#8220;Yahoo has a distinct opportunity in this area,&#8221; said Bartz, referring to its online display ad business. &#8220;Advertisers come to us.&#8221;</p>
<p>She ended by calling Yahoo a &#8220;home,&#8221; which is <a href="http://kara.allthingsd.com/20090624/exclusive-yahoo-working-on-major-brand-overhaul-please-no-more-yodeling/">one theme the company is considering using as a brand strategy</a> in an massive overhaul it is working on.</p>
<p><strong>10:45 am:</strong> The floor was open for questions.</p>
<p>The first was a good one. Essentially, why is Google (GOOG) such a money machine when Yahoo is not? And why are its workers so much more productive in comparison?</p>
<p>&#8220;We have a very different model than Google,&#8221; said Bartz. &#8220;It has a cleaner process.&#8221;</p>
<p>As in, it is better at vacuuming up the dough!</p>
<p>Bartz, who has been trying mightily to end the Yahoo/Google comparison (smart move!), did not really give an answer.</p>
<p>&#8220;Please, this direct comparison model to Google is not fair and is frankly not relevant,&#8221; she said.</p>
<p>Well, it is actually quite a bit fair and a <em>lot</em> relevant, but we shall also overlook that one too (for now).</p>
<p><strong>10:49 am:</strong> A fan question about how it was good that Bartz has been taking the focus off of the Microsoft issue too.</p>
<p>He also liked that she said she would take piles of money from the software giant, though, in a search partnership deal.</p>

<p>Then, the questioner dived right into the weeds, with questions about the front page, such as having too much dopey entertainment news on it.</p>
<p>Especially all that Jon &#038; Kate and their gazillion kids crap!</p>
<p>This is a favorite meme for Bartz, who proceeded to quickly one-up the question by strafing a perfect celebrity target.</p>
<p>&#8220;If I see another Britney Spears item, I am going to throw up,&#8221; she declared in nauseous solidarity.</p>
<p>She then mentioned something called a &#8220;fluffometer,&#8221; which is apparently taking care of this most pressing issue of our time&#8211;the Lindsay Lohan threat.</p>
<p>Will it defluff Yahoo?</p>
<p>Inquiring minds want to know.</p>
<p><strong>10:54 am:</strong> The inevitable China question was asked, of course, a query which has always tripped up previous Yahoo management. </p>
<p>&#8220;It&#8217;s very easy to get crosswise,&#8221; said Bartz, trying not to get crosswise.</p>
<p>She mentioned a recent human rights summit Yahoo had hosted. &#8220;We have actually done a lot, but it is never enough.&#8221;</p>
<p>Well, actually, Yahoo and many others did not do enough previously, but Bartz was pretty much steering clear of the thorny realities of doing business in China.</p>
<p>Then came the &#8220;vision&#8221; question.</p>
<p>Actually, Bartz said it was not about vision, but about growth. &#8220;We don&#8217;t have a vision problem, we have an execution problem,&#8221; she said. </p>
<p>Another question was asked about Internet censorship in China. </p>
<p>&#8220;I&#8217;m going to go real simple here: Yahoo was not incorporated to fix China,&#8221; she said. &#8220;It&#8217;s that simple.&#8221;</p>
<p>Bartz said the company was not going to take on every government in the world and that its &#8220;mistake&#8221;&#8211;referring to activists jailed due to Yahoo handing over information to the Chinese government&#8211;should not hound it forever.</p>
<p>Well, it should, but point taken.</p>
<p>The next question was about Iran and how popular Twitter is. Bartz said Yahoo was also in there.</p>
<p><strong>11:04 am:</strong> A questioner asked about Facebook and why the social networking site was so popular, even though Yahoo had better products.</p>
<p>Bartz said Yahoo was working hard on making those products more social. </p>
<p>The next questioner asked about whether another Google partnership deal with Yahoo could be reborn. That deal went down in defeat last year.</p>

<p>&#8220;Justice is Justice,&#8221; said Bartz, referring to the federal government department&#8217;s opposition to the deal.</p>
<p>As in, you don&#8217;t tug on Superman&#8217;s cape, you don&#8217;t spit into the wind, you don&#8217;t pull the mask off the old Lone Ranger and you don&#8217;t mess around with Uncle Sam.</p>
<p>The next questioner asked about why Yahoo always told shareholders at meetings like this that it was doing great every year and then didn&#8217;t deliver.</p>
<p>Bear with us, said Bartz.</p>
<p>As to selling off its Alibaba assets in China: Not a good time to sell.</p>
<p><strong>11:09 am:</strong> A questioner asked whether Yahoo might buy a newspaper, like the New York Times (NYT).</p>
<p>Yes, that would be a good move&#8211;out of the frying pan into the fire!</p>
<p>I was sitting right next to one of its reporters, Miguel Helft. No comment!</p>
<p>Bartz then thanked the Yahoo shareholders for having faith.</p>
<p>As I said, it was Bartz&#8217;s first annual meeting. But, for Yahoo investors over the last several years, having a lot of faith&#8211;too often tested&#8211;kind of comes with the territory.</p>

<p>San Francisco-based Pure Digital debuted its first innovative Flip at a <a href="http://d.smugmug.com/gallery/578705#24452226_h7tLc">previous <strong>D</strong> conference</a> and was <a href="http://kara.allthingsd.com/20090406/pure-digitals-jonathan-kaplan-aka-the-flip-guy-speaks-post-cisco">recently sold to Cisco</a> (CSCO). </p>
<p>This time, CEO Jonathan Kaplan showed off new personal “channels” that allow you to share videos with others, like friends and family.</p>

But despite very serious interest in the hot microblogging service by every company that can afford considering such a thing, including Apple, getting across that late-stage line would require major investors in the hot start-up to be very involved, and they are not as yet.

So, rather than be on the edge of your seat about all these endless, alleged late-stage high jinks, here is a five-step list to cut out and keep when the questionable rumors of "late-stage negotiations" with Microsoft, News Corp., Verizon, Cisco and more inevitably show up.]]></description>

<p>Was it more than a <em>month</em> ago that <a href="http://kara.allthingsd.com/20090403/sorry-to-get-you-all-a-twitter-but-google-is-not-in-late-stage-talks-to-acquire-the-hot-microblogging-service">Google was rumored to be in &#8220;late-stage negotiations to acquire Twitter&#8221;</a>?</p>
<p>Not so much late-stage, I guess, with a gestation period that seems <em>interminable</em> (and BoomTown has been there, so can speak from experience about interminable pregnancies).</p>
<p>In fact, I&#8217;m still waiting for the Google (GOOG) takeover news floated inaccurately back then to cross our desk at <strong>All Things Digital</strong> HQ, although it&#8217;s more likely Godot will show up first. </p>
<p>So I guess it should come as no surprise that it was time to fob yet another rumor that yet another moneybags of a company&#8211;<a href="http://valleywag.gawker.com/5240350/could-apple-buy-twitter">this time, Apple</a> (AAPL)&#8211;is in &#8220;late-stage negotiations to buy Twitter.&#8221;</p>
<p>You could set your broken-but-right-twice-a-day clock by it, in fact.</p>
<p>But despite very serious interest in Twitter by every company that can afford considering such a thing, getting across that late-stage line would require major investors in the microblogging service to be involved, and they are not as yet.</p>
<p>In fact, both Twitter co-founders, Evan Williams and Biz Stone, are in New York today to attend the 2009 &#8220;Time 100&#8243; dinner, which fetes this year&#8217;s influential people honorees selected by the magazine. <a href="http://www.time.com/time/specials/packages/article/0,28804,1894410_1893837,00.html">Which they are</a>.</p>
<p>So, if they are in serious talks with Apple, they better grab that award and head on home <em>tout de suite</em>.</p>
<p>In point of fact, <a href="http://kara.allthingsd.com/20081124/when-twitter-met-facebook-the-acquisition-deal-that-fail-whaled">talks with Facebook last year</a> were actually the only truly deep sale discussions that Twitter has been involved in, and those went south.</p>
<p>Oh, the very notion of Apple and Twitter is a Techmeme dream-ticket, sure to be chewed over for days on end. (I once considered doing a post that just said &#8220;AppleTwitterAppleTwitterAppleTwitter&#8230;&#8221; for 1,000 words to see how much idiotic traffic I would get.)</p>
<p>But given that it is too good to be true for now, rather than be on the edge of your seat about all these endless, alleged late-stage high jinks, here is a five-step list to cut out and keep when the rumors of &#8220;late-stage negotiations&#8221; with Microsoft (MSFT), News Corp. (NWS), Verizon (VZ), Yahoo (YHOO), Time Warner (TWX) online unit AOL, Comcast (CMCSA), Cisco (CSCO) and more inevitably show up.</p>

<p><strong>1.) Belle of the Geek Ball</strong></p>
<p>Everyone is indeed actually interested in buying Twitter and each has expressed a proper level of interest to the company&#8217;s execs&#8211;especially to over-contacted CEO Williams&#8211;about said interest. </p>
<p>And, because this is America, a bid for Twitter could come at any time and in any amount.</p>
<p>That&#8217;s why Apple has indeed said hello. Why Microsoft&#8217;s business development team has been busy formulating a valuation. Why Google&#8217;s M&#038;A guy, David Lawee, has called into Twitter&#8217;s HQ many times with kind expressions of desire. And why News Corp. execs, including Rupert Murdoch himself, have murmured tweet nothings to the Twitter team.</p>
<p>Please note: This is not the same thing as &#8220;late-stage negotiations.&#8221; Not at all; so don&#8217;t believe such things, as you will see this one coming down the pike for miles (see Step #4 below).</p>
<p>If there ever were an Apple deal to be done, it would not be living in some tidy vacuum. </p>
<p>For example, does one imagine Google CEO Eric Schmidt&#8211;who is on the Apple board, <a href="http://digitaldaily.allthingsd.com/20090505/time-to-give-up-that-apple-board-seat-eric/">much to the FTC&#8217;s chagrin</a>, it seems&#8211;would decline to enter the fray? Oh, he&#8217;d be up to his conflicted eyebrows in it at this point.</p>
<p>(Full disclosure: <strong>ATD</strong> is also considering making a bid for Twitter, but only if I get to name who is called Chief Twit.)</p>
<p><strong>2.) We Feel Pretty, Oh So Pretty</strong></p>

<p>Twitter&#8217;s Williams, as well as Stone, do not really want to sell just yet, given the huge traffic over the last year, goosed even further by the whole <a href="http://kara.allthingsd.com/20090416/i-cant-believe-i-am-now-following-ashton-kutcher-on-twitter-because-cnn-just-cannot-win/">Oprah-Ashton Kutcher axis of Tweetvil</a>.</p>
<p>Twitter is growing and growing and growing. Does that mean it has peaked or is just crossing over into the mainstream?</p>
<p><a href="http://kara.allthingsd.com/20090405/with-inbox-clogged-with-admirers-twitter-should-ignore-the-hype-and-get-back-to-work">I would say the latter</a> and so would its investors and execs.</p>
<p>I have done a lot of reporting and have found that most of them would like a chance to ride this rocket ship and see if they can prevent it from being a shooting star by figuring out some viable, innovative and lucrative business plan.</p>
<p>&#8220;Twitter really could make a lot of money,&#8221; said one investor. &#8220;And we are not just making that up either.&#8221;</p>
<p>Well, phew, because <a href="http://kara.allthingsd.com/20090305/twitter-business-plan-count-up-day-1">I have been a little worried</a> about that.</p>

<p><strong>3.) We&#8217;re Living in a Material World, and I Am a Material Girl</strong></p>
<p>That said, as Madonna sings, a pile of cash is a pile of cash and if one of the suitors makes a big move with $600 million or more in cash, it would be hard for Twitter to completely ignore such an offering.</p>
<p>But, in any case, there will be no late-stage negotiations with one player.</p>
<p>Instead, an epic free-for-all wrestling match to the death would break out among all of them, especially Google and Microsoft. </p>
<p>This will be great for me and all the other tech writers as it will be ugly, competitive and tailor-made for breathless reporting. </p>
<p>Google is the likely winner here, although Microsoft is quite intent on the possibilities of integrating Twitter technology with its business offerings.</p>
<p>Someone will, I can predict with certainty, lose an eye.</p>

<p><strong>4.) All the Single Ladies&#8230;Cuz if You Liked It, Then You Should Have Put a Ring on It</strong></p>
<p>And, even with that kind of offer&#8211;which I would take in a New York minute, as would some Twitter investors&#8211;<a href="http://kara.allthingsd.com/20090414/twitters-co-founders-evan-williams-and-biz-stone-speak">there is a sense when you talk to Twitter&#8217;s founders</a> and investors that they truly believe they are onto some very important interactive communications paradigm shift in the Internet arena with their start-up.</p>
<p>I would have to agree given that the real-time and status-update concepts that Twitter has perfectly touched on are a very important one.</p>
<p>Thus, Twitter would prefer to remain independent for now.</p>
<p>Whether Twitter will prevail or not is never assured, but it would be really a shame if it gave up before the story was over.</p>

<p><strong>5.) And They Lived Happily Ever After</strong></p>
<p>Let&#8217;s be honest: There is no real downside here for Twitter.</p>
<p>If the service turns out to be be a flash in the pan and it is not sold for big bucks, Twitter still has heralded a very important new era in the digital industry.</p>
<p>And, if it grows like crazy even more, better still.</p>
<p>Also, <a href="http://kara.allthingsd.com/20090403/twitters-no-biz-model-stone-on-the-colbert-report">Stone got to go on &#8220;The Colbert Report&#8221;</a> and Williams on &#8220;Oprah.&#8221;</p>
<p>Best of all, in a shameless plug, they will both be captive on stage with Walt Mossberg and me at the <a href="http://kara.allthingsd.com/20090504/welcome-to-lucky-d7-gambling-on-the-future-of-tech/">seventh <strong>D: All Things Digital</strong> conference</a> exactly three weeks from today, where we can ask them about all this and more.</p>
<p>So, I am thrilled too.</p>

Spy,&#8221; Microsoft and Google find themselves in yet another sharp-elbowed battle to be the one to strike some kind of commercial search deal or product partnership with Twitter, many sources with knowledge of the situation said, as they also jockey for position to evaluate the potential of the much-hyped microblogging start-up.</p>
<p>After last week&#8217;s explosive rumor that Google was in &#8220;late-stage&#8221; talks to acquire Twitter, which <a href="http://kara.allthingsd.com/20090403/sorry-to-get-you-all-a-twitter-but-google-is-not-in-late-stage-talks-to-acquire-the-hot-microblogging-service/">BoomTown reported was wildly premature</a>, I set out to try to sort out exactly what was going on.</p>
<p>As I found out, there was a lot&#8211;mostly much talking related to possible product and distribution partnerships, centered around Google or Microsoft, especially around a deal to become the one to exclusively deliver search or other similar services to Twitter properties.</p>
<p>The reason for the interest? Many think Twitter&#8217;s real-time search of its 140-character &#8220;tweets&#8221; posted by users on the service will <a href="http://kara.allthingsd.com/20090209/does-real-time-search-make-twitter-a-google-killer-its-fanbots-think-so-boomtown-not-quite-yet">become the next great battlefield in search</a>. Google currently dominates the general search market, with third-place Microsoft struggling to get more share.</p>
<p>But how to do that is in flux, as past efforts at various third-party search arrangements have had mixed success for both Google and Microsoft. Both companies and also Twitter are trying to figure out new ways to do such deals.</p>
<p>On top of that, it is also unclear if Twitter wants to strike a deal purely to get a payment from either Microsoft or Google, as others have done. Twitter management has indicated that they are much more interested in growth and distribution over a revenue focus.</p>
<p>Twitter Co-founder <a href="http://kara.allthingsd.com/20090213/theres-no-biz-like-no-biz-at-twitter-and-will-google-swoop-in-before-it-all-comes-crashing-down">Biz Stone said as much on the start-up&#8217;s Web site recently</a>, as well as in many media interviews, noting that it will begin experimenting with its own business ideas this year.</p>
<p>In other words, the talks Twitter is having with both Google and Microsoft could also lead exactly nowhere too.</p>
<p>Along with the commercial talks, both Microsoft (MSFT) and Google (GOOG) are also trying to figure out if Twitter is simply one of the many shooting stars that are far more typical in Silicon Valley or if it is sea-change start-up worth pursuing and paying up big-time to acquire.</p>
<p>&#8220;As impressive as what Twitter has done, we are all overexcited,&#8221; said one source. &#8220;And so it&#8217;s hard to figure out the right thing to do with all the pressure to do <em>something</em>.&#8221;</p>
<p>Thus, while an offer for Twitter from Microsoft, Google or a plethora of other players&#8211;from News Corp. (NWS) to Yahoo (YHOO) to Cisco (CSCO) to Time Warner (TWX) online unit AOL to big telcos&#8211;could come at any time, said many sources, only a huge price would lead to an acquisition, especially since the growth of the service has been accelerating more rapidly in recent months than has been reported publicly. </p>
<p>This all makes for <a href="http://kara.allthingsd.com/20090405/with-inbox-clogged-with-admirers-twitter-should-ignore-the-hype-and-get-back-to-work/">dicey times at Twitter</a>, which sits at the center of all this noise, trying to build a company, while also being fully cognizant that trying to engineer a massive buyout could be its best outcome.</p>
<p>Further complicating the situation: The fact that Twitter co-founder and CEO Evan Williams&#8211;who has already sold one company, Blogger, to Google and eventually left after a lackluster experience, a common one of many entrepreneurs who sell out early to large companies&#8211;is less interested in selling out than in growing the company.</p>
<p>But without the kind of control of the company&#8217;s fate&#8211;which allowed Facebook founder and CEO Mark Zuckerberg to effectively block similar buyout pressures early in its history&#8211;Twitter&#8217;s founders also might not get the last word in the event of an unusually attractive offer.</p>
<p>While a <a href="http://kara.allthingsd.com/20081124/when-twitter-met-facebook-the-acquisition-deal-that-fail-whaled">$500 million stock-and-cash one from Facebook last fall was turned away by Twitter</a> due to worry about the social-networking site&#8217;s market valuation, the massing interest is overwhelming and forcing it to make some clear decisions about it path.</p>
<p>&#8220;When you are in a situation like Twitter is in, you have to wonder if this is the high-water mark and it is time to sell out or if you are underestimating yourself badly by even considering that,&#8221; said one Silicon Valley entrepreneur who has been in a similar spot in the past. &#8220;It can be very hard to think straight.&#8221;</p>
<p>Indeed, all the attention is both distracting and slightly surreal for its top execs and small 30-person staff in San Francisco, said many sources close to the situation, especially the mass of media that resulted due to that now-discounted rumor that Twitter was poised to be sold off for a giant pile of money.</p>
<p>In fact, Twitter has its hands full enough scaling its recent surge in growth and keeping the service humming along (it has had tech snafus in the past).</p>
<p>But for Google and Microsoft, this geopolitical one-upsmanship by the Internet&#8217;s two most important companies is quite familiar, and they have not hesitated to jump into the Twitter tempest.</p>
<p><a href="http://kara.allthingsd.com/files/2009/04/fire-drill.jpg"><img src="http://kara.allthingsd.com/files/2009/04/fire-drill-250x250.jpg" alt="fire-drill" title="fire-drill" width="250" height="250" class="alignleft size-medium wp-image-12032" /></a></p>
<p>If that sounds a lot like the two-month fire drill in 2007 that resulted when Microsoft and Google competed to see who could sidle up closest to then-belle-of-the-Silicon-Valley-ball Facebook, you are exactly right.</p>
<p>After much huffing and puffing back and forth and this way and that way, it resulted in a Microsoft &#8220;win,&#8221; which gave it the distinct honor of forking over $240 million to own 1.6 percent of Facebook at an <a href="http://kara.allthingsd.com/20070925/15-billion-more-reasons-to-worry-about-facebook/">astonishing $15 billion valuation</a>.</p>
<p>Even as Facebook has grown quickly in size since then&#8211;to <a href="http://digitaldaily.allthingsd.com/20090409/qotd-127/">200 million users</a>, as announced yesterday&#8211;its valuation has dropped to $3 billion to $5 billion.</p>
<p>Microsoft had previously struck an search ad deal in the U.S. with Facebook in which it paid a guaranteed revenue to Facebook and later also did a deal to do some of the search on the site.</p>
<p>Such kinds of deals have become common for both Google and Microsoft in recent years. Google struck one with News Corp. social-networking site MySpace, as well as with AOL (which will also soon come up for renewal). </p>
<p>And Microsoft grabbed the right to pay Digg a guaranteed fee in another online ad deal. And the pair also fought more recently over a <a href="http://digitaldaily.allthingsd.com/20081112/microsoft-to-verizon-you-how-much-for-your-mobile-search-business/">mobile search distribution deal with the wireless unit of Verizon</a> (VZ).</p>
<p>And so it goes now with Twitter.</p>
<p>No partnership deal has been made as yet, of course, since such a thing would say a lot about Twitter&#8217;s future, since the prospect of marriage overhangs such a choice, which is also&#8211;in essence, a declaration of allegiance in the cold war between Google and Microsoft.</p>
<p>If that also sounds like a plot of a James Bond movie, with geeks armed with algorithms instead of gadgety weaponry, you&#8217;re also exactly right.</p>

<p>And I have used the nifty device on this site since for my <a href="http://kara.allthingsd.com/20081112/a-new-flip-joins-the-boomtown-video-family-high-def-hijinks-ensue/">shaky-tastic video extravaganzas</a>.</p>
<p>Yes, Pure Digital&#8217;s CEO Jonathan Kaplan (pictured above) is <em>to blame</em>!</p>
<p>Now, Kaplan has gone and <a href="http://kara.allthingsd.com/20090319/flip-flips-to-cisco-for-590-million-in-stock/">sold Flip off to Cisco</a> (CSCO) for $590 million in stock.</p>
<p>Sources said that Pure Digital&#8211;this corporate name will go by the wayside, by the way&#8211;had also chittered-chatted with Sony (SNE) and Hewlett-Packard (HPQ) about such a possibility. </p>
<p>That&#8217;s pretty good company for Pure Digital, considering it started as a white-label product, shrink-wrapped for theme parks and drugstores. </p>
<p>But the simplicity of its line of relatively inexpensive cameras, including the recently released Mino (seen below, and also sold in a high-definition version), has made it a huge consumer success, which is no easy task in the devices arena.</p>
<p><a href="http://kara.allthingsd.com/files/2009/03/market-leverage-flip-camera.jpg"><img src="http://kara.allthingsd.com/files/2009/03/market-leverage-flip-camera-150x150.jpg" alt="market-leverage-flip-camera" title="market-leverage-flip-camera" width="150" height="150" class="alignleft size-thumbnail wp-image-11091" /></a></p>
<p>With Flip software, a user can plug the unit into a USB port of a computer to upload digital video easily. Flip models cost anywhere from $100 to $299.</p>
<p>Spot-on simplicity and a no-brainer feel have made them into the most popular such devices around, and in a very short time.</p>
<p>But, although it got $68.2 million in funding since its founding in 2001, taking all that innovation and success and truly turning it into a global brand was a much longer and more expensive slog for the San Francisco start-up.</p>
<p>Hence, a sale to the bigs.</p>
<p>Pure Digital is probably a good fit for Cisco, which has been trying to turbocharge its consumer-focused business, especially in home networking, and the move is a clear step in that direction.</p>
<p>In the integration, Cisco has made the Flip team part of ypuCisco&#8217;s Consumer Business group, and Kaplan will become general manager of the combined organization.</p>
<p>What comes next for Flip could be interesting, including the addition of social-networking and streaming features, which would dovetail well with Cisco&#8217;s other investments in consumer networking.</p>
<p>But most of all, it&#8217;s a nice ending to a very sharp company that makes a great product. Introducing a new consumer electronics device into the world is no small task and, clearly, Flip deserves the much bigger stage it is set to get.</p>

<p>While the &#8220;news&#8221; that Google was in &#8220;late-stage&#8221; talks to acquire Twitter, which <a href="http://www.techcrunch.com/2009/04/02/sources-google-in-late-stage-talks-to-buy-twitter/">TechCrunch reported last night</a>, certainly <em>sounds</em> exciting, it isn&#8217;t accurate in any way, according to a number of sources BoomTown spoke to close to the situation.</p>
<p>In fact, Twitter and Google (GOOG) have simply been engaged in &#8220;some product-related discussions,&#8221; according to one source, around real-time search and the search giant better crawling the microblogging service.</p>
<p>Said a source close to Twitter: &#8220;There was a discussion with [Google executive Marissa Mayer's] group about real-time search and about product stuff. It was a couple weeks ago. It was very preliminary&#8230;and that was that.&#8221;</p>
<p>More importantly, said another source about the idea of an imminent acquisition or serious or even early talks: &#8220;Seriously, no negotiations, no deal, nada.&#8221;</p>
<p>So for all those Twitterers madly typing 140 characters and caught up in the grand idea of <em>Twoogle</em>, we return you to your regularly scheduled tweeting.</p>
<p>Of course, there has been a lot of analysis, put forth by many, <a href="http://kara.allthingsd.com/20090226/buying-spree-the-sequel-why-not-ibmsun-googletwitter-microsoftanyone/">including me</a>, that Google <em>should</em> think about acquiring Twitter.</p>
<p>It is the microblogging service&#8217;s likeliest acquirer, in fact. And there is no question Twitter is being watched closely by Google.</p>
<p>But sources at Google stressed that a strong partnership&#8211;especially in light of the growing size of the Facebook social-networking site&#8211;is what the company is most interested in at this point in time.</p>
<p>That could change at any time, of course. Google or anyone else could plunk down more than $1 billion in cash, and I cannot imagine Twitter&#8217;s investors would or could resist. Nor should they. </p>
<p><a href="http://kara.allthingsd.com/files/2009/04/twoogle_x291.jpg"><img src="http://kara.allthingsd.com/files/2009/04/twoogle_x291-249x232.jpg" alt="twoogle_x291" title="twoogle_x291" width="249" height="232" class="alignleft size-medium wp-image-11726" /></a></p>
<p>And what if, for example, Microsoft (MSFT) offered some huge cash payday for Twitter? In that case, I am certain Google would jump into the faceoff, backing up a giant Brinks trunk to the door of Twitter&#8217;s San Francisco offices.</p>
<p>And the reaction such an idea has gotten with this round of rumors will surely be studied at Google. </p>
<p>But this is all just <em>pure speculation</em> and should be couched as that. And that does not mean there are talks going on now, as TechCrunch reported so firmly.</p>
<p>And that&#8217;s also true for a range of other companies&#8211;from Microsoft to Yahoo (YHOO) to News Corp. (NWS) to Time Warner (TWX) unit AOL to Cisco (CSCO) to Comcast (CMCSA) to the big telcos&#8211;that would also be interested in buying Twitter or partnering with it.</p>
<p>And Facebook already tried and failed to buy Twitter last year, which <a href="http://kara.allthingsd.com/20081124/when-twitter-met-facebook-the-acquisition-deal-that-fail-whaled">BoomTown chronicled in a post in November</a>, for $500 million in cash and stock of the social-networking service.</p>
<p>Why? Because although Twitter is still small, with seven million users, it has a definite momentum in the red-hot real-time online status update space. </p>
<p>And while I give it a hard time for its utter lack of a business plan or revenue to speak of, the well-funded Twitter is also at the beginning of a long runway of possibility that could yield it a higher price later, if it so chose to sell at all.</p>
<p>Moreover, if Twitter&#8217;s investors and founders wanted to sell, they wouldn&#8217;t have taken a recent round at $230 million valuation, because it would imply a $750 million to $1 billion purchase price, and no one could pay that right now.</p>
<p>Even the mighty Google could not&#8211;which does not typically overpay for companies.</p>
<p>More likely, Google would surely get killed by investors for spending that much on a revenue-free company, especially since it is still getting beat up for the pricey YouTube deal it made when times were great.</p>
<p>Lastly, Twitter&#8217;s founders have expressed the desire to take the company out for a longer ride, even if some of its investors would love to cash out if offered a crazy price.</p>
<p>&#8220;Why would the company do something like this right now?&#8221; said a source close to Twitter, in a typical sentiment. &#8220;The company&#8217;s on a tear right now.&#8221;</p>
<p>In fact, last night in an appearance on &#8220;The Colbert Report,&#8221; Twitter co-founder Biz Stone explicitly said Twitter planned to be a &#8220;strong, profitable, independent company.&#8221;</p>
<p>While entrepreneurs have said this and then quickly sold out, it is not the case now for Twitter, unless it got some insane offer, said numerous sources.</p>

<p>TechCrunch, which slapped a loud headline on its first post, &#8220;Sources: Google in Late-Stage Talks to Buy Twitter,&#8221; then changed it to &#8220;Sources: Google in Talks to Acquire Twitter (Updated).&#8221;</p>
<p>What&#8217;s next? &#8220;Google and Twitter Have a Lovely Organic Lunch and Discuss Trading T-Shirts (Updated Update)&#8221;?</p>
<p>The TechCrunch report, penned by Michael Arrington, also added a let&#8217;s-just-cover-all-our-bases update at the bottom of the ever-changing post that then hedged the news it had just hyped.</p>
<p>This is not new for the tech blog, especially related to Google. </p>
<p>On July 28, 2008, <a href="http://www.washingtonpost.com/wp-dyn/content/article/2008/07/22/AR2008072202491.html">TechCrunch reported</a>: &#8220;Google In Final Negotiations To Acquire Digg For &#8216;Around $200 Million,&#8217;&#8221; and said there was a letter of intent signed.</p>
<p>While the pair did hold ultimately unsuccessful talks, they never got even close to final.</p>
<p>And on February 6, 2008, <a href="http://www.techcrunch.com/2008/02/06/rumor-is-google-about-to-buy-bebo-for-1-billion-to-15-billion-or-will-it-be-myspace/">TechCrunch had a post</a> with the headline, &#8220;Rumor: Is Google About to Buy Bebo For $1 Billion To $1.5 Billion? Or Will it Be MySpace?&#8221;</p>
<p>Hmm, not so much on the <em>about</em> to buy Bebo. In fact, Google was never in what could be described as serious talks, and Bebo was sold to AOL, the lone bidder, for $850 million a month later.</p>
<p>Thus, the third time is, no surprise, not a charm either.</p>

The deal, which had been rumored last week, was announced this morning by Cisco.

<p>Pure Digital, the maker of the popular Flip digital video cameras, has sold itself to Cisco (CSCO) for $590 million in stock.</p>
<p>The deal, which had been rumored last week by TechCrunch, was <a href="http://newsroom.cisco.com/dlls/2009/corp_031909.html">announced this morning by Cisco</a>.</p>
<p>The innovative San Francisco-based start-up has made it big from its modest roots as a white-label digital video camera shrink-wrapped for themes parks and drug stores. </p>
<p>But the simplicity of its line of relatively inexpensive cameras, including the recently released Mino HD, has made it a huge consumer success, which is no easy task in the devices arena.</p>
<p>Using its own software, a user can plug the Flip into a USB port of computer to upload digital video easily. Flip models cost anywhere from $100 to $299.</p>
<p>Cisco has been trying to turbocharge its consumer-focused business, especially in home networking, and the move is a clear step in that direction. It is better known for its business making hardware and software that powers the plumbing of the Web.</p>
<p>Although it used stock in buying Pure Digital, Cisco has a $29 billion pile of cash. Recently, I wrote a piece about how a lot of tech companies, with big hordes of money, <a href="http://kara.allthingsd.com/20090217/with-a-kings-ransom-in-cash-why-is-there-no-buying-spree-in-the-tech-space-yet/">will soon be buying up a lot of the most promising tech start-ups</a>.</p>
<p>The first commercially-branded Flips were, in fact, introduced at the third <strong>D: All Things Digital</strong> conference in 2005 by CEO Jonathan Kaplan (pictured here at <strong>D3</strong>.)</p>

<p>In an email to BoomTown this morning, Kaplan was happy with the outcome, because no matter its success, taking Flip to the next level is not easy:</p>
<p>&#8220;We&#8217;re thrilled by the partnership. Cisco shares my vision for capturing and sharing simple, accessible, and high-quality video to the mass-market consumer. Now we can deliver that ideal on a global basis.&#8221;</p>
<p>Cisco said that &#8220;upon the close of the acquisition, the Pure Digital team will become part of Cisco&#8217;s Consumer Business Group, which includes Linksys® by Cisco® home networking, audio and media-storage products. Kaplan will become general manager of the combined organization,&#8221; reporting to Ned Hooper, SVP of Corporate Development and Consumer Groups. </p>
<p>He and his team will also get a $15 million in retention-based equity incentives.</p>
<p>The sale to Cisco is a big win financially overall. Pure Digital got another $40 million in additional funding in mid-2007, from investors Morgan Stanley Principal Investment, Heights Capital Management and AllianceBernstein, who joined initial investors Sequoia Capital and Benchmark Capital. </p>
<p>It had previously gotten $28 million in 2004 from Sequoia and Benchmark, as well as Crescendo Ventures, Steamboat Ventures and Focus Ventures. It was founded with $200,000 in seed funding in 2001.</p>
<p>And, more to the point, Flip cameras have been used by me for nefarious interviewing of scared Web execs since our site&#8217;s launch. In fact, I have been so bizarrely enamored with the Flip that I even did a video of my many old <a href="http://kara.allthingsd.com/20081112/a-new-flip-joins-the-boomtown-video-family-high-def-hijinks-ensue/">Flips meeting the new high-definition Mino</a> last November.</p>

<p>The plot so far: &#8220;Botnet attacks in The Realm are on the rise, and Jux discovered they are after Synocorp employees. Trace, the defender brought to life in The Realm through solutions built by Engineer Roberts, fended off the bots in time to save the identity of the latest target.  Can the defenders stop the threats from infiltrating Synocorp offices? Find out in episode 2.&#8221;</p>
<p>Not quite &#8220;The Dark Knight,&#8221; but not bad so far.</p>
