<p>Yahoo and Microsoft are poised to finally sign the definitive agreement that will govern the complex and far-reaching search and online advertising partnership they struck in late July, said sources close to the situation.</p>
<p>If all goes well, the various Microsoft and Yahoo execs&#8211;who have been ferreted away over the last weeks, busy dotting all the i&#8217;s and crossing all the t&#8217;s in the massive document&#8211;could even turn in their deal homework to their bosses for signature by the end of the week.</p>
<p>Yahoo (YHOO) officials declined to comment, while Microsoft (MSFT) has not gotten back to BoomTown as yet.</p>
<p>In any case, getting the definitive agreement in place is critical to making the high-profile MicroHoo deal a reality and, of course, getting the anti-Google (GOOG) party started.</p>
<p>So when the pair blew through a deadline to complete it in late October, there were <a href="http://kara.allthingsd.com/20091028/its-complicated-but-microhoo-also-hasnt-fallen-and-will-get-up/">eyebrows raised all over Wall Street and Silicon Valley</a>.</p>
<p>When <a href="http://kara.allthingsd.com/20090804/as-promised-heres-the-yahoos-8-k-to-the-sec-about-the-microsoft-deal-the-full-document">Yahoo filed an 8-K</a> with the Securities and Exchange Commission in August, it noted that the &#8220;Definitive Agreement&#8221; between the Silicon Valley Internet company and the Redmond, Wash., software giant needs to be sketched out by Oct. 27, 2009.</p>
<p>But it is a monster document, which is why MicroHoo did not complete it in time. After that whiff, Yahoo said as much in another <a href="http://www.sec.gov/Archives/edgar/data/1011006/000119312509216336/d8k.htm">filing with the SEC</a>: </p>
<p>&#8220;The Letter Agreement specified that the parties would execute definitive agreements by October 27, 2009, but given the complex nature of the transaction, there remain some details to be finalized.&#8221;</p>
<p>Added Microsoft similarly:</p>
<p>&#8220;We have made good progress in finalizing the definitive agreements. Given the complex nature of this transaction there remain some issues that need some additional clarity and definitive details.&#8221;</p>
<p>Nonetheless, both companies have consistently said that they would be able to close this deal by early 2010.</p>

<p>Yahoo and Microsoft had already done a pretty hefty binding-agreement letter (here is a picture of Yahoo&#8217;s CEO Carol Bartz and Microsoft CEO Steve Ballmer holding it, in fact). </p>
<p>Also key: Getting approval for the deal from regulators in Washington, D.C., which, sources said, also seems to be on track.</p>
<p>With little opposition, Yahoo and Microsoft policy types have been <a href="http://kara.allthingsd.com/20090804/yahoo-microsoft-regulatory-filings-begin-this-week-let-the-legal-game-playing-begin/">chipping away on regulatory issues</a> with federal regulators in Washington.</p>
<p>And, several sources said, those government approvals are now nearing completion at the Justice Department, even though the Federal Trade Commission might still ask for more assurances on privacy issues related to online advertising and consumer data.</p>

<p>International regulatory approval is another story, especially in Europe, which could further delay the implementation of the partnership, since it is unlikely the pair would move forward without clearance globally.</p>
<p>When that is done, the real game begins, as MicroHoo faces its the much more critical Tim Gunn acid test for the deal:</p>

<p>In what should come as a shock to almost no one, the detailed negotiations to complete the Microsoft and Yahoo search and online advertising final agreement are more complicated than its authors anticipated and are taking longer than expected to complete.</p>
<p>Relax, folks&#8211;they&#8217;ll get done.</p>
<p>But here&#8217;s a more important thing that should wrap up sooner than later: Yahoo CEO Carol Bartz&#8217;s seemingly never-ending gibes about former CEO and co-founder Jerry Yang&#8217;s tenure.</p>
<p>First, let&#8217;s deal with the issues around the agreement, which is a monster document. </p>
<p>That&#8217;s why MicroHoo missed the deadline yesterday to execute its definitive agreement on the transaction struck in July.</p>
<p>In a <a href="http://www.sec.gov/Archives/edgar/data/1011006/000119312509216336/d8k.htm">filing with the U.S. Securities and Exchange Commission</a>, Yahoo (YHOO) said: </p>
<p>&#8220;The Letter Agreement specified that the parties would execute definitive agreements by October 27, 2009, but given the complex nature of the transaction, there remain some details to be finalized.&#8221;</p>
<p>Added Microsoft (MSFT) in a long statement:</p>
<p>&#8220;Microsoft and Yahoo! are committed to this agreement and believe this is a highly competitive deal that is good for consumers, advertisers and publishers.  We have made good progress in finalizing the definitive agreements. Given the complex nature of this transaction there remain some issues that need some additional clarity and definitive details. So, the teams at Yahoo! and Microsoft are continuing to work on the remaining details, and we have mutually agreed to extend the period to negotiate and execute the agreement.  We plan to do this as expeditiously as possible. Both companies are optimistic that we will be able to close this deal by early 2010.&#8221;</p>
<p>Thus, the deadline has been pushed back indefinitely, which is very common in such larger and complicated deals. </p>

<p>Getting approval from regulators is also part of the deal, and it is likely to happen in the U.S. just after the new year.</p>
<p>International regulatory approval is another story, especially in Europe, which could further delay the implementation of the partnership, since it is unlikely the pair would move forward without clearance globally.</p>
<p>But perhaps most of all, what seems more likely to never end and probably should is the proclivity of Yahoo&#8217;s Bartz to use sharp-tongued analogies to talk about just how bad Yahoo had been doing and how it is now poised to make a comeback.</p>
<p>In her very <a href="http://kara.allthingsd.com/20090113/live-blogging-yahoos-bartz-as-ceo-announcement-her-first-words-yahoooo/">first press conference when she got the job</a>, in fact, she noted that Yahoo, &#8220;frankly, could use a little management.”</p>
<p>Bartz was right then and even more correct to say it out loud, but she has not stopped the criticism.</p>
<p>And, like clockwork, at an analyst day at Yahoo HQ in Sunnyvale, Calif., today, Bartz trotted out a yet another in a long series of backhanded insults to former CEO Jerry Yang and his crew.</p>
<p>Said <a href="http://digitaldaily.allthingsd.com/20091028/liveblog-carol-bartz-at-yahoo-investor-day">Bartz at the event about the Silicon Valley icon</a>:</p>
<p>“We have fallen and we really want to get back up. If you haven’t had good times and bad times, you don’t know what you’re doing. We prefer the good times. We have passion to get back there. Today is the start of that.”</p>
<p><em>Today</em> is the start? Didn&#8217;t Yahoo declare a version of the same theme when the MicroHoo deal was announced in July? And at the the launch of the new homepage in September? And the more recent rollout of its massive marketing campaign?</p>
<p>It seems to me that since she has been there almost a year, much like the Obama administration, Bartz should not be looking backward anymore and keep announcing that it is time to get back on track.</p>
<p>Because she is most definitely in charge now at Yahoo and should be the one to get all praise and all blame from here on out.</p>
<p>So, as someone who has definitely been very tough on Yang while CEO, it&#8217;s time to stop knocking him over now, because it is starting to feel like a very cheap shot.</p>

<p>There&#8217;s no question that Spotify is the latest hot start-up of the moment, which would be super annoying to BoomTown&#8211;who is easily irked by never-ending froth around Web 2.0 companies&#8211;if co-founder Daniel Ek were not so sharp and the digital-music-on-demand service he created not so nifty.</p>
<p>But, indeed, Ek turned out to be a very refreshing and level-headed serial entrepreneur in an interview I had with him yesterday in London, where <a href="http://www.spotify.com">Spotify</a> has an office. </p>
<p>While Spotify is only available in certain countries in Europe, Ek promises it will soon come to the U.S., presumably when he finishes negotiating with the major music labels&#8211;which all reportedly hold stakes in Spotify.</p>
<p>They would like it, given that Spotify is essentially a kind of <em>not</em>-iTunes, a label-friendlier version of the popular music-downloading software and service from Apple (AAPL).</p>
<p>So, it is probably likely Spotify will get the green light for its American invasion, especially given its strong performance in under a year, with several million users, mostly in the U.K., as well as Germany and Sweden.</p>
<p>Those consumers seem to like the simple and light software application that lets one find and play a terrific range of music instantly. (Spotify also recently released an iPhone app for mobile users.)</p>
<p>The innovative service is somewhat social and too light on recommendations, but the true appeal is the quick ability to build an eclectic online music library and discover new songs without having to spend a lot buying tracks.</p>
<p>Those who pay a monthly fee get those millions of songs without advertising, while those who use the free version get banner and audio ads. Spotify also makes money from users downloading songs and by spurring physical sales.</p>
<p>While it is still unclear if all this adds up to a big business&#8211;the online music business has been notoriously deadly to start-ups&#8211;investors have pumped tens of millions of dollars and given Spotify an alleged $250 million.</p>
<p>The start-up has also attracted the attention of U.S. Web hotshots, including Facebook founder and CEO Mark Zuckerberg, who complimented it on his status update recently.</p>
<p>Other big companies are also likely to take a look-see at Spotify for acquisition.</p>
<p>The 26-year-old Ek insists he is intent on building a huge standalone business. Famous last words, of course, but he talks a good game, as you can see in this video interview:</p>

<p>Yahoo is closer to naming a new international head, according to sources, the last big slot left in the top management structure of CEO Carol Bartz.</p>
<p>While BoomTown is endeavoring to get the name of this international man of mystery, several sources said the company has come close to settling on a London-based media exec, who will move to and operate out of its Sunnyvale, Calif., HQ in Silicon Valley.</p>
<p>But it is unclear if or when a final appointment will be made.</p>
<p>That exec could be a lot of people, since Yahoo&#8217;s headhunter for the job&#8211;Heidrick &#038; Struggles&#8211;has pretty much talked to the gamut of international Web muckety-mucks since the search started six months ago.</p>
<p>The many chatted up include: Former <a href="http://kara.allthingsd.com/20090526/people-networks-president-joanna-shields-leaving-aol/">Bebo head Joanna Shields</a> (nope, she has a noncompete from AOL); former <a href="http://kara.allthingsd.com/20090706/mike-volpi-jumps-from-joost-to-index-a-boomtown-interview-and-full-press-release">Joost CEO Mike Volpi</a> (nope, he just landed as a VC at Index Ventures), Microsoft (MSFT) consumer and online man in Britain Ashley Highfield (hmm, would he move so quickly after jumping from Project Kangaroo and the BBC?) and Gavin Patterson, head of the BT Retail unit.</p>
<p>But Yahoo could also opt for a more traditional media exec, said some sources.</p>
<p>In a <a href="http://kara.allthingsd.com/20090226/one-last-yahoo-reorg-missive-bartz-tells-employees-what-she-already-said-again">memo to Yahoo staff after her reorganization</a> in February, Bartz said that &#8220;international growth is critical for Yahoo!, which has become too reliant on its U.S. business over the years.&#8221;</p>
<p>Still, that key job remains unfilled, in an arena Yahoo has dropped the ball in recently, even as more nimble competitors like Google (GOOG) and Facebook thrive. </p>
<p>In the Yahoo (YHOO) management chart posted below, Bartz has filled the <a href="http://digitaldaily.allthingsd.com/20090611/alteras-tim-morse-tapped-as-yahoo-cfo">CFO role with Tim Morse</a> and the <a href="http://kara.allthingsd.com/20090421/liveblogging-the-yahoo-earnings-conference-call-it-depends-on-your-definition-of-what-wow-is/">customer advocacy slot with Jeff Russakow</a>. </p>
<p>Without an international head, the three regional heads worldwide&#8211;Rose Tsou (Asia), Rich Riley (Europe) and Keith Nilsson (Emerging Markets)&#8211;have continued to  report to Bartz. The U.S. region&#8211;Yahoo&#8217;s most significant market&#8211;is headed by Hilary Schneider.</p>

<p>Last night, onstage at Lincoln Center in Manhattan, my most excellent partner, <a href="http://walt.allthingsd.com/">Walt Mossberg</a>, interviewed well-known techno musician Moby about music and entertainment in the digital age.</p>

<blockquote class="memo"><p><strong>7:30 p.m.</strong>&#8211;Out of the steaming heat and into the cool, air-conditioned confines of Lincoln Center&#8217;s Stanley H. Kaplan Penthouse.</p>
<p><strong>7:39 p.m.</strong>&#8211;The lights dim and Moby and Mossberg make their entrances. Moby slinks down in his chair (&#8221;Am I greasy, or is it the chair?&#8221;) just before WSJ culture editor Christopher John Farley introduces the pair.</p>
<p><strong>7:43 p.m.</strong>&#8211;Mossberg plugs his son, who&#8217;s in a band, before asking Moby&#8211;whose real name is Richard Melville Hall&#8211;if he is really related to &#8220;Moby Dick&#8221; author Herman Melville. Moby replies that that is what his parents have always told him and explains the origins of his moniker: &#8220;When I was 11 minutes old, my parents looked at me and I was this little grub of a baby and my mother said, Richard Melville Hall is a very grown up name, and my father said jokingly, let’s call him &#8216;Moby.&#8217; All these years later, I still have this name I’ve have from infancy.&#8221;</p>
<p><strong>7:46 p.m.</strong>&#8211;Mossberg asks Moby, in between jokes about being both being bald-ish, about the difference between &#8220;Play&#8221; and his new album, &#8220;Wait for Me.&#8221; Moby begins by talking about how the success of &#8220;Play&#8221; completely surprised him, because he was considered a &#8220;has been&#8221; by the time the album was originally released in the early 1990s and that Rolling Stone refused to review the album. His success with the album also confused him, because he was unsure of his next step&#8211;was he supposed to listen to the label now? To the fans? To himself?</p>
<p>&#8220;Wait for Me,&#8221; his ninth studio album, was designed as a return to simplicity, and created with old instruments&#8211;many of which were purchased on eBay&#8211;in his bedroom in Manhattan. When Mossberg asks Moby to clarity what he means by &#8220;his bedroom,&#8221; the musicians lays out out his floorplan&#8211;he lives in a two-bedroom apartment on Mott Street and with a small space (&#8221;two people starts to feel claustrophobic&#8221;) set aside for his music work.</p>
<p><strong>7:52 p.m.</strong>&#8211;Moby uses a Mossberg question as an excuse to slam Jay Leno, whom he calls the &#8220;least prepared interviewer.&#8221; He fakes a Leno voice, and mock interviews: &#8220;So Moby, you have a new record. Tell me about it.&#8221; Mossberg interjects, &#8220;So I have a low bar?&#8221; to the delight of the crowd.</p>
<p><strong>7:53 p.m.</strong>&#8211;Mossberg asks Moby how he used technology in &#8220;Wait for Me.&#8221; Moby begins by explaining that while he loves technology, he don’t fetishize it like some of his friends. &#8220;I have an 18&#8243; flat screen TV. A bigger screen doesn&#8217;t make TV any better. &#8216;Family Guy&#8217; is still funny on a little TV. If it works and doesn&#8217;t cause me undue stress, I love it.&#8217;</p>
<p><strong>7:55 p.m.</strong>&#8211;Moby launches into an explanation of what  Pro Tools and plugins are, and how thanks to this nifty recording/mixing operating system, he can take prerecorded &#8220;notes&#8221; that have been recorded abroad, say, in places like Vienna, and then recreate a 60-piece orchestra on his keyboard.</p>
<p><strong>7:59 p.m.</strong>&#8211;On to issues of intellectual property. Moby says: &#8220;I don&#8217;t mind when people pirate my music&#8211;if you want to steal my music, more power to you.&#8221; Mossberg immediately asks, &#8220;Why?&#8221; And he deadpans, &#8220;Deep-seated emotional issues.&#8221; He then goes on to explain that personally, he&#8217;s so honored that people want to listen to his music, he doesn’t want to restrict access to it. &#8220;I don’t have alimony, I don’t need insulin…I don&#8217;t have crystal meth problems.&#8221; Thus, he personally doesn&#8217;t mind, but he can only speak for himself. But to clarify, he does want you to buy his album so his friends at the label are happy.</p>
<p><strong>8:04 p.m.</strong>&#8211;Mossberg and Moby discuss the RIAA’s decision to sue customers. Moby says that it&#8217;s never been cheaper to make music, videos, and promote albums. EMI, he thinks, broke even. So why are they alienating their customers?</p>
<p><strong>8:06 p.m.</strong>&#8211;Blind item alert! Moby says that a few years ago, he was talking to a record label head, and when he asked the top honcho about their iTunes plan for their biggest star&#8217;s newest album, he was told, oh, we&#8217;re going to wait a couple months.</p>
<p>Moby then launches into philosophy mode and brings up the is/ought fallacy to illustrate his point, noting that the current music model &#8220;underpins the failure of major labels&#8211;they think, it used to be this way, so it ought to be this way.&#8221; Their ethos is, &#8220;Please go away. Make the future die.&#8221; Mossberg suggests he write a song/album with that title. Moby quips back with &#8220;Young People Suck&#8221; as a potential label-inspired tune.</p>
<p><strong>8:12 p.m.</strong>&#8211;Moby adds a qualifier to his comments, touting Mute, his own record label. &#8220;Mute is wonderful, and they care about music&#8211;it&#8217;s the big major labels who have been egregiously bad stewards of music. It&#8217;s hard to feel bad for them when they&#8217;ve brought us some of the worst music ever created.&#8221; He then gets in a dig at Lars Ulrich of Metallica, saying that if he needs a &#8220;fur-lined walking humidor,&#8221; that’s him.</p>
<p><strong>8:15 p.m.</strong>&#8211;Moby asks the audience if he can get pedantic for a moment. They cheer their assent. He then launches into a story about the early days of the Beatles, a band that got &#8220;lucky&#8221; because everything they did was in mono. &#8220;The first &#8216;Meet the Beatles&#8217; was recorded in four hours. They played the songs and it was done.&#8221; He explains how this is not possible anymore.</p>
<p><strong>8:18 p.m.</strong>&#8211;Yay! Moving on to a discussion about  Auto-Tune, which &#8220;enables anyone to fake perfect pitch.&#8221; Moby declines to name names in his anecdotes, because he has enough feuds already, but singles out Cher’s &#8220;I Believe&#8221; as the first of the supremely auto-tuned songs, and mourns how kids can&#8217;t recognize real singing anymore. Next, a discussion of playback, aka the technology that failed Ashlee Simpson when she was reduced to her now infamous hoedown on &#8220;Saturday Night Live.&#8221;</p>
<p><strong>8:23 p.m.</strong>&#8211;Memory lane for Mossberg. He recalls seeing the Supremes, and Simon &#038; Garfunkel in the &#8217;60s for $3/ticket in a gym, and how the concerts back then used to sound just like the album. But everything is much more complicated now.</p>
<p><strong>8:25 p.m.</strong>&#8211;Moby talks about how he plays to bigger crowds in Europe, and how he can enjoy the concert experience. Playing in front of a big crowd, he says, with big production values, is the musician&#8217;s equivalent of playing the big penis card.</p>
<p><strong>8:28 p.m.</strong>&#8211;Mossberg asks: When you make music, do you have to consider the fact that it&#8217;s going to be listened to on [Apple] iPods and [Microsoft] Zunes? Moby says sadly yes, and tells a story about how super-processed music works on the subway, because the noise of the L train doesn&#8217;t interfere with, say, a song by Rihanna, but the subtleties of Gershwin&#8217;s &#8220;Rhapsody in Blue&#8221; will get lost.</p>
<p><strong>8:32 p.m.</strong>&#8211;Mossberg moves on to playing a snippet of the song &#8220;Pale Horses&#8221; from &#8220;Wait for Me&#8221; because we&#8217;re running late, and Moby says he has to pee&#8211;&#8221;Syphilis is a demanding mistress.&#8221; Mossberg: &#8220;Bill Gates doesn&#8217;t say that to me…I can&#8217;t believe I&#8217;m defending Microsoft.” Moby: &#8220;I&#8217;m just saying the Zune is clumsy as hell.&#8221; [For those lacking the implied sarcasm, Moby clarifies later on that he does not, in fact, have syphilis.]</p>
<p>Moby on &#8220;Pale Horses&#8221; and many of his other songs: 80% of the work is done in a couple days, but it&#8217;s the finishing stuff that is what really takes a really long time. To get the job done, he holes himself with the music&#8211;&#8221;Hopefully, a more benign version of Ted Kaczynski during the creative process.&#8221;</p>
<p><strong>8:40 p.m.</strong>&#8211;Audience Q&#038;A time. Moby is asked about his licensing deals, and says he doesn&#8217;t license music anymore, because he&#8217;s sick of being the whipping boy for the process. Which is ironic, because everyone&#8217;s selling out now. He adds that he initially licensed the music for &#8220;Play,&#8221; because it allowed more people to hear the album.</p>
<p><strong>8:46 p.m.</strong>&#8211;Moby interrupts a question-asker to comment on how he wishes the stage were against the left window like a previous panel he was on, so everyone could get a glimpse of the view. The questioner then proceeds to take out a Chilean flag and hold it up before asking Moby if there&#8217;s relationship between his music and the cosmos. The short answer? Yes.</p>
<p><strong>8:51 p.m.</strong>&#8211;Mossberg sums up the evening and offers kudos to Moby for sharing his time and process.</p>
<p><strong>8:52 p.m.</strong>&#8211;Moby plugs a new tour date in Williamsburg, Brooklyn. And good night everybody!</p></blockquote>

<p>How low can Microsoft go?</p>
<p>Very low, it seems, in <a href="http://digitaldaily.allthingsd.com/20090723/microsoft-disappoints/">announcing really bad fourth-quarter earnings</a>, missing Wall Street revenue estimates by an astonishing $1 billion.</p>
<p>Talk about a game of extreme limbo.</p>
<p>After the market close Thursday, the Redmond, Wash.-based tech giant reported that fiscal fourth-quarter net income fell to $3.05 billion, or 34 cents a share, from $4.3 billion, or 46 cents a share, in the same period a year earlier. </p>
<p>Revenue for the period ended in June fell 17 percent to $13.1 billion. Wall Street had been looking for earnings of 36 cents a share on $14.37 billion in revenue, according to data compiled by Thomson Reuters.</p>
<p>Online advertising revenue took a big hit, decreasing $86 million or 14 percent, to $529 million, as the display advertising business got hard hit.</p>
<p>No surprise&#8211;Microsoft (MSFT) shares have been taking a beating in after-hours trading.</p>

<p><strong>2:32 pm PDT:</strong> The conference was kicked off and Microsoft CFO Chris Liddell&#8211;whose jaunty New Zealand accent I never tire of&#8211;came on right away, pointing out the very obvious bad news in several different ways, although also trying to find some kind of silver lining.</p>
<p>The quarter, he said, &#8220;marks the end of one of the most difficult [periods], but also most encouraging.&#8221;</p>
<p>The darkness has a dawn, he noted: &#8220;In my mind, we are a stronger company than we were a year ago&#8230;but we need to lift our game to a new level in 2010.&#8221;</p>
<p>You can say that again!</p>
<p>So Liddell did, saying that &#8220;there are some signs that we have at least seen the worst&#8221; of the econalypse, and &#8220;looking forward, we do not expect trading conditions to get worse.&#8221;</p>
<p>Well, how could they?</p>
<p><strong>2:35 pm PDT:</strong> Microsoft&#8217;s investor relations guy went over the numbers. Crappy results, but meaningful cost savings. </p>

<p><strong>2:48 pm PDT:</strong> Liddell came back on and he said this would be one of the most &#8220;interesting&#8221; years, especially due to a spate of new product rollouts coming, such as Windows 7.</p>
<p>He did some forward-looking, talking about a variety of arenas at Microsoft, from the games business to its product launches to tax rates.</p>
<p>Microsoft has, despite the economic turmoil, a great balance sheet in terms of cash&#8211;with over $30 billion.</p>
<p>I think I found a <em>gold</em> lining.</p>
<p><strong>2:56 pm PDT:</strong> Question-and-answer time.</p>
<p>The first was about spending on personal computers, which hit Microsoft badly on the downside, said Liddell.</p>
<p><a href="http://kara.allthingsd.com/files/2009/07/518100jpg.jpeg"><img src="http://kara.allthingsd.com/files/2009/07/518100jpg-250x250.jpg" alt="518100jpg" title="518100jpg" width="250" height="250" class="alignright size-medium wp-image-16408" /></a></p>
<p>But, as a refresh cycle kicks in, he noted that average selling prices will go up.</p>
<p>It would eventually get &#8220;better,&#8221; which Liddell pronounced, <em>bitter</em>.</p>
<p>Irony alert!</p>
<p>The next question was about margins. Microsoft has tried to cut costs, said Liddell, although it would never completely offset the bad economic conditions. And he was not making promises.</p>
<p>A follow-up on buying back more Microsoft stock. Nope, because &#8220;we&#8217;re still not sure we&#8217;re out of the woods.&#8221; </p>
<p>The next question was about what customers are saying about the Windows 7 upgrade and about server shipments.</p>
<p>No surprise, but server shipments are weak. &#8220;We don&#8217;t see a lot of pent-up demand in that area,&#8221; said Liddell.</p>
<p>As to PCs and Windows 7, he said he has more hopes of people being more likely to start to move over. Or, at least, prepare to do so.</p>
<p>&#8220;Then, you start to get into a much more virtuous cycle,&#8221; said Liddell.</p>
<p>A question on whether expenses can be slowed more.</p>
<p>Sorry, analysts! Nope.</p>
<p>Another question on looking at PC-refreshing. We&#8217;ll see, said Liddell.</p>
<p>Another expense question. Hey, analysts, you might want to stop asking since Liddell is not going to suddenly say Microsoft is lopping off more employees&#8211;at least, not right now!</p>
<p>Plus, there are those pricey upcoming product launches, said Liddell, which is going to take some dollars.</p>
<p>&#8220;There are a series of relatively small items, which add up,&#8221; he said.</p>
<p><strong>3:09 pm PDT:</strong> An annuity question. <em>Zzzzzzzzz.</em></p>
<p>Analysts continued to try to get Liddell to predict when things were going to take off again and return to the golden times when Microsoft was a regular financial powerhouse.</p>
<p>It was admirable that he refused to take the bait and maintained his tone of semi-doom and lessening-gloom.</p>
<p>&#8220;I would not promise that it is going to be significantly better,&#8221; said Liddell.</p>
<p><strong>3:18 pm PDT:</strong> A question about the latest launch of Office in 2010 and its impact on financials. </p>
<p>Liddell said he did not see a significant impact until 2011. </p>
<p>The next question was also one on revenue: &#8220;Is revenue going to grow?&#8221; asked one analyst in a kind of desperate-sounding way.</p>
<p>Liddell said Microsoft would be watching costs, which would help. As to revenue, which is less controllable, he could not say.</p>
<p><strong>3:22 pm PDT:</strong> Although there have been no queries about Microsoft&#8217;s discussions with Yahoo (YHOO) about a search and online advertising partnership&#8211;which will cost the company a pretty penny, if struck&#8211;there was a question about Google (GOOG) and its Chrome operating system.</p>

<p>&#8220;We still believe that people will want a client and an Internet-based experience,&#8221; said Liddell.</p>
<p>Translation: Google is a mouse that roared!</p>
<p>The final question was about how various geographies are doing. Asia and emerging markets are a place for growth, said Liddell, followed by North America, especially relative to Europe and Japan.</p>
<p>But, the tone of the earnings call? Economically speaking, it&#8217;s still a small world after all.</p>

<p>As President and CEO of Nokia, <a href="http://d7.allthingsd.com/speakers/olli-pekka-kallasvuo/">Olli-Pekka Kallasvuo</a> runs the world’s largest mobile phone maker (with roughly 36 percent share) and one of the few top tech companies in Europe. </p>
<p>It&#8217;s a hard-won and enviable position, but a tough one to maintain, especially in a souring economy. And that is even more of an issue for Nokia (NOK) now, with new rivals like Apple (AAPL) emerging in the sector the company has long dominated.</p>
<p>Both Apple and Research in Motion (RIMM) gained market share at the company’s expense in the first quarter, with innovative touchscreens and apps, features that Nokia has been late to the smartphone party with.</p>

<p>On BoomTown&#8217;s recent grand tour of Europe, I paid a visit a week ago to London to moderate some sessions at <a href="http://www.guardian.co.uk/changingmediasummit">Media Guardian&#8217;s Changing Media Summit 2009</a>.</p>
<p>As in the U.S., a lot of the same questions were asked there about when and how the new media business would cross the Rubicon to transform into a strongly profitable and sustainable enterprise.</p>
<p>Via advertising? Subscriptions? Product placement?</p>
<p>&#8220;We&#8217;ve got to get to a place where we&#8217;re going to become an industrialized-sized business,&#8221; said one panelist at a session on monetizing such media, in what was a common question.</p>
<p>Well, considering how small the revenues in new media still are compared to traditional media, along with the recent negative impact of the econalypse, even a profitable popcorn stand would be an admirable achievement right about now.</p>
<p>Still, the room was packed at the Park Plaza Riverbank Hotel overlooking the Thames River and Big Ben, as people searched for answers.</p>
<p>One of the panels I moderated had the much-too-vaunted title of &#8220;The Future of Media: Capturing the Essence of Reinvention in the New Age.&#8221;</p>
<p>The panelists talked about what the media company of tomorrow looks like, as well as discussing the Next Big Thing.</p>
<p>The group included Ashley Highfield, managing director and VP, consumer and online for Microsoft (MSFT); Larry Kramer, former president of CBS (CBS) Digital and senior adviser to Polaris Ventures; Peter Smith, president of GE (GE) NBC Universal&#8217;s international unit; and Mike Volpi, CEO of video start-up Joost.</p>
<p>Here&#8217;s a video of interviews I did talking about all this and more while at the Guardian Media Group&#8217;s new digital-heavy offices in London.</p>

<p>BoomTown&#8217;s <a href="http://kara.allthingsd.com/20090306/romeward-bound">visit to Italy has been eye-opening</a> in a lot of ways, not the least of which is to be reminded that not everyone in the world is jacked into the matrix 24/7.</p>
<p>In other words, Julius Caesar conquered Rome, but Twitter definitely has not.</p>
<p>In fact, the conference being held here is aptly called &#8220;Tutto Cambio, Cambiamo Tutto?&#8221; (I came here to interview Huffington Post editrix Arianna Huffington and LinkedIn founder and CEO Reid Hoffman onstage about innovation and online trends.)</p>
<p>That roughly translates into &#8220;Everything changes, let&#8217;s change everything?&#8221;</p>
<p>This is not a question that is much asked in Silicon Valley, which changes just like the weather, embracing change for change&#8217;s sake.</p>
<p>But here, whether or not to change is much more of a debate&#8211;one in which change does not always come out on top.</p>
<p>Internet penetration is much lower here than elsewhere in Europe, as is everything from per capita computer ownership to online advertising spending. Television still dominates most media.</p>
<p>&#8220;We&#8217;re 2,000 years old&#8221; is something you hear a lot from people as an explanation for approaching everything, from social networking to iPhones to anything interactive, with some wariness. </p>
<p>While most people here note that they like Facebook, prounounced &#8220;FAY-sa BOO-ka,&#8221; hardly anyone sees the point of Web 2.0&#8217;s trend du jour, Twitter (&#8220;TWEE-tur&#8221;).</p>
<p>In fact, few have heard of it, and those who have don&#8217;t use it.</p>
<p>And while several people have iPhones, no one seems over the moon about the Apple (AAPL) phenom or captivated by its potential to herald Web 3.0 as the mobile revolution.</p>
<p>In any case, here is a video I did, speaking to both Huffington (here is <a href="http://www.huffingtonpost.com/arianna-huffington/rome-diary-metaphysical-s_b_173878.html">her blog on the event</a>) and Hoffman, as well as to several Italians at the conference:</p>

<p>Earlier today, <a href="http://www.businessinsider.com/henry-blodget-aol-layoffs-in-progress-2009-3">Silicon Alley Insider reported that layoffs at AOL</a>, which <a href="http://kara.allthingsd.com/20090128/exclusive-aol-to-layoff-10-percent-of-staff-due-to-ad-meltdown-to-refocus-on-new-structure">had been announced in January</a>, were finally taking place.</p>
<p>Actually, said an AOL insider, about 10 percent of the layoffs, or 70 people, have been let go since the announcement. The pace just got ratcheted up today, adding another 300 to the pyre at the troubled Time Warner (TWX) online division.</p>
<p>But, said several sources, the slashing of staff might go well beyond what has been announced, as AOL continues to drill down on its three-pronged strategy: social networking and communications (People Networks), content (MediaGlow) and advertising (Platform-A).</p>
<p>That&#8217;s no surprise since AOL&#8217;s options have landed, to say the least, in that dreaded rock-and-hard place. </p>
<p>The interest by Yahoo (YHOO) in merging with AOL, for example, has waxed and waned&#8211;it&#8217;s waned right now, sources said, though not completely&#8211;and there seem to be no true suitors on the horizon. </p>
<p>And new Platform-A head (and former Yahoo sales exec) Greg Coleman&#8211;whose business has to drive revenue growth&#8211;cannot perform miracles in such a weak environment, no matter what cool new products and offerings either People Networks head Joanna Shields or MediaGlow President Bill Wilson create.</p>
<p>Thus, with the ever-weakening economy, there is still fat to be cut out, especially since Time Warner CEO Jeff Bewkes either has to sell AOL off or make it work a whole lot better.</p>
<p>And working better likely means more cuts&#8211;and a whole lot more of them.</p>
<p>That&#8217;s caused a lot of people inside AOL and also a wider circle at Time Warner to increasingly point the finger of blame at AOL CEO Randy Falco, wondering if and when he will suffer too.</p>
<p>&#8220;Why Randy Falco gets to keep his job is a mystery to a lot of people,&#8221; said one top exec at another division.</p>
<p>While one might look at, say, the media giant&#8217;s magazine division and ask the same of its head, Ann Moore, the more obvious answer is that times are tough all over and not just at Time Warner.</p>

<p>Said an AOL insider who does not like Falco&#8217;s leadership, but was sympathetic: &#8220;He probably should have pushed to sell it off more when times were better, but that was being run by corporate, so now he just has to deal with a weak economy and an online property whose value has been declining for a long time.&#8221;</p>
<p>In any case, for now, there&#8217;s no joy in Mudville. When the domestic layoffs are done by the end of this month, a source said, the company will turn to international firings (it&#8217;s harder to dump folks in Europe, apparently).</p>
<p>But, as another baseball maxim goes: At least when it comes to cuts at AOL, it&#8217;s never over until it&#8217;s over.</p>

<p>You must know by now how much BoomTown loves internal Yahoo (YHOO) memos. But this is getting ridiculous.</p>

<p>A lot. <em>A real lot</em>.</p>
<p>&#8220;I know you guys have reorg fatigue,&#8221; wrote Bartz, in the latest email to employees about the management reorganization finally announced this morning.</p>
<p>Also memo fatigue at <strong>All Things Digital</strong> HQ, if you can believe it.</p>
<p>Okay, I give, Carol! Well, for now, until another juicy internal memo you aren&#8217;t handing out freely lands in my inbox, for example, such as one about a search deal with Microsoft (MSFT). I&#8217;d like one of those to go, please!</p>
<p>But, in a gesture of a leak-free peace (can the drop-kick bounty be suspended for just today?), I am posting this last memo about the management reorganization from Carol &#8220;Chatterbox&#8221; Bartz.</p>
<p>(Although, I wish she would stop insulting the press, as she does below again. We are just doing our job&#8211;and <a href="http://kara.allthingsd.com/20090225/more-on-yahoo-reorg-in-process-ari-and-hilary-rule-but-who-is-joel-jones/"><em>very</em> accurately, as it turned out</a>&#8211;yet the jibes continue. Which is odd, frankly, given that Bartz has had mostly glowing coverage in the media her entire career.)</p>
<p>But Bartz did seem to leave a little mystery in the email still, as if even more rearranging were to come.</p>
<p>Writes Bartz (my bolding):</p>
<p>&#8220;As soon as decisions were made, I wanted you to know about them&#8211;<strong>even if that means we don&#8217;t have all the details nailed down yet&#8221;</strong>.</p>
<p>Wait, are the deets all nailed by Bartz&#8217;s productive hammer or aren&#8217;t they?</p>
<p>At least, thankfully, the note is capitalized properly, unlike the quaint no-caps stylings of former CEO Jerry Yang.</p>

<p>Yahoos,</p>
<p>As I&#8217;ve gotten to know Yahoo! over the past several weeks, I&#8217;ve developed a point of view on how our organization should be structured to set us up for success.</p>
<p>Our goal is simple: to consistently deliver awesome consumer and advertiser experiences, everywhere in the world we do business. Delivering great customer experiences is everyone&#8217;s job at Yahoo!&#8211;and each part of our organization will have a clear role in making that happen every day.</p>
<p>The timing of this announcement is important. As soon as decisions were made, I wanted you to know about them&#8211;even if that means we don&#8217;t have all the details nailed down yet. Yes, there&#8217;s been a lot of speculation in the media over the past few days&#8230;that&#8217;s been a little frustrating, but I&#8217;m not willing to speak publicly about decisions before they&#8217;re final. Today, they are&#8211;so I&#8217;ll lay out our new organizational structure for you now.</p>
<p>I know you guys have reorg fatigue. Hang in there&#8211;our intention is to leave this structure in place for two to four years. We&#8217;ll continue to make adjustments as needed, but we expect this core structure to stay put.</p>
<p>The structure outlined below will enable us to make big improvements in our product quality and operational efficiency. Part of that is simplicity&#8211;I&#8217;m frankly amazed at how complicated some things are here! We&#8217;ll have much clearer decision making and accountability. Product and regional teams will share responsibility for revenue targets and expense management, but we&#8217;ll have one P&#038;L, for which I&#8217;m accountable.</p>
<p>We will also be in a better position to really listen to and understand our customers&#8211;both consumers and advertisers. I think we&#8217;ve gotten into the habit of focusing internally too much and we sometimes forget who we&#8217;re here to serve. You&#8217;ll notice that our management structure puts a renewed focus on the customer, with stronger feedback loops across the company…and they all come through me.</p>
<p>Also, as you know, no organizational structure is a substitute for collaboration, communication and trust. We&#8217;ll all need to evolve our behavior a bit&#8211;as teams and as individuals – to make this structure work the way it&#8217;s designed.</p>
<p>So here&#8217;s the overview, with the roles that will report directly to me. As you&#8217;ll see, some of our leaders are still to be determined. I know you&#8217;ll<br />

<p>Products: We&#8217;ve combined Tech and Product groups under one roof, led by Ari Balogh as EVP Products &#038; CTO. Ari&#8217;s charter is to deliver global products that enable extraordinary consumer and advertiser experiences. Ari&#8217;s direct reports now include one leader for each product group&#8211;we&#8217;ve taken care of the &#8220;two in a box&#8221; problem.</p>
<p>One important note: The Connected Life team has been integrated into various parts of the new organization. Our mobile strategy remains a key part of Yahoo!&#8217;s focus going forward and all of our product groups will own mobile innovations. After leading Connected Life for four years, Marco Boerries has resigned from the company to spend more time with his family in Europe. We thank Marco for his important contributions at Yahoo!.</p>
<p>Regions: There are now two: North America and International. As I&#8217;ve said before, international growth is critical for Yahoo!, which has become too reliant on its U.S. business over the years.</p>
<p>The regions deliver Yahoo!&#8217;s products, programming and services to consumers, partners and advertisers in local markets. They will partner closely with the newly formed Regional Solutions &#038; Products group in Ari&#8217;s organization to help drive a significant shift in how Yahoo! develops products for different geographies. The goal is to have global platforms on which regional product offerings are based.</p>
<p>The North American region&#8211;comprised of the U.S. and Canada&#8211;is led by Hilary Schneider. The leader of our International region, to be hired soon, will be responsible for a cohesive Yahoo! global strategy and seizing our international growth opportunities. Until we determine who&#8217;ll lead the International region, Rose Tsou (Asia), Rich Riley (Europe) and Keith Nilsson (Emerging Markets) will continue to report to me.</p>
<p>Marketing: Elisa Steele will be joining Yahoo! as our Chief Marketing Officer (CMO), effective March 23. Elisa joins us from NetApp where she was SVP, Corporate Marketing. Previous to NetApp, she held executive positions in marketing at Sun Microsystems. Elisa will oversee our global marketing strategy and provide direction for our marketing function. She&#8217;ll bring together the various Yahoo! marketing teams that have been spread across the company. Reporting into Elisa will be Brand Marketing, Audience Marketing, Corporate Communications, Insights, Policy &#038; Privacy, Community Affairs and related central teams. I&#8217;m delighted to have Elisa joining the team.</p>
<p>Customer Advocacy: As I said, we can do much better in hearing the voice of the customer across Yahoo!, and incorporating what we hear into all of our work day-to-day. We have opened a search for a leader, who will oversee Customer Care and Ad Operations globally with the goal of improving how we support Yahoo!&#8217;s users and advertisers. In the interim, these teams will continue to report to Hilary.</p>
<p>Service Engineering &#038; Operations: This new team is responsible for delivering common technology services at scale, including application management and infrastructure. No matter how cool our products are, the customer&#8217;s experience won&#8217;t be great unless our applications consistently deliver. Note that we&#8217;re bringing Service Engineering together as one group because these engineers bring expertise that is best applied horizontally. Leading this organization is David Dibble, who joined Yahoo! in December. David&#8217;s team also will be accountable for delivering more effective corporate IT systems.</p>
<p>Corporate Functions: Blake Jorgensen will be leaving Yahoo! and I am searching for a new CFO. Blake will remain through a transition with his successor, and I want to thank Blake for all of his great contributions to Yahoo! over the past two years. Mike Callahan will continue to lead our Legal team, and David Windley leads our Human Resources function. Joel Jones joins the team as my Chief of Staff.</p>
<p>So that&#8217;s the high-level view. These changes are effective immediately, but we&#8217;ve got more work to do in filling out the structure of each group. In the short term, this transition will be challenging for many of our people. My executive staff will be working with their organizations as quickly as possible to create further clarity. For example, we&#8217;ll need to recast budgets and adjust work areas so we have the right people working side-by-side.</p>
<p>I want to thank all of you who&#8217;ve shared your ideas and views with me since I arrived. Several leaders across Yahoo! came together to design this new structure&#8211;I&#8217;ve been very impressed with their dedication to the right outcomes, particularly how they&#8217;ve embraced the need to eliminate the silos that have been a drag on this organization for so long.</p>
<p>I think this organizational structure has the potential to solve many of the issues you&#8217;ve helped me better understand. Of course, new issues will emerge. But I know we&#8217;ll be aligned and nimble in tackling them together.</p>
<p>This is a tremendous, proud company with a powerful brand, great products and a bright future. Now&#8217;s the time to get more focused than ever on delighting our users and advertisers. Let&#8217;s show them how great Yahoo! can be.</p>

<p>A longtime staffer at the Time Warner (TWX) unit will &#8220;return to his entrepreneurial roots,&#8221; according to a memo from AOL CEO Randy Falco below. </p>
<p>Dhir has been based in India since his appointment several years ago. He came to AOL from its acquisition of Netscape in 1999.</p>
<p>And, in another memo from AOL President Ron Grant (also below), it looks like MediaGlow President Bill Wilson will get most of the goodies from Dhir, with all of international publishing reporting to him now, such as AOL Europe&#8217;s Dana Dunne.</p>
<p>(I could tell you endless stories about when AOL first entered the European market&#8211;former head Steve Case tried and failed to get to get the Europe Online moniker&#8211;but that would make you realize just what a digital antique I am.)</p>

<p>I’m writing to tell you that Maneesh Dhir, head of our international efforts, has decided that after 10 long and fruitful years with AOL, it’s time to start the next chapter in his career.</p>
<p>Since coming to the company in 1999 as part of AOL’s Netscape acquisition, Maneesh has made many important contributions to AOL. Most recently, of course, he was instrumental in the growth of AOL’s presence worldwide. Under his leadership, AOL went from a company with a consumer presence in just four countries outside the U.S. to one that is now in 38 countries&#8211;including India&#8211;in less than two years. Maneesh was also a key advocate for the rebuilding of our product development efforts so we could more effectively and efficiently launch products worldwide.</p>
<p>Just as important, Maneesh helped us learn the benefits of tapping into a worldwide pool of talent. It was his idea to open an AOL call center in Bangalore in 2002, which quickly became our largest. Two years later, he pushed for the creation of the Bangalore Development Center and the Bangalore Knowledge Center&#8211;important centers for technology, finance, analytics and shared services that are now part of the AOL India operations.</p>
<p>Thanks to these and many other accomplishments, we are now well positioned for global growth in all three of our key businesses&#8211;MediaGlow, Platform-A and People Networks&#8211;as well as our Products &#038; Technologies division.</p>
<p>Having done all this, Maneesh told me he’s ready to return to his entrepreneurial roots. He’ll be staying on for a couple of months to help ensure a smooth transition. There will be subsequent information outlining organizational changes coming shortly.</p>

<p>I want to join Randy in thanking Maneesh Dhir for his outstanding contributions to AOL. I’ve known Maneesh for years, and he’s always been a tireless champion of AOL and of our global ambitions. I’m proud of all that he and his team have accomplished.</p>
<p>With Maneesh’s decision to return to his entrepreneurial roots, we’re taking the opportunity to make organizational changes that will build on the progress he and our international team have achieved.</p>
<p>Our next step is to more closely align and centralize our global publishing efforts under the newly formed MediaGlow business unit, headed by Bill Wilson. Over the last year, we have grown the MediaGlow audience dramatically through our highly efficient content development model. We believe that a more centralized infrastructure will enable us to accelerate MediaGlow’s global growth.</p>
<p>As a result, Dana Dunne, who oversees our European publishing business, will now report directly to Bill. In addition, our publishing businesses in India, Australia, New Zealand, Japan and Canada will all report in to MediaGlow.</p>
<p>We are also aligning our global technologies and search organizations under Ted Cahall. With this move, our AOL India operations led by Philip Nelson will now report in to Ted, as will Bill McGrath, who heads our ASA team and also oversees the International development team in Bangalore. Ponnapa PG will now report to Phil, who will be working with his team to finalize the India realignment over the next few weeks. Lastly, Joe Arcuri is leaving AOL Canada and his direct reports will be aligned with their counterparts in New York and Dulles.</p>

<p>How much does BoomTown love the <a href="http://kara.allthingsd.com/20090125/carol-bartzs-first-week-at-yahoo-memo-to-the-troops/">Friday weekly memos that Yahoo CEO Carol Bartz sends out to the troops</a>?</p>
<p>Very, very much since they are so full of significant news&#8211;a slowdown of Yahoo&#8217;s homepage redesign and a major limiting of the global rollout of its new advertising platform, APT, to name a few.</p>
<p>But they also have a weird but compelling kind of energy that nearly jumps off the page, giving clear insight into how Bartz thinks and operates.</p>
<p>Like the Energizer Bunny, I would say.</p>
<p>Here are two memos Bartz sent out to Yahoo (YHOO) staff, one from today and one from last week on Feb. 13, both of which discuss just how busy she is keeping herself.</p>
<p>This past week, for example, Bartz spent the weekend with advertisers and partners at the AT&#038;T golf tournament in Pebble Beach, after which she threw some serious love in the direction of U.S. sales head Joanne Bradford and gave the advertising minions under her an A+.</p>
<p>Bartz also cheerily admits with a &#8220;whatever&#8221; that a &#8220;Brand Pride Memo,&#8221; which a Yahoo marketing exec asked her to rename in case it leaked&#8211;<em>oops!</em>&#8211;from last week (see below), was still a list of Yahoo embarrassments. </p>
<p>And she is headed to Europe in April, followed by Asia TBD, although this weekend, a husband-free Bartz is catching up on chick flicks&#8211;might I suggest, &#8220;He&#8217;s Just Not That Into You&#8221;&#8211;and resting up for the &#8220;big week&#8221; ahead.</p>
<p>That&#8217;s Bartz&#8217;s coy term for her massive reorganization of management, which is slated, many sources tell me, to be announced Wednesday. <a href="http://kara.allthingsd.com/20090220/hurricane-carol-bartz-could-announce-major-yahoo-management-reorg-next-week/">(See my post on that here.)</a></p>
<p>Last week, was much more newsworthy, as Bartz did a lot of business unit and product reviews&#8211;reportedly scaring the bejeesus out of staff who had to present&#8211;because, she said, they had not been done in a dog&#8217;s age at Yahoo.</p>
<p><a href="http://kara.allthingsd.com/files/2009/02/mr-clean.jpg"><img src="http://kara.allthingsd.com/files/2009/02/mr-clean.jpg" alt="mr-clean" title="mr-clean" width="144" height="191" class="alignleft size-full wp-image-10096" /></a></p>
<p>Stressing a &#8220;need for speed&#8221; in the decision-making process at Yahoo and a &#8220;WOW&#8221; experience for users, Bartz seems to be whirling through Yahoo like Mr. Clean&#8217;s white tornado.</p>
<p>As <a href="http://kara.allthingsd.com/20090214/how-is-yahoos-massive-metro-homepage-redesign-going-it-depends-on-who-you-ask/">BoomTown reported this week</a> (<em>correctly</em>, Tapan!), for example, Metro&#8211;the Yahoo homepage redo&#8211;was delayed by her &#8220;until we feel it will be a great product for our users.&#8221; </p>
<p>Bartz then said she had decreed that ads were to be taken out of mail products in emerging markets, which will mean a drop in revenue (probably minuscule), but make for a better customer experience.</p>
<p>Most significantly, she also limited the global rollout of APT, Yahoo&#8217;s new advertising system, which was much touted by previous Yahoo management, to just the U.S. and one other country in order to &#8220;perfect&#8221; it. </p>
<p>This is a polite way of saying it is buggier than an Amazon jungle.</p>
<p>And, my favorite and hers: Bartz wrote that &#8220;we are assembling a list of products that we are embarrassed about for various reasons so we can make the important decision as to whether we fix them or discontinue them.&#8221;</p>

<p>Speaking of curdling, and to keep up the kooky quotient, Bartz also thanked Texas Yahoos for something called &#8220;Purple Cowboy wine,&#8221; as well as employees in Oshkosh, Wis., for cheese curds.</p>
<p>Then, it was off to make Valentines with her ubiquitous assistant, Judy Flores, after which she was set to do some major kissing up to ad customers at that golf tournament (not her strong suit, apparently, as it had been former Yahoo CEO and co-founder Jerry Yang&#8217;s).</p>

<p><strong>February 20:</strong></p>
<blockquote class="memo"><p>My week started last Friday down at the AT&#038;T golf tournament where we hosted many of our important U.S. customers and partners. I thought I’d use this week’s note to give you some impressions:</p>
<p>First, I really want to congratulate Joanne Bradford’s team for hosting and running a first-class event. I know many of you in the company have absolutely no idea what happens in our regions or what salespeople do for a living (in fact, my past history has shown me that the way most engineers perceive salespeople is as lightweight, backslapping meeters and greeters). In fact, I’m delighted to report that Yahoo! has an A+ sales team. I watched them in action with customers such as Pepsi&#8211;it was clear they had the respect and trust of the customer and represented all of us Yahoos very well. It was very interesting to learn how creative our salespeople are in helping our clients devise interesting and profitable campaigns. I received a lot of compliments about how well-supported these customers and partners felt. Likewise, it was very clear to me that they support Yahoo! in return and very much want us to succeed.</p>
<p>Hey, that doesn’t mean they think we’re perfect! They had several ideas about our products and how we could do better, especially in this tough economic environment. This plays right into our focus on excellence and great products.</p>
<p>Last week I told you we were going to have our first pass at deciding which products embarrass us as a company. Kudos to Allen Olivo and his team for worrying that one of you might leak my email, so instead he called it the “Brand Pride List.” Whatever, the point is still important and we had a great discussion on which products to stop and which to make a lot better. More to follow…</p>
<p>I realize this is a very U.S.-centric message but that’s because I spent three days with U.S. customers.  Just wait until I blow through Europe in April&#8211;I’ll be sharing all sorts of European goodies with you! And yes, I am going to Asia as well&#8211;we just haven’t settled on the date yet.</p>
<p>My husband is out of town this weekend, so I’m looking forward to watching all the “chick flicks” that he refuses to watch with me. I hope you all have a fun weekend. <p><strong>February 13:</strong></p>
<blockquote class="memo"><p>A great illustration of my need for speed.</p>
<p>Had a big staff meeting this week. We spent all day Monday and Tuesday reviewing our strategies and major products on both the audience and advertising sides. It was a great introduction for me and even an eye-opener for the entire team when they realized that many of these strategies and products hadn’t been delved into in a long time (a big thanks to all the presenters who worked so hard):</p>
<p>·         We talked a lot about the importance of having a WOW experience for all of our users around the world.  As an example, we are delaying the launch of Metro until we feel it will be a great product for our users. </p>
<p>·         Similarly, we discovered that we are losing mail share to the competition in many slower-bandwidth, emerging markets so we have made a decision to remove mail ads in those countries to improve the user experience. This will mean a drop in revenue for us but it’s the right thing to do strategically.</p>
<p>·         We have also decided to “perfect” APT! in the US and only one international market before we roll it out globally.</p>
<p>·         And finally, my favorite&#8211;we are assembling a list of products that we are embarrassed about for various reasons so we can make the important decision as to whether we fix them or discontinue them.</p>
<p>What does this have to do with the need for speed? Many of the things I just talked about could have and should have been decided earlier but we haven’t been an organization that has embraced the need for speedy decisions, even when they are the tough ones. We can all be part of changing this and getting back to an organization that is fast on its feet.</p>
<p>On a personal note, thanks to Team Texas Sales for the Purple Cowboy wine and the Care Center Service Desk in Oshkosh for the Wisconsin bag of goodies&#8211;my favorite were the cheese curds!</p>
<p>Judy and I went to URLs today and made Valentine’s for our sweeties&#8211;everybody remember yours so we can all have a big Yahoo! Valentine’s Day. I’m off to Pebble Beach tomorrow to meet, entertain and play golf with some of our biggest customers. Actually, it’s a great strategy because normally you have to “let” the customer win&#8211;fortunately, this is not a problem for me!</p>

<p>Yahoo is losing yet another top executive&#8211;Toby Coppel, its EVP and managing director of Europe and Canada, is set to announce today that he is stepping down.</p>
<p>The departure, which has been in the works for months, is not related to the recent news that <a href="http://kara.allthingsd.com/20081117/boomtown-scoop-confirmed-the-entire-yahoo-press-release-on-yang-stepping-down-as-ceo/">Yahoo CEO Jerry Yang is also relinquishing his job</a> as soon as the company completes its search for another CEO.</p>
<p>Coppel&#8217;s job covers the major Western European markets (United Kingdom, France, Germany, Italy, Spain, Scandinavia), as well as Canada, for Yahoo (YHOO).</p>
<p>His successor will be Rich Riley, who is currently SVP of Europe&#8217;s Advertiser &#038; Publisher Group, which put him in charge of all revenues for the division. Riley, who came to Yahoo a decade ago, was previously the head of Yahoo&#8217;s Small &#038; Medium Business Group in the U.S.</p>
<p>Coppel, who came to Yahoo with former Yahoo CEO Terry Semel in 2001, has run European operations for Yahoo for 18 months. And most of his time has been spent restructuring and making massive cuts. </p>
<p>The unit will have about one-third of the people as when Coppel arrived by the first quarter, after the current round of layoffs. And, if you include Yahoo&#8217;s sale of the comparison-shopping site Kelkoo last week, the cuts total 45 percent of its former size.</p>
<p>Coppel also shepherded the move of Yahoo&#8217;s European HQ to Switzerland from higher-priced London. Most of its top managers are now located there, although London remains an important Yahoo outpost, since it is the largest online ad market in Europe.</p>
<p>Coppel will remain with Yahoo until the end of the first quarter to ensure a smooth transition. He told BoomTown in an interview that his future plans are undetermined, except to welcome his third child into the world very soon.</p>
<p>&#8220;I have been transitioning our European business, restructuring it and making it stronger, as Yahoo is moving to product development on a global platform,&#8221; said Coppel. &#8220;While there is more work, there is now a strong team in place, focused on going forward and it needs to spread its wings.&#8221;</p>
<p>Coppel noted, although a lot of his tenure was occupied by restructuring the European unit, that &#8220;we have taken display advertising market share from MSN, AOL and other competitors in almost every one of our European markets in 2008 and we grew our Canadian business over 50 percent this year.&#8221;</p>
<p>And, indeed, Yahoo&#8217;s online display advertising business is stronger in Europe, although subject to the same vicious economic downturn that has hit the U.S. market. </p>
<p>In addition, Yahoo&#8211;and everyone else&#8211;lags well behind Google (GOOG) in the more lucrative search business in Europe, even more so than in the U.S., forcing competitors like Yahoo to streamline to compete.</p>
<p>That has meant layoffs, but also re-architecting Yahoo&#8217;s product development toward a global model to cut costs and also getting rid of some noncore assets like Kelkoo.</p>
<p>It was revealed last week that Kelkoo was sold to a U.K.-based private equity firm called Jamplant, at a reported discount from what Yahoo paid for it&#8211;$576 million&#8211;in 2004.</p>
<p>Now that all these kinds of major changes were made, Coppel said, it seemed a good time for him to go too.</p>
<p>&#8220;My value add-was not what it was going forward,&#8221; said Coppel, who noted that several layers of management in Europe had been collapsed in his tenure. &#8220;If we are streamlining and we mean it, it has to also start at the top.&#8221;</p>

<p>I want to update you on our Get Fit initiatives in Europe and Canada and to announce a leadership change for Yahoo! Europe and Canada. </p>
<p>Over the past 18 months, under Toby&#8217;s leadership, the Agenda2010 strategy has resulted in greater discipline, focus and stronger operating performance in Europe and Canada. There have been a number of important accomplishments and milestones in this time specifically:<br />

Market share gains in our display business in all markets over the past 12 months</li>

Growth in the Canadian display business of over 50% in 2008</li>

Shift towards a global development approach for Front Page, Search and Mail</li>

Elimination or divestiture of underperforming or non-core businesses such as Kelkoo which was sold last week</li>

Increased efficiency and higher margins, including reductions in headcount, travel &#038; entertainment and marketing costs</li>

<p>Now that much of this foundation has been built, Toby and I agree it&#8217;s a logical time to transition to a more focused management team in Europe. Today I am announcing that Toby will be stepping down as MD Yahoo! Europe &#038; Canada.</p>
<p>I am very pleased to tell you that effective immediately, Rich Riley will assume the position of SVP, Yahoo! Europe &#038; Canada. Toby will work closely with Rich to ensure a smooth transition and will remain with Yahoo! until the end of Q1 2009.</p>
<p>Rich has been with Yahoo! for almost ten years, during which he has held a wide range of roles and ever increasing responsibilities. He joined Yahoo! when we acquired the startup he co-founded which ultimately invented the Yahoo! Toolbar. From there he played important roles in corporate and business development, building and leading our U.S. small and medium business division and most recently leading our Advertiser &#038; Publisher Group in Europe. He has worked closely with Toby and the European and U.S. leadership teams to shape the strategy and has delivered powerful results to our European business. I&#8217;m confident that Rich will be a strong and successful leader for Yahoo! Europe and Canada.</p>
<p>Under Rich&#8217;s leadership, Europe will continue on the path it has been on for the last year. This transition is a continuation of the Agenda2010 work that is underway.</p>
