While BoomTown is endeavoring to get the name of this international man of mystery, the suspect list is long, since Yahoo's headhunter for the job--Heidrick & Struggles--has pretty much talked to the gamut of international Web muckety-mucks since the search started six months ago.

In a memo to Yahoo staff after her reorganization in February, Bartz said that "international growth is critical for Yahoo!, which has become too reliant on its U.S. business over the years."

Yahoo is closer to naming a new international head, according to sources, the last big slot left in the top management structure of CEO Carol Bartz.

While BoomTown is endeavoring to get the name of this international man of mystery, several sources said the company has come close to settling on a London-based media exec, who will move to and operate out of its Sunnyvale, Calif., HQ in Silicon Valley.

But it is unclear if or when a final appointment will be made.

That exec could be a lot of people, since Yahoo’s headhunter for the job–Heidrick & Struggles–has pretty much talked to the gamut of international Web muckety-mucks since the search started six months ago.

The many chatted up include: Former Bebo head Joanna Shields (nope, she has a noncompete from AOL); former Joost CEO Mike Volpi (nope, he just landed as a VC at Index Ventures), Microsoft (MSFT) consumer and online man in Britain Ashley Highfield (hmm, would he move so quickly after jumping from Project Kangaroo and the BBC?) and Gavin Patterson, head of the BT Retail unit.

But Yahoo could also opt for a more traditional media exec, said some sources.

In a memo to Yahoo staff after her reorganization in February, Bartz said that “international growth is critical for Yahoo!, which has become too reliant on its U.S. business over the years.”

Still, that key job remains unfilled, in an arena Yahoo has dropped the ball in recently, even as more nimble competitors like Google (GOOG) and Facebook thrive.

In the Yahoo (YHOO) management chart posted below, Bartz has filled the CFO role with Tim Morse and the customer advocacy slot with Jeff Russakow.

Without an international head, the three regional heads worldwide–Rose Tsou (Asia), Rich Riley (Europe) and Keith Nilsson (Emerging Markets)–have continued to report to Bartz. The U.S. region–Yahoo’s most significant market–is headed by Hilary Schneider.

Here is the Yahoo top management org chart, released back in February (click on it to make it larger):

Yahoo’s SVP of North American Audience, Jeff Dossett, is leaving the company.

Reasons for the departure are personal, said sources, who said that Dossett (pictured here) is most likely to do a start-up.

Dossett did not return emails asking for comment, but Yahoo (YHOO) confirmed the departure to BoomTown.

It was announced internally that Dossett has resigned and his responsibilities have been assumed by Jimmy Pitaro, who runs Vertical Audience Experiences for Yahoo, and Tim Mayer, who is in charge of Search & Social Applications. They will jointly lead the North America Audience business, reporting to U.S. EVP Hilary Schneider.

Dossett has been in charge of all of Yahoo’s media assets, including its powerful News, Sports and Finance content sites.

He has been rejiggering the media unit since he arrived last year, including centralizing product development.

Dossett joined Yahoo last November, coming to the company from Microsoft (MSFT), where he was MSN executive producer and general manager.

In his job at MSN, Dossett was the lead for audience, content and programming strategy and execution in the U.S.

He had worked at the company since 1991, in a variety of sales and marketing jobs in Canada, and later worked on strategy and business development for MSN.

Dossett was also CEO of Carpoint, now MSN Autos, and was GM of its real estate arm.

He also took two years off from Microsoft in 2002 to climb the highest mountains on each of the seven continents, finally reaching the summit of Mount Everest in May of 2004.

Dossett reached the summit of Everest again for a second time last year.

Yahoo CEO Carol Bartz and Microsoft CEO Steve Ballmer (pictured here) had yet another one-on-one meeting yesterday evening at the D: All Things Digital conference in Carlsbad, Calif., said several sources, in ongoing discussions about a search and advertising partnership.

In addition, top deal execs from both Yahoo (YHOO) and Microsoft (MSFT) continued their talks, including Yahoo U.S. head Hilary Schneider and top Microsoft digital exec Yusuf Mehdi.

BoomTown originally broke the news recently that the pair had met in person several months ago to jump-start talks that had waned under Yahoo’s previous management.

Both Bartz and Ballmer were interviewed onstage at D7, and were asked about the talks.

Ballmer dodged the question about meeting, joking about a Post-It note Bartz had left him in the D7 Green Room.

Bartz acknowledged that they had been talking, but was not specific.

Recently, BoomTown reported that talks between Microsoft and Yahoo had gotten “hot and heavy.”

That mood seems to be continuing, as many sources close to the situation on both sides said that the pair are coming ever closer to a search and advertising partnership deal.

Said one source: “It’s closer than it has ever been…we’re finally talking about the how rather than the if.”

“It’s meaningful,” added another source. “The fact that there is even progress and engagement, after so many failed attempts between us, says a lot.”

Indeed, it remains a good sign that there seems to be a lot of engagement between the two sides of late, and some sources think a deal could even be struck within the next few weeks.

As I also reported last week, the latest idea is one in which Yahoo (YHOO) would take over both search and display advertising sales and Microsoft (MSFT) would run the tech for both behind the scenes.

It’s not clear if trading other assets–such as content–or an investment in Yahoo by Microsoft are being considered too.

In any case, any such deal would be a major shift for both companies in their business focus and would also tether them tightly together.

Many think they need to be tethered, given that Google (GOOG) overwhelmingly dominates the lucrative search market. Yahoo is strong in display, although that market has been harder hit in the recent economic downturn.

But whether or not Yahoo and Microsoft can come to a partnership agreement–given the deep complexities of the situation, the wariness over controlling key technologies and tense history between them–is a big if, of course.

Still, sources on both sides seem more positive than ever before.

Microsoft execs, for their part, report that new Yahoo CEO Carol Bartz is much more straightforward to work with than former CEO Jerry Yang.

And Yahoo’s side seems convinced that Microsoft appears more willing to make a deal happen and is more flexible on terms than in previous encounters.

Both sides are using very small teams to discuss the possible partnership, mostly in Silicon Valley. Some of the Redmond, Wash.-based Microsoft team, in fact, are in the Bay area now.

Sources said those involved on the Microsoft side include: Digital head Qi Lu, a former Yahoo tech star; top M&A and strategy exec Charles Songhurst; Online Audience Business SVP Yusuf Mehdi; and several others.

On the Yahoo side: North America EVP Hilary Schneider, who leads the efforts; General Counsel Michael Callahan; top Yahoo ad operations techie Mark Morrissey, who was key to its revival of the Panama ad system and has recently been leading product development on its new ad platform; finance SVP and Chief Treasury Officer Mike Gupta; and Products EVP and CTO Ari Balogh, although he is more in the background.

Of course, the only two execs who will matter, if these teams finally manage to hash out details, are Yahoo’s Bartz and Microsoft CEO Steve Ballmer, as well the both companies’ boards.

Interestingly, Ballmer is slated to be at Stanford University’s Memorial Auditorium to give a lecture on innovation and entrepreneurship as part of the Entrepreneurial Thought Leaders Seminar on Wednesday afternoon.

Whether Ballmer is seeing Bartz on this trip or not is not clear.

But he has to at some point. The approval of a deal–which could be struck soon, if terms can be reached–will be entirely their call.

A major Yahoo investor yesterday told me that he liked what he saw so far from new Yahoo CEO Carol Bartz, but he was wary.

"I like the sizzle," he said, referring to Bartz's decisive take-no-prisoners style. "But I am still waiting to see if steak is there too."

Well, Bartz sizzled at its first-quarter earnings conference call today, tossing off some ribald words as she also handed over some tough news to chew on, announcing Yahoo's much-expected weak first-quarter results. The company also said it would cut five percent of its staff of 13,600, which is close to 700 employees.

A major Yahoo investor yesterday told me that he liked what he saw so far from new Yahoo CEO Carol Bartz, but he still remained wary.

“I like the sizzle,” he said, referring to Bartz’s decisive take-no-prisoners style. “But I am still waiting to see if steak is there too.”

Well, Bartz handed over some tough news to chew on today, announcing Yahoo’s first-quarter earnings, which were just as weak as expected.

The company reported an eight-cent-per-share profit, down from 37 cents a year ago, a 78 percent drop.

Revenue in the quarter came in at $1.6 billion, a 13 percent decline from last year’s $1.8 billion.

And Yahoo (YHOO) also said it would cut five percent of its staff of 13,600, which means layoffs of close to 700 employees.

BoomTown liveblogged the Yahoo earnings conference call, with Bartz and outgoing CFO Blake Jorgensen.

(Bartz, well known for her ribald words and sassy phrases, lobbed several, and also tossed out a small F-bomb at the very end of the conference call, so read on to the bottom.)

2:04 p.m.: The call started off a few minutes late, but who can blame Yahoo, given the poor results? But Bartz finally came on the call with an upbeat tone.

“What an amazing and busy three months it’s been,” she said, outlining what she had learned so far on her whirlwind visits across the Yahoo empire and “deep dives” into the products and services of the troubled Internet giant.

“The most important takeaway was the importance of having a ‘Wow!’ experience,” concluded Bartz, who noted the definition of that particular enthusiasm was different, depending on who you were.

“Wow!” did not describe the earning results, to be sure.

But we pressed on.

2:08 p.m.: Bartz noted that Yahoo remained focused on investment and also renewed investment in the company.

She pointed to content, email, search and advertising as key building blocks of Yahoo and focused on three key goals:

1) Globalizing the Yahoo platform

2) Building “fantastic products” that deeply impact users

3) Investing in “industry-leading” online ad solutions

You know, getting back to basics of exactly what made Yahoo great before.

2:09 p.m.: Bartz complimented Yahoo CTO and Product head Ari Balogh, as well as other current Yahoo staff at the Silicon Valley-based company.

Then she announced that Yahoo had hired Jeff Russakow (pictured here) as its new customer advocacy head.

I am guessing he is now the key guy in charge of monitoring the “Wow!” level.

Russakow is currently VP of corporate strategy for Symantec, the online security software firm, which does not trumpet Yahoo! to me.

So, I wonder if Yahoo engineers should build a “Wow!” meter to help Jeff?

Bartz then noted that Yahoo has been and will continue to “slim down our portfolio,” while continuing in investing.

That would mean dumping the non-”Wow!”

2:11 p.m.: CFO Jorgensen hopped on, noting the “difficult economic environment.”

We noticed!

Jorgensen then proceeded to go through the unimpressive numbers for a while, in a voice that lulled me into a slight stupor. There was essentially no good news anywhere for Yahoo.

Then, he summed up and said goodbye, as he is leaving Yahoo soon and there will be a new CFO by the next quarter’s call. Jorgensen said he will be watching Yahoo “with interest.”

Blake! We hardly knew you! Call me anytime and we’ll chat and maybe have lunch (bring lots of internal memos!).

2:20 p.m.: Bartz complimented Jorgensen, although she did kind of “part ways” with him.

Then, finally, came a patented Bartzism, which is that special sassy phrase or ribald word, with her noting that users were looking for a “kick-ass” experience from Yahoo.

She obviously could not resist, which was a good instinct.

Bartz soon threw in a “freakin’” too.

Then, she non-answered anticipated questions about Yahoo’s talks with Microsoft over a search and advertising partnership by noting, “search is a very valuable asset for Yahoo.”

And that, she said, in a Forrest Gumpism, “is all we’re going to say about search today.”

Also, life is a box of chocolates.

2:25 p.m.: Bartz then discussed the economy, especially the impact on branded display advertising, which she said was not going to be killed off.

Brands were always important, she noted, and Yahoo could even help damaged brands revive themselves.

Like, um, maybe, Yahoo?

She closed the talking points part of the call on another upbeat note: “Let me say again how happy I am to be here.”

Us too, cuz Bartz is a definitely a live wire, as it later turned out.

(Bartz also announced an analysts day on Oct. 28.)

2:29 p.m.: Now began questions from said analysts (media folks are muted, of course).

The first was about ad price differences, which was dull.

The second, though, touched on the Microsoft (MSFT) talks, with someone essentially asking if Bartz was smart enough about search to be able to entertain an offer.

Well, what do you think she was going to say?

That’s right: “I am well versed enough in the search business to say it is critical to Yahoo.”

Bartz also noted that she thought advertisers prefer a combined search and display experience, which felt like she was channeling Yahoo EVP Hilary Schneider.

But Bartz also managed to keep the door open, saying–and I just know she had a mischievous smile while she said this–“Relative to anything else related to Microsoft, no comment.”

She was also not gaming the economy, noting that no one knows what will happen in the future.

“A wise person stays to the sides and lets the economists figure it out,” said Bartz.

As if!

2:33 p.m.: More questions were asked about costs and layoffs (sad!) and about ad inventory.

Bartz underscored the importance of its premium ad sales staff and placement over ad networks and randomness.

“Chanel does not want to end up next to Harley-Davidson. It kind of doesn’t work,” she asserted.

Well, it works for me! I mean, black leather and more black leather–what’s not to like?

2:39 p.m.: More about globalizing the Yahoo platform, which Bartz said would take a while.

“It’s not like flipping a switch,” she said. “This is work, this is not just words.”

Bartz also talked about how non-easy the current ad management systems at Yahoo are. Several times.

2:46 p.m.: A question then came about reinvestment, which was really about selling off stuff like the Asian assets.

No answers were forthcoming, although weak product groups are getting tossed off the good ship Yahoo quite quickly under Bartz.

More questions about the economy, the ad business and another attempt to find out about the Microsoft talks.

“Search is important,” to consumers and advertisers of Yahoo, Bartz underscored again, noting she was not going to fall for a “tricky” question.

Good lord, she’s a sharpie.

3:03 p.m.: Last up is a question about the investment in the global platform and the reorganization.

And, in the end, Bartz uttered the naughty word many had expected sooner.

It came when Bartz was on a roll about how engineers have been “scattered to the winds” at Yahoo and that there have been too many product managers overseeing things and annoying those windswept engineers.

She was dead right about this nagging issue at the company, as it has slowed down innovation and rollouts of key services and products.

“Nobody’s f#*king doing anything,” Bartz stated with apparent exasperation.

She tried to take it back quickly, adding, “I knew that would slip out some time.”

But Bartz should not take it back. Never ever.

In fact, most would agree that it was well past time that such an assessment should slip out of Yahoo.

Yes, more layoffs are indeed coming to Yahoo, sources confirmed to BoomTown, but perhaps even more than have been reported.

But that’s not all, as even more top-level managers are either leaving or being moved around the ever-changing organizational structure at Yahoo (YHOO).

That includes a longtime top sales operations exec, Dan Foehner, who is about to start at Facebook next week, as well as others contemplating leaving, on their way out or are being reshuffled.

In other words, business as usual at the tumultuous company, whose nickname should be “Reorg.”

First, the layoffs, which the New York Times was first to report yesterday would be announced Tuesday (side note to Damon–this is how you link to scoops) during Yahoo’s first-quarter earnings call and could impact several hundred employees.

The quarterly results are expected to be weak by most analysts, which is why more layoffs–which had been mentioned by the company as a possibility–are an obvious move.

But several internal sources said Yahoo staff is bracing for employee departures that might to be even higher, as many as 500 or more.

That could mean a complete lopping off or sale of various business units that Yahoo CEO Carol Bartz has been evaluating since she arrived in January.

Why? Well, several employees said they were told the new round of cuts will not actually take place until June and that Yahoo HR is now preparing to follow the rules required by the Worker Adjustment and Retraining Notification Act.

Under the complex federal guidelines, Yahoo must provide a written WARN notice to affected employees “at least 60 calendar days in advance of covered plant closings and mass layoffs.” WARN notices are triggered for a variety of reasons, although a smaller number of layoffs across many units typically does not require it.

A WARN notice is required, for example, when an employer shuts down a facility or operating unit within a single site of employment and lays off at least 50 full-time workers, as well as when an employer lays off 500 or more full-time workers at a single site of employment.

In its last two layoffs, Yahoo issued WARN notices and slashed about 2,500 jobs in total last year, leaving it with about 13,600 employees world-wide at the end of 2008.

But some of Yahoo managers are still leaving on their own.

Many top engineers, for example, have taken jobs of late at Microsoft (MSFT) after the software giant installed a Yahoo tech star, Qi Lu, as its top online exec.

And, BoomTown reported earlier, there have also been numerous departures of key staff recently, including: PR head Jill Nash, Zimbra founder Satish Dharmaraj and soon, high-ranking techie Venkat Panchapakesan.

And more still, it seems.

Yahoo’s VP of Sales Operations Foehner, for example, is headed out after a long stint at the company and is going to Facebook, said several sources inside and outside the company.

On Foehner’s Twitter page, he tweets about a new unnamed job, as well as an athletic endeavor (Foehner is a dedicated triathlete): “back in pleasanton. starting bike adventure on thurs. start new gig on monday. 9 weeks til CdA!”

There is also a lot more movement inside Yahoo, as the reorganization done by Bartz in February shakes out.

Typical of this is Mike Walrath, the high-profile former CEO of Right Media, an online ad exchange snapped up by Yahoo for $720 million in 2007, who is now an advertising-focused SVP at Yahoo.

Now Walrath is moving out from under the purview of Yahoo North America EVP Hilary Schneider and will report to Ari Balogh, EVP of Products and CTO, as all search products seem to be rolling up through his organization. (Both Balogh and Schneider are pictured here.)

While there are other key execs at Yahoo–see this drastically downsized Yahoo management page, which used to be a lot longer–Balogh and Schneider have roughly split the company into two parts, product and engineering for Balogh and the bulk of the content and advertising businesses under Schneider.

Bartz is at the top, of course, and moving parts is not a complete surprise, said one exec, as she gets more control of the company.

“The last reorg was a blunt instrument, so now she is starting to surgically move people around or even out, after seeing what staff can and can’t do and what fat there still is,” said one exec close to the situation.

That’s no small comfort to Yahoo’s reorg-and-layoff-weary staff, especially at its Sunnyvale, Calif., HQ in the heart of Silicon Valley.

When Bartz announced her big reorganization in late February, she declared a moratorium to the endless reorganizations that had plagued the company’s troops for far too many years.

Wrote Bartz in an email to Yahoo employees about her new management lineup:

“I know you guys have reorg fatigue. Hang in there–our intention is to leave this structure in place for two to four years. We’ll continue to make adjustments as needed, but we expect this core structure to stay put.”

Perhaps the core is still solid, but a lot is still quite undefined at Yahoo, as it seeks to right its shaky fortunes.

Last year, Yahoo EVP Hilary Schneider and then-Media Group head Scott Moore had a summery seaside dinner with Demand Media co-founder and CEO Richard Rosenblatt (pictured here) in Santa Monica, Calif., right around the corner from the online publishing company’s HQ.

While many speculated that Yahoo (YHOO) could be doing some friendly kibitzing to get a sense of where the eclectic network of general- and special-interest sites was headed, for a possible acquisition, nothing came of it.

That’s because at the time, Rosenblatt insisted that he was aiming to eventually take his company public and Yahoo was in the midst of ongoing corporate turmoil.

“There is a lot of potential here and I want to build a big company for the long-term,” said Rosenblatt in an interview with BoomTown last July (see video below).

But, as my post noted: “Still, at some point when Yahoo is not in the free fall it is currently in, Demand might make a great purchase for Yahoo.”

And now, a year later, as new Yahoo CEO Carol Bartz works to stop that slide, several sources close to the company tell me another look-see at Demand is likelier than ever.

That’s underscored with recent indications that a major strategy will finally follow through on making Yahoo’s massive but disparate service more social, especially its content offerings.

But would Bartz go as far as making a big buy now or would she be more likely to strike a massive partnership with Demand, from which Yahoo could learn a lot?

Such an acquisition could cost anywhere from $1.5 billion to–as was floated last year in better times–$3 billion. In addition, if Demand was to engage in more serious talks with Yahoo, there would likely be other suitors.

As costly as that is, some sort of link-up with Demand is an interesting idea, especially since Yahoo could use a bold and definitive move to signal social goals that play to its strengths and are not a copycat of more powerful social-networking sites now in place.

At a Morgan Stanley (MS) conference last month, Bartz said, for example, that “I do not believe we can invent the next Facebook,” while noting Yahoo still needed to be more social throughout the service, especially in its content.

And, just yesterday, a Reuters article about that focus was titled: “Yahoo’s Plan: Create Community from Isolated Sites.”

Said the article: “If [Yahoo co-founder David] Filo and new CEO Carol Bartz have their way, the kinds of social networking features available on Facebook will become part of many Yahoo websites and allow their users to network with each other without using Facebook. The company hopes the strategy will help link its disparate properties, bringing more advertising dollars and growth.”

And that’s just at the heart of Demand Media, which dubs itself the “leader in social media.”

Demand was founded in 2006 by Rosenblatt and Shawn Colo, who raised a giant pool of funding–$355 million–from gold-plated investors like Goldman Sachs (GS), Oak Investment Partners and even a private investment from major Yahoo investor Gordon Crawford.

Getting that kind of backing was due to Rosenblatt’s entrepreneurial track record.

As founder, chairman and CEO, he sold iMALL to Excite@Home for $425 million in a 1999 stock swap.

And, perhaps most famously, as CEO of Intermix Media, Rosenblatt sold it with the company’s crown jewel, MySpace, to News Corp. (NWS) for $580 million in cash.

Then, Rosenblatt started Demand, which takes user-generated content of all kinds and on all kinds of topics–especially via video–from an army of freelancers and leverages it into massive traffic that it monetizes.

Demand is also the one of the bigger suppliers of video to YouTube, which it also monetizes.

And, through the acquisition of Pluck, the company also laces social-networking tools throughout the sites, as well as for many well-known third parties.

All this has given Demand upward of 70 million unique visitors per month, at sites like eHow and GolfLink.com, with about $150 million in annual revenue.

And–drum roll please–it is reportedly profitable, although how much is not clear.

While he has long maintained a public offering was on the horizon, despite the weak economy, Rosenblatt has also been interested in the idea of how to revive major players like Yahoo and Time Warner (TWX) online unit AOL.

Both have been struggling, but still have massive traffic and brand recognition, along with large advertising businesses.

And in many ways, the energetic Rosenblatt is just the kind of product-centric and visionary exec Yahoo lacks, despite Bartz’s clear ability to get the company’s management ducks in order.

What could be even more interesting, said one source, would be to marry Yahoo and Demand with a lot of what is going on with the publishing of niche sites at AOL’s MediaGlow content unit, in a giant publishing network.

Ironically, AOL was another acquisition target of Yahoo, in yet another deal that did not pan out last year.

Here’s the interview with Rosenblatt at Demand Media HQ last year:

Goodness gracious, make it stop!

You must know by now how much BoomTown loves internal Yahoo (YHOO) memos. But this is getting ridiculous.

It’s been like a flash flood after a long drought at Sunnyvale HQ today, as Yahoo CEO Carol Bartz turns on the fire hose of a whole lot of communicating.

A lot. A real lot.

“I know you guys have reorg fatigue,” wrote Bartz, in the latest email to employees about the management reorganization finally announced this morning.

Also memo fatigue at All Things Digital HQ, if you can believe it.

Okay, I give, Carol! Well, for now, until another juicy internal memo you aren’t handing out freely lands in my inbox, for example, such as one about a search deal with Microsoft (MSFT). I’d like one of those to go, please!

But, in a gesture of a leak-free peace (can the drop-kick bounty be suspended for just today?), I am posting this last memo about the management reorganization from Carol “Chatterbox” Bartz.

(Although, I wish she would stop insulting the press, as she does below again. We are just doing our job–and very accurately, as it turned out–yet the jibes continue. Which is odd, frankly, given that Bartz has had mostly glowing coverage in the media her entire career.)

But Bartz did seem to leave a little mystery in the email still, as if even more rearranging were to come.

Writes Bartz (my bolding):

“As soon as decisions were made, I wanted you to know about them–even if that means we don’t have all the details nailed down yet”.

Wait, are the deets all nailed by Bartz’s productive hammer or aren’t they?

At least, thankfully, the note is capitalized properly, unlike the quaint no-caps stylings of former CEO Jerry Yang.

In any case, if you just can’t get enough, here is Bartz’s reorg blog from this morning and her new management structure memo too.

And here is her entire email on the reorg to employees:

From: Carol Bartz
Reply-To: Carol Bartz
To: “all-worldwide@yahoo-inc.com”
Subject: Our New Organization

Yahoos,

As I’ve gotten to know Yahoo! over the past several weeks, I’ve developed a point of view on how our organization should be structured to set us up for success.

Our goal is simple: to consistently deliver awesome consumer and advertiser experiences, everywhere in the world we do business. Delivering great customer experiences is everyone’s job at Yahoo!–and each part of our organization will have a clear role in making that happen every day.

The timing of this announcement is important. As soon as decisions were made, I wanted you to know about them–even if that means we don’t have all the details nailed down yet. Yes, there’s been a lot of speculation in the media over the past few days…that’s been a little frustrating, but I’m not willing to speak publicly about decisions before they’re final. Today, they are–so I’ll lay out our new organizational structure for you now.

I know you guys have reorg fatigue. Hang in there–our intention is to leave this structure in place for two to four years. We’ll continue to make adjustments as needed, but we expect this core structure to stay put.

The structure outlined below will enable us to make big improvements in our product quality and operational efficiency. Part of that is simplicity–I’m frankly amazed at how complicated some things are here! We’ll have much clearer decision making and accountability. Product and regional teams will share responsibility for revenue targets and expense management, but we’ll have one P&L, for which I’m accountable.

We will also be in a better position to really listen to and understand our customers–both consumers and advertisers. I think we’ve gotten into the habit of focusing internally too much and we sometimes forget who we’re here to serve. You’ll notice that our management structure puts a renewed focus on the customer, with stronger feedback loops across the company…and they all come through me.

Also, as you know, no organizational structure is a substitute for collaboration, communication and trust. We’ll all need to evolve our behavior a bit–as teams and as individuals – to make this structure work the way it’s designed.

So here’s the overview, with the roles that will report directly to me. As you’ll see, some of our leaders are still to be determined. I know you’ll
want more detail than what’s below–you can learn more on Backyard: http://backyard.yahoo.com/ourorg .

Products: We’ve combined Tech and Product groups under one roof, led by Ari Balogh as EVP Products & CTO. Ari’s charter is to deliver global products that enable extraordinary consumer and advertiser experiences. Ari’s direct reports now include one leader for each product group–we’ve taken care of the “two in a box” problem.

One important note: The Connected Life team has been integrated into various parts of the new organization. Our mobile strategy remains a key part of Yahoo!’s focus going forward and all of our product groups will own mobile innovations. After leading Connected Life for four years, Marco Boerries has resigned from the company to spend more time with his family in Europe. We thank Marco for his important contributions at Yahoo!.

Regions: There are now two: North America and International. As I’ve said before, international growth is critical for Yahoo!, which has become too reliant on its U.S. business over the years.

The regions deliver Yahoo!’s products, programming and services to consumers, partners and advertisers in local markets. They will partner closely with the newly formed Regional Solutions & Products group in Ari’s organization to help drive a significant shift in how Yahoo! develops products for different geographies. The goal is to have global platforms on which regional product offerings are based.

The North American region–comprised of the U.S. and Canada–is led by Hilary Schneider. The leader of our International region, to be hired soon, will be responsible for a cohesive Yahoo! global strategy and seizing our international growth opportunities. Until we determine who’ll lead the International region, Rose Tsou (Asia), Rich Riley (Europe) and Keith Nilsson (Emerging Markets) will continue to report to me.

Marketing: Elisa Steele will be joining Yahoo! as our Chief Marketing Officer (CMO), effective March 23. Elisa joins us from NetApp where she was SVP, Corporate Marketing. Previous to NetApp, she held executive positions in marketing at Sun Microsystems. Elisa will oversee our global marketing strategy and provide direction for our marketing function. She’ll bring together the various Yahoo! marketing teams that have been spread across the company. Reporting into Elisa will be Brand Marketing, Audience Marketing, Corporate Communications, Insights, Policy & Privacy, Community Affairs and related central teams. I’m delighted to have Elisa joining the team.

Customer Advocacy: As I said, we can do much better in hearing the voice of the customer across Yahoo!, and incorporating what we hear into all of our work day-to-day. We have opened a search for a leader, who will oversee Customer Care and Ad Operations globally with the goal of improving how we support Yahoo!’s users and advertisers. In the interim, these teams will continue to report to Hilary.

Service Engineering & Operations: This new team is responsible for delivering common technology services at scale, including application management and infrastructure. No matter how cool our products are, the customer’s experience won’t be great unless our applications consistently deliver. Note that we’re bringing Service Engineering together as one group because these engineers bring expertise that is best applied horizontally. Leading this organization is David Dibble, who joined Yahoo! in December. David’s team also will be accountable for delivering more effective corporate IT systems.

Corporate Functions: Blake Jorgensen will be leaving Yahoo! and I am searching for a new CFO. Blake will remain through a transition with his successor, and I want to thank Blake for all of his great contributions to Yahoo! over the past two years. Mike Callahan will continue to lead our Legal team, and David Windley leads our Human Resources function. Joel Jones joins the team as my Chief of Staff.

So that’s the high-level view. These changes are effective immediately, but we’ve got more work to do in filling out the structure of each group. In the short term, this transition will be challenging for many of our people. My executive staff will be working with their organizations as quickly as possible to create further clarity. For example, we’ll need to recast budgets and adjust work areas so we have the right people working side-by-side.

I want to thank all of you who’ve shared your ideas and views with me since I arrived. Several leaders across Yahoo! came together to design this new structure–I’ve been very impressed with their dedication to the right outcomes, particularly how they’ve embraced the need to eliminate the silos that have been a drag on this organization for so long.

I think this organizational structure has the potential to solve many of the issues you’ve helped me better understand. Of course, new issues will emerge. But I know we’ll be aligned and nimble in tackling them together.

This is a tremendous, proud company with a powerful brand, great products and a bright future. Now’s the time to get more focused than ever on delighting our users and advertisers. Let’s show them how great Yahoo! can be.

Carol

Along with Yahoo CEO Carol Bartz’s external email earlier today, the company also outlined the new structure in another memo.

It’s pretty much what BoomTown has been reporting all week about the reorg.

Top-down simplification, which is another word for: Carol rules over Yahoo (YHOO).

CTO Ari Balogh gets a lot of stuff as new head of products, and so does U.S. head Hilary Schneider, including mobile, as EVP of North American Region. Both report to Bartz.

Unmentioned, but Audience Products head Ash Patel is still in. So is General Counsel Michael Callahan.

New chief marketing officer is Elisa Steele, who come from NetApps (NTAP). Bartz happens to be on the board of NetApps, by the way.

New International head TBD.

Bartz also sent an email to employees about the changes.

Here is the entire memo:

New Yahoo! Management Structure Overview

February 26, 2009

· Our goal as a company is simple: to consistently deliver awesome consumer and advertiser experiences everywhere in the world we do business. So we’re creating an organization to enable improvements in our product quality and operational efficiency, as well as clear decision making and accountability.

· Tech and Product groups will be combined to create a single organization called Products. Products will be led by Ari Balogh as EVP of Products and CTO, reporting to Carol Bartz, with the goal of enabling extraordinary consumer experiences tied to compelling advertiser and publisher offerings. This organization is responsible for the vision, strategy, and quality of every product we create–regardless of region, device format or category.

· There are now two regions–North America and International. The regions are responsible for delivering Yahoo!’s products, programming and services to consumers, partners and advertisers in local markets. North America will be led by Hilary Schneider, EVP, North American Region, reporting to Carol Bartz. International’s leader will be hired soon.

. Mobile will continue to be a key priority for Yahoo!. Going forward, David Ko will lead the mobile business, strategy and monetization teams for Yahoo! (Head of Global Mobile Business, reporting to Hilary Schneider). All of our product teams will be responsible for incorporating mobile innovations into their products.

· A Chief Marketing Officer (CMO) role has been created to oversee our global marketing strategy and provide direction for our marketing function. Today, we named our new CMO, Elisa Steele. Elisa starts on March 23. She will bring together the various marketing teams that have been spread across the company.

· A new Customer Advocacy group will help us to better hear the voice of the customer (consumers/advertisers) across the company and incorporate what we hear into all our work throughout Yahoo!. We will hire a new leader for this team.

· The newly created Service Engineering & Operations (SE&O) team will be chartered with delivering common technology services at scale, including application management and infrastructure. The team will be led by David Dibble, SVP of SE&O. We’re bringing Service Engineering together as one group because these engineers bring expertise that is best applied horizontally.

· Our corporate functions will consist of HR led by David Windley, Legal led by Michael Callahan, and our CFO is to be hired, with Blake Jorgensen remaining through the transition. Joel Jones will serve as Carol Bartz’s chief of staff.

· This structure is designed to last two to four years; however, we’ll continue to make adjustments as needed. But we expect this core structure will stay in place.

· These changes become effective immediately.

[UPDATED: With more details on Ash Patel and Joanne Bradford.]

“It’s being changed every minute,” joked one Yahoo source about the reorg now in process at Yahoo, which is being shepherded by new CEO Carol Bartz.

Actually, it’s kind of true, as execs at the troubled Web company are being moved around the board like chess pieces, while other players are added.

According to numerous sources, mostly in Yahoo’s Sunnyvale, Calif. HQ, things are still in flux and not completely settled as yet.

But one thing is clear: Layers are being collapsed quickly, as fewer people are in charge of more, with all roads leading to Bartz.

Here’s the current lay of the land, in what is fast becoming Carol Country at Yahoo (YHOO):

Ari, Ari, Ari!

As BoomTown reported earlier this week, it looks like CTO Ari Balogh will be the biggest winner in the management restructuring, getting to ride herd over the entire product organization, both development and technology.

Most interesting is that Audience Product head and longtime Yahoo veteran Ash Patel is still staying–at this point at least–and report to Balogh (Patel had previously reported directly to outgoing President Sue Decker).

Many at Yahoo think Patel will eventually leave, even if he is not out in the current set-up.

But, if he stays, Patel will apparently focus more on product architecture, if he does remain, which is kind of the purview of Venkat Panchapakesan, EVP of the Audience Technology Group, who already reports to Balogh.

Superman exec Ari will surely sort it all out!

In this scenario, Front Doors head Tapan Bhat could get more product development responsibility, especially since media product development is being moved centrally under Patel.

Hilary Gets More Stuff

As someone perceived internally as a favorite of Decker, U.S. head Hilary Schneider seems to be scoring anyway.

She’ll run a new U.S. division, with media head Jeff Dossett under her, as well as advertising sales head Joanne Bradford.

Some Yahoos, though, think Bradford could report directly to Bartz, given her purview is the most important part of Yahoo’s business.

Schneider will also apparently get a much diminished Connected Life unit, which focuses on mobile and other devices, after the departure of its longtime head Marco Boerries.

I posted news of his leaving earlier today, which now means that part of Yahoo will not stand on its own as a separate fiefdom.

Who Is Joel Jones?

Indeed. Yahoo’s current VP of corporate strategy and former McKinsey consultant, Joel Jones (pictured here), is one of the nominees to be tapped to be Bartz’s chief of staff.

In the new, more centralized organization that Bartz is obviously creating, that will be much more than a bag-carrying role, to be sure.

“Joel is as sharp as they come,” said one former Yahoo. Sharp enough to help Bartz negotiate with Microsoft (MSFT) CEO Steve Ballmer?

No news on a possibly COO for Bartz, but she is getting a chief marketing officer to head up the brand and PR functions. Many are suggesting an exec like Pepsi-Cola North America interactive marketing exec John Vail, as I have previously reported, although Yahoo brand exec Allen Olivo is the internal candidate.

Also apparently staying for now is another Decker favorite, CFO Blake Jorgensen.

More to come!

[UPDATED: With Hearst press release confirming the move at the bottom.]

Neeraj Khemlani (pictured here), Yahoo’s general manager and executive editor of news, is set to leave his job–right in the midst of a major restructuring of its media unit–to work at Hearst Corp.

Khemlani’s departure was announced to his staff at Yahoo (YHOO) today and confirmed by the press release from Hearst below.

While Khemlani was in line to head one of the three main prongs of the new content organization, running a possible network programming arm, sources inside and outside Yahoo said he instead has opted to take a job as VP and Special Assistant to the CEO for Digital Media at Hearst.

Khemlani is not leaving due to the upcoming changes at Yahoo, said sources, but because he got a “compelling” offer to work for a more traditional media company in a range of businesses, from newspapers and magazines to broadcast, helping turbocharge their digital efforts.

Khemlani, who came to Yahoo from a long stint as a producer at the television news show “60 Minutes,” will be reporting to the privately-held media company’s vice chairman and CEO, Frank Bennack.

Khemlani, several sources said, told his bosses at Yahoo–U.S. Audience head Jeff Dossett and U.S. EVP Hilary Schneider–on Friday of his plans right when the pair were in the midst of planning a major shift in how media are managed and created at Yahoo.

At Hearst, he will be a resource for its many divisions, which all have their own digital operations, and he will be based in New York. (Khemlani currently has been working out of Yahoo’s media offices in Santa Monica, Calif.)

In a press release from Hearst, Bennack said: “Hearst’s major operating groups have all made substantial progress towards our corporate objective of fully participating in the digital transformation. The creation of this new position is designed to accelerate the progress through greater cooperation and synergy across divisional lines. Neeraj is uniquely equipped to help me and my colleagues realize that goal.”

Ironically, Hearst has a strong relationship with Yahoo, as a content partner.

UPDATE: In a Hearst press release Khemlani said: “I am delighted to join Hearst Corporation. We are witnessing the reemergence of content and media driving value in the new world and Hearst is uniquely positioned to realize that value across multiple digital platforms and distribution points. Remember, we’re only in the second inning of the Internet. Hearst, with all its assets and investments, expects to take a commanding lead by the seventh‐inning stretch.”

As BoomTown reported yesterday, the management of the media unit is about to be rejiggered dramatically.

It’s part of big changes coming for Yahoo, including an even more massive management reorganization that new Yahoo CEO Carol Bartz could announce this week, as this column reported on Friday.

Under a plan being considered, the media unit will be split into three parts: vertical programming, network programming and search monetization.

This comes after some other recent changes in the way media product development is done–moving to a centralized global structure, rather than residing in individual media units–which was also reported here last week.

Now, if they go through with current plans to reorganize the media unit, Schneider and Dossett must find another head of network programming.

Several inside sources said that vertical programming will probably roll up under current Sports GM Jimmy Pitaro. And Tim Mayer–who is now VP of search monetization and distribution–would probably remain in his job, with perhaps even more monetization duties added.

Here is the Hearst press release about Khemlani:

HEARST CORPORATION NAMES NEERAJ KHEMLANI VICE PRESIDENT & SPECIAL ASSISTANT TO CEO FOR DIGITAL MEDIA

NEW YORK, February 23, 2008–Hearst Corporation announced today that Neeraj Khemlani, 38, has been named to the new position of vice president and special assistant to the CEO for digital media, Hearst Corporation. The announcement was made by Frank A. Bennack, Jr., vice chairman and chief executive officer of Hearst Corporation, and is effective March 23. Khemlani, who will report directly to Bennack, will be responsible for promoting and coordinating digital content transformation across the Company.

“Hearst’s major operating groups have all made substantial progress towards our corporate objective of fully participating in the digital transformation,” Bennack said. “The creation of this new position is designed to accelerate the progress through greater cooperation and synergy across divisional lines. Neeraj is uniquely equipped to help me and my colleagues realize that goal.”

Khemlani was formerly vice president and general manager of Yahoo! News & Information as well as Yahoo! Originals. In this position, he managed the business and products of Yahoo! News, Tech, Weather and Education, and the editorial programming for Yahoo! Finance, as executive editor. He also directed original content programming, including product design, content production and sponsorship, across all Yahoo! channels; and initiated and oversaw strategic business development content deals with major media companies.

From 1998 to 2006, Khemlani was a producer for CBS News’ 60 Minutes and 60 Minutes II, and a creative consultant to Imagine Entertainment, ABC Entertainment, from 2000 to 2001, where he advised scriptwriters. His television experience also includes producer positions with Crile Communications and ABC News, where he produced segments for Nightline, Good Morning America, Peter Jennings Reporting and ABC News Specials.

“I am delighted to join Hearst Corporation,” Khemlani said. “We are witnessing the reemergence of content and media driving value in the new world and Hearst is uniquely positioned to realize that value across multiple digital platforms and distribution points. Remember, we’re only in the second inning of the Internet. Hearst, with all its assets and investments, expects to take a commanding lead by the seventh‐inning stretch.”

Khemlani began his career as a newspaper reporter, writing for The New York Times and The Post‐Standard in Syracuse, N.Y. Khemlani holds a master’s of science in journalism from Columbia University, where he graduated with honors, and a bachelor’s in communications from Cornell University, where he was the editor‐in‐chief of The Cornell Daily Sun.

Hearst Corporation (www.hearst.com) is one of the nation’s largest diversified media companies. Its major interests include ownership of 16 daily and 49 weekly newspapers, including the Houston Chronicle, San Francisco Chronicle and Times Union; as well as interests in an additional 43 daily and 72 non‐daily newspapers owned by MediaNews Group, which include the Denver Post and Salt Lake Tribune; nearly 200 magazines around the world, including Good Housekeeping, Cosmopolitan and O, The Oprah Magazine; 29 television stations through Hearst‐Argyle Television (NYSE:HTV) which reach a combined 18% of U.S. viewers; ownership in leading cable networks, including Lifetime, A&E, History and ESPN; as well as business publishing, including a minority joint venture interest in Fitch Ratings; Internet businesses, television production, newspaper features distribution and real estate.

Here is the sticky skinny.

On Friday, BoomTown first reported that new Yahoo CEO Carol Bartz is likely to be announcing a sweeping new management structure soon, which can only mean the possibility that some existing top execs are likely to be broomed out, even as some new ones are ushered in.

“This is going to be a full-scale peanut butter recall,” joked one exec, referring to the infamous “Peanut Butter Manifesto,” which was sent around the company several years ago by former exec Brad Garlinghouse. It laid bare the problems at Yahoo (YHOO), most especially a decided lack of decision-making and lugubrious levels of managers.

But the reorganization of Yahoo’s top-heavy management structures–I once dubbed it the “attack of the Yahoo vice presidents”–will be a bit sticky, given all the (slow-)moving parts at Yahoo (YHOO).

Nonetheless, Bartz signaled a “big week” ahead in one internal memo I obtained, which was sent out Friday.

So what’s to come?

Here’s a rough primer, based on talking to numerous sources inside and outside of Yahoo:

The Basics:

In order to start to revive Yahoo, Bartz is likely to impose a more top-down management style on the hopelessly confusing “matrix” organization now in place at the company.

She has spent the last six weeks touring Yahoo, getting to see a lot of presentations on its many, many products and conducting a whirlwind of meetings with execs.

Broadly, most expect Bartz to severely roll back a variety of previous reorganizations done by former CEO Jerry Yang and outgoing President Sue Decker, in order to impose more centralized control over the place and focus it more narrowly.

Presumably, lattes–paid for by Yang and co-founder David Filo–will remain free.

Out With the Old:

There’s no question that Yahoo is going to see the departure of several top execs, along with the elevation of others.

Among those who are more likely to be definitely in, though, is CTO Ari Balogh (pictured here), a relatively recent hire who has been a popular exec within Yahoo.

The Wall Street Journal first noted the possible rise of Balogh in a follow-up piece to this column’s story on the overall reorg over the weekend, noting that he would become head of product.

Presumably, Balogh will be one of the point men on what to do about search, in the should-I-stay-or-should-I-sell-now debate that never seems to end at Yahoo.

One interesting idea floating around Yahoo is that he becomes head of all its products, as well as continuing to run its tech arm.

That’s a good idea, since Yahoo has desperately needed an empowered leader under Bartz, who focuses like a laser beam on products.

“It all starts with that,” said one former exec. “One single person has to be the champion of what Yahoo makes.”

But what does that mean for Ash Patel, EVP of Yahoo’s Audience Product Division? Well, the longtime Yahoo veteran could now report to Balogh (he had previously reported to Decker directly) or, presumably, leave.

Patel’s fate, of course, impacts that of many others, such as Front Doors head Tapan Bhat, who is in charge of a major homepage redesign that Bartz just delayed the launch of to make it better.

Venkat Panchapakesan, EVP of the Audience Technology Group, seems safer, given that he reports to Balogh already and is responsible for the company’s overall product technology and platform strategy, such as its open efforts.

Also safer than not is General Counsel Michael Callahan, as well as U.S. EVP Hilary Schneider.

But Schneider’s purview might change a bit if U.S. advertising sales head Joanne Bradford–who now reports to her–is elevated to a higher position or if sales is taken out from under Schneider.

It’s not a stretch to imagine Bartz wanting more control of the part of Yahoo that brings in the bucks.

The fate of Connected Life Division EVP Marco Boerries is dicier–think Yahoo mobile and other devices–as it is for CFO Blake Jorgensen and David Windley, who heads human resources.

Both Jorgensen and Windley were favored by Decker, which does not necessarily make them goners. But both are in jobs on which Bartz will have to rely much more, so she might want her own choices in place.

Boerries (pictured here), a talented but more freewheeling exec under Yang, is another question all together. Already wealthy from selling several companies, the entrepreneurial exec is most often mentioned by sources as someone unlikely to stick around, especially if Bartz tries to rein him in more. (In addition, Boerries has family issues requiring that he spend a lot of time in his native Germany.)

As to the many Yahoo SVPs and VPs? Let’s just say it is likely there will be many fewer of them, as Bartz cuts, consolidates, simplifies and centralizes divisions more.

In With the New:

One hire that is definitely coming is a new chief of marketing to take over Yahoo’s brand, as well as its PR function. Yahoo has not had that kind of powerful exec in a long time, and it is more likely Bartz will go for an outside star here.

One outside name skittering around Yahoo for the role is John Vail (pictured here), director of interactive marketing for Pepsi-Cola North America, who knows Yahoo well.

(An obvious internal candidate for the job would be Yahoo’s Global Brand Marketing SVP, Allen Olivo, who could hit the road if not selected.)

Also a possibility is adding a COO with more Web experience to come in to help Bartz. There are plenty of candidates for that job all over the Internet sector.

But Bartz seems to be the kind of exec who favors flying solo and having key execs report to her to keep a finger on the pulse of a company. She is most definitely not going to have an entourage around her.

In fact, said one person familiar with the situation: “It’s long past time for new plumbing, and [Bartz] seems ready to flush a lot out that has long needed to go.”

Besides the more massive management reorganization that new Yahoo CEO Carol Bartz could announce this week, as BoomTown reported on Friday, the Internet company’s powerful media arm might also see a drastic shift in management structure even sooner.

According to several sources inside the company, U.S. Audience SVP Jeff Dossett (pictured here) has been working on the changes for a while, part of an overall change in how Yahoo (YHOO) makes and delivers content. The new organization could be announced this week too.

Under a plan being considered, the media unit will be split into three parts: Vertical programming, network programming and search monetization.

It is not clear under this new set-up if Yahoo will keep its more traditional structure of having powerful general managers, each in charge of its big properties.

But that seems likely to be scaled back, at the very least, since the shift in management comes after some major recent changes in the way content is made, as was also reported here last week.

Already, the media group’s product development for all its major properties–such as News, Sports and Finance–is set to be moved to a central global product development organization at Yahoo’s HQ in Sunnyvale, Calif.

Until now, such development has been mostly done by individual media properties, many of which are located down south, in Santa Monica.

The argument for the shift posits that centralizing the product development of a Yahoo media offering drives efficiencies, saves money, eliminates redundancies and accelerates growth across the world.

Those who do not like the idea think it is wrong to separate the development of a product from the programming because the two are intricately dependent and need to be tweaked delicately.

Dossett will remain overall head of media efforts, but there is a lot of speculation inside the group about who will head the three new parts of media unit. But that is still being worked out by Dossett and his boss, U.S. head Hilary Schneider, and is still not decided.

But several inside sources said that vertical programming is probably a lock to roll up under current Sports GM Jimmy Pitaro.

Former “60 Minutes” producer and News GM Neeraj Khemlani seems be the most likely candidate to head network programming, but that is not yet complete.

And Tim Mayer–who is now VP of search monetization and distribution–would probably remain in his job, with perhaps even more monetization duties added.

[UPDATED AND EXPANDED]

In an unusual homecoming and odd job switcheroo between two Internet execs, former Yahoo media head Scott Moore is returning to Microsoft to lead its U.S. content efforts, according to many sources both inside and outside the company.

Moore (pictured here) will become U.S. executive producer, responsible for leading the content and programming strategy for the MSN online service. He will return to Microsoft’s Seattle area HQ in mid-March and report to Greg Nelson, GM of the MSN Global Media Group.

Microsoft (MSFT) declined comment about Moore’s new job, but sources said news of the appointment will be officially announced Monday.

But a memo about Moore’s new gig went out internally to some of the MSN staff earlier today, sources said. In fact, the return of Moore had been widely rumored inside Microsoft, even though there were several other internal and external candidates considered–including another former Yahoo, one source said–for the job.

Moore left Yahoo (YHOO), which was first reported here, last November due to unhappiness over the turmoil at the company and also to pursue a start-up idea he had about a local news site.

Moore even talked about the idea on the record with BoomTown (see video below), just as he was leaving Yahoo’s Santa Monica-based Media Group. Since he left Yahoo for good in December, Moore has been working on his start-up plans and took time off to go on a safari trip to Africa.

(Here’s a link to Moore’s Africa photos, in fact, which are quite good.)

But with the economic downturn making it harder for new start-ups to get funded on good terms, a desire to be back in the Seattle area, where his children live, and a new effort by MSN to compete better in the content business with top-ranked Yahoo, sources said Moore felt the powerful job at Microsoft would be a terrific challenge.

In what is a case of Web exec musical chairs, Moore had previously been replaced at Yahoo–in a rushed appointment–by Jeff Dossett. Dossett came to Yahoo from, wait for it, Microsoft, where he had held the job Moore is now taking.

In that move, also first reported here, Dossett was given a different title at Yahoo than Moore, as SVP of the U.S. Audience Group (Moore was SVP of the Media Group at Yahoo).

When he first started talking to Yahoo, Dossett (pictured here) was actually up for a job to run business development for Yahoo. But Moore’s sudden decision to leave had his boss, Yahoo’s EVP of U.S., Hilary Schneider, scrambling to fill the post. Dossett’s experience at MSN made him the obvious choice.

Now Moore’s appointment puts the pair in head-to-head competitive positions in the online content business, a clash that has been consistently won by Moore, when he had Dossett’s job at Yahoo and Dossett had Moore’s job at MSN.

Moore should also be comfortable at Microsoft and move into his job more easily. Previous to coming to Yahoo in mid-2005, he was president of MSNBC.com and publisher of Slate.com. He had worked at Microsoft for a decade.

Moore will oversee Microsoft’s involvement in the MSNBC.com joint venture again, along with all of Microsoft’s domestic content programming, which makes up a bulk of its efforts in the area.

And with Moore back on board, how MSN will better compete with the content juggernaut Yahoo is–due to Moore’s efforts, in part, and one of the troubled company’s stronger units–will be interesting.

That’s because Yahoo’s news, finance, sports and other properties typically rank as No. 1 online by far.

Time Warner (TWX) online unit AOL has also tried recently to improve its content offerings and has gotten some traction. It recently upped the ante with its new MediaGlow online studio effort of niche blog sites.

At the very back of this pack, Microsoft has made innumerable efforts in the content space over the years, mostly unsuccessful–Underwire!, Mungo Park!–and has settled more into the aggregation model.

But it still has a lot of interesting original content efforts under way, such as an unnamed celebrity-focused site property it is reportedly launching within the next week with former Yahoo media exec–and Moore’s former boss–Lloyd Braun.

Ironically, Moore launched a Yahoo celebrity site, omg!, initially pushed by Braun when he was at Yahoo, which has been successful.

Here is the video interview I did with Moore at his Yahoo going-away party about his future plans. Below that is another one I did when he was czar of Yahoo content, in which he talked extensively about the future of content on the Web.

Last week–in a clear sign that BoomTown has spent way too much face time in front of the idiot box–I compared the endless bickering back-and-forth between Yahoo CEO Jerry Yang and Microsoft CEO Steve Ballmer to the annoying push-me-pull-you antics of Ross and Rachel on the television show, “Friends.”

But the continuing discussions between Yahoo and AOL execs over the merger of their struggling online companies have their own TV comparison–the never-ending roundelay on “The View.”

In other words: Blah, blah, blah. Chitter-chatter. Pointless arguing. Chin-scratching. More blah, blah. More chatter. Blah.

Thus, there were still more discussions going on at Yahoo HQ this past week about the possible deal, in which Yahoo is code-named Yale and AOL Amherst.

Along with Yahoo CEO Jerry Yang and President Sue Decker, the key Yahoo (YHOO) execs involved in pushing forward the effort, are U.S. head Hilary Schneider, and Greg Mrva, a former investment banker and analyst who is in charge of mergers and acquisitions at the company.

As I previously wrote, the main suits involved in repping the Time Warner (TWX) unit are AOL President Ron Grant and Time Warner M&A SVP Jim Burtson.

“More of the same discussions about how it would all integrate,” said one source close to the situation at Yahoo. “Same as always.”

Added an AOL source, in what I consider the understatement of the year: “There has not been a lot of clarity in decision-making at Yahoo.”

Big surprise: Still no deal!

That’s unusual to me, since all the true obstacles–namely, the collapse of the controversial search advertising deal Yahoo tried to strike with Google (GOOG), AOL and Yahoo’s results coming in as weak as expected and, lastly, a definite lack of interest from Microsoft (MSFT) to rebid for Yahoo–are no longer in the way.

And, of course, Yahoo’s share price–the stock has settled into the depressing $11 to $12 range that gives the company a $15.7 billion valuation–is simply not going up any time soon.

So, if the deal is to be done, the price–or percentage, really–will probably have to be based on today’s reality, which is a very bleak outlook in the graphical online advertising business in which Yahoo plays most strongly.

That’s why dithering is a problem for this possible marriage, despite all the obvious complexity.

For one, it takes all the air out of any momentum such a combination could produce for either Yahoo or AOL, which will be much needed in the current economic environment.

In fact, such an econalypse is actually the perfect cover to try to pull this turnaround–and it is exactly that–off, given few investors or media will expect much from the merger for a while and be more forgiving.

In addition, the slash-and-burn integration needed to drastically refocus the new company–hopefully on three things only: advertising, content and communications–will be easier now more than later when the financial outlook improves.

“Things are going to get a lot worse than people think,” said one AOL exec. “So, this is a really good time for a reset and for cleaning things up.”

It is also easier now to bring in fresh ideas and new leadership to a combined Yahoo/AOL, as a new company will surely give many talented outside execs who have avoided both separately a reason to look again.

I could go on as to why this deal should move forward quickly, but here is one piece of great advice I got several years ago, from a well-known Internet entrepreneur whose company had just taken a big gamble by buying a controversial but fast-growing start-up in a key category.

At the time, many decried the move as too risky and too pricey and too thoughtlessly done. When I asked the exec about this, he did not argue, but offered this:

“No one really knows how anything is going to turn out, no matter how long they think it through,” he said. “But, I believe it will all work out if we execute well on the promise, because I did know one thing for sure: It was the right direction.”

And, indeed, while you can puzzle over a map endlessly, knowing the right direction to go in is the only thing one can be sure of in almost any circumstance in life.

Therefore, all Yahoo and AOL have to do is pick a path–whether it be to move on or merge–and just go.

By tomorrow would work for me.

In the meantime, below is a video I did of Yahoo’s Yang onstage at the Web 2.0 Summit in San Francisco last week, talking about the travails of the last year.

It includes him saying Microsoft should still buy Yahoo, which felt a little too much like a plea to me. (I happened to be sitting next to some Microsoft execs during the speech and they did not look too moved by the begging.)

But judge for yourself–here’s the video (yes, the Web 2.0 Summit organizers did flash a picture of a jar of Jif peanut butter as a joke–ha, ha, referring to the infamous Yahoo “Peanut Butter Manifesto”):
