<p>Yahoo CEO Carol Bartz is making the most substantive changes in her exec ranks since she did a <a href="http://kara.allthingsd.com/20090220/hurricane-carol-bartz-could-announce-major-yahoo-management-reorg-next-week/">massive restructuring of its staff</a> in late February, according to sources close to the situation.</p>
<p>&#8220;She is continuing to clean the place up,&#8221; said one top exec about the moves, which are likely to be announced internally tomorrow.</p>
<p>Among the shifts in management will be filling the slot left by the <a href="http://kara.allthingsd.com/20090528/yahoo-audience-head-jeff-dossett-expected-to-depart-company">departure of North American Audience head Jeff Dossett</a> in May.</p>
<p><strong>UPDATE</strong>: Sources say Yahoo&#8217;s head of mobile, David Ko, will get the job of top Audience exec, although it is not clear if he will have the same portfolio has former media heads at Yahoo. </p>
<p>Since Dossett left, his job has been split between Jimmy Pitaro, who runs Vertical Audience Experiences, and Tim Mayer, who is in charge of Search &#038; Social Applications. They both currently report to U.S. EVP Hilary Schneider.</p>
<p>The job of Audience head is a key role, given that Yahoo&#8217;s powerful media properties are among its most valuable assets. In recent months, <a href="http://kara.allthingsd.com/20090903/product-management-engineering-and-ui-design-for-yahoo-news-moving-to-taiwan">Yahoo has made some major changes</a> in the way it creates its juggernaut News property.</p>
<p>Also to be filled is the job being done by <a href="http://kara.allthingsd.com/20090920/yahoo-corporate-partnership-svp-schinella-departing">Corporate Partnership SVP Jim Schinella</a>, who, as BoomTown previously reported, is set to leave at the end of the year.</p>
<p>I could not determine who will take Schinella&#8217;s job, inside or out.</p>
<p>Interestingly, Yahoo has <a href="http://kara.allthingsd.com/20090817/yahoo-poised-to-name-new-international-head-after-five-month-look-see-at-the-crowned-web-heads-of-europe">yet to name an international head</a>.</p>
<p>Sources said the company had filled the position, using a headhunter, but the London-based media exec candidate backed out at the last minute. That  meant Yahoo had to restart its search.</p>
<p>There might also be other top exec changes, all part of Bartz&#8217;s consolidation of power at Yahoo. She has named a spate of new top execs from outside, but has also kept some from the regime of former CEO and co-founder Jerry Yang.</p>
<p>These staffing moves have come even as a stream of execs continued to depart the Silicon Valley Internet giant, including, most recently, <a href="http://blogs.wsj.com/digits/2009/11/16/right-media-founder-to-leave-yahoo/">Mike Walrath</a>, who was SVP of advertising strategy. Walrath had led Right Media, the online ad exchange Yahoo bought for $680 million in 2007.</p>
<p>Walrath was widely expected to leave Yahoo in July, at the completion of  his earnout from the acquisition, sources said, so the move was more sudden than expected internally. </p>
<p>Sources noted that Bartz moved Walrath&#8217;s departure forward in order to announce a new strategy for Right Media focused on premium publishers and to dump those ad networks and publishers of lesser ilk.</p>
<p>Whether this will stop the competitive onslaught in the ad exchange space is an open question given that Google has entered the fray significantly and that Facebook is widely expected to bolster its efforts.</p>
<p>Lastly, several sources said that there are also likely to be more changes on Yahoo&#8217;s board, which has seen the departure of two members recently.</p>
<p>In September, <a href="http://kara.allthingsd.com/20090925/yahoo-loses-board-member-wilderotter-to-resign">Maggie Wilderotter</a> said she would leave the board by year&#8217;s end. And former Yahoo nemesis and investor <a href="http://kara.allthingsd.com/20091023/goodbye-to-all-that-icahn-leaves-yahoo-board">Carl Icahn</a> left the board in late October.</p>
<p>Whether Yahoo will replace them or keep its current size of 10 directors is not clear.</p>
<p>Also possible, several sources said, would be Bartz taking the chairman title, which is currently held by <a href="http://kara.allthingsd.com/20090114/yahoos-decker-resigned-with-class-now-chairman-bostock-should-exit-stage-right-too/">Roy Bostock</a>. Bostock, along with Yang, played a key role in its botched takeover battle with Microsoft (MSFT).</p>
<p>Bartz finally successfully struck a sweeping search and advertising partnership with the software giant this summer, which is <a href="http://kara.allthingsd.com/20091118/exclusive-yahoo-and-microsoft-poised-to-finally-sign-definitive-search-and-ad-agreement/">moving closer to being launched</a>.</p>

<p>Yahoo (YHOO) confirmed the break to BoomTown.</p>
<p>In recent days, many inside the company had mistakenly thought the 44-year-old EVP for Product Architecture &#038; Strategy was departing the company for good. </p>
<p>Actually, it&#8217;s more of a sabbatical for Patel (pictured here).</p>
<p>&#8220;Ash will be taking some well-deserved time off  to spend time with his family,&#8221; said Yahoo in a statement to me. &#8220;He will be returning to Yahoo! in early 2010.&#8221;</p>
<p>In his latest of many jobs at Yahoo, where he has been employed since 1996, Patel works with its products organization, run by CTO and EVP of Products Ari Balogh, &#8220;to drive the development of a comprehensive product strategy, as well as potential strategic deals, helping to evolve and evaluate its audience product and technology strategy.&#8221;</p>
<p>It&#8217;s one of many leadership positions Patel has had at Yahoo, as the company has reorganized many times over the years, including as EVP of its Audience Products Division, EVP of Platforms and Infrastructure, SVP of Platform Engineering and chief product officer. </p>
<p>He also played a key role as architect of several major Yahoo products, such as MyYahoo!, Yahoo! Finance, Yahoo! Messenger, Yahoo! Chat and many others.  </p>
<p>In fact, Patel <a href="http://kara.allthingsd.com/20080625/yahoo-reorg-will-be-announced-thursday/">ended up in a major exec role in a reorg</a> that former Yahoo CEO and co-founder Jerry Yang did in the summer of 2008. </p>
<p>But the appointment of Patel to head the new Global Products group was greeted with some internal dissent, since many were pushing for faster change and new management at the Silicon Valley icon.</p>
<p>Yang was said to have insisted that Patel remain on as planned. He reported directly to President Sue Decker.</p>
<p>Patel stayed on after new CEO Carol Bartz got the top job in January, which was the <a href="http://kara.allthingsd.com/20090225/whither-ash-patel-can-longtime-yahoos-learn-new-tricks/">subject of much interest among longtime Yahoo staff</a>, since he has been one of the few true Yahoo veterans left in a high-ranking role.</p>
<p>In <a href="http://kara.allthingsd.com/20090226/new-yahoo-management-structure-the-entire-memo/">another reorg in late February</a>, this time by Bartz, Patel got his latest title and was placed under Balogh.</p>
<p>Here is a <a href="http://kara.allthingsd.com/20081216/yahoo-execs-tapan-bhat-and-ash-patel-talk-about-yahoos-open-and-social-launch/">video interview I did with Patel last December </a> about the launch of some open and social networking initiatives at Yahoo (SVP Tapan Bhat, who had once reported to Patel, is also in the video): </p>

<p>In what should come as a shock to almost no one, the detailed negotiations to complete the Microsoft and Yahoo search and online advertising final agreement are more complicated than its authors anticipated and are taking longer than expected to complete.</p>
<p>Relax, folks&#8211;they&#8217;ll get done.</p>
<p>But here&#8217;s a more important thing that should wrap up sooner than later: Yahoo CEO Carol Bartz&#8217;s seemingly never-ending gibes about former CEO and co-founder Jerry Yang&#8217;s tenure.</p>
<p>First, let&#8217;s deal with the issues around the agreement, which is a monster document. </p>
<p>That&#8217;s why MicroHoo missed the deadline yesterday to execute its definitive agreement on the transaction struck in July.</p>
<p>In a <a href="http://www.sec.gov/Archives/edgar/data/1011006/000119312509216336/d8k.htm">filing with the U.S. Securities and Exchange Commission</a>, Yahoo (YHOO) said: </p>
<p>&#8220;The Letter Agreement specified that the parties would execute definitive agreements by October 27, 2009, but given the complex nature of the transaction, there remain some details to be finalized.&#8221;</p>
<p>Added Microsoft (MSFT) in a long statement:</p>
<p>&#8220;Microsoft and Yahoo! are committed to this agreement and believe this is a highly competitive deal that is good for consumers, advertisers and publishers.  We have made good progress in finalizing the definitive agreements. Given the complex nature of this transaction there remain some issues that need some additional clarity and definitive details. So, the teams at Yahoo! and Microsoft are continuing to work on the remaining details, and we have mutually agreed to extend the period to negotiate and execute the agreement.  We plan to do this as expeditiously as possible. Both companies are optimistic that we will be able to close this deal by early 2010.&#8221;</p>
<p>Thus, the deadline has been pushed back indefinitely, which is very common in such larger and complicated deals. </p>
<p><a href="http://kara.allthingsd.com/files/2009/10/steve.png"><img src="http://kara.allthingsd.com/files/2009/10/steve-250x164.png" alt="steve" title="steve" width="250" height="164" class="alignright size-medium wp-image-20057" /></a></p>
<p>Yahoo and Microsoft had already done a pretty hefty binding letter agreement (here is a picture of Yahoo&#8217;s Bartz and Microsoft CEO Steve Ballmer holding it, in fact). </p>
<p>Getting approval from regulators is also part of the deal, and it is likely to happen in the U.S. just after the new year.</p>
<p>International regulatory approval is another story, especially in Europe, which could further delay the implementation of the partnership, since it is unlikely the pair would move forward without clearance globally.</p>
<p>But perhaps most of all, what seems more likely to never end and probably should is the proclivity of Yahoo&#8217;s Bartz to use sharp-tongued analogies to talk about just how bad Yahoo had been doing and how it is now poised to make a comeback.</p>
<p>In her very <a href="http://kara.allthingsd.com/20090113/live-blogging-yahoos-bartz-as-ceo-announcement-her-first-words-yahoooo/">first press conference when she got the job</a>, in fact, she noted that Yahoo, &#8220;frankly, could use a little management.”</p>
<p>Bartz was right then and even more correct to say it out loud, but she has not stopped the criticism.</p>
<p>And, like clockwork, at an analyst day at Yahoo HQ in Sunnyvale, Calif., today, Bartz trotted out a yet another in a long series of backhanded insults to former CEO Jerry Yang and his crew.</p>
<p>Said <a href="http://digitaldaily.allthingsd.com/20091028/liveblog-carol-bartz-at-yahoo-investor-day">Bartz at the event about the Silicon Valley icon</a>:</p>
<p>“We have fallen and we really want to get back up. If you haven’t had good times and bad times, you don’t know what you’re doing. We prefer the good times. We have passion to get back there. Today is the start of that.”</p>
<p><em>Today</em> is the start? Didn&#8217;t Yahoo declare a version of the same theme when the MicroHoo deal was announced in July? And at the the launch of the new homepage in September? And the more recent rollout of its massive marketing campaign?</p>
<p>It seems to me that since she has been there almost a year, much like the Obama administration, Bartz should not be looking backward anymore and keep announcing that it is time to get back on track.</p>
<p>Because she is most definitely in charge now at Yahoo and should be the one to get all praise and all blame from here on out.</p>
<p>So, as someone who has definitely been very tough on Yang while CEO, it&#8217;s time to stop knocking him over now, because it is starting to feel like a very cheap shot.</p>

<p>Carl Icahn, the activist billionaire investor who made such a noisy fuss in his quest to force management and other changes at Yahoo, is taking a much quieter leave from the Internet giant&#8217;s board.</p>
<p>He apparently has told the Yahoo (YHOO) board that &#8220;there was not a need at this time for an activist investor&#8221; and that he has a lot of other companies he invests in to focus on.</p>
<p>That&#8217;s true, of course, given a spate of troubled investments that Icahn is dealing with.</p>
<p>But here&#8217;s BoomTown&#8217;s quickie analysis: Yahoo CEO Carol Bartz <em>completely</em> ignores him.</p>
<p>In fact, Bartz often has gone out of her way to take little gibes at Icahn since she got the top job in January, whether it&#8217;s to say he called her too much or that he could try to fire her if he did not like the job she was doing.</p>
<p>For example, she just dissed him publicly in a piece in Forbes, tossing off a saucy insult:</p>
<p>“Icahn is just another shareholder. What’s he going to do, fire me?”</p>
<p>But Yahoo was cordial to Icahn as he departed, even if a lot of people at the company who had battled him were likely thinking: &#8220;Don&#8217;t let the door hit you on the way out!&#8221; </p>
<p>&#8220;Carl has been an important member of our Board and has helped us through some significant transitions,&#8221; said the Yahoo statement. We are all grateful for his active role shaping the future of Yahoo! and wish him well in all his endeavors.&#8221;</p>
<p>Icahn in the second board member to leave under Bartz&#8217;s tenure. </p>
<p>Frontier Communications (FTR) CEO <a href="http://kara.allthingsd.com/20090925/yahoo-loses-board-member-wilderotter-to-resign/">Maggie Wilderotter announced in late September that she was stepping down</a> from the board by year&#8217;s end.</p>
<p>It will be interesting to see who&#8211;if anyone&#8211;will comes on board as a director and, of course, if there are more departures. After the departures of Wilderotter and Icahn, there will be 10 directors.</p>
<p>(<a href="http://kara.allthingsd.com/20090114/yahoos-decker-resigned-with-class-now-chairman-bostock-should-exit-stage-right-too">Here is BoomTown&#8217;s No. 1 pick <em>still</em> </a> in that regard.)</p>
<p>In taking his leave, Icahn praised the recent search and online advertising deal Bartz struck with Microsoft (MSFT), noting that it will &#8220;provide great long-term benefits, the potential of which many still do not understand.&#8221;</p>
<p><a href="http://kara.allthingsd.com/files/2009/10/lolcat-failure.jpg"><img src="http://kara.allthingsd.com/files/2009/10/lolcat-failure-250x187.jpg" alt="lolcat-failure" title="lolcat-failure" width="250" height="187" class="alignleft size-medium wp-image-19943" /></a></p>
<p>Nice final toss to try to spike the stock, Carl! But the MicroHoo deal, which has yet to be approved by regulators, was likely cold comfort for him.</p>
<p>Icahn sank large sums of money in Yahoo with hopes of a big score via the hostile takeover attempt by Microsoft at a price upward of $30 a share. </p>
<p>After that deal tanked, Icahn has seen his stake decline in value.</p>
<p>He <a href="http://kara.allthingsd.com/20090831/i-cahnt-quit-you-without-losing-a-bundle-in-yahoo-shares/">sold 16 percent of his Yahoo shares in late August</a>, leaving him with a 4.5 percent stake, or about 63 million shares.</p>
<p>It is also not clear today if Icahn intends to unload more of the stock.</p>
<p>In 2008, he couldn&#8217;t buy enough, scooping up the stock at much higher prices.</p>
<p>After mounting a proxy fight&#8211;including the <a href="http://kara.allthingsd.com/20080718/microhoo-the-likely-scenarios-please-ignore-the-poison-pen-letters/">lobbing of a series of poison-pen letters</a>&#8211;against former CEO and co-founder Jerry Yang and his management team, Icahn got board seats for himself and two others (John Chapple and Frank Biondi) in July of 2008. </p>
<p>As <a href="http://digitaldaily.allthingsd.com/20080721/this-meeting-of-yahoo-directors-is-now-called-to-order-no-heckling-carl/">Digital Daily&#8217;s John Paczkowski put it</a> perfectly then:</p>
<p>&#8220;Having so persuasively argued that Carl Icahn is a doddering Luddite with no articulated plan for Yahoo other than the company’s sale to Microsoft, Yahoo has taken the logical next step and appointed the activist shareholder to its board of directors.&#8221;</p>
<p>At the time of the fighting, Yahoo used a quote from Icahn to insult him: &#8220;It&#8217;s hard to understand these technology companies.&#8221;</p>
<p>In a way, that is a pretty accurate description of Icahn&#8217;s long wrangle with the Silicon Valley icon.</p>
<p>And, while some might not agree with my take, this is the way the Yahoo world ends for Icahn: Full of sound and fury, signifying nothing.</p>
<p>Here is Icahn&#8217;s entire letter to the Yahoo board:</p>
<blockquote class="memo"><p>To the Yahoo! Board of Directors:</p>
<p>I am hereby tendering my resignation as a director of Yahoo! to take effect immediately.</p>
<p>When I joined the Board, the company was in a state of turmoil. In the period since then, we have all worked together to achieve much for the Company, most notably bringing Carol on to be the CEO and then consummating the search deal with Microsoft. I am proud to have played a role in both these decisions. Carol is doing a great job and I believe the Microsoft transaction will provide great long term benefits, the potential of which many still do not understand.</p>
<p>I don’t believe that it is necessary at this time to have an activist on the Board of Yahoo! and currently, my attention is focused on other matters. As a result, I do not presently have the time that is necessary to devote to the business and affairs of Yahoo! required if a board member is to fulfill his fiduciary duties to the shareholders</p>
<p>Again, I want to thank the members of the Board for acting so responsibly during my tenure. I look forward to maintaining my relationship with each of you.</p>

<p>A few weeks ago, when I was having breakfast with legendary Silicon Valley entrepreneur <a href="http://kara.allthingsd.com/20090705/new-vc-marc-andreessen-speaks-about-the-dark-side-and-more">Marc Andreessen about his new venture fund</a>, he talked about what he thought was critical to being successful as an Internet company. </p>
<p>Ticking off names, from Apple (AAPL) CEO Steve Jobs to Facebook CEO Mark Zuckerberg, Andreessen said he always favored technical entrepreneurs for one key reason: &#8220;You need someone who lives and breathes product.&#8221;</p>
<p>It&#8217;s a refrain I have heard a lot recently from a wide range of people in the sector, most especially when talking about two of the more challenging renovations of key Internet brands going on of late.</p>
<p>That would be: Yahoo and MySpace.</p>
<p>In recent days, the focus at both Yahoo (YHOO) and MySpace, a division of News Corp. (NWS), has been on cost cuts, management rejiggering and, of course, layoffs, as new leaders at each Web giant are trying mightily to push the reset button. (News Corp owns Dow Jones, which owns this Web site.)</p>
<p>No surprise, their efforts have gotten a lot of attention and have been the subject of a lot of coverage (<a href="http://kara.allthingsd.com/20090415/stop-me-if-youve-heard-this-one-yahoo-management-and-staff-set-on-shuffle-again">here for Yahoo</a> and <a href="http://kara.allthingsd.com/20090710/digital-musical-chairs-at-myspace-and-fim-keeps-going-and-going-and-going">here for MySpace</a>).</p>
<p>But, as those clean-up efforts wrap up, both have to show a whole lot more than that if either is to truly succeed at their tasks&#8211;which is to make both services much more relevant and exciting in the fast-changing Web arena.</p>
<p><a href="http://kara.allthingsd.com/files/2009/07/23263682jpg.jpeg"><img src="http://kara.allthingsd.com/files/2009/07/23263682jpg.jpeg" alt="23263682jpg" title="23263682jpg" width="200" height="250" class="alignleft size-full wp-image-15874" /></a></p>
<p>While Yahoo and MySpace remain huge Web properties&#8211;and Yahoo, in particular, is very profitable in comparison to most Internet outfits&#8211;the widespread perception across the digital sector for too long now is that they are both tired in some significant ways and in desperate need of innovation.</p>
<p>Their big tasks include an overhaul of product offerings and features, a refreshing of brand and, most importantly, a strategic rethink that will set them on a new course for the next several years.</p>
<p>This is not a new thing in the Internet space, which has seen once-popular companies fall by the wayside as their products have gotten dull and consumers weary.  </p>
<p>AOL&#8211;the Time Warner (TWX) unit whose new CEO, Tim Armstrong, is trying to reinvigorate that iconic but deeply tarnished brand too&#8211;is the classic example of this problem. But there have been too many that either hobble along, get subsumed into a larger company or just wither and die.</p>
<p>Sudden death is not likely to be the case for either Yahoo or MySpace, but time is most definitely running out for the pair to show some true product pizzazz and a strategic road map. </p>

<p>At Yahoo, most of the glitter thus far has come from the personality and charms of CEO Carol Bartz (pictured here), who has been hard at work projecting an image of moxie and decisiveness in her efforts to get some momentum at the turmoil-plagued company.</p>
<p>Replacing former CEO and co-founder Jerry Yang, Bartz has largely been busy cutting staff, pruning products that she recently dubbed &#8220;space debris&#8221; and rounding out her executive staff.</p>
<p>She&#8217;s also been prepping a new branding campaign to accompany Yahoo&#8217;s overhauled front page, which is set for the fall.</p>
<p>But, as the famous Peggy Lee song (see video below) goes: &#8220;Is that all there is, is that all there is?/If that&#8217;s all there is my friends, then let&#8217;s keep dancing/Let&#8217;s break out the booze and have a ball/If that&#8217;s all there is.&#8221;</p>

<p>But breaking out the booze and having a ball is actually not such a bad idea. To my mind, instead of tweaking what is there and emphasizing what it has been, Yahoo now has the chance to just go for broke and boldly make some dramatic choices.  </p>
<p>That is especially true if it forgoes a search and online advertising partnership with Microsoft (MSFT), since Yahoo is going to have to do more than just what it already does better.</p>
<p>Interestingly, it is Microsoft, with its <a href="http://mediamemo.allthingsd.com/20090715/another-bing-boost-comscore-says-microsoft-search-share-up-in-june/">well-reviewed new Bing search service</a>, that seems the most aggressively innovative these days.</p>
<p>So, why not, for example, make a shocking move, say, into the premium online video space? Yahoo certainly could pick up some damaged goods, like Veoh and Joost, on the cheap.</p>
<p>But what about buying the early winner: Hulu?</p>
<p>While the three studios that are its joint owners (the fourth owner is Providence Equity Partners)&#8211;News Corp., Disney (DIS) and GE (GE) unit NBC Universal&#8211;don&#8217;t seem inclined to sell, many sources close to the company said they most certainly would for the right price and perhaps a stake in Yahoo too.</p>
<p><a href="http://kara.allthingsd.com/files/2009/07/hulu-logojpg.jpeg"><img src="http://kara.allthingsd.com/files/2009/07/hulu-logojpg-250x250.jpg" alt="hulu-logojpg" title="hulu-logojpg" width="250" height="250" class="alignleft size-medium wp-image-15880" /></a></p>
<p>Yahoo has been one of Hulu&#8217;s many distribution partners, but that effort has been lackluster. As owner, it would surely point its vast traffic and tech resources at Hulu to good effect.</p>
<p>In this kind of scenario, Google (GOOG) and Comcast (CMCSA) are also contenders for Hulu, but it is only Yahoo that has the truly better record of being able to create, manage and distribute Web content.</p>
<p>Plus, you could call it: HuHoo or YaLu or, better still, HooLu.</p>
<p>There are lots of ideas along these lines for Yahoo, but the overarching idea is to dominate in areas its rivals do not.</p>
<p>For MySpace, which was the dominator until rival Facebook cleaned its clock and then some, it is both a crisis of identity, a broken consumer experience and technology that needs a major overhaul.</p>
<p>It is hard to say what MySpace is, except really noisy. While the music part of that is good, the idea of making it hip again seems well-nigh impossible.</p>
<p>But it could be useful as an entertainment hub where it is fun to be. News Corp. CEO Rupert Murdoch raised this concept recently, in fact, and it is a good one.</p>
<p>That&#8217;s because Facebook is aggressively <em>un-fun</em>, with a fascist design sensibility and a thick ethos of utility and enforced busy-ness. Whenever I use it, I always start to feel like I am 23 minutes late.</p>
<p>There really is no good overall and unified entertainment hub on the Web in a massive way&#8211;one that aggregates all kinds of interests. I would, for example, love a place where I could easily live in a &#8220;Gossip Girl&#8221; universe. </p>
<p>Best of all, such a direction moves MySpace well away from Facebook, where is needs to get pronto.</p>

<p>MySpace CEO Owen Van Natta (pictured here) said as much in a memo to employees yesterday: </p>
<p>&#8220;As I&#8217;ve said before, simplifying and unifying our site is fundamental to our success going forward. MySpace should feel like one platform&#8211;not 15 sites loosely stitched together. We consider our diverse content offering a strength but too many logos and disorganized verticals makes the site difficult to navigate and creates confusion about our brand identity. Our users don&#8217;t know if we’re a social portal, a music site, or an entertainment hub.&#8221;</p>
<p>In her own memo last week, Bartz also talked about the need for speed and definition of Yahoo:</p>
<p>&#8220;I&#8217;ve noticed that since the reorg, people seem like they&#8217;re waiting for something. I&#8217;m not sure if it&#8217;s a sugar-low or what, but we need to stop waiting and get moving. Good things do not come to those who wait, they come to those who make things happen.&#8221;</p>
<p>Actually, per Marc Andreessen, good things come to those who make things. Wonderful things, fun things, memorable things and, if you are Steve Jobs, just one more thing.</p>
<p>Let&#8217;s just hope in the case of Yahoo and MySpace, they don&#8217;t settle for just <em>any</em> thing.</p>

<p>In BoomTown&#8217;s bold quest to annoyingly stick a Flip digital video camera in the face of every Yahoo senior exec, this week I worked the last nerve of its CTO and EVP of Products, Aristotle &#8220;Ari&#8221; Balogh.</p>
<p>Actually, the 45-year-old Balogh is a very calm and pleasant man, especially considering the huge responsibility that has been foisted on him by CEO Carol Bartz to rejigger how Yahoo (YHOO) makes its products and services and deploy its technology in a more efficient, centralized and most of all, innovative manner.</p>
<p>It is actually a process that was started under the previous leadership, especially President Sue Decker.</p>
<p>But now, after a number of reorgs, a <a href="http://kara.allthingsd.com/20090225/more-on-yahoo-reorg-in-process-ari-and-hilary-rule-but-who-is-joel-jones">wide swath of Yahoo is under Balogh&#8217;s purview</a>&#8211;from search to open initiatives to product development to trying to fix Yahoo&#8217;s big problem of never quite getting its innovations out the door.</p>
<p>To explain all this, Balogh sat down with me twice&#8211;he is clearly a glutton for punishment&#8211;to talk about where Yahoo stood as it sought to dig itself out of its long slump and reemerge as the potent Internet force it once was.</p>
<p>While he successfully avoided the questions about Yahoo&#8217;s talks to do a search and advertising partnership with Microsoft (MSFT), he did talk about his view of its new Bing search service (well done, but can it scale?&#8211;which is an engineer&#8217;s favorite schoolyard taunt).</p>
<p>He also addressed the bigger question of how Yahoo can stay relevant in the fast-changing Web 2.0 world.</p>
<p>To Balogh, copying trendsetters like Facebook is not the answer. For example, he noted that Yahoo is more a place where consumers do &#8220;one-way&#8221; follows of things important in their lives rather than wanting another social-network service (which Yahoo has tried and failed at, actually).</p>
<p>&#8220;We&#8217;re not going to be another social network,&#8221; said Balogh flatly, agreeing that that boat has already long sailed without Yahoo on it with a significant product&#8211;Yahoo famously failed to buy Facebook, well before Balogh arrived in early 2008 from VeriSign (VRSN). &#8220;But we can be a place where people make and manage the important connections they have.&#8221;</p>
<p>How this will all play out is one of the most interesting questions in Silicon Valley because&#8211;even after all the turmoil&#8211;Yahoo remains one of the largest sites on the Web.</p>
<p>About 500 million monthly unique visitors enter its homepage and course through its vast site constantly, from its search pages to its massive email and instant-messaging services and its popular suite of content sites.</p>
<p>No one says Yahoo is not big&#8211;what everyone says is that it has missed many major and critical Internet trends as it has become mired in a management morass and external battles.</p>
<p>Now, with new leadership in place, observers are waiting to see what&#8217;s next.</p>
<p>In this regard, it is important what Balogh thinks since he is perhaps Yahoo&#8217;s only person who even closely resembles a Web product visionary now that former CEO and co-founder Jerry Yang has stepped aside and Bartz has taken up command.</p>
<p>While he typically shies away from the spotlight, he is not bashful about talking about Yahoo&#8217;s infamous lugubrious development process. </p>
<p>&#8220;We have pockets of great technology that we have to really put back together into a coherent infrastructure,&#8221; said Balogh. &#8220;We have to get the basics right and focus on those core daily experiences that make Yahoo extraordinary.&#8221;</p>
<p>That is easier said than done, especially when changes impact so many consumers and, of course, the bottom line. Choosing what key trends to attack is harder for a large public company like Yahoo, which has a lot to protect in its current businesses.</p>
<p>&#8220;There will always be a battle between new ideas and monetization,&#8221; said Balogh. &#8220;The question is how much do you push that line back and forth?&#8221;</p>
<p>That fine line will surely be tested with the <a href="http://kara.allthingsd.com/20090214/how-is-yahoos-massive-metro-homepage-redesign-going-it-depends-on-who-you-ask">rollout of its new homepage</a> in the fall, a long project that has been codenamed &#8220;Metro.&#8221;</p>
<p>&#8220;It is not a radical departure, but we have given users more power to do what they want and also serve as the best of Web versus that is already inside of Yahoo,&#8221; said Balogh of the new homepage. &#8220;With technology, it is always a push-pull.&#8221;</p>

<p>BoomTown is at the lovely Santa Clara Marriott in Silicon Valley at the 2009 Yahoo annual meeting, liveblogging the event, which should be spectacularly dull.</p>
<p>Here is a rundown of what went on.</p>
<p><strong>10:05 am:</strong> The meeting kicked off with a little video presentation with various and sundry television talking heads saying &#8220;Yahoo&#8221; in quick succession.</p>
<p>Actually, this was the year during which all of those hype-magnets repeated &#8220;Twitter&#8221;&#8211;the hottest media trend these days&#8211;so many times that it has began to make my ears bleed.</p>
<p>But I like the spirit of trying to make Yahoo (YHOO) seem relevant and innovative again.</p>
<p>Then, CEO Carol Bartz (pictured below) walked onto the small stage in the California Ballroom, declaring: &#8220;Well, that made me feel good.&#8221;</p>
<p><a href="http://kara.allthingsd.com/files/2009/06/547701959_4qebh-ljpg.jpeg"><img src="http://kara.allthingsd.com/files/2009/06/547701959_4qebh-ljpg-250x166.jpg" alt="547701959_4qebh-ljpg" title="547701959_4qebh-ljpg" width="250" height="166" class="alignleft size-medium wp-image-15094" /></a></p>
<p>Exactly when does Carol <em>not</em> feel good?</p>
<p>She explained why: &#8220;I am having a ball,&#8221; speaking about her rehaul job at Yahoo, and then thanked shareholders after what was &#8220;a tough year last year.&#8221;</p>
<p>The board was introduced, with most of them being present at the meeting, except for Ron Burkle and Carl Icahn. </p>
<p><strong>10:12 am:</strong> General Counsel Mike Callahan comes on with the blah-blah-blah about rules and votes.</p>
<p>I soon started thinking of the lovely breakfast pastries outside that I passed by outside. <em>Drat!</em></p>
<p>This year, the 12-member board, now including Bartz, was up for reelection.</p>
<p>Last year, as you might remember, many of those board members were under siege by shareholder discontent.</p>
<p>Not in 2009. A major shareholder who was unhappy last year told me there would be no protest vote.</p>
<p>&#8220;Carol is doing a good job,&#8221; said the investor.</p>
<p>Yahoo was also asking for approval of its accounting firm, Price Waterhouse.</p>

<p>There were several important votes before the shareholders.</p>
<p>One was a standard one regarding executive compensation or a “say on pay” proposal, which was introduced by an outside stockholder.</p>
<p>Yahoo&#8217;s board recommended against it.</p>
<p>Another proposal regarded changes to be made to a 1995 stock plan and to a 1996 employee stock purchase plan.</p>
<p>The latter was most important, because it was a request to authorize more shares for future employee options grants. It will mean a large addition to the pool&#8211;30 million more shares&#8211;if authorized.</p>
<p>The stock will be used to keep valuable Yahoo talent in place. Good idea.</p>
<p><strong>10:23 am:</strong> The floor was then opened for comments on the proposal and ballots were collected. </p>
<p>I was <em>not</em> on the edge of my seat. </p>
<p>Like clockwork or an election in the former Soviet Union, the board was elected, the stock plans approved and Price Waterhouse was in.</p>
<p>The &#8220;say for pay&#8221; proposal? It went down in defeat.</p>
<p>The people have spoken!</p>

<p><strong>10:29 pm:</strong> Bartz took back the stage, which immediately livened things up.</p>
<p>She went through the history of her coming to Yahoo, which began with former Yahoo CEO and Co-Founder Jerry Yang (pictured here) asking if she was interested in the job at a Cisco (CSCO) board meeting.</p>
<p>Both are on its board.</p>
<p>Bartz also briefly recounted her meeting with Yang at his house, although she minimized the insulting aspect of the story.</p>
<p>She has maximized it in other tellings&#8211;such as in an <a href="http://d7.allthingsd.com/20090618/yahoo-ceo-carol-bartz-the-full-d7-session-unexpurgated">onstage interview with me recently</a> at the <strong>D: All Things Digital</strong> conference.</p>
<p>The basic thrust of the story was that Yahoo was a big mess that needed the Carol treatment.</p>
<p>Bartz, of course, did not stress that as much today. After all, Yang was sitting right in front of her.</p>
<p>Bartz noted that she has been asked about two things since coming on board: </p>
<p>What about a deal with Microsoft? And what the heck is Yahoo anyway?</p>
<p>She had nothing to say about Microsoft (MSFT) and said it would be said publicly only after any such deal was struck.</p>
<p>Actually, she has commented about talks with the software giant publicly many times, but let&#8217;s overlook that.</p>
<p>The Bartz went into the definition of Yahoo. It&#8217;s simple, she said. The largest global online media company. With technology. That everyone knows. Plus email.</p>
<p><strong>10:34 am:</strong> Bartz ran through the new staff she has put in place, such as CMO Elisa Steele and others.</p>

<p>She then moved onto the top-to-bottom reviews she has been doing of Yahoo.</p>
<p>Including what she dubbed &#8220;space debris,&#8221; which are Yahoo sites that should be shut down, repaired or outsourced.</p>
<p>Bartz&#8217;s tone? Calm and comforting and reassuring&#8211;less the live wire she usually telegraphs and more the I&#8217;m-in-charge-here-so-remain-calm vibe.</p>
<p>She hit all the big targets, for good measure. Front page. Mobile. And, of course, advertising. </p>
<p>&#8220;Yahoo has a distinct opportunity in this area,&#8221; said Bartz, referring to its online display ad business. &#8220;Advertisers come to us.&#8221;</p>
<p>She ended by calling Yahoo a &#8220;home,&#8221; which is <a href="http://kara.allthingsd.com/20090624/exclusive-yahoo-working-on-major-brand-overhaul-please-no-more-yodeling/">one theme the company is considering using as a brand strategy</a> in an massive overhaul it is working on.</p>
<p><strong>10:45 am:</strong> The floor was open for questions.</p>
<p>The first was a good one. Essentially, why is Google (GOOG) such a money machine when Yahoo is not? And why are its workers so much more productive in comparison?</p>
<p>&#8220;We have a very different model than Google,&#8221; said Bartz. &#8220;It has a cleaner process.&#8221;</p>
<p>As in, it is better at vacuuming up the dough!</p>
<p>Bartz, who has been trying mightily to end the Yahoo/Google comparison (smart move!), did not really give an answer.</p>
<p>&#8220;Please, this direct comparison model to Google is not fair and is frankly not relevant,&#8221; she said.</p>
<p>Well, it is actually quite a bit fair and a <em>lot</em> relevant, but we shall also overlook that one too (for now).</p>
<p><strong>10:49 am:</strong> A fan question about how it was good that Bartz has been taking the focus off of the Microsoft issue too.</p>
<p>He also liked that she said she would take piles of money from the software giant, though, in a search partnership deal.</p>

<p>Then, the questioner dived right into the weeds, with questions about the front page, such as having too much dopey entertainment news on it.</p>
<p>Especially all that Jon &#038; Kate and their gazillion kids crap!</p>
<p>This is a favorite meme for Bartz, who proceeded to quickly one-up the question by strafing a perfect celebrity target.</p>
<p>&#8220;If I see another Britney Spears item, I am going to throw up,&#8221; she declared in nauseous solidarity.</p>
<p>She then mentioned something called a &#8220;fluffometer,&#8221; which is apparently taking care of this most pressing issue of our time&#8211;the Lindsay Lohan threat.</p>
<p>Will it defluff Yahoo?</p>
<p>Inquiring minds want to know.</p>
<p><strong>10:54 am:</strong> The inevitable China question was asked, of course, a query which has always tripped up previous Yahoo management. </p>
<p>&#8220;It&#8217;s very easy to get crosswise,&#8221; said Bartz, trying not to get crosswise.</p>
<p>She mentioned a recent human rights summit Yahoo had hosted. &#8220;We have actually done a lot, but it is never enough.&#8221;</p>
<p>Well, actually, Yahoo and many others did not do enough previously, but Bartz was pretty much steering clear of the thorny realities of doing business in China.</p>
<p>Then came the &#8220;vision&#8221; question.</p>
<p>Actually, Bartz said it was not about vision, but about growth. &#8220;We don&#8217;t have a vision problem, we have an execution problem,&#8221; she said. </p>
<p>Another question was asked about Internet censorship in China. </p>
<p>&#8220;I&#8217;m going to go real simple here: Yahoo was not incorporated to fix China,&#8221; she said. &#8220;It&#8217;s that simple.&#8221;</p>
<p>Bartz said the company was not going to take on every government in the world and that its &#8220;mistake&#8221;&#8211;referring to activists jailed due to Yahoo handing over information to the Chinese government&#8211;should not hound it forever.</p>
<p>Well, it should, but point taken.</p>
<p>The next question was about Iran and how popular Twitter is. Bartz said Yahoo was also in there.</p>
<p><strong>11:04 am:</strong> A questioner asked about Facebook and why the social networking site was so popular, even though Yahoo had better products.</p>
<p>Bartz said Yahoo was working hard on making those products more social. </p>
<p>The next questioner asked about whether another Google partnership deal with Yahoo could be reborn. That deal went down in defeat last year.</p>

<p>&#8220;Justice is Justice,&#8221; said Bartz, referring to the federal government department&#8217;s opposition to the deal.</p>
<p>As in, you don&#8217;t tug on Superman&#8217;s cape, you don&#8217;t spit into the wind, you don&#8217;t pull the mask off the old Lone Ranger and you don&#8217;t mess around with Uncle Sam.</p>
<p>The next questioner asked about why Yahoo always told shareholders at meetings like this that it was doing great every year and then didn&#8217;t deliver.</p>
<p>Bear with us, said Bartz.</p>
<p>As to selling off its Alibaba assets in China: Not a good time to sell.</p>
<p><strong>11:09 am:</strong> A questioner asked whether Yahoo might buy a newspaper, like the New York Times (NYT).</p>
<p>Yes, that would be a good move&#8211;out of the frying pan into the fire!</p>
<p>I was sitting right next to one of its reporters, Miguel Helft. No comment!</p>
<p>Bartz then thanked the Yahoo shareholders for having faith.</p>
<p>As I said, it was Bartz&#8217;s first annual meeting. But, for Yahoo investors over the last several years, having a lot of faith&#8211;too often tested&#8211;kind of comes with the territory.</p>

<p>Let&#8217;s be honest&#8211;even with the sassy stylings of CEO Carol Bartz, who will be appearing at her first <a href="http://kara.allthingsd.com/20090618/the-yahoo-annual-meeting-circus-rolls-back-into-town-next-week-send-in-the-clowns/">Yahoo annual meeting this morning</a>, there are few of these affairs that are even remotely exciting.</p>
<p>Last year&#8217;s Yahoo meeting did have a frisson of possibility, since billionaire investor Carl Icahn and Microsoft (MSFT) CEO Steve Ballmer were fixing to put the double squeeze on the board and, especially, its then-CEO and co-founder, Jerry Yang. Also, major Yahoo (YHOO) shareholders threatened a revolt.</p>
<p>But, no. In the end, Carl gave in and took a Yahoo directorship, Microsoft wandered off in a corporate huff and Yang and the board managed to get dinged by angry investors, but not donged.</p>
<p>This year, the stock has improved, hovering in the $15 a share range, although it is still pretty moribund.</p>
<p>&#8220;I am too tired of Yahoo stock to be angry any more,&#8221; said one major shareholder. &#8220;It is just wait-and-see what Bartz will do now for a lot of us.&#8221;</p>
<p>This year, most of the same 12-member board, now including Bartz, is up for reelection and it is unlikely they will get even a bad grade. Yahoo will also ask for approval of its accounting firm (<em>yaaaaawn</em>).</p>
<p>As to other stuff going on in the ballroom of the Santa Clara Marriott&#8211;yes, it is <em>that</em> boring!&#8211;in Silicon Valley, there are several important votes before the shareholders tomorrow.</p>
<p>One is a standard proposal regarding executive compensation or a “say on pay” proposal, which will be introduced by an outside stockholder.</p>
<p>Yahoo&#8217;s board is recommending against it, natch, because it would apparently be a horror show if actual owners of a company got to weigh in on what execs are paid in a significant way.</p>
<p>Another proposal, put forward by the company and thought of internally as an uphill battle, regards changes to be made to a 1995 stock plan and to a 1996 employee stock purchase plan.</p>
<p>The latter is most important, a request to authorize more shares for future employee options grants, which will be a large addition to the pool&#8211;30 million more shares&#8211;if authorized. The stock will be used to keep valuable Yahoo talent in place.</p>
<p>Frankly, with departures continuing, Yahoo could use the share ammo.</p>

<p>In exactly one week at 10 am PDT, Yahoo will <a href="http://yhoo.client.shareholder.com/events.cfm?CalendarID=4">hold its annual meeting</a> in Silicon Valley, the first time when new CEO Carol Bartz will greet its shareholders in person.</p>
<p>She should prep carefully, as the event has been quite a drama over the last two years.</p>
<p>In 2007, former Yahoo CEO <a href="http://kara.allthingsd.com/20070613/i-went-to-yahoos-annual-meeting-and-all-i-got-were-these-purple-balloons">Terry Semel left the company just days after a fractious annual meeting</a> and was replaced by co-founder Jerry Yang.</p>
<p>And last August, the meeting was held in the midst of even more trouble.</p>
<p>The walk-up to that gathering included a failed takeover attempt by Microsoft (MSFT), extensive Yahoo (YHOO) management turmoil and a high-profile proxy fight waged by billionaire investor Carl Icahn.</p>
<p>And the <a href="http://kara.allthingsd.com/20080805/new-yahoo-shareholder-vote-yang-disapproval-more-than-doubles">meeting itself was also a mess</a>, after shareholder voting was miscounted and it turned out that discontent about leadership was double what Yahoo first reported it was.</p>
<p>Broadridge Financial Solutions&#8217; corrected tabulation of the vote on Aug. 1, without the &#8220;truncation errors,&#8221; showed Yang&#8217;s disapproval more than double what was previously reported, rising from 14.6 percent votes withheld to 33.7 percent. Yahoo Chairman Roy Bostock saw his shares withheld rise from 20.5 percent to 39.6 percent.</p>
<p>Yang later stepped down, as did President Sue Decker, both of whom presided over the meeting. Yang was replaced by Bartz early this year.</p>
<p>But most of the Yahoo board remains in place, with the addition of Icahn, including Bostock.</p>
<p>And today, just as it was then, Yahoo and Microsoft remain engaged in an ongoing push-me-pull-you relationship about whether to partner in search and online advertising or not.</p>
<p>Talks have been on-again-off-again for months now, including a <a href="http://kara.allthingsd.com/20090528/bartz-and-ballmer-meet-one-on-one-at-d7">meeting between Bartz and Microsoft CEO Steve Ballmer</a> at the <strong>D: All Things Digital</strong> conference in late May.</p>
<p>Those talks have now appeared to reach yet another impasse, but that could change again quickly.</p>
<p>Sources at Microsoft said the software giant has remained interested in such a deal, although not at any price, a stance that has recently been made firmer by the <a href="http://mediamemo.allthingsd.com/20090617/so-thats-what-100-million-gets-you-microsofts-bing-grabbing-more-search-share-for-now/">apparent early success of its rehaul of its search offering, now called Bing</a>.</p>
<p>Some inside the company think this puts added pressure on Yahoo to do a deal, before Microsoft actually logs in consistent gains in search share.</p>
<p><a href="http://kara.allthingsd.com/files/2009/06/yahoo-logo.jpg"><img src="http://kara.allthingsd.com/files/2009/06/yahoo-logo.jpg" alt="yahoo-logo" title="yahoo-logo" width="249" height="195" class="alignleft size-full wp-image-14697" /></a></p>
<p>Microsoft has long been mired in third place at around eight percent, behind Yahoo by a dozen points and well behind Google (GOOG), which consistently tracks above 60 and 70 percent.</p>
<p>&#8220;Bing&#8217;s success only increases the odds [of a Yahoo deal] and decreases the price,&#8221; said one observer.</p>
<p>But a big price is exactly what Yahoo wants, with Bartz stating in an onstage interview with me at <strong>D7</strong> that she was willing to do a deal for &#8220;boatloads of money,&#8221; as well as the right technology and data.</p>

<p>And she is backed, at this point, by the board, except for Icahn, who has been aggressively agitating for a Microsoft deal, in hopes it will return his huge investment in Yahoo into the black.</p>
<p>&#8220;He has been kind of driving Carol crazy about it,&#8221; said one source close to the situation. </p>
<p>For her part, Bartz has told many at the company and outside it that she was hired to make such key decisions and if the board&#8211;especially Icahn&#8211;did not like it they could find another CEO.</p>
<p>Yahoo has been upgraded recently by some analysts, based on confidence in Bartz&#8217;s ability to turn around and reinvigorate the company. The stock has seen a small bump up too.</p>
<p>But Bartz, although successfully projecting command of Yahoo and stabilizing the management over the last six months, has yet to put forth a detailed strategy for the company to stanch declines in profits and revenues and increase innovation. </p>
<p>And, although annual meetings are usually painfully scripted affairs, the event might be her chance to perhaps articulate that plan and more.</p>
<p>BoomTown will, of course, be front and center at the ongoing show to see what happens next. </p>

<p>Well, what else is Yahoo CEO Carol Bartz going to do but talk smack?</p>
<p>Not at BoomTown&#8211;that was <a href="http://d7.allthingsd.com/20090527/d7-video-carol-bartz-live-and-uncensored/"><em>so</em> two weeks ago</a>! </p>
<p>About potential partner Microsoft, of course!</p>
<p>And, especially about its new Bing search engine.</p>
<p>And, most especially of all, since new stats from comScore (SCOR) yesterday showed that the new look and marketing push for Bing are showing promising initial signs.<br />

According to a <a href="http://digitaldaily.allthingsd.com/20090609/so-much-for-brand-loyalty-in-the-search-market/">post by Digital Daily&#8217;s John Paczkowski</a>, &#8220;Microsoft’s new search engine boosted its share of the search market to 11.1 percent from 9.1 percent in the last week. And it bolstered the software giant’s search penetration to 15.5 percent from 13.8 percent.&#8221;</p>
<p>Those results track on some other early surveys that indicate that Bing has been a good effort for the software giant, which is spending $100 million on marketing it alone.</p>
<p>That&#8217;s why, no surprise, No-Holds-Barred Bartz has been out on some kind of speaking tour recently, chatting up a storm about Yahoo (YHOO) and its sunny prospects.</p>
<p>In doing so, she has also thrown water on potential deals with Microsoft (MSFT), Bing and a few other errant issues like a possible hook-up with Time Warner (TWX) online unit AOL.</p>
<p>(Ixnay onway AOLWAY, by the way, say Bartz).</p>
<p>It is all, as anyone not just tuning in knows by now, part of the Internet company&#8217;s push-me-pull-you relationship with Microsoft, one that Bartz is taking to new levels.</p>
<p>At the seventh <strong>D: All Things Digital</strong> conference&#8211;exactly two weeks ago today, in fact&#8211;<a href="http://d7.allthingsd.com/20090527/d7-interview-carol-bartz/">Bartz veered into more-positive waters</a> about a Microsoft deal, in a lively onstage interview with me, saying that if Yahoo got a giant pile of money and good data that she was not against the sale of its search business. </p>
<p>And <a href="http://kara.allthingsd.com/20090528/bartz-and-ballmer-meet-one-on-one-at-d7">Bartz and Microsoft CEO Steve Ballmer also met</a> while at <strong>D7</strong>, continuing ongoing partnership discussions.</p>
<p>Then, at an investor conference last week, she tacked negative and said she thought the prospects for the Silicon Valley icon would be &#8220;cleaner&#8221; without a Microsoft search and advertising deal. </p>
<p>Even better&#8211;or worse: &#8220;I personally think we would be better off if we never heard the word &#8216;Microsoft.&#8217;”</p>
<p>Those comments cleanly knocked five percent off of Yahoo shares.</p>
<p>Then, yesterday in an interview on Fox Business Network, while dinging any AOL merger deal&#8211;which had been discussed by her predecessor, Jerry Yang&#8211;as not happening &#8220;anytime in the forever future,&#8221; Bartz said Yahoo search was strong enough to fight for share with both Google (GOOG) and Microsoft.</p>
<p>And of the Bing gains in early surveys, she noted: &#8220;One day is one day&#8230;it does not a trend make.&#8221; </p>
<p>Well, Bartz <em>hopes</em> not!</p>
<p>That&#8217;s why she also carefully&#8211;and in an unusually modulated tone for her&#8211;kept the door open to Microsoft: &#8220;If you talk about search in general, you could partner with somebody.&#8221;</p>

<p>I don&#8217;t know about anyone else, but my head is spinning from all the public zig-zagging by Bartz (pictured here).</p>
<p>But, at the heart of it is one fact: When it comes to search, Yahoo has no true strategic alternative&#8211;except to spend on marketing and innovation, as much as Google and Microsoft can, to keep up. </p>
<p>Because, with Bing, Microsoft has finally presented a definite challenger to Yahoo&#8217;s search product that will likely improve with time.</p>
<p>With the intense marketing, Microsoft is betting it can make Bing stick with consumers for more than just one try. </p>
<p>The jury is still out on that, of course, but combined with the various search distribution deals both Microsoft and Google have grabbed away from Yahoo, it is more than quite possible that Yahoo could lose market share. </p>
<p>And, if that turns out to be more than one or two points, that could mean trouble&#8211;from investors, Wall Street, noisy media, to name a few of the most annoying&#8211;for Yahoo.</p>
<p>Thus, it is a dicey game of chicken that Bartz is playing, as one person close to the companies said quite succinctly: &#8220;She can ride it down or make the deal.&#8221;</p>
<p>My prediction: Bartz will keep up the tough talk, but&#8211;in the end&#8211;make a deal.</p>

<p>O&#8217;Brien cleverly created a fictional transcript of a Yahoo (YHOO) staff meeting where Bartz&#8211;by now, <a href="http://kara.allthingsd.com/20090421/liveblogging-the-yahoo-earnings-conference-call-it-depends-on-your-definition-of-what-wow-is/">well-known for her salty language</a>&#8211;lets loose in an address about just how sick she was of competitors getting all the good press: </p>
<blockquote><p>&#8220;We&#8217;re not going to take this (expletive) any more.</p>
<p>Starting today, we fight back. We&#8217;re going to announce a major new marketing campaign that won&#8217;t let anyone ignore Yahoo any more.<br />
For those of you who don&#8217;t have your heads up your (expletive), you may have noticed that I&#8217;ve personally been beta testing this thing. First with those analysts, and then with that (expletive) Wall Street Journal reporter Kara Swisher&#8211;I dropped the f-bomb.</p>
<p>The results were clear. Those (expletives) in the press won&#8217;t write about all the great (expletives) we&#8217;re doing at Yahoo, but one foul-mouthed remark from me, and we&#8217;re back in the headlines.</p>
<p>So we&#8217;re re-branding the company around excessive use of profanity. Our new marketing slogan will be, &#8216;Yahoo, (expletive) yeah!&#8217;&#8221;</p></blockquote>

<p>Well, why not?</p>
<p>During her <a href="http://d7.allthingsd.com/20090527/d7-interview-carol-bartz/">interview with BoomTown</a> at the seventh <strong>D: All Things Digital</strong> conference last week (pictured here, giving me a finger-to-eye-pointing lesson, which you can click on to make larger), Bartz did, in fact, curse at me, although she did not toss that off when talking about what was needed for Yahoo to regain momentum.</p>
<p>As she noted after a question I asked about Yahoo&#8217;s bruised image:</p>
<blockquote><p>&#8220;The best way to change the perception is to do a good job and then talk about it. For instance, I know everybody out there says Yahoo has lost the youth; only old people use Yahoo. Do you know in the 18 to 24 demographic we have 76 percent reach? Everybody doesn’t just go to Facebook. We just have to get our story out there; we have to continue to appeal to the people that come to us, and frankly, at some point people get sick of having us as the underdog and say, Thank God, Yahoo’s back. And we are back. We’re going to go step by step.</p></blockquote>
<p>It was a good answer and certainly a lot more forceful defense of the company than former Yahoo CEO <a href="http://d6.allthingsd.com/20080528/yang_decker/">Jerry Yang had made the year before at <strong>D6</strong></a>&#8211;which was essentially Job No. 1 for Bartz to correct at the recent <strong>D7</strong> event.</p>
<p>Except that a lot of folks last week&#8211;both inside and outside Yahoo and also in the media&#8211;later took Bartz to task to me privately and also publicly for just being a big talker.</p>
<p>&#8220;If you compare what she said and what Jerry said word for word, it was the same thing,&#8221; said one person to me, in what was a common refrain. &#8220;It&#8217;s just that Carol said it with more <em>oomph</em>.&#8221;</p>
<p>Well, yes. Exactly. Which is why I am not sure there&#8217;s anything wrong with that.</p>

<p>Of course, it is entirely true that Bartz has a only a limited time to roll out the confident patter and colorful cursing, before it gets old and real results are required. We have all seen ribald CEOS who delight and then disappoint. </p>
<p>The current economic downturn is, of course, giving Bartz a bit of cover. But, as she well knows, when it turns for the better and she is in office for more than three full quarters, people will justifiably have to have their expectations for her performance met.</p>
<p>That could mean striking a deal with Microsoft (MSFT). Or it could mean gaining some search share from Google (GOOG). Or it could mean just cutting enough costs and improving display advertising sales to turn in a great quarter. Or reviving the pace of innovation at the Silicon Valley giant. Or, all of the above.</p>
<p>Until then, even on the receiving end of an f-bomb onstage (which, I can assure you, came as <em>no</em> surprise), it&#8217;s probably a very good thing to keep the tough talk going for a while longer.</p>
<p>Because it motivates staff, because it shows that there is some oomph, because it allows people to forget all that has past. </p>
<p>In no way will be no substitute for making significant changes that Yahoo so desperately needs&#8211;but, for this window of time, loose lips might even help keep the Yahoo ship from sinking further.</p>

<p>If BoomTown were to hazard a guess, I would assume Yahoo would, if it could&#8211;in the end&#8211;sell itself off to Microsoft. </p>
<p>That&#8217;s just my opinion, of course, but&#8211;after all that has gone on and all the time that has passed&#8211;it would still be the best-case scenario for the company, over either a more limited commercial advertising and search partnership with the software giant it has been discussing.</p>

<p>That&#8217;s because partnerships of two strong companies are always fraught with struggle that hinders true achievement. I would imagine that would go double for Yahoo (YHOO) and Microsoft (MSFT).</p>
<p>And, in standing pat, Yahoo faces a future that is uncertain, especially given the need to keep up with the massive changes in the digital arena and the long struggle it has had over the last several years in trying to redefine itself in the Web 2.0 era.</p>
<p>After all, in 2009, it is still hard to answer the simple question: What <em>is</em> Yahoo?</p>

<p>I have been noodling all weekend about what to ask the forthright executive, who does not seem to mince words or suffer fools. </p>
<p>That&#8217;s good, since it will take that kind of gumption to clearly lay out for the influential crowds of attendees and assembled tech press exactly what she is going to do now that she has started to make the basic structural changes at Yahoo.</p>

<p>Cost-cutting and focusing management, of course, are the low-hanging fruit at Yahoo and now it will be up to Bartz (pictured here) to begin to tell a story about the future of the company she helms and where it is going.</p>
<p>Is it a media/content company or a search company or a communications company, for example? And, if it is parts of all three, how does that stack up against competitors?</p>
<p>There are a lot of questions like this that one can ask about Yahoo, from how it innovates to how it holds onto talent to how it will recharge its growth.</p>
<p>Because, even though it is one of the most highly trafficked sites on the Web and one of Silicon Valley&#8217;s icons, it is still much too easy for many to count Yahoo out. </p>
<p>So, perhaps most of all, what I look forward to hearing from Bartz is how we can all begin to count Yahoo in again.</p>

<p>Instead, Decker has been keeping a low profile since she announced <a href="http://kara.allthingsd.com/20090114/sue-deckers-goodbye-memo-to-the-yahoo-troops/">she was resigning from her post</a> the very day new Yahoo CEO Carol Bartz arrived. </p>
<p>Decker was also a candidate for the top job, which she sought after sticking by former Yahoo CEO and co-founder Jerry Yang through some very rough times for both.</p>
<p>Her last day at Yahoo, after nine years there, was April 1.</p>
<p>In the email, Decker explained that she has not yet made any future work-related plans, but had simply taken up an offer from Blackstone&#8217;s President Tony James, as well as Greenthal, who suggested she could set up a small office there to attend to board work. The three all used to work together at Donaldson, Lufkin &#038; Jenrette.</p>
<p>Even without an executive perch, Decker could use such a desk given that she sits on some very major boards, including Intel (INTC) and Berkshire Hathaway (BRK.A).</p>
<p>More than that, Decker&#8211;who sounded pretty happy to me&#8211;is not saying. <em>Yet</em>.</p>

<p>Recently, BoomTown reported that <a href="http://kara.allthingsd.com/20090420/update-on-yahoo-microsoft-talks-hot-and-heavy">talks between Microsoft and Yahoo had gotten &#8220;hot and heavy.&#8221;</a></p>
<p>That mood seems to be continuing, as many sources close to the situation on both sides said that the pair are coming ever closer to a search and advertising partnership deal.</p>
<p>Said one source: &#8220;It&#8217;s closer than it has ever been&#8230;we&#8217;re finally talking about the how rather than the if.&#8221;</p>
<p>&#8220;It&#8217;s meaningful,&#8221; added another source. &#8220;The fact that there is even progress and engagement, after so many failed attempts between us, says a lot.&#8221;</p>
<p>Indeed, it remains a good sign that there seems to be a lot of engagement between the two sides of late, and some sources think a deal could even be struck within the next few weeks.</p>
<p>As <a href="http://kara.allthingsd.com/20090430/microsoft-on-the-hunt-for-a-new-head-of-worldwide-online-sales-even-as-yahoo-talks-continue">I also reported last week</a>, the latest idea is one in which Yahoo (YHOO) would take over both search and display advertising sales and Microsoft (MSFT) would run the tech for both behind the scenes.</p>
<p>It&#8217;s not clear if trading other assets&#8211;such as content&#8211;or an investment in Yahoo by Microsoft are being considered too.</p>
<p>In any case, any such deal would be a major shift for both companies in their business focus and would also tether them tightly together. </p>
<p>Many think they need to be tethered, given that Google (GOOG) overwhelmingly dominates the lucrative search market. Yahoo is strong in display, although that market has been harder hit in the recent economic downturn.</p>
<p>But whether or not Yahoo and Microsoft can come to a partnership agreement&#8211;given the deep complexities of the situation, the wariness over controlling key technologies and tense history between them&#8211;is a big if, of course.</p>
<p>Still, sources on both sides seem more positive than ever before.</p>
<p>Microsoft execs, for their part, report that new Yahoo CEO Carol Bartz is much more straightforward to work with than former CEO Jerry Yang.</p>
<p>And Yahoo&#8217;s side seems convinced that Microsoft appears more willing to make a deal happen and is more flexible on terms than in previous encounters.</p>
<p>Both sides are using very small teams to discuss the possible partnership, mostly in Silicon Valley. Some of the Redmond, Wash.-based Microsoft team, in fact, are in the Bay area now.</p>
<p>Sources said those involved on the Microsoft side include: Digital head Qi Lu, a former Yahoo tech star; top M&#038;A and strategy exec Charles Songhurst; Online Audience Business SVP Yusuf Mehdi; and several others.</p>
<p>On the Yahoo side: North America EVP Hilary Schneider, who leads the efforts; General Counsel Michael Callahan; top Yahoo ad operations techie Mark Morrissey, who was key to its revival of the Panama ad system and has recently been leading product development on its new ad platform; finance SVP and Chief Treasury Officer Mike Gupta; and Products EVP and CTO Ari Balogh, although he is more in the background.</p>
<p>Of course, the only two execs who will matter, if these teams finally manage to hash out details, are Yahoo&#8217;s Bartz and Microsoft CEO Steve Ballmer, as well the both companies&#8217; boards.</p>
<p>Interestingly, Ballmer is slated to be at Stanford University&#8217;s Memorial Auditorium to give a lecture on innovation and entrepreneurship as part of the <a href="http://etl.stanford.edu/">Entrepreneurial Thought Leaders Seminar</a> on Wednesday afternoon. </p>
<p>Whether Ballmer is seeing Bartz on this trip or not is not clear.</p>
<p>But he has to at some point. The approval of a deal&#8211;which could be struck soon, if terms can be reached&#8211;will be entirely their call.</p>

<p>&#8220;She has an opinion and she is not afraid to use it,&#8221; joked one high-ranking Yahoo. &#8220;That is a big deal for a lot of people here who have wanted a CEO who is very forceful.&#8221;</p>
<p>And the only substantive negative: Some remain worried about her lack of Internet savvy, although most of those admit she has been a quick learner as the 100-day mark comes to a close.</p>
<p>In Yahoo&#8217;s case, 100 days has a special meaning&#8211;when he got his job in late 2007, former Yahoo CEO and co-founder Jerry Yang declared that he was going to give the troubled company a <a href="http://kara.allthingsd.com/20071025/day-100/">100-day evaluation with &#8220;no sacred cows.&#8221;</a></p>
<p>The Yang-farmed bovines, as it turned out, just got fatter.</p>
<p>Under Bartz, more have been under the knife, as the hard-charging exec has started to really put her imprint on the company.</p>
<p>She has certainly talked tough since the <a href="http://kara.allthingsd.com/20090113/live-blogging-yahoos-bartz-as-ceo-announcement-her-first-words-yahoooo/">meet-the-press conference</a> on her very first day on Jan. 13. </p>
<p>Some memorable Bartz quotes were about Yahoo&#8217;s immediate needs, in her estimation: “some friggin’ breathing room&#8221; and “frankly, [the company] could use a little management.”</p>

<p>That kind of tough-lady, Annie-Get-Your-Gun quote-making has been Bartz&#8217;s signature, whether it be in <a href="http://kara.allthingsd.com/20090220/carol-bartz-friday-memos-chick-flicks-the-need-for-speed-and-wow-also-here-comes-the-rerorg">folksy Friday memos she has sent out to staff</a> or at the <a href="http://kara.allthingsd.com/20090127/liveblogging-the-yahoo-fourth-quarter-earnings-call-yes-we-can/">fourth-quarter earnings call in late January</a>, only weeks into her tenure, when she declared:</p>
<p>&#8220;This is not a company that needs to be pulled apart and left for the chickens.&#8221;</p>
<p>Well, except for the management structure, which <a href="http://kara.allthingsd.com/20090226/bartz-blogs-reorg-the-entire-memo-to-employees">Bartz pulled right apart and reshuffled</a> six weeks in. </p>
<p>Cleaning up and simplifying the complex reporting structure in an all-roads-lead-to-Carol set-up and tossing out the CFO were main points of the reorganization. Many at Yahoo expect there to be even more cuts in staff sooner than later, many sources said.</p>
<p>And there have also been departures of key staff, including: PR head <a href="http://kara.allthingsd.com/20090202/yahoo-pr-head-jill-nash-to-depart-the-company">Jill Nash</a>, Zimbra founder <a href="http://kara.allthingsd.com/20090121/zimbra-founder-satish-dharmaraj-to-depart-yahoo">Satish Dharmaraj</a> and soon, high-ranking techie <a href="http://kara.allthingsd.com/20090331/another-yahoo-to-go-venkat-panchapakesan-on-his-way-out">Venkat Panchapakesan</a>.</p>
<p>Yang too, although he remains on the board, has not been present as much at the company.</p>
<p>Curiously, though, except for the new CMO, Elisa Steele&#8211;whose office is powerfully located right next to Bartz, as many Yahoos noted to me&#8211;there have been no further appointments for open positions for CFO, a new Customer Advocacy top exec and a new international head. Presumably, they are on the way.</p>
<p>Not that Bartz has not been busy&#8211;visiting Yahoo staff and clients all over&#8211;as well as finally finding time for a face-to-face meeting with Microsoft CEO Steve Ballmer in Silicon Valley recently. </p>

<p>Before the recent meetings, in a classic negotiating tactic, Bartz (pictured here) has projected a disinterested, poker-faced attitude about the situation, <a href="http://kara.allthingsd.com/20090116/is-the-gut-bone-connected-to-the-knee-jerk-bone/">even telling Yahoo staff in one meeting</a> “that she plans to spend a lot of time investigating whether to sell Yahoo’s search business, but that her ‘gut’ was not to do that.”</p>
<p>Well, a sale of Yahoo&#8217;s search business might not happen, Bartz was only buying a little time in being so confident and projecting the affect that Yahoo had some leverage and a choice.</p>
<p>But that is exactly what she does not really have, given that Yahoo faces the prospect of spiraling costs to maintain a search share, even as it has a good chance of declining.</p>
<p>So, last week, the news&#8211;<a href="http://kara.allthingsd.com/20090410/yahoos-bartz-and-microsofts-ballmer-finally-talking-about-search-and-advertising-partnership/">first reported here</a> Friday&#8211;that Bartz was involved in preliminary talks with Microsoft (MSFT) about an extensive commercial advertising and search partnership&#8211;should have come as almost no surprise.</p>
<p>A re-engagement between the companies, after a bruising takeover battle that ended in tears all around, has been long hoped for by investors and other observers, given that both have struggled against the search behemoth that is Google (GOOG).</p>
<p>(Or, in a nickname that BoomTown is trying unsuccessfully to popularize: Googzilla.)</p>
<p>The talks&#8211;which are not about the software giant making another acquisition offer for Yahoo&#8211;are ongoing and might not lead anywhere, but it is in both sides&#8217; interest to avoid that outcome.</p>
<p>&#8220;Yahoo has to do some kind of deal or Bartz will be facing a decline even she cannot manage,&#8221; said one person close to the situation. &#8220;And Microsoft, if it wants to compete in search, needs Yahoo&#8217;s share along with its own.&#8221;</p>
<p>Among the surprisingly innovative ideas being bandied about: Yahoo might take over all of Microsoft’s display and premium advertising business to sell along with its own, while Microsoft would run the search advertising business for the pair.</p>
<p>And, while the discussions could degenerate into chest-pounding and pointless jockeying, one assumes that Bartz gets the idea that Yahoo needs a lot of help&#8211;including from some rapprochement with Microsoft, from making its staff even leaner, from streamlining its product focus and from striking other significant partnerships.</p>
<p>Many inside and outside Yahoo certainly hope that spirit&#8211;and not the one from this video below of a fabulous scene of Betty Hutton and Howard Keel in the musical classic, &#8220;Annie Get Your Gun,&#8221; singing &#8220;Anything You Can Do&#8221;&#8211;prevails with Microsoft in the next 100 days.</p>
