<p>While sales of Windows 7 are doing well&#8211;especially compared to the Vista, the previous operating system, according to many reports&#8211;Apple (AAPL) is continuing to slap the Microsoft (MSFT) operating system software around.</p>
<p>There was a bunch of <a href="http://kara.allthingsd.com/20091022/apple-ads-new-target-windows-see-the-video">unusually mean-spirited &#8220;Get a Mac&#8221; ads</a> right when Windows 7 was released in late October, all of which stressed consumers dying to switch to Apple when faced with the prospect of upgrading their Microsoft software. </p>
<p>Now there is a name for them: &#8220;PC Switchers.&#8221;</p>
<p>It sounds a little naughty.</p>
<p>The ads, which began appearing a week ago, are now widespread&#8211;once again taking over the New York Times Web front page, as well as over at Wired.</p>
<p>Apple needs to be aggressive, of course, as it tries to chip away at Microsoft&#8217;s PC hegemony, which remains largely intact. Stressing consumer satisfaction is a natural weapon, of course.</p>

<p>Well, well, well, that financial imp at Microsoft&#8211;CFO Chris Liddell&#8211;pulled a fast one on Wall Street and <a href="http://kara.allthingsd.com/20091023/microsoft-earnings-preview-move-on-nothing-to-see-here/">turned in first-quarter earnings that blew away all estimates</a> and even the whisper numbers.</p>
<p>While <a href="http://digitaldaily.allthingsd.com/20091023/microsoft-tops-estimates/">revenue and net income were down</a> for the third consecutive quarter, they were not as bad as investors had expected.</p>
<p>Perhaps those Microsoft (MSFT) financial predictions were no good, but the results were a strong sign of recovery at the software giant.</p>
<p>BoomTown liveblogged the morning conference call with Liddell, which took place at 7:30 am PT&#8211;thanks for the Kiwi-laced wake-up call, Chris!</p>

<p><strong>7:34 am:</strong> &#8220;It might have been the bottom of the economic reset,&#8221; said Liddell in the opening. &#8220;I&#8217;m very happy.&#8221;</p>
<p><a href="http://kara.allthingsd.com/files/2009/10/cartwheel3.jpg"><img src="http://kara.allthingsd.com/files/2009/10/cartwheel3.jpg" alt="cartwheel3" title="cartwheel3" width="250" height="275" class="alignleft size-full wp-image-19905" /></a></p>
<p>Still, Liddell, who has been a glum goose for many quarters now, could not quite do cartwheels, noting that the economy was &#8220;still challenging.&#8221;</p>
<p>He also still repeated his favorite term for the market, calling it: &#8220;The new normal.&#8221;</p>
<p><strong>7:38 am:</strong> Other investor guy, whose name I always forget (and who is Bill Koefoed, by the way), got on and went through the numbers. He also sounded deeply relieved and noted that it looked pretty good out there.</p>
<p>Liddell returned and said Microsoft was &#8220;well-positioned&#8221; to exit the econalpyse stronger than competitors.</p>
<p>Not so bad, although he expected personal computer and hardware sales be weak still and was not promising anything.</p>
<p>The online and search and advertising partnership with Yahoo (YHOO) was also on track, said Liddell.</p>
<p>&#8220;In summary, I feel great  about how we are executing,&#8221; said Liddell, who made sure to give credit to &#8220;cost discipline.&#8221;</p>
<p>It was nowhere near the strong performances of Google (GOOG) and Apple (AAPL) recently, but allowed Microsoft some much needed breathing room.</p>
<p><strong>7:51 am:</strong> Question time!</p>
<p>The first was about when the launch of Windows 7 would start bringing home the bacon. </p>

<p>The next was about &#8220;channel inventory build,&#8221; which was like asking Liddell to be a soothsayer. &#8220;Net positive,&#8221; he opined.</p>
<p>The third question was about costs from the transition of the Yahoo deal and the contribution.</p>
<p>Costs will up front and there will be a contribution in the &#8220;hundreds of millions.&#8221;</p>
<p>Next: The future of cost cuts.</p>
<p>&#8220;I see that as the journey that never ends,&#8221; said Liddell.</p>
<p>Memo to PR head Frank Shaw: Cancel the truckload of caviar for a big honking party in celebration of these results. <em>Stat!</em></p>
<p><strong>7:58 am:</strong> I missed one question, since it was so boring, as was the answer.</p>
<p>Then a good one came about the deployment of Windows in corporate environments and elsewhere.</p>
<p>&#8220;All of the feedback we get so far is positive,&#8221; said Liddell, not that he is bragging or anything. &#8220;The sales in retail, we are expecting to be very good.&#8221;</p>
<p>Another cost question, this time about whether more investments are coming in the years ahead.</p>

<p>The next question was about the impact of netbooks on the bottom line.</p>
<p>Not bad, but not huge, said Liddell.</p>
<p>What about display advertising online? In line with the weaker market, said Liddell, but it should improve.</p>
<p><strong>8:09 am:</strong> PC demand? Liddell notes the &#8220;robustness&#8221; of the PC, which Microsoft has actually been pooh-poohing over many quarters.  </p>
<p>Liddell said he saw better days ahead, perhaps because past ones had been weak, especially business PCs. &#8220;That can&#8217;t continue forever,&#8221; he noted.</p>
<p>A question about Europe. &#8220;Relatively weak,&#8221; said Liddell, while emerging markets were stronger.</p>
<p>&#8220;This calendar year is transition to next calendar year,&#8221; said Liddell.</p>
<p>A query about Windows 7 revenue recognition, which comes when Microsoft sells to OEMs.</p>
<p><strong>8:14 am:</strong> More on OEMs, who are the big buyers of Microsoft&#8217;s operating system software. </p>
<p>Next up: Another question about outlook.</p>
<p>&#8220;Generally speaking, we are seeing good adoption of our products,&#8221; said Liddell, but the true rebound is coming next year.</p>
<p>The last question is about Windows Live.</p>
<p>It&#8217;ll get better, but next year, folks!</p>
<p>Translation, if you imagine Liddell channeling &#8220;Annie&#8221;: The sun&#8217;ll come out tomorrow. Bet your bottom dollar that tomorrow, there&#8217;ll be sun! </p>

<p>But Wall Street is not expecting quite as much excitement from the software giant&#8217;s first-quarter earnings, which will be announced before the markets open this morning.</p>
<p>Both revenue and profits are expected to be down from the same period a year ago.</p>
<p>So any beating of expectations would be seen as a big deal by investors.</p>
<p>Microsoft (MSFT) will hold a conference call on the results at 7:30 am, which BoomTown will be liveblogging&#8211;mostly to enjoy the lilting accent of CFO Chris Liddell.</p>
<p>Analysts are expecting the company to report 32 cents a share on revenue of $12.4 billion. In the same period a year ago, Microsoft&#8217;s revenue was $15.1 billion on net income of 48 cents a share.</p>
<p>Microsoft&#8217;s execs have been <a href="http://kara.allthingsd.com/20090423/liveblogging-the-microsoft-earnings-call-glum-chris-at-the-recessiondome/">striking a tone of caution</a> for several quarters, largely due to the falloff in sales of personal computers in the wake of the econalypse.</p>
<p>In the last quarter, the company&#8217;s income fell 30 percent, for example, and it <a href="http://digitaldaily.allthingsd.com/20090723/microsoft-disappoints">missed revenue estimates by $1 billion</a>.</p>
<p>There have been no new products of any consequence in the first quarter, although Windows 7&#8211;which has been well-received so far&#8211;is likely to boost results in the months ahead.</p>
<p>Office 2010 is also coming out in the first half of this fiscal year, which should also add to a better future performance.</p>

<p>Here are the three new Apple (AAPL) commercials trying to take a smack at the launch of Windows 7 (MSFT), the new operating system software from Microsoft.</p>
<p>The &#8220;Get a Mac&#8221; advertising features the PC and Mac guys, as usual, but are quite a bit meaner than usual.</p>
<p>The first, titled &#8220;Broken Promises,&#8221; is a series of flashbacks to promises made about earlier Windows versions, complete with flip sunglasses.</p>
<p>The second, &#8220;Teeter Tottering,&#8221; has a Windows user switching over to Mac instead of upgrading from Windows XP. &#8220;I could stick with what I know, but what I know is pain and frustration,&#8221; she says. <em>Ouch!</em></p>
<p>The third commercial, called &#8220;PC News,&#8221; has the PC guy as a television anchor, talking to a reporter at the Windows 7 launch, to disastrous results.</p>

<p>When Apple reports its fourth-quarter earnings today, investors are hoping&#8211;actually, expecting&#8211;that the iconic computer company will look a lot now as it always has.</p>
<p>In other words, don&#8217;t go changing and it will please us.</p>
<p>Wall Street is anticipating, as it has throughout the econalypse, another estimate-beating performance from Apple (AAPL).</p>
<p>While Apple has signaled that it will be making up to $1.23 per share for the quarter, the &#8220;whisper&#8221; number for the quarter is much higher.</p>
<p>Revenue is also expected to rise strongly to upward of $9 billion.</p>
<p>The reason for all this happy talk? Strong sales of all of Apple&#8217;s innovative hardware products, including iPods, iPhones, and computers, as well as the big, fat profit margins that came with upgrades by consumers this past quarter to its new Snow Leopard operating-system software.</p>
<p>And, of course, the stock has been showing all this investor love by&#8211;as BoomTown has noted recently&#8211;<a href="http://kara.allthingsd.com/20090928/can-apple-shares-keep-defying-gravity">defying gravity</a>.</p>
<p>Apple shares are up just above 120 percent since the beginning of the year.</p>
<p>The company closed at $188.05 on Friday, giving it a market valuation of $168.5 billion.</p>
<p>Whether it will continue going up is a big question for investors, although Apple is entering the holiday season, when it typically does well.</p>
<p>Plus, many are expecting the company to goose excitement for 2010 with the announcement of its secret-but-everyone-knows tablet offering.</p>
<p>That said, Microsoft (MSFT) is also officially launching a new operating system this week&#8211;Windows 7&#8211;which is expected to give Apple some clear competition.</p>

<p>As you might imagine: Massive, massive bummer.</p>
<p>While Microsoft (MSFT) PR head Frank Shaw begrudgingly invited me to his party, flying to Seattle for it seemed like too much fun to have in one lifetime.</p>
<p>So, because we admire the very gumption of Microsoft marketing types for trying to make a software launch festive, which many have mocked mercilessly, the Swisher boys and I pressed on and created our own party to mark the launch of the much anticipated new operating system software.</p>
<p>With Windows 7 officially in stores on Oct. 22, the software giant hopes its new offering will erase all memories of Vista. And so far, reviews, <a href="http://ptech.allthingsd.com/20091007/a-windows-to-help-you-forget/">such as Walt Mossberg&#8217;s here</a>, are pretty good.</p>
<p>After a rocky start, including disinviting all the <strong>All Things Digital</strong> staff from the proceedings for reasons you will see in the video, Louie, Alex and I proceeded to party down. </p>
<p>The festivities included Pin-the-Moustache-on-Steve-Ballmer, Bobbing for Apple (AAPL) and, of course, a very exhausting game of &#8220;Search&#8221;&#8211;also know as Hide-and-Seek&#8211;for the Google (GOOG) PC. </p>
<p>All in all, a memorable evening at the Swisher household, as you can see in the video below:</p>

<p>They included:</p>
<p><em>&#8220;Stay calm. Talk to the cougar in a confident voice.&#8221;</em></p>
<p><em>&#8220;Do not run. Try to back away from the cougar slowly. Sudden movement or flight may trigger an instinctive attack. Do not turn your back on the cougar. Face the cougar and remain upright.&#8221;</em></p>
<p>And, most important of all: <em>&#8220;Do all you can to enlarge your image. Don&#8217;t crouch down or try to hide. Pick up sticks or branches and wave them about.&#8221;</em></p>
<p>Which, if you think about it, is even better advice for Microsoft (MSFT) Bing execs&#8211;this means <em>you</em>, Yusuf!&#8211;in tangling with search archrival Google (GOOG).</p>

<p>BoomTown will be there covering it in person, natch!</p>
<p>The Microsoft management smorgasbord includes:</p>
<p>CEO Steve Ballmer, COO Kevin Turner, Entertainment and Devices President Robbie Bach, Online Services President Qi Lu, Microsoft Business President Stephen Elop, Servers and Tools President Bob Muglia, Chief Research and Strategy Officer Craig Mundie, Chief Software Architect Ray Ozzie and CFO Chris Liddell.</p>
<p>I am betting that most of the focus at the gathering, which is being held at the worldwide HQ of Microsoft (MSFT) in Redmond, Wash., will likely be on two major events over the last week&#8211;its <a href="http://digitaldaily.allthingsd.com/20090723/microsoft-disappoints/">billion-dollar revenue miss in its fourth quarter</a> and its <a href="http://kara.allthingsd.com/20090729/complete-coverage-yahoo-microsoft-deal/">just-born search and online advertising deal</a> with Yahoo (YHOO).</p>
<p>The former, of course, was bad news for Microsoft, as it continues to signal weakness in its core operating system software and server businesses, due to lower demand for personal computers in the midst of the econalypse.</p>
<p>The latter was good news, of course, since Microsoft seemed to score a coup in nabbing the search technology business from Yahoo with no big upfront payments. </p>
<p>I have a lot of questions about both these issues, as will the crowd of reporters and Wall Street sharpies at the FAM, which is what they call the meeting here.</p>
<p>There could even be be plenty of answers, especially given that the entire leadership of Microsoft will be there.  </p>

<p>You can see that here, as well as Ballmer demoing the product, which is Microsoft&#8217;s biggest and priciest attempt yet to catch archrival Google (GOOG) and Yahoo (YHOO) in the search business.</p>
<p>It is a market where the typically dominant Microsoft (MSFT) is a mouse in comparison, although it is also trying to innovate.</p>
<p>That did not stop Ballmer from doing some roaring about Bing, in <a href="http://d7.allthingsd.com/20090528/d7-interview-steve-ballmer/">an interview with Walt Mossberg</a>, as well as the status of other Microsoft products like its upcoming release of the Windows 7 operating system, an arena where Microsoft does rule. </p>
<p>Ballmer also talked about ongoing talks with Yahoo about a search partnership, and other Microsoft initiatives.</p>

<p>Well, despite the news being as bad at Microsoft as it was at Yahoo (YHOO) earlier this week, the conference call after the software giant <a href="http://kara.allthingsd.com/20090423/microsoft-gets-hit-by-the-econalyspe-earnings-and-revenues-slide/">released its third-quarter earnings</a> was 100 percent less naughty and 200 percent more glum.</p>
<p>In other words, while there were <a href="http://kara.allthingsd.com/20090421/liveblogging-the-yahoo-earnings-conference-call-it-depends-on-your-definition-of-what-wow-is">no F-bombs dropped</a>, there were lots of E-bombs&#8211;as in econalypse. </p>
<p>Microsoft&#8217;s earnings and revenue took a big hit in its third quarter, with profits down 32 percent from a year ago on a six percent sales decline.</p>
<p>It was the company&#8217;s first-ever year-over-year quarterly sales drop.</p>
<p>There were also more than $700 million in charges from layoffs and investment declines, both a result of the weak economy. The culprit for most of the bad news was the decline in consumer and business spending on computers.</p>
<p>And Microsoft CFO Chris Liddell did not even bother to act as if there was any hope, painting a semi-apocalyptic picture of the business landscape that he predicted was not going to get better anytime soon.</p>
<p>Here&#8217;s BoomTown&#8217;s liveblogging of the call:</p>
<p><strong>2:34 p.m. PDT:</strong> The call starts after some very stern marshal music was played. This turns out to be the perfect mood-setter.</p>
<p>First up, the investor relations guy who talks about all the rules, like those folks who come on after, say, a Viagra commercial and quickly list the scary side effects.</p>
<p>But scary was what Liddell was serving up from the get-go, as he pretty much spent the entire conference call talking about just how bad the economy has been, is and will be.</p>
<p><a href="http://kara.allthingsd.com/files/2009/04/getimageaspxgif.jpeg"><img src="http://kara.allthingsd.com/files/2009/04/getimageaspxgif.jpeg" alt="getimageaspxgif" title="getimageaspxgif" width="225" height="300" class="alignleft size-full wp-image-12796" /></a></p>
<p>What&#8217;s most disconcerting perhaps is the fact that he was delivering the bad news in a cute-as-a-kiwi New Zealand accent. </p>
<p>Nonetheless, Liddell said the company had had to &#8220;adapt to a new reality&#8221; and that Microsoft was &#8220;more cautious than most about the state of the world economy&#8221; and&#8211;let&#8217;s not forget&#8211;the &#8220;economic pressures are both broad and deep.&#8221;</p>
<p>Liddell also noted that the recovery will not happen quickly, but be &#8220;slow and gradual.&#8221;</p>
<p>Perhaps this is not the right time to mention that both <a href="http://mediamemo.allthingsd.com/20090416/googles-revenue-slumps-but-cost-cutting-pays-off">Google</a> (GOOG) and <a href="http://mediamemo.allthingsd.com/20090422/apple-beats-the-street-guidance-a-bit-light/">Apple</a> (AAPL) essentially <em>killed</em> in their recent earnings reports.</p>
<p><strong>2:38 p.m.:</strong> Microsoft&#8217;s investor relations head Bill Koefoed&#8211;without any jaunty inflection whatsoever&#8211;delivered the numbers in that droning way that all financial types who deliver numbers on calls like this do.</p>
<p>My assistant, Ed, actually fell into a temporary coma from across the room.</p>
<p>Basic message of numbers: Bad.</p>
<p><strong>2:54 p.m.:</strong> Back to Liddell for some forward-looking stuff.</p>
<p>Also not good, with consumer sentiment and spending weak, he said, there would be &#8220;significant pressure until market conditions improve.&#8221;</p>
<p>&#8220;In summary, it was a tough quarter,&#8221; reiterated Liddell, restating what he already stated and stated again. And then restated.</p>
<p><strong>2:59 p.m.:</strong> Now to questions! Maybe things will look up here.</p>

<p>But&#8230;<em>nope!</em> </p>
<p>Thus, more worries about Microsoft&#8217;s growth, a weakness in sales and even some clucking over renewal rates of its operating system software licenses.</p>
<p>Then someone noted that it seemed as if Microsoft at least had its &#8220;arms around&#8221; the problems.</p>
<p>Would Liddell show any glimmer of hope?</p>
<p>&#8220;I guess we are all learning&#8230; how do I feel about the shape of the quarter [to come]?&#8221; he pondered.</p>
<p>Wait for it, wait for it, <em>wait for it</em>. Said Liddell, the sad-sack CFO: &#8220;I do not see anything that gives me any encouragement.&#8221;</p>
<p>Big, big sigh.</p>
<p><strong>3:16 p.m.:</strong> Someone asked about one remark Liddell made about some &#8220;countercyclical&#8221; products, which might be bright spots in the Microsoft empire.</p>
<p>Indeed, new versions of the Windows operating system, Office, Exchange and its search offering are all set to come out in the next year.</p>

<p>Finally, at the end, after a question about stock repurchases, there was some light at the end of the tunnel.</p>
<p>No matter what, Microsoft is still a cash-spewing engine.</p>
<p>&#8220;One of the great positives,&#8221; said Liddell was the company&#8217;s free cash flow of $20 billion, at an annual rate.</p>
<p>In other words, there is nothing like money stuffed under the mattress in times like these.</p>

<p>Microsoft&#8217;s earnings and revenue took a hit in its third quarter, as expected, with profits down 32 percent from a year ago on a six percent sales decline.</p>
<p>Before one-time charges, the software giant earned $2.98 billion, or 33 cents a share after one-time charges, on revenues of $13.65 billion.</p>
<p>The weak results were relatively in line with analysts&#8217; estimates of 39 cents a share on $14.1 billion in revenue.</p>
<p>It was the company&#8217;s first-ever year-over-year quarterly sales drop.</p>
<p>But Microsoft stock was up in after-hours trading, after also rising today before the market close by 14 cents, up .75 percent, to $18.92.</p>
<p>Costs from layoffs of $290 million and a $420 million impairment charge on investments also hit the bottom line at Microsoft (MSFT).</p>
<p>The company announced those first-time mass layoffs in the previous quarter. No further layoffs were announced today, despite rumors that they might be.</p>
<p>The culprit for most of the bad news was the decline in consumer and business spending on computers, since half of Microsoft&#8217;s operating income comes from sales of its Windows operating system.</p>
<p>But its online services also got hit badly, with a 14 percent decline in revenue from a year ago to $721 million. Losses doubled to $575 million. <em>Oof!</em></p>
<p>Thus, Microsoft execs better hightail it down to Yahoo (YHOO) some more to strike that <a href="http://kara.allthingsd.com/20090420/update-on-yahoo-microsoft-talks-hot-and-heavy">long-simmering search and advertising partnership deal</a>.</p>
<p>BoomTown will be liveblogging the earnings conference call soon, but until then, here is the <a href="http://www.microsoft.com/msft/earnings/FY09/earn_rel_q3_09.mspx">Microsoft press release</a>:</p>
<blockquote class="memo"><p>REDMOND, Wash.&#8211;Apr. 23, 2009&#8211;Microsoft Corp. today announced revenue of $13.65 billion for the third quarter ended March 31, 2009, a 6% decline from the same period of the prior year. Operating income, net income and diluted earnings per share for the quarter were $4.44 billion, $2.98 billion and $0.33 per share, which represented an increase of 3% and declines of 32% and 30%, respectively, when compared with the prior year period.</p>
<p>The financial results for the third quarter ended March 31, 2009, included $290 million of severance charges related to the previously announced plan to reduce up to 5,000 positions and $420 million of impairments to investments. Combined, these two charges reduced earnings per share by $0.06.</p>
<p>Revenue in Client, Microsoft Business Division, and Server &#038; Tools was negatively impacted by weakness in the global PC and Server markets. Revenue from enterprise customers remained stable during the quarter.</p>
<p>“With our continued R&#038;D investment and our broad suite of products and services, we remain in a great position to compete and gain share in the marketplace,” said Kevin Turner, chief operating officer at Microsoft. During the quarter, Microsoft released the beta version of the Windows 7 operating system, which remains on track for a fiscal year 2010 launch. Development milestones were achieved on other products including Microsoft Office 2010, Windows Server 2008 R2 and Windows Mobile.</p>
<p>“While market conditions remained weak during the quarter, I was pleased with the organization’s ability to offset revenue pressures with the swift implementation of cost-savings initiatives,” said Chris Liddell, chief financial officer at Microsoft. “We expect the weakness to continue through at least the next quarter.”<br />
Business Outlook</p>
<p>Microsoft offers updated operating expense guidance of $26.7 billion to $26.9 billion, including severance charges, for the full year ending June 30, 2009.</p>

<p><a href="http://g.ho.st/main.jsp?language=en">G.ho.st</a>, which stands for &#8220;Global Hosted Operating System,&#8221; is claiming it has a pending trademark registration for the tagline &#8220;no walls.&#8221;</p>

<p>G.ho.st has used the phrase for almost 18 months and is alleging that it pertains specifically to operating systems (as shown in the screenshot here).</p>
<p>In a letter sent earlier this week to Microsoft CEO Steve Ballmer and many others, which BoomTown has obtained, G.ho.st CEO Zvi Schreiber claims that the software giant has violated G.ho.st&#8217;s pending trademark for the ad phrase &#8220;no walls&#8221; and asks Microsoft (MSFT) to remove it from the company&#8217;s marketing materials.</p>
<p>Microsoft&#8217;s advertising campaign, which launched this month and had a <a href="http://kara.allthingsd.com/20080917/seinfeld-and-gates-ads-over-not-that-theres-anything-wrong-with-that/">rocky start with poorly received commercials</a> featuring comedian Jerry Seinfeld and Microsoft Founder Bill Gates, uses the taglines &#8220;Imagine No Walls&#8221; and &#8220;Life Without Walls&#8221; to tout its Vista operating system. <p>G.ho.st, which is hosted by Amazon (AMZN), is yet another of many attempts to make cloud computing real and is competing to grab customers from the software-based Windows powerhouse.</p>
<p>A Microsoft spokesman, in an email to me, dismissed G.ho.st&#8217;s claims.</p>

<p>He said:</p>
<p>&#8220;We are aware of their concerns and believe their claims have no merit. We are not aware that Ghost has any trademark registrations or other rights that would be infringed by our &#8216;Life Without Walls&#8217; campaign. To our knowledge, the right they have asserted, namely, a U.S. &#8216;registered trademark application,&#8217; in the phrase &#8216;No Walls,&#8217; does not exist.</p>
<p>&#8220;To our knowledge, Ghost has no trademark registrations or other rights in the phrase &#8216;No Walls.&#8217;  Even if they did, they cannot prevent others from using the words &#8216;no walls&#8217; together in a sentence or in a descriptive manner in ad copy. Nor can they claim ownership in word &#8216;wall&#8217; or the idea of a wall. The tagline for Microsoft’s new ad campaign is &#8216;Life Without Walls&#8217;&#8211;a slogan that, taken in its entirety, is not confusingly similar to Ghost’s purported &#8216;motto.&#8217;&#8221;</p>

<p>G.ho.st (pronounced &#8220;ghost&#8221;, an acronym of Global Hosted Operating SysTem and the trading name of Ghost Inc.&#8211;seehttp://G.ho.st) has been marketing an early version of our Virtual Computer (VC) product and service since April 2007 under the tag line &#8220;no walls&#8221; [1]. </p>
<p>Steve, you have apparantly personally acknowledged that we are an innovative competitor to Microsoft® Windows® [2]. The press sees the G.ho.st Virtual Computer and Microsoft Windows as competitors too [3].  </p>
<p>What are you thinking in rebranding Microsoft Windows with the tag line &#8220;life without walls&#8221; and with the prominent messaging &#8220;IMAGINE NO WALLS&#8221; (with the word IMAGINE small and the words NO WALLS in large all-caps font right on the Windows home page http://www.microsoft.com/windows/ and [4]), marks which are virtually identical (or, ignoring the much smaller &#8220;imagine&#8221;, actually identical) to our trademark, and using these marks on the Windows home page and in a massive marketing campaign since last Thursday?</p>
<p>G.ho.st believes its Virtual Computer is offering consumers the first real conceptual alternative to Windows in decades. We have been using our limited marketing budget to market the user benefits of our fresh approach to personal computing under the trademark &#8220;no walls&#8221; for the last 17 months and teaching the market that &#8220;no walls&#8221; represents benefits such as</p>
<p>*	A personal computing environment (desktop, file system, apps) which is not &#8220;walled&#8221; into &#8211; or installed on&#8211;a physical devices&#8211;but is hosted and available from any browser<br />
*	A personal computing environment which is free of charge and not only for the well off<br />
*	A personal computing environment that does not require administration&#8211;no need to install or update software, no need for the user to perform backups or fight viruses<br />
*	A personal computing environment which is online and allows all users globally to share with each other directly.</p>
<p>Steve, does Microsoft Windows Vista® offer these benefits? </p>
<p>But now you have taken a tag line virtually identical, or identical, to our trademark, without license, and applied it to a competitive product which has none of the same benefits. You are apparently spending more each hour than we were able to spend in total since April 2007&#8211;reportedly you are spending $300m in total&#8211;conveying these messages and completely overwhelming our own marketing using a virtually identical or identical trademark.</p>
<p>In addition the suspicion arises that Microsoft&#8217;s disrespect for G.ho.st&#8217;s intellectual property is designed to scare off potential investors in G.ho.st or partners of G.ho.st and prevent us from giving our innovative Virtual Computer solution a fair chance in the market place.</p>
<p>After consulting our advisors we believe that your use of marks highly similar or identical to our trademark in connection with the promotion and sale of your Windows products creates confusion as to the source, sponsorship and/or affiliation of the products before and after the point of sale, and/or is likely to cause mistake, and/or is likely to deceive the public, especially considering the acknowledged competition between Microsoft Windows and G.ho.st.</p>
<p>Given the size of Microsoft and the reputation of Windows and Microsoft in the market, the use of these marks is also likely to create reverse confusion where consumers are likely to be confused into thinking that our VC technology is being offered by Microsoft or that some of our technology is being licensed by Microsoft or that Microsoft has licensed our tag line or that Microsoft has achieved the same technical features that we offer&#8211;none of which are apparently true.</p>
<p>We are advised that these actions may constitute, inter alia, violations of 15 U.S.C. §§1114 and 1125 (Lanham Act), common law unfair competition, palming off and dilution of our trademarks under Federal, State and international laws.</p>
<p>In order to resolve this matter amicably, and given the phenomenal rate at which you are advertising these marks and harming our business, G.ho.st requires the following by the end of business Thursday, September 25, 2008:</p>
<p>1.    Written confirmation that Microsoft has ceased and desisted all unauthorized use of G.ho.st&#8217;s NO WALLS mark and any marks similar thereto, including, without limitation, the LIFE WITHOUT WALLS, IMAGINE WITHOUT WALLS and IMAGINE NO WALLS marks, on your products, Web site, marketing materials, advertising and other promotions and written agreement to not use these marks or similar marks in the future;</p>
<p>2.    Publication in the same media where these marks were displayed or advertised of an appropriate clarification that Microsoft has not licensed G.ho.st&#8217;s technology or trademark and does not offer the same features and benefits as the G.ho.st Virtual Computer that have become associated with the theme of &#8220;NO WALLS&#8221; from G.ho.st&#8217;s own marketing.</p>
<p>3.    Negotiating a good faith license for your past use of these marks (and should you wish it and should you and we agree on terms&#8211;also for future use).</p>
<p>We reserve the right to publish our own clarifications on this matter. However given that G.ho.st&#8217;s marketing budget is a tiny fraction of Microsoft&#8217;s, we would obviously not be able to substantially reduce the massive confusion on our own, nor is it our responsibility, and any publication by us would in no way reduce the need for the remedies above.</p>
<p>The above demands are made without prejudice to all of the rights, remedies and causes of action that G.ho.st has, including, without limitation, recovery of damages, injunctive relief and attorneys&#8217; fees.  We look forward to your prompt response.</p>

<p>The blogosphere immediately jumped all over the inevitable meme that after the Yahoo (YHOO) deal fell apart, Microsoft (MSFT) CEO Steve Ballmer&#8217;s job was at risk.</p>
<p>What with the problems with the new Vista operating system and the general feeling that Microsoft&#8217;s Internet strategy is in shambles, the argument that Ballmer would be shown the door by an impatient board and replaced by former CEO and Founder Bill Gates was clear.</p>
<p>Actually, not so such much at all, but that has not stopped all the noise.</p>
<p>Maybe Ballmer should go and maybe not, but I would like some proof that&#8217;s not in evidence as yet.</p>
<p>Instead, <a href="http://www.techcrunch.com/2008/05/04/does-ballmer-need-to-go/">this TechCrunch story was typical</a>, full of assertions as easy to make with certainty, but just as easy to knock down. </p>
<p>First, it noted that Ballmer being the &#8220;big driver behind this deal at Microsoft&#8211;some would say to the point of obsession&#8221; had made him vulnerable to the board, which he was trying to impress with a &#8220;transformative&#8221; deal and that he was worried about being fired.</p>
<p>Actually, I would be worried if Ballmer was not obsessed, given that more than $40 billion is an awfully big bet. </p>
<p>And has anyone noticed how typically ineffectual most boards are (see Yahoo, see Time Warner [TWX], see them <em>all</em>)?</p>
<p>I doubt there is a major force on the board of threat to Ballmer, <em>except</em> Bill Gates, who has never shown the slightest inkling of turning on his longtime partner.</p>

<p>Also, Gates himself fumbled with regards to the Web, and he even wrote a book about not doing that in 1995, called &#8220;The Road Ahead.&#8221;</p>
<p>Microsoft has bungled the Internet? It&#8217;s out of touch when it comes to the Web? Its troops have too many lifers who cannot innovate? Google (GOOG) has cleaned their clock? <em>What!?</em> </p>
<p>Of course, this has been news to exactly no one for about a decade now.</p>
<p>In any case, the Yahoo purchase was not the worst of ideas, if a bit obvious&#8211;although I have written several times that <a href="http://kara.allthingsd.com/20080425/while-ballmer-and-yang-fiddle-web-20-hotties-burn/">Microsoft should have bought up other Web 2.0 companies</a> instead of Yahoo. </p>
<p>Both sides acted cloddishly, to be sure, and I am sure Microsoft&#8217;s board and execs are smarting a bit from misjudging this foray&#8211;I myself wonder how they did they not anticipate just how recalcitrant Yahoo would be.</p>
<p>But Microsoft&#8217;s withdrawal was clearly a better path than a hostile proxy fight.</p>
<p>So it did not work out (as yet)? So what? And if Microsoft stock rises tomorrow on the news, of course, all will be forgiven.</p>
<p>In addition, TechCrunch uses a source that is not exactly reliable, quoting &#8220;one secondhand account that leaked to us yesterday before the deal was called off,&#8221; who tells tales of Ballmer&#8217;s ranting and raving about how he wouldn&#8217;t let the board &#8220;crucify&#8221; him.</p>
<p>Ballmer can sometimes be a loudmouthed popinjay!? What ho?!?</p>
<p>Also news to exactly three people in the tech sector and they have been in an isolation tank since 1976.</p>
<p>More to the point, I got that exact anonymous email too, and it was credible and from someone with some good information.</p>
<p>But I felt I could not use the Ballmer info without more proof (also, I would need to know who this person is or find other non-anonymous-to-me people to bear its assertions out).</p>
<p>While compelling and sent in very good faith by an obviously smart person, as many of these types of emails are, I figured the lively emailer was probably from someone close to or even one of the many disgruntled employees of Microsoft who did not like the Yahoo deal.</p>
<p>There were lots of them, <a href="http://kara.allthingsd.com/20080501/heres-the-story-of-a-worried-workforce/">as BoomTown reported here</a>, but I determined the emails were just wishful thinking.</p>
<p>But you be the judge!</p>
<p>Here&#8217;s two sections from the emails I got in their entirety related to Ballmer (with some minor edits to protect the sender) that TechCrunch clearly used verbatim, so you can see the whole thing rather than the pulled quotes:</p>
<blockquote><p>Ballmer really does think his job is on the line if he doesn&#8217;t close the Yahoo deal, and soon. He&#8217;s worried after the fiasco that was the Windows Vista launch, then this, the Board will ask Gates to stay on while they find someone to replace him. Apparently this has caused Ballmer to be more of a tyrant than ususal, yelling and screaming at employees for almost no reason. Some Microsofties are secretly wishing the deal falls through so that Ballmer will get the axe and Microsoft will get new leadership.&#8221;</p></blockquote>
<p>and</p>
<blockquote><p>The particular incident&#8230; was that an exec made a comment about not having to worry about Ballmer anymore if this Yahoo deal falls through. He didn&#8217;t realize Ballmer was within earshot. Ballmer started yelling and screaming that this deal would go through and that the board wouldn&#8217;t be able to &#8216;crucify&#8217; him over this. The scuttlebutt suggests that the board was ready to walk because they fear this deal is proving to be to big of a distraction, but Ballmer is obsessed with making it happen in order to protect his job. The board gave him one more week to get it done&#8230;.many in Microsoft belive Gates will stay on if asked because even Gates realizes that Ballmer needs to go.&#8221;</p></blockquote>
<p>Like I said: Wishful thinking.</p>
<p>This, of course, does not absolve Ballmer from having to come up with some very smart moves and fast to at least keep competitive with archrival Google and also figure out a way to protect its Windows software franchise in the wake of Google&#8217;s cloud computing effort.</p>
<p>But that is a longer and more vicious ground war that will go one for a long time.</p>
<p>Yahoo might be Ballmer&#8217;s Vietnam or Iraq, as still other bloggers are writing, but let&#8217;s keep in mind that the first went on for decades and the second, unfortunately, is still slogging on. </p>
