<p>While at a <a href="http://kara.allthingsd.com/20091112/author-ken-auletta-talks-about-google-and-its-lack-of-emotional-intelligence/">book party for author Ken Auletta</a> in San Francisco last night, BoomTown took the opportunity to ask those gathered whether they were scared or not of Google and its growing power.</p>
<p>The Auletta book covers a lot about the search giant, but also drills in on how traditional media and advertising, as well as the government, have all become increasingly wary of Google&#8217;s hegemony over key businesses on the Web.</p>
<p>But as it turned out, the Silicon Valley types I queried had nothing but attaboys for Google (GOOG). Oddly enough, many mentioned how they love the food served up at the Googleplex.</p>

<p>According to several sources close to the situation, barring any unforeseen delay, a deal to settle the Skype imbroglio is likely to be announced around the time the markets open tomorrow.</p>
<p>[<strong>UPDATE:</strong> The paperwork is taking longer than expected, so sit tight, said sources.]</p>
<p>While the massive agreement&#8211;which will settle three aggressive lawsuits lobbed by Skype co-founders Niklas Zennström and Janus Friis at a wide range of prominent Silicon Valley players&#8211;is not yet officially signed, sources said lawyers are apparently putting the finishing touches on the paperwork and have signature papers completed by both sides to be able to wrap it up quickly.</p>
<p>So, while nothing is ever over until it is over, it looks like it is over.</p>
<p>Sources also said that as part of the deal to end the legal madness, Zennström and Friis will get 10 percent of Skype back for rights to key software technology they control, an option to pay $83 million for another three percent of the Internet telephony service and two seats on the 23-member board.</p>
<p>Also, BoomTown has learned that a partridge in a pear tree will be thrown in to guarantee a lasting peace.</p>
<p>All kidding aside, the settlement is proof that squeaky wheels&#8211;especially if they hire the combative litigators of Skadden Arps&#8211;get the grease.</p>
<p>As <a href="http://kara.allthingsd.com/20091103/volpi-and-index-ventures-out-of-skype-deal-the-lawsuit-happy-founder-twins-in/">has been previously reported</a>, one of the investors in the consortium that won the bidding to buy 65 percent of Skype from eBay (EBAY)&#8211;which itself had bought it in 2005 from Zennström and Friis&#8211;has withdrawn its investment and involvement as part of the settlement.</p>
<p>That would be London-based Index Ventures, which was a smaller player in the group with&#8211;ironically&#8211;a three percent stake.</p>
<p>Nonetheless, Index had an outsized fight going on with Zennström and Friis.</p>
<p>That&#8217;s due to their ire, aimed at Index&#8217;s Mike Volpi, who was CEO of Joost, the failed online video site the pair founded.</p>
<p>After Zennström and Friis lost their own bid to buy back Skype, they <a href="http://kara.allthingsd.com/20091014/when-entrepreneurs-attack-all-10-new-skype-lawsuit-filings/">quickly sued Index and Volpi</a> via tech companies they control, Joltid and Joost, in Delaware.</p>
<p>The pair alleged that Volpi <a href="http://kara.allthingsd.com/20091014/exclusive-skype-founders-keep-on-punching-file-injunction-against-volpi-and-index/">used confidential information gleaned from his time as Joost CEO</a> to unfairly help the winning consortium acquire Skype.</p>
<p>The lawsuit was particularly vindictive, using embarrassing emails and making pointed accusations about Volpi plotting all kinds of nefarious schemes, like Lady Macbeth on steroids, on his way out of Joost.</p>
<p>I am not sure what law one can break for wanting to leave a job or how much damage one can do to an already failing business, but that did not stop Zennström and Friis from trying to pin some specious accusations on Volpi.</p>
<p>(I wouldn&#8217;t have been surprised if they had accused Volpi of being responsible for Balloon Boy.)</p>
<p>But such legal attacks obviously worked, making Index loath to stay in an economically less attractive deal with lessened influence over Skype.</p>
<p>And eBay and the other investors obviously wanted closure, so they could get on with the work of turbocharging Skype.</p>
<p>The fighting between Index and the Skype founders was just one part of the legal morass.</p>
<p>Zennström and Friis had already been in a battle over software licensing issues with eBay in London courts.</p>
<p>They <a href="http://kara.allthingsd.com/20091014/exclusive-skype-founders-keep-on-punching-file-injunction-against-volpi-and-index/">also filed suit again</a> in California against Skype and eBay for copyright violations.</p>
<p>For good measure, the pair added the winning buyout group, including Index, Silver Lake Partners, Andreessen Horowitz and the Canada Pension Plan Investment Board, in that lawsuit.</p>
<p>(In legalese&#8211;and in honor of the Yankees winning the World Series tonight&#8211;such massive lawsuit-making is called covering all your bases!)</p>
<p>Of course, <a href="http://kara.allthingsd.com/20091014/when-entrepreneurs-attack-all-10-new-skype-lawsuit-filings/">Volpi and Index fired back in court filings </a> and both sides <a href="http://kara.allthingsd.com/20091015/dueling-skype-sides-hire-big-communications-guns/">armed themselves with powerful PR guns</a>.</p>
<p>Presumably, those same mouthpieces&#8211;who have been slagging the other side for weeks&#8211;will now be at the ready with honeyed tales of reconciliation tomorrow. </p>
<p>Call me cynical, but we&#8217;ll see how long <em>that</em> lasts.</p>
<p>&#8220;[Zennström and Friis] got what they wanted by using Volpi as a pawn and the lawsuits as a club,&#8221; said one person close to the situation. &#8220;Everyone is moving on, but not everyone is going to forget what they did to get what they wanted.&#8221;</p>

<p>According to sources close to the situation, Index Ventures and Michelangelo Volpi are out of the deal to buy Skype&#8211;and their lawsuit-loving nemeses, the founders of the Internet telephony service, are in.</p>
<p>Skype founders Niklas Zennström and Janus Friis <a href="http://kara.allthingsd.com/20091014/when-entrepreneurs-attack-all-10-new-skype-lawsuit-filings/">had sued Index and partner Michelangelo Volpi</a> via tech companies they control, Joltid and Joost.</p>
<p>The pair had already been in a legal battle over software licensing issues with eBay (EBAY), the company that had sold Skype to in 2005.</p>
<p>They then accused Index and Volpi, employing a reputation-bashing style, of using confidential information as part of a consortium bid to acquire a large chunk of Skype.</p>
<p>Volpi had been Joost&#8217;s CEO.</p>
<p><a href="http://kara.allthingsd.com/20091014/when-entrepreneurs-attack-all-10-new-skype-lawsuit-filings/">Volpi and Index fired back in court filings </a> and both sides <a href="http://kara.allthingsd.com/20091015/dueling-skype-sides-hire-big-communications-guns/">armed themselves with powerful PR guns</a>.</p>
<p>Ironically, Index was only a small part of the group that won the deal to acquire Skype from eBay recently.</p>
<p>News of the serious settlement talks was <a href="http://gigaom.com/2009/11/01/skype-vs-founders-settlement/">reported earlier this week by GigaOm&#8217;s Om Malik</a>.</p>
<p>The New York Times&#8217;s Brad Stone also <a href="http://www.nytimes.com/2009/11/04/technology/companies/04skype.html?partner=rss&#038;emc=rss">added significantly to the story about the settlement today</a>, noting the Skype founders would be getting a stake and that Index &#8220;is most likely withdrawing from the deal.&#8221;</p>
<p>Well, most likely now means certainly for Index, sources told me, and the London-based venture firm that bid for Skype has to bid that deal goodbye.</p>
<p>More details to come, but it&#8217;s sure <a href="http://kara.allthingsd.com/20090918/parsing-the-legal-tantrums-of-zennstrom-and-friis/">proof that the legal system</a>, such as it was used, works.</p>

<p>No longer, according to a memo BoomTown obtained from several sources, since the longtime PR staffer&#8211;who has been at Yahoo (YHOO) for almost a decade and who was previously with an outside public relations firm that worked for Yahoo&#8211;will leave the company Monday. </p>
<p>Dugan has a high-profile role at Yahoo, running its <a href="http://ycorpblog.com/">Yodel Anecdotal</a> corporate blog and penning most of the pieces on it. </p>
<p>It&#8217;s not clear from the memo where Dugan is headed, though the memo is full of interesting &#8220;moments&#8221; she had while at Yahoo and includes some nice historical details (including a scoop I had from Web 1.0 that I had long forgotten).</p>

<p>After almost exactly 9.5 years, 10 Oktoberfest mugs, 9 founder holiday gifts, 4 cube moves, and 76 daily miles, I&#8217;ve decided to hang up my purple badge. Saying goodbye to Yahoo!&#8211;and all of you&#8211;is no easy task. It&#8217;s a rare place that can capture your heart and soul and hang onto it for about a quarter of your life. What’s made Yahoo! so special? I thought I&#8217;d rattle off some of my favorite moments:</p>

I look forward to watching the &#8216;hoo from afar. </p>

<p>Perhaps the sides in the ever-escalating war over the Skype deal will work out their differences and settle&#8211;which is what should and probably will eventually happen after everyone realizes how stupid all this noisy legal wrangling over the Internet telephony giant is.</p>
<p>But that day is decidedly not today, given a pair of recent PR hires by parties involved.</p>
<p>The founders of Skype, via the two tech companies they control, Joost and Joltid, have hired <a href="http://www.sitrick.com/home.html">Sitrick &#038; Company</a>, headquartered in Los Angeles, while Index Ventures has tapped <a href="http://joelefrank.com/">Joele Frank, Wilkinson Brimmer Katcher</a>, based in New York.</p>
<p>Both strategic communications and public relations firms are well known for employing some very sharp elbows and extremely tough talk when it is time for some creative corporate crisis management.</p>
<p>And both are familiar with tech issues, having worked on contentious issues related to companies such as Microsoft (MSFT), Yahoo (YHOO), CBS (CBS) online unit CNET, and others.</p>
<p>And there is plenty of bad blood to work with here.</p>
<p>Yesterday, in yet another legal volley, <a href="http://kara.allthingsd.com/20091014/exclusive-skype-founders-keep-on-punching-file-injunction-against-volpi-and-index/">Joost and Joltid filed a motion for preliminary injunction</a> against former Joost CEO Michelangelo Volpi and Index Ventures, where Volpi now works as a partner.</p>
<p>They are asking that he not use knowledge or confidential information he got at the video start-up in current dealings with Skype.</p>
<p>Legal attacks have become the negotiating tool of choice from the founders of Skype, Niklas Zennström and Janus Friis, who were on the losing side of the $2 billion deal to buy the Internet telephony giant from eBay (EBAY).</p>
<p>Volpi is now a partner at London-based Index, which was one of the smaller players on the winning side of the bid, putting up $75 million.</p>
<p>To complicate things further, the innovative and entrepreneurial pair also own a company called Joltid, which has licensed key technology for Skype to eBay.</p>
<p>Joltid and eBay have already been fighting in court over that agreement, bickering back and forth about whether eBay violated the terms of that deal or not.</p>
<p>Via Joltid, Zennström and Friis also filed suit again against Skype and its owner, eBay, for copyright violations in the U.S.</p>
<p>For good measure, they added the winning buyout group, including Index, Silver Lake Partners, Andreessen Horowitz and the Canada Pension Plan Investment Board.</p>
<p>And both Joltid and Joost have also sued Volpi personally, as well as Index, making serious allegations about his behavior as Joost CEO.</p>
<p>This kind of mud-slinging could get even worse with the hiring of big PR firms.</p>
<p>Along with Frank and Sitrick, by the way, Silver Lake&#8211;which is the big player on the winning side&#8211;has hired Edelman&#8217;s crisis and issues management team.</p>
<p>Interestingly, several sources said, the various players have also been engaged in settlement talks, even as the lawsuits have piled up.</p>
<p>Coming to some agreement is clearly the best outcome, although it does not appear that the spate of lawsuits has yet derailed the eBay deal with the Silver Lake-led group, which could even close in the next several weeks.</p>
<p>&#8220;Everyone should be thinking ahead of the headlights,&#8221; said one source. &#8220;But right now, it seems to be all about emotions.&#8221;</p>

<p>On BoomTown&#8217;s trip to London earlier this week, along with a <a href="http://kara.allthingsd.com/20090922/is-spotify-spot-on-co-founder-daniel-ek-talks-about-the-hot-online-music-start-up">visit to Spotify</a>, I stopped by the U.K. and Ireland offices of Facebook for a look-see.</p>
<p>Located just off once-swinging Carnaby Street&#8211;which is now essentially a place to shop for hip stuff&#8211;it&#8217;s a very small operation, mostly dedicated to advertising sales. </p>
<p>But I did run into some engineers too, at what is Facebook&#8217;s most important international outpost. </p>
<p>Still, while recently surpassing 300 million members worldwide, the Silicon Valley-based social networking site has been careful not to open offices all over the globe, a misstep that too many other U.S. Internet companies have made time and again.</p>
<p>Plus, I got a very fine stiff-upper-lip British version of &#8220;no comment&#8221; that I do love to hear from Facebook PR&#8211;this time from Sophy Silver, who did an excellent job of showing me around.</p>

<p>Last night, BoomTown moderated a really interesting panel for an organization called Girls in Tech, titled &#8220;Journalism 2.0 RoundTable.&#8221;</p>
<p><a href="http://girlsintech.net/">Girls in Tech</a> describes itself as a &#8220;social network enterprise focused on the engagement, education and empowerment of like-minded, professional, intelligent &#038; influential women.&#8221;</p>
<p>With those lofty requirements&#8211;combined with the fact that I was a girl when we had yet to land on the moon&#8211;I have no idea what I was doing there.</p>
<p>In any case, it was held in the San Francisco offices of MySpace and covered such topics such as: How blogging and citizen journalism have changed the landscape, what works in the highly connected digital media space, and, of course, the ups and down of being a woman in the male-choked tech industry in Silicon Valley.</p>
<p>The panelists included former San Francisco Chronicle tech editor Deborah Gage, ZDNet&#8217;s Jennifer Leggio, Ubergizmo Editor Eliane Fiolet, VentureBeat&#8217;s Camille Ricketts and TechieDiva&#8217;s Gina Hughes.</p>
<p>It was a lively discussion, with highlights such as Fiolet telling a hilarious story about an encounter of the irksome kind at a gaming conference and jokingly recommending violence as a solution, and Hughes talking about the sometimes trollish commenters of Yahoo (YHOO) when she blogged there.</p>
<p>Overall takeaway: Be loud, be proud and ignore all the noise. That, or make some more&#8211;and, preferably, via Twitter.</p>
<p>I also did a short interview at the event with social media blogger and PR guy Brian Solis about his latest book, &#8220;Putting the Public Back in Public Relations.&#8221;</p>

<p>BoomTown was so glad we had this time together with Yahoo (YHOO) CEO Carol Bartz and Microsoft (MSFT) CEO Steve Ballmer, just to have a laugh or sing a song about a major Web search and advertising deal.</p>
<p>I liveblogged the conference call, which I updated as it happened.</p>
<p>Did Ballmer scream and jump up and down? Did Carol say something naughty?</p>
<p>Or as the companies said: </p>
<blockquote class="memo"><p>SUNNYVALE, Calif. &#038; REDMOND, Wash., Jul 29, 2009 (BUSINESS WIRE)&#8211;Yahoo! Inc. and Microsoft will host a conference call for accredited media and financial and industry analysts at 8:30 a.m. ET/5:30 a.m. PT today, July 29, 2009, to discuss the search agreement the companies recently announced. In addition, b-roll footage will be available. The satellite feed of b-roll footage will contain broadcast footage of remarks from Yahoo! <p>B-roll? More like, were Bartz and Ballmer on a roll?</p>

<p><strong>5:28 am PDT:</strong> It was EARLY on the West Coast and we were being forced at first to listen to really sleepy music like you might hear in a dentist&#8217;s office.</p>
<p><em>Zzzzzzzzz&#8230;</em></p>
<p><strong>5:34 am PDT:</strong> <a href="http://kara.allthingsd.com/20090707/boomtowns-favorite-leaked-yahoo-internal-memo-ever-new-pr-head-eric-brown-say-hello-and-more">Memo Impresario Eric Brown</a> was late! But, as soon as he gets on, the new Yahoo PR head began with an enthusiastic hello about the deal.</p>
<p>Bartz was up first, followed by Ballmer. They were clearly together in the same place, likely in Silicon Valley at some bunker.</p>
<p>&#8220;This is a great day for Yahoo,&#8221; she said. &#8220;It&#8217;s a game-changer and I am glad to finally be able to talk to you about it.&#8221;</p>
<p>Her patter was clearly scripted, but Bartz was pretty jaunty in her delivery.</p>
<p><a href="http://kara.allthingsd.com/files/2009/07/borg.jpg"><img src="http://kara.allthingsd.com/files/2009/07/borg-250x149.jpg" alt="borg" title="borg" width="250" height="149" class="alignleft size-medium wp-image-16714" /></a></p>
<p>And sassy enough to make the first of many dings to former Yahoo savior Google (GOOG)&#8211;not by name, but as either &#8220;the market leader&#8221; or &#8220;the competitor.&#8221;</p>
<p>Why not just go right to calling the search giant this deal is aimed at battling what Bartz really meant: The Borg.</p>
<p>Bartz stressed that this deal only covers search and the search ad business and not, say, display advertising.</p>
<p>And, she added, while Microsoft&#8217;s AdCenter technology will power the money-making, &#8220;search will continue to be an integral part of the Yahoo consumer experience.&#8221;</p>
<p>Boiling it down, Bartz said: &#8220;What this deal is really about for everyone is scale.&#8221;</p>
<p>Cue the next Google dig: &#8220;The combination of Microsoft and Yahoo search puts the choice back into the hands of consumers, increasingly concerned about the influence of a single player.&#8221;</p>
<p>Single player=Darth Vader.</p>
<p><strong>5:40 am PDT:</strong> Ballmer was next. &#8220;I am so delighted to see [the deal] come to fruition,&#8221; he said.</p>

<p>He does not say much more except that he hoped it would &#8220;flourish and come to life over the many years.&#8221;</p>
<p>Ballmer sounded like someone speaking at a ribbon cutting of a copy store at the mall.</p>
<p>The livelier Bartz came back on, discussing the terms, hewing pretty much to what was already in the press release.</p>
<p>Microsoft&#8217;s AdCenter as technology. Integration. 10 years. No display deal. Separate user experience.</p>
<p>Now to the bucks, as Bartz noted, they add $500 million to Yahoo&#8217;s operating income, save $200 million in capital expenditures and improve annual operating cash flow by $275 million.</p>
<p>&#8220;At its full implementation,&#8221; she added. There is always a catch!</p>
<p>Bartz said Yahoo would use the money to invest in its other properties, although she was not specific.</p>
<p>Then, it was onto regulatory issues and getting this party started.</p>
<p>Bartz put on the brakes. &#8220;This deal will not happen overnight,&#8221; she said.</p>
<p>Actually, not even close. She predicted a closing in early 2010 and it being rolled out over the following three to six months.</p>

<p>Finally, Bartz thanked the tireless teams who did the deal. &#8220;With a lot of help from Steve and I,&#8221; she said and then quipped, &#8220;not always so.&#8221;</p>
<p>She and Ballmer were now sounding like a hip mom and dad.</p>
<p><strong>5:45 am PDT:</strong> Question time!</p>
<p>The first one was about why the pair did not do a display deal and also how they were going to bridge the huge gap in how much each made per search compared to each other and Google.</p>
<p>Bartz said that the point was to keep the deal idiot-proof. &#8220;Frankly, we wanted it as straightforward and simple as possible,&#8221; she said.</p>
<p>Ballmer concurred: &#8220;We are taking a big bite here.&#8221;</p>
<p>As to the earnings gap in search, he said, &#8220;The deal in and of itself will let us close gap with the market leader.&#8221;</p>
<p>Ballmer tried not to say the word &#8220;Google,&#8221; but stumbled and did anyway.</p>
<p>The next question was about Bartz&#8217;s shift from her &#8220;boatloads of cash&#8221; quote&#8211;which she said, in <a href="http://d7.allthingsd.com/20090618/yahoo-ceo-carol-bartz-the-full-d7-session-unexpurgated">an interview with me</a> at the seventh <strong>D: All Things Digital</strong> conference in late May, was a must for a deal with Microsoft&#8211;to her new &#8220;boatloads of value.&#8221;</p>
<p><a href="http://kara.allthingsd.com/files/2009/07/loaded-boat.jpg"><img src="http://kara.allthingsd.com/files/2009/07/loaded-boat-250x163.jpg" alt="loaded-boat" title="loaded-boat" width="250" height="163" class="alignright size-medium wp-image-16740" /></a></p>
<p>Simple, she said, trying to gloss it over&#8211;Yahoo did not need a big cash payment up front (and it did not get it either).</p>
<p>&#8220;As far as we are concerned, the boatload of cash is us preserving our revenue line,&#8221; said Bartz.</p>
<p>The next question was about what Microsoft gets out of this deal.</p>
<p>&#8220;We clearly see an upside as execution really builds,&#8221; said Ballmer.</p>
<p>After more money questions, there is finally one on regulator issues.</p>
<p>Back to Google-bashing from Ballmer.</p>
<p>&#8220;I suspect the competitor who may not like more competition is Google,&#8221; he said.</p>
<p>Microsoft General Counsel Brad Smith then jumped in and talked about working together and filings in D.C. and making the case.</p>
<p>He said he &#8220;looks forward to the debate,&#8221; which is just what a lawyer <em>would</em> say.</p>
<p><strong>5:58 am PDT:</strong> Finally, the layoff question. </p>
<p>Bartz is clear here. Some Yahoo search employees will be dragooned over to Microsoft, some will move to other parts of Yahoo and some will be let go.</p>
<p>&#8220;Unfortunately, there are some redundancies,&#8221; said Bartz.</p>
<p>More financial questions, one on the mobile search market, one on innovation, one on scale and one on advertisers.</p>

<p>&#8220;Advertisers, especially smaller ones, want to make sure there is enough meaningful market for them and they don&#8217;t want to learn three platforms,&#8221; said Bartz. &#8220;They know how to enter into the Google system.&#8221;</p>
<p>She said &#8220;Google system&#8221; like she was talking about a gulag.</p>
<p>Meanwhile, Ballmer talked about how good it was to now be No. 2. Really, he did, since he was a distant No. 3 before this deal.</p>
<p><strong>6:11 am PDT:</strong> Some technology question. Ballmer noted that the deal was not a &#8220;rip and replace&#8221; of Yahoo&#8217;s search for Microsoft. It will be an &#8220;integration.&#8221;</p>
<p>Next was a question about how <a href="http://kara.allthingsd.com/20090728/before-yahoo-microsoft-deal-terms-unveiled-lets-go-to-the-videotape-from-the-last-one/">this deal measured up to last year&#8217;s more money-laden offer</a> by Microsoft. </p>
<p>Bartz said she didn&#8217;t just want an upfront payment, but a &#8220;true partnership,&#8221; with control over the Yahoo user interface and &#8220;real skin in the game.&#8221;</p>
<p>Ballmer called last year&#8217;s deal more investor-focused than operational. &#8220;The deal was different for Microsoft, not better,&#8221; he said, leaving out the cheaper part.</p>
<p>Finally, I get called on, and ask about who will lead the integration and how it will get done, so as not to create a huge distraction.</p>
<p>Bartz said it would be a &#8220;smooth transition&#8230;not that different from when Yahoo went from Overture to Panama.&#8221;</p>
<p>I did not have the heart to tell her that the transition of the Yahoo ad platform was anything but smooth and one of the reasons Yahoo got into the trouble it has gotten in.</p>
<p>Ballmer noted that the leadership that put together the deal is the leadership of the companies in the digital arena.</p>

<p>I also asked how the deal finally came together, especially after such historical rancor.</p>
<p>&#8220;It was like a snowball down a hill,&#8221; said Bartz. </p>
<p>But it was also a complex ball of ice, she added, noting &#8220;it was not a two-page term sheet.&#8221;</p>
<p>More like hundreds of pages. &#8220;There was not a high level of abstraction,&#8221; said Ballmer.</p>
<p>Finally, finding a kind of married groove&#8211;from that time before the random bickering sets in&#8211;Bartz noted that &#8220;dating is one thing, but having a partnership is another.&#8221;</p>
<p>She added: &#8220;The good news once we reached a point we believed to be advantageous, [we did a deal]&#8230;that&#8217;s how partnerships work.&#8221;</p>
<p>Well, exactly how it all works out, of course, still remains to be seen.</p>

<p>What hath the Flip digital video camera wrought?</p>
<p>Well, for one, getting to see a major Silicon Valley tech exec do duck calls online, that&#8217;s what.</p>
<p>Cisco (CSCO) PR guy John Earnhardt, who is obviously studying technique from BoomTown&#8217;s shaky-cam video style, caught company CEO and Chairman John Chambers quacking away in his office.</p>
<p>And, of course, he then proceeded to capture the moment on the popular digital video recorder, which was made by the small and innovative San Francisco-based Pure Digital that <a href="http://kara.allthingsd.com/20090319/flip-flips-to-cisco-for-590-million-in-stock">Cisco bought for $590 million in March</a>.</p>
<p>Wrote <a href="http://blogs.cisco.com/news/comments/duckcalls_at_cisco_with_our_ceo/">Earnhardt on the company blog</a>:</p>
<p>&#8220;I was sitting at my desk a few minutes ago when I heard a duck call echoing down the corridor. Then, that inimitable John Chambers laughter. With my trusty Flip Mino HD video camera in hand I strolled into Chambers office to capture the duck call for you, our loyal readers. His lesson was brief, but it is very clear that he is a man of many talents.&#8221;</p>
<p>Well, that&#8217;s the Cisco PR spin on it, at least! (My spin: Chambers is one wacky dude.)</p>
<p>Cisco is now calling for duck call competitors to challenge Chambers on its blog or at its <a href="http://www.youtube.com/user/CSCOPR">PR YouTube channel</a>.</p>
<p>The best duck call gets a free Flip Mino CD from Chambers.</p>

<p>BoomTown has had some good leaked internal memos from Yahoo, but I have never enjoyed one quite as much as this one from newly installed Yahoo PR head Eric Brown, who started today.</p>
<p>While it is clear that Yahoo (YHOO) has had its troubles in understanding and offering social-networking products to its users, Brown certainly knows how to share.</p>
<p>Yahoo could use some of that DNA!</p>
<p>New Yahoo CMO Elisa Steele named Brown, a colleague from her former job at NetApp (NTAP), as SVP of global communications at the Internet giant in June.</p>
<p>He was the VP of corporate relations at the data storage company, on whose board Yahoo CEO Carol Bartz has also served. Before that, he was at Adaptec (ADPT).</p>
<p>Brown is filling a slot left when former Yahoo PR head <a href="http://kara.allthingsd.com/20090202/yahoo-pr-head-jill-nash-to-depart-the-company">Jill Nash left Yahoo in February</a>. She was briefly replaced by her deputy, Brad Williams, <a href="http://kara.allthingsd.com/20090424/yahoo-hires-adobe-vet-lamkin-to-run-communications-and-communities-unit-as-dietzen-moves-to-strategy-post/">who was laid off from Yahoo in a recent round of cuts</a>.</p>
<p>Like Steele, he is yet another executive from the business software arena to be hired under Bartz, who also comes from that background.  <a href="http://kara.allthingsd.com/20090421/liveblogging-the-yahoo-earnings-conference-call-it-depends-on-your-definition-of-what-wow-is/">Bartz also hired Jeff Russakow from Symantec</a> (SYMC), which makes antivirus software and other security, for the post of Customer Advocacy SVP.</p>
<p>Yahoo&#8217;s whole <a href="http://kara.allthingsd.com/20090624/exclusive-yahoo-working-on-major-brand-overhaul-please-no-more-yodeling/">marketing organization is undergoing a rejiggering</a> under Steele, including a major brand overhaul. Along with Brown, she also <a href="http://kara.allthingsd.com/20090701/yahoos-extreme-makeover-confirmed-with-the-hiring-of-a-new-global-marketing-exec">recently hired Penny Baldwin</a> as SVP of global integrated marketing and brand management.</p>
<p>Brown will be taking on Yahoo&#8217;s image-making, a task that has been a challenge over the last two years as the Silicon Valley icon has been buffeted by a series of external and internal challenges.</p>
<p>But Bartz has publicly talked about the need to now focus attention on Yahoo&#8217;s many assets and strengths.</p>
<p>In fact, in an <a href="http://d7.allthingsd.com/20090618/yahoo-ceo-carol-bartz-the-full-d7-session-unexpurgated">onstage interview with me at the seventh <strong>D: All Things Digital</strong> conference</a> in late May, Bartz said: “The best way to change the perception is to do a good job and then talk about it.&#8221;</p>
<p>From this memo, Brown seems like he knows how to do <em>that</em>. </p>
<p>And since he likes writers Kate Chopin and David Sedaris at the same time, it is obvious that Brown and I are on the path to become besties.</p>
<p>(Potential deal-breaker: I like piña coladas and getting caught in the rain.)</p>
<p>Here&#8217;s the memo&#8211;based on a form that sources tell me all Yahoo PR folks fill out in a getting-to-know-you questionnaire, but don&#8217;t make public&#8211;in which Brown says hello to his new team:</p>

I&#8217;ve seen other people whose phobias are the same as mine: spiders and heights; enjoyed how many of you put Paris as your favorite place on Earth; and am impressed with how many amazing books this group has collectively read. </p>
<p>I must also admit to being slightly intimidated by all of you who put &#8220;bad grammar&#8221; as a pet peeve and will triple check this email to avoid any grammar infractions&#8230;</p>
<p>I know I have a Thursday group meeting with you, but thought the least I could do on day one is return the favor and complete my own handbook profile. So here goes&#8230;</p>
<p>Date I joined Yahoo!: today (6 July 2009), though I did spend two days at the senior leaders meeting in mid-June and thank all of you who were there for the warm welcome in Half Moon Bay.</p>
<p>What I do here: lead a team of amazing, intelligent, motivated people who put Yahoo! in the best light possible and tell our story in compelling ways that make users and advertisers around the world want to embrace Yahoo! heartily.</p>
<p>Where I grew up: Warsaw, Virginia&#8211;a tiny town about 90 minutes from Richmond, Virginia and 150 minutes from Washington, D.C. For those of you who are American history buffs, Warsaw is about 10 minutes from the birthplace of Robert E. Lee and 15 minutes from the birthplace of George Washington.</p>
<p>Where I live now: Sunnyvale, California. Can&#8217;t beat the commute.</p>
<p>College: William and Mary in Williamsburg, Virginia. BA in English. Loved lit crit. Senior honors thesis was on post-WWII masculinity in American society as represented by the works of Norman Mailer.</p>
<p>My first job: an internship for the U.S. Navy (my parents&#8217; employer—they were civilians) analyzing different process flow diagram software packages for a team creating warship defense systems. For the rest of high school and college, I had LOTS more fun as a waiter at dive restaurant called The Stagecoach. The food was ghastly; the people were amazing.</p>
<p>What I did before Yahoo!: I ran comms (PR, social media, internal comms, and exec comms) for NetApp, managing a global team of about 60+ people doing amazing enterprise and B2B work in 30+ companies worldwide. I&#8217;m very excited to learn &#8220;consumer&#8221; from all of you&#8211;and equally excited to share experiences from my almost 20 years in the business in return.</p>
<p>What I do when I&#8217;m not here: I love travel (had a super 3 days in the Blue Mountains outside Sydney two weekends ago), cooking (yes, seriously—cooking is very therapeutic and relaxing for me), and reading (though I haven&#8217;t picked up a Norman Mailer since my undergrad days).</p>
<p>If the Internet didn&#8217;t exist, what I&#8217;d be doing right now: teaching literature to high school students. I believe that at some point in my life, I have to return to society what it has given me. And I&#8217;d be a better teacher than firefighter or doctor!</p>
<p>Favorite place on Earth: Paris. I try to go there 3 or 4 times a year and have a couple of very close friends who are kind enough to let me crash with them. Second favorite is Hong Kong.</p>
<p>Proudest accomplishment: professionally&#8211;being part of the &#8220;inner counsel circle&#8221; for NetApp execs on a variety of comms and marketing issues (which I hope to be here at Yahoo! as well); personally&#8211;being a good friend, partner, and family member.</p>
<p>Favorite Yahoo! moment: there have only been 3 days of them so far—and all have been great. I felt very honored and lucky to be part of the Half Moon Bay leadership summit&#8211;and meeting people from all over Yahoo! there was inspiring.</p>
<p>Favorite book: someone who majored in literature can&#8217;t just name one, so I’ll split them into categories&#8230;Favorite works of literature: The Scarlet Letter by Hawthorne, The Awakening by Kate Chopin, and To Kill a Mockingbird by Harper Lee. Favorite work that kindled my imagination: The Hobbit by Tolkien. Favorite works that make me laugh: anything by David Sedaris (the man is wicked funny).</p>
<p>Favorite movie: two&#8211;Moulin Rouge and Orlando&#8211;both visually stunning.</p>
<p>My first car: a Buick Skyhawk in a horrible shade of brown&#8211;the thing was so ratty that I had to add oil to it every other day so it wouldn&#8217;t break down&#8211;it made its last hurrah on a cross-country trip from Virginia to California and made it over the Rocky Mountains without any issues but then was quite unhappy crossing the Sierra Nevada range.</p>
<p>My next vacation destination: somehow I think I&#8217;m going to be very busy for the next few months so I&#8217;m not planning any big trips, though I have told a friend I&#8217;ll attend his 50th birthday party in Munich and from there I&#8217;ll try to drive to Vienna for a few days.</p>
<p>My hidden talent: navigating subway systems when everyone else insists on taking a taxi (the exception: Tokyo&#8211;because it is just too darned crowded).</p>
<p>My favorite online video: I like online videos to catch up on things that MTV no longer carries&#8211;like videos from Gus Gus (though I only see one of their videos on Yahoo! Music&#8230;)</p>
<p>My guiltiest pleasure: ice cream in bed with the Kindle (yes, just as Elisa put in her email)&#8211;the ice cream HAS to be Ben &#038; Jerry’s (LOVE being on this floor with the conference room names!) and my favorite is Peach Cobbler.</p>
<p>I have an intense fear of: spiders and heights&#8211;I even had a spider vacuum for a while so I didn’t have to come near &#8216;em or smash &#8216;em&#8211;but then I was scared they’d survive the suction and electric shock and crawl back somewhere&#8211;so now they&#8217;re routinely smashed.</p>
<p>My biggest pet peeve: beating around the bush&#8211;tell me what you want me to know because I&#8217;m not telepathic and say it without a lot of metaphor or subtlety&#8211;if you really want me to know something, please make it crystal clear.</p>
<p>My best celebrity encounter: dinner with friends in the outdoor section of the Restaurant du Palais Royal in Paris on a gorgeous May evening&#8211;next to us was Tom Ford (at the height of his Gucci power)&#8211;I have never wanted to NOT eat so much in my life.</p>
<p>Something few people know about me: I abhor cava (sorry to those of you in Spain)&#8211;champagne is my favorite drink on Earth, prosecco will do in a pinch, and New World sparklings are hit and miss&#8211;but I universally detest cava.</p>
<p>Best for advice for working with me (yes, a little changed from what you all submitted): honesty really IS the best policy&#8211;unless I&#8217;m having a bad hair day in which case please just don&#8217;t say anything about that at all.</p>

<p>Last week, in anticipation of Facebook&#8217;s Press Open House tonight for its spanking new HQ in Palo Alto, Calif., BoomTown hightailed it down there for an early look-see at just what the social-networking site is doing with all that dough it collected from <a href="http://digitaldaily.allthingsd.com/20071025/ddv20071025">Microsoft</a> (MSFT) and the <a href="http://mediamemo.allthingsd.com/20090526/da-facebook-takes-200-million-from-russian-investors-at-10-billion-valuation">Russians</a>.</p>
<p>Moving into a new crib, for one thing!</p>

<p>Previously, the fast-growing Facebook staff had been spread willy-nilly throughout the downtown of Palo Alto, where they irked pretty much everyone by stealing all the good parking.</p>
<p>So, much like the <a href="http://kara.allthingsd.com/20090414/kara-visits-twitters-san-frantwittco-hq">tour I did recently with Twitter co-founder Biz Stone</a> of its San Francisco HQ, here is a video of Facebook&#8217;s new digs in the heart of Silicon Valley.</p>
<p>It includes the whole place, which used to be a Hewlett-Packard (HPQ) facility, from the front door to the cafeteria to the evil lair of VP of Global Communications, Marketing and Public Policy, Elliot Schrage.</p>
<p>While he did not deign to be on camera (although he did shellac me in a quick game of ping-pong, in spite of my smack talk), I did get to chat with folks like marketing exec Randi Zuckerberg and COO Sheryl Sandberg.  </p>
<p>Also, Barker tries mightily to show that she can ride a Rip Stick, which is apparently Facebook&#8217;s version of bikes at Google (GOOG).</p>
<p>At the very least, she gets an A for effort.</p>

<p>That a lot of sites like Twitter, LinkedIn and others already allow you to do this is not really the point.</p>

<p>Nonetheless, in an email tonight inviting media to an open house to see its new HQ building in Palo Alto, Calif., the PR team at Facebook&#8211;which often gets into hot water over various public snafus that arise at the young company with regularity&#8211;is mightily trying to make nice with journalists to perhaps head off any bloggish bellyaching.</p>
<p>They wrote: &#8220;We wanted to let you know that we decided to reserve usernames for the key journalists and outlets we work with. Look out for an email from someone on the communications team with more details.” </p>
<p>Firestorm of disgruntlement from those who did not make the list sure to follow? Of course!</p>
<p>In any case, my top preferences? </p>

<p>New Yahoo Marketing head Elisa Steele named a colleague from her former job, NetApp (NTAP), as SVP of Global Communications at the Internet giant.</p>
<p>Eric Brown (pictured here) was the VP of corporate relations at the data storage company, on whose board Yahoo CEO Carol Bartz has also served. Before that, he was at Adaptec (ADPT).</p>
<p>Brown will report to Steele and start at the company in July.</p>
<p>Brown is filling a slot left when former Yahoo PR head <a href="http://kara.allthingsd.com/20090202/yahoo-pr-head-jill-nash-to-depart-the-company">Jill Nash left at Yahoo in February</a>. She was briefly replaced by her deputy Brad Williams, <a href="http://kara.allthingsd.com/20090424/yahoo-hires-adobe-vet-lamkin-to-run-communications-and-communities-unit-as-dietzen-moves-to-strategy-post/">who was laid off from Yahoo in a recent round of cuts</a>.</p>
<p>He is also yet another executive from the business software arena to be hired under Bartz, who also comes from that background.  <a href="http://kara.allthingsd.com/20090421/liveblogging-the-yahoo-earnings-conference-call-it-depends-on-your-definition-of-what-wow-is/">Bartz also hired Jeff Russakow from Symantec</a> (SYMC), which makes antivirus software and other security  for the post of Customer Advocacy SVP.</p>
<p>It&#8217;ll be interesting to see how they all operate in a consumer-facing company like Yahoo, with all its many dramatic ups and downs of late, and which BoomTown has often compared to a Mexican telenovela.</p>
<p>Here&#8217;s Steele&#8217;s memo to the Yahoo (YHOO) staff, which includes a self-described “bad habit of eating ice cream in bed while reading my Kindle and surfing the web.”</p>

<p>More musical chairs at Yahoo, which <a href="http://kara.allthingsd.com/20090415/stop-me-if-youve-heard-this-one-yahoo-management-and-staff-set-on-shuffle-again/">BoomTown predicted recently</a>, as top execs at the company move in and out of jobs, and new ones from the outside move in.</p>
<p>Perhaps the most important change to occur is the replacement this week of SVP Scott Dietzen&#8211;who has been in charge of all communications and communities products at Yahoo (YHOO)&#8211;by former Adobe Systems (ADBE) exec Bryan Lamkin, several sources said.</p>
<p>Lamkin will become SVP of Applications Products.</p>

<p>According to his <a href="http://www.linkedin.com/pub/dir/bryan/lamkin">profile on LinkedIn</a>, Lamkin (pictured here) was most recently SVP of Creative Solutions, Adobe’s largest business unit, where the software exec &#8220;led product strategy, marketing and product development for Adobe’s flagship software applications, including Photoshop, the Creative Suite, Dreamweaver, Flash and Illustrator.&#8221;</p>
<p>Lamkin, who was at Adobe for 14 years, has more recently been an executive-in-residence at two venture firms, New Enterprise Associates and Sutter Hill Ventures.</p>
<p>He will take over for Dietzen, who came to <a href="http://kara.allthingsd.com/20070917/yahoo-zimbra/">Yahoo in 2007 after its $350 million Zimbra open-source email acquisition</a></p>
<p>Dietzen&#8211;whom sources said is more entrepreneurial than managerial and did not want to lead such a big organization at the Internet giant&#8211;will become VP of strategy in the move. Many said they expect he will eventually leave Yahoo to try his hand at another start-up.</p>
<p>His colleague, Zimbra founder and CEO <a href="http://kara.allthingsd.com/20090121/zimbra-founder-satish-dharmaraj-to-depart-yahoo">Satish Dharmaraj, left Yahoo earlier this year</a> to join <a href="http://kara.allthingsd.com/20090323/zimbra-founder-and-ex-yahoo-exec-dharmaraj-to-redpoint-ventures">Redpoint Ventures as a VC</a>.</p>
<p>In his job since, Dietzen has been <a href="http://kara.allthingsd.com/20081007/yahoos-scott-dietzen-speaks-about-its-new-online-calendar-which-is-about-a-decade-late">busy fixing Yahoo&#8217;s mail and calendar offerings</a>. (See my video interview with him below from last fall.)</p>
<p>But that&#8217;s not all.</p>
<p>Also afoot is a restructuring of Yahoo&#8217;s North American sales unit, with the unexpected promotion of Mitch Spolan, who was a regional sales exec and will now be in charge of all North American field sales.</p>
<p>The <a href="http://www.paidcontent.org/entry/419-yahoo-centralizes-sales/">paidContent Web site reported the sales changes</a> first, which have been rumored around Yahoo recently.</p>
<p>Spolan jumped over two more senior execs, sources said, who run sales operations for the East and West coasts. One of those execs, Beth Lawrence, will now run Yahoo&#8217;s relations with agencies. Both report to U.S. sales SVP Joanne Bradford.</p>
<p>Over the last 18 months, Yahoo has seen a bleeding of its advertising staff to a wide range of Silicon Valley Web companies, including, most recently, Yahoo’s VP of Sales Operations Dan Foehner to social-networking site Facebook.</p>
<p>Lastly, one of Yahoo&#8217;s most senior communications execs, Brad Williams, was let go as <a href="http://kara.allthingsd.com/20090421/yahoo-first-quarter-results-are-as-meh-as-expected-will-cut-five-percent-of-staff-plus-the-full-press-release/">part of its recent round of layoffs</a>. He had been running PR&#8211;admirably and with good cheer, I might add, despite all the bad news&#8211;since its <a href="http://kara.allthingsd.com/20090202/yahoo-pr-head-jill-nash-to-depart-the-company">head, Jill Nash, departed earlier this year</a>.</p>
<p>Williams&#8217;s departure was <a href="http://online.wsj.com/article/SB124061817277555167.html">first reported by The Wall Street Journal</a> tonight. He came to Yahoo in early 2008 from eBay (EBAY).</p>
<p>New marketing head Elisa Steele, who was hired by CEO Carol Bartz, had recently hired a headhunting firm to find a new PR chief, sources said, and Williams was not considered as a candidate for the job. </p>
<p><em><strong>UPDATE</strong>: Yahoo confirmed my report above.</em></p>
<p> A spokesman sent me the following info about Lamkin&#8217;s appointment:</p>

			<content:encoded><![CDATA[<p>It looks like two years of relentless controversy and company upheaval have sent Yahoo&#8217;s former PR person back into the arms of a retail outfit.</p>
<p>Jill Nash, who said she was leaving Yahoo (YHOO) in early February, will be taking the top PR job at San Francisco-based Levi Strauss &#038; Co. She will be Levi&#8217;s chief communications officer and VP of corporate affairs.</p>

<p>As <a href="http://kara.allthingsd.com/20090202/yahoo-pr-head-jill-nash-to-depart-the-company">BoomTown previously reported</a>, Nash left Yahoo after becoming weary of the constant tumult, which began almost as soon as she was hired by then-CEO Terry Semel.</p>
<p>Let&#8217;s just say, the situation at Yahoo went downward from there, until what appears to be a possibility of revival after the recent appointment of new CEO Carol Bartz, which Nash did not wait around to see for herself.</p>
<p>Levi is also not a walk in the park, though. In its most recent quarter, the jeans manufacturer saw tougher results, and its CEO, John Anderson, warned that 2009 would be a rough year for Levi and the entire retail market.</p>
