<p>According to sources close to the situation, AOL has been busy selecting the board for the company, which is still set to spin itself off by year&#8217;s end&#8211;even as it slows down a decision on a new search deal with either current partner Google or a more emboldened Microsoft.</p>
<p>AOL is using Spencer Stuart in the search for directors, led by well-known headhunter Jim Citrin, sources said, and the company has already settled on several outside candidates.</p>
<p>The final board is likely to have about 10 members, and up to a dozen. </p>
<p>At least one of those seats will go to CEO Tim Armstrong, with one or two more claimed by its current corporate owner, Time Warner (TWX). </p>
<p>AOL and Time Warner made <a href="http://kara.allthingsd.com/20090710/aol-mulls-director-choices-for-new-board-of-spin-off">their own wish list of potential directors earlier this year</a>, but some people are also lobbying the company to join the board.</p>
<p>BoomTown is working on discovering all those names, but sources added that the candidates being looked at are a mix of personalities culled from the media, advertising and Web worlds.</p>
<p>Among the key attributes: More presumably fast-forward and innovative Silicon Valley types that can help burnish AOL&#8217;s tarnished tech cred.</p>
<p>Here are some of my picks: </p>
<p>Facebook COO Sheryl Sandberg, Guitar Hero CEO Dan Rosensweig, WordPress founder Matt Mullenweg (actually, AOL should buy the start-up), eBay (EBAY) CEO John Donahoe, LinkedIn Chairman Reid Hoffman or CEO Jeff Weiner, Juniper Networks (JNPR) CEO Kevin Johnson, Netflix (NFLX) CEO Reed Hastings, and former AOL iconic exec Ted Leonsis.</p>
<p>And, just for fun, News Corp. (NWS) digital don (and ousted former AOL head) Jon Miller or former Yahoo President Sue Decker.</p>
<p>(I might also add former AOL exec, Netscape co-founder and all-around entrepreneur Marc Andreessen, but if he joins another tech/Web board, he is going to get splinters.)</p>
<p>That&#8217;s because Armstrong has set a strategy centered around the turbocharging of online content, powered by a more flexible platform and paid for by goosing AOL&#8217;s graphical advertising business.</p>
<p>This puts the online icon&#8211;once a powerhouse and now not so much, having operated inside Time Warner since its merger early in this decade&#8211;in more serious competition with Yahoo (YHOO).</p>
<p>Yahoo now dominates content on the Web, with powerful news, sports and finance sites, and has recently been trying to reinvigorate its brand. This week, <a href="http://mediamemo.allthingsd.com/20090922/live-from-new-york-yahoo-introduces-you/">it launched a new marketing campaign</a> with the motto, &#8220;It&#8217;s Y!ou.&#8221;</p>
<p>Yahoo also recently struck a search technology and advertising partnership with Microsoft (MSFT), which has now aimed its efforts at AOL.</p>
<p>According to sources, Microsoft execs have been aggressively courting AOL to switch its search business from Google (GOOG).</p>
<p>The search behemoth has long been AOL&#8217;s partner in what sources at both companies said has been a productive and lucrative relationship.</p>
<p>Armstrong is also a former top exec at Google, which many at the company hope will further cement its chances.</p>
<p>And while the renewal of that deal does not officially need to be struck until late next year, sources add that Google has already prepared and offered what it considers an attractive new deal for AOL.</p>
<p>But, much to Google&#8217;s chagrin, with a focus on the spinoff and preparations for some more cost-cutting in the months ahead, AOL has decided not to accept it yet and is not likely to anytime soon.</p>
<p>While hedging the situation in a <a href="http://mediamemo.allthingsd.com/20090921/aol-more-org-chart-shuffles-coming-so-are-ad-dollars-but-mum-on-microsoft/">recent video interview with MediaMemo&#8217;s Peter Kafka</a>, Armstrong has also recently met with Microsoft execs, sources said, who have discussed a number of partnership options with him, including a tighter relationship with its MSN content properties.</p>
<p>&#8220;There&#8217;s no need to rush, especially since there is already a lot on AOL&#8217;s plate,&#8221; said one source close to the situation. &#8220;And, since it has options, AOL is going to take time considering them.&#8221;</p>

<p>Fortune magazine&#8211;which never met a list it did not like to make&#8211;had a solid group of women tech types on its <a href="http://money.cnn.com/magazines/fortune/mostpowerfulwomen/2009/full_list/">&#8220;50 Most Powerful Women 2009&#8221;</a> roster, the annual survey it posted yesterday.</p>
<p>Yahoo CEO Carol Bartz made the Top Ten this year, clocking in at No. 8. </p>
<p>Other women geek types&#8211;many from Silicon Valley&#8211;on the list include:</p>
<p>Ursula Burns, CEO of Xerox (XRX) at No. 9; IBM (IBM) Global Sales and Distribution SVP Ginni Rometty at No. 11; Oracle (ORCL) President Safra Catz at No. 12; Hewlett-Packard (HPQ) Technology Solutions Group EVP Ann Livermore at No. 13; Facebook COO Sheryl Sandberg at No. 22; Charlene Begley, president and CEO, GE (GE) Enterprise Solutions at No. 27; Lorrie Norrington, president of eBay (EBAY) Marketplaces at No. 40; HP CFO Cathie Lesjack at No. 42; and, finally, Google (GOOG) Search Products and User Experience VP Marissa Mayer at No. 44.</p>
<p>The <a href="http://www.timeinc.net/fortune/conferences/mpws/women_home.html">conference associated with the Fortune issue</a>, spearheaded by Pattie Sellers, will take place next week, starting Monday, in Carlsbad, Calif. </p>
<p>Fortune is part of Time Inc., which is owned by Time Warner (TWX).</p>
<p>Bartz, Sandberg and others will be interviewed onstage, along with Berkshire Hathaway (BRK.A) chairman and CEO Warren Buffett. </p>
<p>Will BoomTown be in attendance, with my trusty Flip digital video at the ready? Yes, indeedy, so the lady geeks should beware&#8211;and I am talking to <em>you</em>, Sandberg!</p>
<p>Until then, here&#8217;s a cable television interview Bartz did today on CNBC&#8217;s &#8220;Squawk Box.&#8221; Clocking in at almost 12 minutes, it&#8217;s classic Carol, with sassy catchphrases and jokes about being a really tough lady, but with little new news&#8211;except for her saying she would have sold to Microsoft (MSFT) when it was offering $33 a share way back when, because she is not &#8220;stupid.&#8221;</p>
<p>Indeed not.</p>

<p>In fact, borrowing a quote by IAC/InterActiveCorp (IACI) CEO and chairman <a href="http://d6.allthingsd.com/20080528/diller/">Barry Diller from an onstage interview</a> I did with him at the sixth <strong>D: All Things Digital</strong> conference and switching out Hollywood for Silicon Valley: &#8220;[It] is a community that&#8217;s so inbred, it&#8217;s a wonder the children have any teeth.&#8221;</p>
<p>But, given all the movement of late, this insider seat-switching seems more frantic than ever, as allegiances shift, competitors become friends and colleagues become rivals faster than you can tweet.</p>
<p>When he left Yahoo last summer, in fact, the digital chatter was that Garlinghouse would take a job either as a venture capitalist (he had been one once) or helming a start-up (that too, at Dialpad.com).</p>
<p>In fact, sources said, Garlinghouse had been considering two mobile gigs, but opted for helping to try to overhaul a troubled Web giant.</p>
<p>Fixing messes was the impetus of Owen Van Natta, who <a href="http://kara.allthingsd.com/20080219/owen-van-natta-to-leave-facebook">left a top job at social networking giant Facebook</a> in early 2008 and by the end of the year, <a href="http://kara.allthingsd.com/20081110/van-natta-takes-playlist-ceo-job-with-new-investment-by-pittman">headed over to run Project Playlist</a>, a controversial online music-sharing service.</p>
<p>But then he had hightailed it by spring to <a href="http://kara.allthingsd.com/20090422/former-facebook-exec-van-natta-set-to-take-over-at-myspace-as-founder-dewolfe-steps-down">try his hand at reviving MySpace</a>, as its CEO. </p>
<p>His boss, News Corp. (NWS) digital head <a href="http://kara.allthingsd.com/20090327/jon-miller-to-news-corp-as-digital-head">Jon Miller, did the same</a>, getting the hook (unfairly to my mind) at AOL several years ago and then creating an investment firm with former MySpace head Ross Levinsohn.</p>
<p>The pair considered being part of a bid to oust Yahoo management in 2008.</p>
<p>Miller&#8217;s freedom lasted only until he got an offer that he presumably could not refuse from News Corp. head Rupert Murdoch recently. (Full disclosure: News Corp. owns Dow Jones, which owns this site.)</p>
<p>The list goes on, chock full of ex-Yahoos, in fact.</p>
<p>Its one-time COO, Dan Rosensweig, left the company in 2006, for example, and joined the well-known private-equity firm, Quadrangle Group.</p>
<p>But, soon enough, he was scooped up by Activision Blizzard (ATVI) to <a href="http://kara.allthingsd.com/20090322/exclusive-dan-rosensweig-steps-up-to-takes-his-licks-as-guitar-hero-frontman">run its Guitar Hero division</a>.</p>
<p>Yahoo Network head Jeff Weiner also <a href="http://kara.allthingsd.com/20080612/weiner-will-leave-yahoo-but-might-not-be-replaced">departed from the Internet giant, in mid-2008</a>, for a stint at two VC firms.</p>
<p>He landed at LinkedIn, the business-networking service <a href="http://kara.allthingsd.com/20090624/weiner-nabs-ceo-job-at-linkedin-hoffman-to-executive-chairman-plus-the-official-press-release">where he was named CEO in late June</a>.</p>
<p>Greg Coleman ran <a href="http://kara.allthingsd.com/20070829/hey-kids-lets-put-on-a-yahoo-reorg/">Yahoo ad sales until mid-2007</a> before <a href="http://kara.allthingsd.com/20090203/aol-ad-head-clarizio-out-being-replaced-by-former-yahoo-sales-head-coleman/">taking a job at AOL earlier this year</a>, which he <a href="http://kara.allthingsd.com/20090429/exclusive-platform-a-head-coleman-out-at-aol-as-well-as-cfo-and-more-to-come">lost after it got new management</a> soon after.</p>
<p>At Yahoo, Coleman sparked with former advertising sales head Wenda Harris Millard, <a href="http://kara.allthingsd.com/20070625/wenda-was-robbed/">whom he ousted</a>. She <a href="http://kara.allthingsd.com/20080701/martha-stewart-living-omnimedias-wenda-harris-millard-speaks/">went onto Martha Stewart Living Omnimedia</a> (MSO) and <a href="http://mediamemo.allthingsd.com/20090421/wenda-millard-out-at-martha-stewart">left there this spring</a> for the Media Link consultancy.</p>
<p>Presto! She <a href="http://kara.allthingsd.com/20090820/myspace-to-hire-millard-and-also-media-link-to-take-over-ad-sales-whither-berman/">is now helping MySpace&#8217;s Van Natta</a> fix the social networking site&#8217;s ad business.</p>
<p>Current Yahoo U.S. advertising head <a href="http://kara.allthingsd.com/20080909/yahoo-brings-in-drum-roll-please-a-former-microsoft-exec-to-head-ad-sales">Joanne Bradford actually came from Microsoft</a> last summer, via her own short visit to the <a href="http://kara.allthingsd.com/20080313/microsoft-exec-sprints-over-to-spot-runner/">troubled ad start-up SpotRunner</a>.</p>
<p>Former Yahoo search techie <a href="http://kara.allthingsd.com/20081204/former-yahoo-tech-star-qi-lu-likely-to-be-named-microsofts-digital-head-by-next-week">Qi Lu now runs digital for Microsoft</a> (MSFT), along with a big gang of ex-Yahoo techies he has recruited.</p>
<p>And Scott Moore is even better at the switcheroo. He was at Microsoft running MSN U.S. content, switched to Yahoo as its media poobah, <a href="http://kara.allthingsd.com/20081103/yahoos-scott-moore-and-al-warms-to-depart-this-week/">left last year to consider a start-up</a> and then <a href="http://kara.allthingsd.com/20090130/exclusive-former-yahoo-scott-moore-heads-back-to-microsoft-as">headed back to Microsoft as head of U.S. content</a> this year.</p>
<p>But former Google (GOOG) execs have also been busy shuttling hither and yon, mostly to innovative start-ups.</p>
<p>Of course, many find refuge at Facebook (<a href="http://kara.allthingsd.com/20080304/sheryl-sandberg-will-become-coo-of-facebook">COO Sheryl Sandberg</a>, PR major domo Elliot Schrage and many more) and Twitter (GC  Alexander Macgillivray and COO Dick Costolo).</p>
<p>Recent departures&#8211;such as <a href="http://kara.allthingsd.com/20090407/top-google-exec-cassidy-to-accel-partners-as-ceo-in-residence-a-boomtown-interview-plus-press-release/">Sukhinder Singh Cassidy</a>, who landed at Accel Partners for now&#8211;are also likely to find new homes soon enough.</p>
<p>And, of course, there&#8217;s always Garlinghouse&#8217;s new boss, former Google ad head Tim Armstrong, <a href="http://mediamemo.allthingsd.com/20090312/aol-gets-a-new-ceo-google-sales-boss-tim-armstrong">who took over at AOL earlier this year</a>.</p>
<p>We&#8217;ll skip former Joost CEO and former Cisco (CSCO) exec Mike Volpi (who is now a VC); former Netscape Communications/short-term VC/ex-banker/current-for-now CBS (CBS) digital head Quincy Smith; and Joanna Shields, who has worked at Real Networks (RNWK), Google and Bebo (which was bought by AOL)&#8211;for now.</p>

<p>The board of <a href="http://www.ilike.com">iLike</a> planned a meeting earlier tonight to go over a buyout offer by MySpace, several sources close to the situation said. But it was suddenly canceled because of some thorny tax implications related to the talent-retention part of the deal to purchase the social music start-up. </p>
<p>This does not mean the pending acquisition is in jeopardy, sources said, and it could be on track to be signed as early as today, barring any more complications.</p>
<p>That is what both iLike and MySpace execs are hoping, said sources, one of whom described the outstanding issues as a &#8220;technicality.&#8221;</p>
<p>What&#8217;s also been unclear is the actual price the social networking giant is paying for iLike, which has been reported as about $20 million.</p>
<p>In fact, only $13.5 million will be paid upfront in cash, with about $8 million of that money likely going to one of its major shareholders, Ticketmaster Entertainment (TKTM), due to its preferred shares.</p>
<p>Another $6 million has been promised by MySpace in forward payments to retain some key employees&#8211;including iLike co-founders and twin brothers Ali and Hadi Partovi.</p>
<p>Although those employees can remain in Seattle, where iLike has its HQ, they must stay employed at Beverly Hills, Calif.-based MySpace for two and a half years to get their money. </p>
<p>It&#8217;s that talent part of the deal that caused the Partovis to cancel the iLike board meeting, which they explained to key investors was necessary due to some confusion over how the money paid to these employees would be taxed.</p>
<p>A person briefed on the issue said that if it was taxed as compensation, it would have a much higher tax rate than if it were considered long-term capital gains.</p>
<p>The Partovis said in the email that they were working on the problem with their advisers on the sale, Allen &#038; Co., as well as with lawyers and accountants. </p>
<p>Tax snafus in the middle of a sale are not exactly the way the entrepreneurial Partovis envisioned it was going to go for iLike (see my various video interview related to iLike below) when they created the compelling music sharing and recommendation service in 2006. </p>
<p>After only a few years, the innovative start-up claims it has 50 million registered users overall.</p>
<p>A lot of that growth was due to iLike quickly becoming one of the most popular widgets on social networking sites like Facebook, where it has also been the top music application, with 10 million active monthly users.</p>
<p>The Partovis&#8211;who once were close with execs at Facebook (see my party video below), particularly founder and CEO Mark Zuckerberg&#8211;placed great faith in its growth lifting all Web 2.0 boats.</p>
<p>It did not turn out that way, though, especially from the important financial point of view, and iLike scrambled to diversify.</p>
<p>The iLike service recently began offering a music downloading service, for example, as well as other such features, all of which would be attractive to the music-centric focus at MySpace.</p>

<p>Once an Internet sensation, MySpace has been struggling to restructure itself after losing momentum and buzz in recent years, as well as a huge advertising revenue drop in its most recent quarter.</p>
<p>Its owner, News Corp. (NWS), replaced its founders with new management four months ago, including former Facebook exec Owen Van Natta as CEO.  </p>
<p>After making major staff layoffs and rejiggering management, Van Natta and his new team have been working on an overhaul of the MySpace product and seem to be refocusing it to become a global music and entertainment service.</p>
<p>MySpace also has a joint venture with major music labels, MySpace Music, which has been trying to attract consumers and build a viable business. Sources said MySpace Music could also buy into the iLike deal or simply license its technology to improve its features.</p>
<p>Thus, purchasing iLike would fit in well with MySpace&#8217;s overall plans.</p>
<p>And iLike has also been in need of a fix itself.</p>
<p>For all its popularity, especially on Facebook, it has moved slowly toward profitabilty, and its $17 million in funding has been dwindling, as has its viability as a standalone company. </p>
<p>Back in more frothy Web 2.0 days, iLike&#8217;s generous funding gave it a valuation of more than $50 million, which has also lost steam over time and as the economy has worsened.</p>
<p>In the last quarter of fiscal 2008, for example, Ticketmaster wrote down its $13 million investment by $6 million.</p>
<p>Tensions between its execs and iLike have gotten worse over time, although some thought at one time that Ticketmaster would buy iLike.</p>
<p>No longer, which is why the founders turned to Allen &#038; Co., as <a href="http://mediamemo.allthingsd.com/20081124/web-2o-music-pioneer-ilike-looking-for-buyers">MediaMemo reported as far back as November</a>, to find another big investor or buyer.</p>
<p>Wrote Peter Kafka: &#8220;Delivering free music on the Web has so far proven to be a high-cost, low-revenue endeavor&#8230;&#8221;</p>
<p>So, the New York deal-making firm ginned up a small group of suitors, which included Facebook, Activision Blizzard (ATVI) and Microsoft (MSFT), as well as MySpace.</p>
<p>Of the three, Activision was most serious, with interest in integrating iLike&#8217;s community and technology tools with its Guitar Hero franchise. </p>
<p>But Activision never actually made a formal bid, said sources. </p>
<p>Both Microsoft and Facebook also considered the purchase, but sources said they would only offer stock in a deal. But iLike wanted cash in the deal.</p>
<p>The Partovis were also was wary about working at either place.</p>
<p>Both Partovis, for example, had worked at Microsoft (Ali after selling it LinkExchange in 1998 for $265 million; Hadi several times, once following Microsoft&#8217;s acquisition of Tellme Networks, which he co-founded). </p>
<p>As it has turned out, in its short life, iLike&#8217;s last, best alternative is apparently MySpace.</p>
<p>&#8220;Look, iLike has been shopped around for a while, and while the team and technology are great, it only has one choice and that&#8217;s to be sold,&#8221; said one person involved in the various scenarios. &#8220;The question for the buyer then is whether it was worth it to pay up or just move on and do it ourselves.&#8221;</p>

<p>In an unusually robust collaboration using Facebook Connect, the Huffington Post is launching a feature on Monday called &#8220;HuffPost Social News,&#8221; which lets readers create a personalized social networking-like news page on the Huffington Post itself.</p>
<p>While the Huffington Post had already been using Facebook Connect since January&#8211;which allows readers of the site to log in using their Facebook identity to interact, which is mostly used to leave comments&#8211;this use essentially takes Facebook Connect and puts it on steroids.</p>
<p>&#8220;We are looking at HuffPost Social News like a &#8216;digital water cooler,&#8217; because we see news going in that direction,&#8221; said Huffington Post Editor-in-Chief and co-founder Arianna Huffington, in an interview with me this weekend. &#8220;We did this because we are interested in real identities having real conversations about news.&#8221;</p>
<p>While the use of &#8220;social news&#8221; will be seen by some as simply a clever PR term, this kind of innovative deployment on the <a href="http://www.huffingtonpost.com">Huffington Post</a> is actually a very big step for the site, especially as an opportunity to bind its readers to it more closely, presumably increasing engagement and traffic.</p>
<p>&#8220;This is a natural way to expand into the Facebook community and give users who desire to engage and comment with friends more privacy,&#8221; said Huffington Post CEO Eric Hippeau, with whom I also spoke earlier today. &#8220;And, like a lot of other sites, we are trying to make our site more attractive to marketers who want to engage with engaged users.&#8221;</p>
<p>Hippeau said he hopes that will lead to more advertising spending, although the first focus is to get people using it.</p>
<p>Such a move is an interesting one for Facebook too, since it is getting unusual prominence and much deeper integration on a popular news Web site, well beyond how other sites are using Facebook Connect. </p>
<p>If it works, HuffPost Social News will give it even more content flowing into its service, a direction that was also underscored by <a href="http://kara.allthingsd.com/20090810/facebook-acquires-not-twitter-oops-friendfeed-plus-the-full-press-release">Facebook&#8217;s recent $50 million purchase of FriendFeed</a>, the online content-sharing site.</p>
<p>Goosing interactivity and engagement is a big aim for Facebook and also lots of news sites, such as the Huffington Post. </p>
<p>While there are about 1.7 million comments on the site monthly, for example, if users sign up for HuffPost Social News at large rates, that could expand a lot.</p>
<p>This will be done via the special page, as well as a large module on every Huffington Post page you visit showing what your Facebook friends who also sign up for HuffPost Social News are posting, what&#8217;s most popular in your network and on the site itself. </p>
<p>As is usually the case with Facebook Connect, you can decide what is sent back to Facebook and can also hide your movements from HuffPost Social News by going into a &#8220;stealth&#8221; mode.</p>
<p>If left turned on, though, it captures your every click on the site, including what you are reading&#8211;which means my social site should constantly be filled with news of Britney and LiLo.</p>
<p>&#8220;HuffPost Social News finds your Facebook friends who are also reading HuffPost and links you together on our site so you can dive deeper into the stories you like best,&#8221; wrote Huffington in a blog post to readers of her site, which you can read in its entirely below. &#8220;The explosive growth of online social networking has fundamentally changed our relationship with news. It’s no longer something we passively take in.&#8221;</p>

<p>According to sources close to the situation, current and former employees of Facebook are now going to be able to sell up to 20 percent of their common shares.</p>
<p>It is part of a $100 million add-on investment in the social networking company by the Russian investors who recently put $200 million into the company for preferred shares.</p>
<p>That <a href="http://mediamemo.allthingsd.com/20090526/da-facebook-takes-200-million-from-russian-investors-at-10-billion-valuation">investment a month ago by Digital Sky Technologies was valued at $10 billion</a>, since those shares have various special rights, depending on what was negotiated.</p>
<p>The new tender offer by DST values the company at $6.5 billion for the common shares, or $14.77 a share. The last common share valuation of the company was around $4 billion.</p>
<p>The move has been expected for Facebook employees since DST made its first investment.</p>
<p>It will allow them to monetize shares, since the company is not likely to go public for at least a year or more.</p>
<p>Employees have 20 days to decide to take the offer or not and can only sell up to 20 percent of their stock&#8211;in other words, they cannot cash out completely.</p>
<p>&#8220;I can afford a down payment on a house now,&#8221; said one longtime employee, who is typical of many. &#8220;But not a <em>really</em> big house.&#8221;</p>
<p>But the top leadership of Facebook, such as CEO Mark Zuckerberg or COO Sheryl Sandberg, are not eligible to sell shares.</p>
<p>Facebook confirmed the DST investment, with a statement from Zuckerberg:</p>
<p>&#8220;While individuals must make their own decisions about participating in this program, I&#8217;m pleased that the price DST is offering is much greater than the price originally considered last fall. This is recognition of Facebook&#8217;s growth and progress towards making the world more open and connected.&#8221;</p>
<p>If fully accepted by those employees eligible, it will give DST 1.54 percent more of Facebook, for a total of 3.5 percent of the company. </p>
<p>That makes DST&#8211;based in London and Moscow&#8211;one of the bigger Facebook investors, with a stake larger than one owned by Microsoft (MSFT).</p>
<p>The software giant invested $250 million in Facebook for preferred shares in 2007, but the valuation was then $15 billion. That huge figure was due to a competing bid from archrival Google (GOOG) at the time.</p>
<p>In any case, neither DST nor Microsoft got a board seat or “special observer rights” in return for its money.</p>

<p>How much is BoomTown and everyone else in Silicon Valley trying to nab a copy of Ben Mezrich&#8217;s likely-to-be-entirely-made-up-but-who-cares tale of dirty doings at Facebook?</p>
<p><em>Muchety-much!</em> So much so that I called all my book industry contacts&#8211;hey, I am a <em>published</em> author, ya know!&#8211;even though I have not actually completed reading a book since the Internet started and gave me permanent attention deficit disorder.</p>
<p>But, so far I have come up peanuts in grabbing an early copy of Mezrich&#8217;s tome, &#8220;The Accidental Billionaires,&#8221; which is set to come out July 14.</p>
<p>Facebook is not pleased, of course, and will likely be challenging Mezrich&#8217;s work as specious dreck. But the drama around the book should be interesting, to say the least.</p>
<p>More so, since this week also came news that actors <a href="http://news.cnet.com/8301-13577_3-10271662-36.html">Michael Cera and Shia LaBeouf</a> are being considered to play founder and CEO Mark Zuckerberg and that <a href="http://www.variety.com/article/VR1118005289.html?categoryid=13&#038;cs=1&#038;nid=2854">David Fincher</a>, the director of the lugubrious Brad Pitt snoozer, &#8220;The Curious Case of Benjamin Button,&#8221; is &#8220;attached&#8221; to the movie version. </p>
<p>Even better: &#8220;West Wing&#8221; creator  Aaron Sorkin will pen it and actor Kevin Spacey will produce the Columbia Pictures film, which will be called &#8220;The Social Network.&#8221;</p>
<p>Well, Hollywood sure came up with an original title!  </p>
<p>It certainly does not signal the juiciness of the proposal for the book&#8211;which did manage to leak out last year&#8211;with a lot of tale tales in it that seem to have pretty much tracked on its oddly purple subtitle of &#8220;The Founding of Facebook: A Tale of Sex, Money, Genius and Betrayal.&#8221;</p>
<p>The cover&#8211;which you can see on the book&#8217;s<a href="http://www.facebook.com/pages/The-Accidental-Billionaires-by-Ben-Mezrich/64052888061"> Facebook page</a> (the delicious gall of Mezrich!)&#8211;features a spilled martini glass and a red bra flung nearby.</p>
<p>Martinis? Red bras? Sex? Facebook? <em>Really?</em></p>

<p>Obviously, Mezrich has not actually met Zuckerberg, who is a very nice geekish young man, but who has approximately the sex appeal of a rack of Facebook servers.</p>
<p>Powerful yes! Spockish? Yes! Sexy? Um, no, no, no.</p>
<p>I will not even begin to parse the red bra thing, although I am attributing the martinis to stylish former COO (and now MySpace CEO) Owen Van Natta.  </p>
<p>But, apparently, the sex part seems to have to do with Zuckerberg starting the company with others while an undergrad at Harvard University, as a scheme to meet some ladies.</p>
<p>I would say there are easier ways to attract the womenfolk&#8211;not that I could give tips or anything&#8211;but whatever!</p>
<p>Thus, since I cannot get my mitts on the book (<em>yet!</em>), here&#8217;s my list of 10 completely made-up, utterly fabricated, just-call-me-Jayson-Blair things that should be in the book. </p>
<p><strong>10.)</strong> Facebook was actually going to be called OnlyPrettyLadyFacebook, but cooler heads prevailed.</p>

<p><strong>9.)</strong> The Wall? A clever plot by Zuckerberg to build his online service on a fascist construct, touting his hegemony over all he surveyed.</p>
<p>Wait, that actually happened, and now some Russians are even investors.</p>
<p>Long live the Zuckrepublic of Palo Alto!</p>
<p><strong>8.)</strong> Reason for stealing, <em>oops</em>, borrowing, <em>oops</em> again, completely separately developing an exact replica of ConnectU social network at Harvard:</p>
<p>The Olympically muscle-headed Winklevoss twins used to beat up the brainy Zuckerberg on his way back to the dorm, prompting a &#8220;Revenge of the Nerds&#8221; plot line.</p>
<p><strong>7.)</strong> Facebook&#8217;s Beacon advertising? <em>All</em> Randi Zuckerberg&#8217;s idea, so she could find out what she was getting for her birthday from her billionaire-on-paper brother.</p>
<p><strong>6.)</strong> Zuckerberg&#8217;s famous flip-flops were made in China under dubious working conditions. Wait, that&#8217;s true too.</p>

<p><strong>5.)</strong> The 20-something Zuckerberg is actually 93 years old, a real-life version of Benjamin Button, which would explain the social awkwardness and staring-into-space-sometimes thing.</p>
<p><strong>4.)</strong> The no-breast-feeding-pictures controversy pretty much proves no one is interested in bras or, more precisely, what goes in them at Facebook.</p>
<p><strong>3.)</strong> COO Sheryl Sandberg is a cyborg sent to Facebook from Google for purposes of infiltration. She and her crafty sidekick, Elliott Schrage, will become self-aware in 2012 and hunt down Zuckerberg in a thrilling chase that will also become a movie.</p>
<p><strong>2.)</strong> The sex, drugs and rock-and-roll stuff actually all took place at MySpace, which really pisses off certifiably dashing co-Founders Chris DeWolfe and Tom Anderson because, once again, Zuckerberg stole their mojo!</p>

<p><strong>1.)</strong> This work of fiction, <em>oops</em>, &#8220;fact&#8221;-ion, <em>oops</em> again, nonfiction, is probably not going to sell many copies because it will mysteriously be uploaded in its entirety by a widget that will distribute it free to Facebook&#8217;s 200 million plus users while simultaneously SuperDuperPoking Mezrich, by throwing <em>real</em> sheep at him. </p>
<p>Don&#8217;t say I didn&#8217;t warn you, Ben.</p>
<p>(By the way, here is an extra for you: The $15 billion valuation for Facebook, along with all the other Web 2.0 ones? Totally true. Just ask any VC.)</p>

<p>Previously, the fast-growing Facebook staff had been spread willy-nilly throughout the downtown of Palo Alto, where they irked pretty much everyone by stealing all the good parking.</p>
<p>So, much like the <a href="http://kara.allthingsd.com/20090414/kara-visits-twitters-san-frantwittco-hq">tour I did recently with Twitter co-founder Biz Stone</a> of its San Francisco HQ, here is a video of Facebook&#8217;s new digs in the heart of Silicon Valley.</p>
<p>It includes the whole place, which used to be a Hewlett-Packard (HPQ) facility, from the front door to the cafeteria to the evil lair of VP of Global Communications, Marketing and Public Policy, Elliot Schrage.</p>
<p>While he did not deign to be on camera (although he did shellac me in a quick game of ping-pong, in spite of my smack talk), I did get to chat with folks like marketing exec Randi Zuckerberg and COO Sheryl Sandberg.  </p>
<p>Also, Barker tries mightily to show that she can ride a Rip Stick, which is apparently Facebook&#8217;s version of bikes at Google (GOOG).</p>
<p>At the very least, she gets an A for effort.</p>

<p>Because a lot of tech&#8217;s big shots are converging on our seventh <strong>D: All Things Digital</strong> conference, BoomTown managed to grab Facebook COO Sheryl Sandberg and Alexander Tamas, one of the key execs of the social-networking site&#8217;s newest megainvestor, Digital Sky Technologies.</p>
<p>Here&#8217;s my video interview with them about the <a href="http://mediamemo.allthingsd.com/20090526/da-facebook-takes-200-million-from-russian-investors-at-10-billion-valuation/">$200 million that the Moscow- and London-based DST announced today that it had invested in Facebook</a>, at a $10 billion valuation.</p>
<p>The pair are queried about the investment, the valuation, the advertising prospects for the Silicon Valley-based Facebook, competitors and when the IPO might come.</p>
<p>Sandberg also offers to buy the <strong>All Things Digital</strong> empire with Facebook&#8217;s piles of new cash. We said: <em>Nyet!</em> (with a shoe pounding on table for emphasis).</p>

Actually, the truth is a little more mundane: The self-described "scourge of [Silicon] Valley" is moving onto another digital job as head of NBC Universal's new Bay Area Web site, whose motto is "Locals Only." Deceptively fresh-faced Ryan Tate is his replacement.

<p>Was it Facebook COO Sheryl Sandberg in Fraiche Yogurt with a Macbook Air? Or Tesla Motors CEO Elon Musk on the streets of San Francisco with a Model S? Or, most likely of all, Marissa Mayer of Google in the penthouse with a Manolo Blahnik spiked heel?</p>
<p>For all the invective this trio has taken from him, all would certainly be prime suspects if some nefarious fate befell always controversial Valleywag gossip blogger Owen Thomas.</p>
<p>Actually, the truth is a little more mundane: The self-described &#8220;scourge of [Silicon] Valley&#8221; is moving onto another digital job as head of GE (GE) unit <a href="http://www.nbcbayarea.com/">NBC Universal&#8217;s new Bay Area</a> Web site, whose motto is &#8220;Locals Only.&#8221;</p>
<p>There, the 37-year-old Thomas will run a site that focuses on news from around the San Francisco region, with a mix of national stories. But, sources said, he is still going to continue to drill down on tech too, so those burned before by him should not relax too much.</p>
<p>Thomas has been running Valleywag since mid-2007. Its staff got pretty large for a while, until it was recently downsized and its content stuffed into Gawker, the flagship site of Gawker Media. The Valleywag site remains, though, and will continue to.</p>
<p>And it <a href="http://gawker.com/5236440/meet-the-new-valleywag-ryan-tate">will now be the domain of deceptively fresh-faced Ryan Tate</a>, Thomas&#8217;s replacement. The Berkeley resident, 32, has been the night editor for Gawker since early last year.</p>
<p>Interestingly, Tate was an intern for The Wall Street Journal&#8217;s California edition and also worked for tech-oriented publications like Business 2.0, Upside and the San Francisco Business Times.</p>
<p>Thomas is reportedly staying on at Valleywag through the middle of the month and then it will be Tate&#8217;s turn to make mischief with tech&#8217;s more puffed-up mandarins.</p>
<p>In an effort to scare Tate into steering clear of BoomTown, I invited the pair to <strong>All Things Digital</strong> HQ this rainy afternoon for a little sit-down to discuss where the controversial site has been and where it is going. </p>

<p>For everyone else, here is the entire memo that Facebook sent out this week from CEO and founder Mark Zuckerberg to its 800-person staff about the <a href="http://kara.allthingsd.com/20090331/facebook-cfo-gideon-yu-out-fast-growing-social-network-says-its-doing-fine-financially/">departure of CFO Gideon Yu</a> and the financial status of the Silicon Valley social-networking start-up, which some had been questioning.</p>
<p>According to the memo, there is a company Q&#038;A tomorrow about it all too! <em>What should I wear?</em></p>
<p><strong>UPDATE:</strong>In a version of the memo I first posted, there was a repeated paragraph, with slight differences. This might have been a software error&#8211;several versions I got of this entire memo had different punctuation in various places.</p>
<p>In any case, I eliminated the extra repeated graph and I changed one part below of &#8220;we are&#8221; to &#8220;Facebook is&#8221; in brackets.</p>
<blockquote class="memo"><p>COMPANY CONFIDENTIAL&#8211;DO NOT FORWARD</p>
<p>Hey Everyone&#8211;</p>
<p>Today ends the first quarter of 2009, so I wanted to send out an update on our growth and financial progress, as well as a couple of changes we are making.</p>
<p>Our user growth has been extraordinary over the past year and has continued to be strong throughout Q1. We are getting very close to reaching our 200 millionth active user. This is pretty remarkable considering we just reached 100 million actives a little more than seven months ago. We have become the top site for sharing information on the web, and this gives us a good strategic position to help people share even more.</p>
<p>I am also pleased that our financial progress has been very strong as well. While we came into this year wondering how the recession might affect us, our financial performance in the first quarter surpassed our expectations. As other businesses around us are slowing down and cutting back, we continue to grow around the world. Our advertising products are becoming more attractive for advertisers and we have seen strong growth in both our domestic and international direct sales and online sales channels.</p>
<p>Even in the current economic environment, we are confident that this success will continue. Based on our first quarter results, we now believe we are on track to see our revenue grow by at least 70% this year. We just completed our fifth straight quarter of EBITDA profitability. And most importantly, we expect to achieve free cash flow profitability next year. That&#8217;s an important measure of financial success and sustainability because it means we’d be able to fund all of our operations and server purchases from the cash we generate while increasing our cash reserves in the bank. Hitting these numbers will require continued hard work, discipline and execution by everyone here at Facebook, but we are on the path to achieve these goals.</p>
<p>As we ramp up to take on these challenges, I want to let you know that Gideon Yu will be leaving the company. Gideon has played an important role in helping us achieve our financial success, building a strong finance team and establishing the core financial operations of our company. I will always be grateful to Gideon for his contributions to Facebook and what we are trying to accomplish. As those of you who know him know, Gideon’s family is his highest priority and it’s certainly not the usual cliché to say that he plans to take some time off to be with his wife and son. Gideon and I have often discussed that the next stage of his career will likely be as an investor, and I fully support him in this regard.</p>
<p>We have retained Spencer Stuart to search for a new CFO and we will be looking for someone with public company experience who can help take us to the next stage in our growth.</p>
<p>In the interim, the finance team will report to Cipora Herman in her capacity as Treasurer and Ted Ullyot as mteam lead. In addition, [Facebook is] fortunate that Peter Currie, the former CFO for Netscape, has agreed to serve as the advisor to Facebook until a new CFO comes on board.</p>

<p>The <a href="http://online.wsj.com/article/SB123852657881174747.html#mod">Wall Street Journal also reported the news</a>, noting that the huge social-networking start-up was looking for a CFO with &#8220;public company experience.&#8221;</p>
<p>But several sources within the company said the departure was more due to an increasingly strained relationship between Yu and Facebook founder and CEO Mark Zuckerberg over strategic disagreements about a wide range of issues, from increasing advertising revenue to fund-raising discussions with investors.</p>
<p>&#8220;At Facebook, you&#8217;re either with Mark or you&#8217;re not,&#8221; said one source at the 800-person company, located in Palo Alto, Calif., and founded five years ago. &#8220;And, if you&#8217;re not, you leave.&#8221;</p>
<p>As a sign of that, Yu was out of the company HQ immediately today after a meeting, said several sources.</p>
<p>Facebook confirmed the move in a statement, focusing instead on its hope for an IPO sometime in the future:</p>
<blockquote class="memo"><p>&#8220;Facebook confirms that CFO Gideon Yu will be leaving the company. Gideon has played an important role in helping us achieve our financial success, building a strong finance team and establishing the core financial operations of our company. Despite the poor economic climate, we are pleased that our financial performance is strong and we are well positioned for the next stage of our growth. <p>In addition, trying to stanch the rumors of its financial weakness and need to raise more funds, Facebook said in its internal memo to staff that it was on the path toward a public offering soon, with revenue growth up 70 percent in 2009 and EBITDA profitability this year, and that it would be cash-flow positive in 2010. </p>
<p>The memo also painted Yu&#8217;s departure as another step toward its much anticipated IPO, although it is clearly an ouster of much more complex internal reasons about how Facebook is run.</p>
<p>Facebook has had a lot of those in its short history.</p>
<p>From come-and-then-gone Google tech exec <a href="http://kara.allthingsd.com/20080818/the-curious-case-of-facebooks-benjamin-ling-and-sheryl-sandberg">Ben Ling</a> to former COO <a href="http://kara.allthingsd.com/20080219/owen-van-natta-to-leave-facebook">Owen Van Natta</a> to the <a href="http://kara.allthingsd.com/20080511/facebooks-cto-dangelo-to-leave">pair who started Facebook</a> with Zuckerberg, the fast-growing start-up has seen more executive turnover and turmoil than most big companies.</p>
<p>In fact, Yu&#8211;who was an exec at both Yahoo (YHOO) and YouTube and integral to its sale to Google&#8211;replaced former CFO Mike Sheridan in 2007, in another case of a key exec being replaced. </p>
<p>Some inside and outside the company were quick to blame COO Sheryl Sandberg for Yu&#8217;s departure&#8211;probably due to the fact that the pair&#8217;s relationship was initially tense when the <a href="http://kara.allthingsd.com/20080304/sheryl-sandberg-will-become-coo-of-facebook">well-known Google exec arrived a year ago</a>. That has been much less so of late, sources said.</p>
<p>And while Facebook can be a highly political place, with an unusual level of passive-aggressive infighting among execs, it is also a place where Zuckerberg and his wishes firmly hold sway.</p>
<p>And those wishes included the fact that Zuckerberg has long and publicly maintained that Facebook&#8217;s growth was paramount over a focus on monetization of the service.</p>
<p>Yu is known internally to be more conservative fiscally, pushing on Zuckerberg to ramp ad revenue more quickly and to consider a range of options outside of IPO, including selling the company. </p>
<p>Many current and former execs had hoped the company would IPO, a process that has been dragged out due to the weaker economy. But&#8211;barring that&#8211;many had also hoped it would sell to a larger company like Google (GOOG) or Microsoft (MSFT).</p>
<p>In fact, Microsoft has expressed interest in buying Facebook many times, and it was Yu and Van Natta who were key to getting the software giant to outbid Google to invest in the company at an astounding $15 billion valuation.</p>
<p>After raising more than $500 million previously, Yu has more recently been busy working with top execs on the best way to raise more funds for Facebook, in order to allow it grow faster and give it a deeper financial cushion. </p>
<p>High user growth has blown past Facebook&#8217;s internal projections, which is both an audience blessing and a cost curse.</p>
<p>But that fund raising has been at a much lower valuation and in a very weak economic climate, adding to stress internally at Facebook, many said.</p>
<p>Yu has held a number of meetings with investors, many of whom have told me they have asked him consistently about the monetization issues at Facebook and exactly when Zuckerberg would turn on the ad spigot at the service.</p>
<p>Yu has also has been involved in some recent debt financing of equipment, which is not as unusual for a fast-growing company as some recent reports have portrayed it, although that might also have been a source of tensions.</p>
<p>How to answer prospective new investors has probably been at the heart of his problems with Zuckerberg, who has been known to run hot and cold on top managers, especially with those who disagree with him too much.</p>
<p>That was clearly the case with Yu.</p>
<p>But, said many execs at the company, Zuckerberg&#8217;s conviction that growth is key over all other concerns&#8211;about which the company today is taking the edge off by noting sunnier financial results in the internal document&#8211;has been the correct one.</p>
<p>Currently, Facebook is veering in on 200 million users, which represents an astounding accomplishment.</p>
<p>But how it is going to take those numbers and make Facebook into a revenue-rich company on par with its increasing power on the Web is the question it will face until, of course, it does. </p>
<p>Besides the current drama over Yu today, Facebook has also recently been embroiled in <a href="http://kara.allthingsd.com/20090324/facebook-responds-to-redesign-feedback-sort-of/">unhappiness about its recent redesign</a> and separately, about <a href="http://kara.allthingsd.com/20090226/liveblogging-the-facebook-our-tos-is-your-tos-press-conference/">onerous changes to its Terms of Service</a>.</p>
<p>Facebook has since backtracked on both issues, likely adding to the level of pressure on Zuckerberg and top execs.</p>
<p>And that is not even mentioning the <a href="http://kara.allthingsd.com/20090213/law-and-disorder-the-curse-of-the-winklevii">curse of the Winklevii</a>&#8211;it seems the fun never stops at Facebook HQ!</p>
<p>On an <em>actually</em> more amusing note, I once nicknamed Yu &#8220;Death Cat.&#8221;</p>
<p>As <a href="http://kara.allthingsd.com/20070816/the-men-and-no-women-facebook-of-facebook-management">I wrote in mid-2007</a>:</p>
<blockquote><p>&#8220;Like that cat named Oscar who can detect death, Yu seems to have an amazing ability to get a sweet job at the hot Web company of the moment at just the right time. Case in point: He left Yahoo as its treasurer and went to YouTube as its CFO just a month before it sold to Google for $1.6 billion, a deal in which Yu apparently played a key role. Then, on his way to a spot as a junior partner at also-hot VC firm Sequoia Capital, he grabbed the Facebook CFO job in July. I say we watch where Yu goes and follow stealthily behind so as not to be detected.&#8221;</p></blockquote>
<p>It&#8217;s more than likely Yu will pop up again soon in Silicon Valley in another prominent CFO job or as a venture investor. Although, after today&#8217;s events, this digital cat has definitely lost one life.</p>

<p>BoomTown might have been remiss in <a href="http://kara.allthingsd.com/20081118/yahoos-peter-chernin-principle-and-other-ceo-choices/">my post yesterday on top candidates for the Yahoo CEO job</a>, after the news Monday that Jerry Yang is stepping down, by leaving out several key possibilities.</p>
<p>Yesterday&#8217;s roster included News Corp.&#8217;s Peter Chernin, Google&#8217;s Tim Armstrong, Kevin Johnson of Juniper Networks (JNPR) and also two Yahoo board members, among others. (The main internal candidate, Yahoo President Sue Decker, seems unlikely to get the nod.)</p>
<p>So here is an addendum to my initial list&#8211;all of whom are Yahoo (YHOO) outsiders.</p>
<p><strong>Tom Freston:</strong></p>
<p><a href="http://kara.allthingsd.com/files/2008/11/freston.jpg"><img src="http://kara.allthingsd.com/files/2008/11/freston.jpg" alt="" title="freston" width="115" height="125" class="alignleft size-medium wp-image-6712" /></a></p>
<p>Chernin is not the only media mogul whose name is being bandied about&#8211;the other prominent one is former Viacom head Tom Freston.</p>
<p>Freston apparently got shafted by the&#8211;let&#8217;s be polite here&#8211;disturbingly <em>volatile</em> founder of Viacom (VIA), Sumner Redstone, for not buying MySpace. In fact, News Corp. (NWS), which also owns this Web site, did. But Freston remains a well-respected and creative exec and has been dabbling in the Internet space since leaving Viacom.</p>
<p>Also, Oprah and Arianna love Freston&#8211;which is all I need to know.</p>
<p><strong>Jeff Jordan:</strong></p>
<p><a href="http://kara.allthingsd.com/files/2008/11/jeff_jordan.jpg"><img src="http://kara.allthingsd.com/files/2008/11/jeff_jordan.jpg" alt="" title="jeff_jordan" width="107" height="115" class="alignright size-medium wp-image-6711" /></a></p>
<p>Jeff Jordan, the former top eBay (EBAY) exec who is now the CEO of OpenTable, was also on the short list for COO at Facebook, a job that went to former Google exec Sheryl Sandberg.</p>
<p>While the restaurant reservations Web start-up has been headed for a public offering, that event has obviously been pushed out indefinitely by the econalypse, which might be just the impetus to convince Jordan that bussing tables all day is too dull.</p>
<p>Some speculate that Yahoo could buy OpenTable and get Jordan in the process.</p>
<p><strong>Richard Rosenblatt:</strong></p>

<p>Another interesting idea is Richard Rosenblatt of Demand Media, a <a href="http://kara.allthingsd.com/20080709/demand-medias-richard-rosenblatt-speaks-and-says-hes-not-for-sale-to-yahoo-for-now/">company that Yahoo was sniffing around not too long ago</a>. </p>
<p>The network of social-networking sites and apps maker is an innovative play in the space and might give Yahoo some much needed Web 2.0 DNA. Demand could still be bought by Yahoo, in order to put Rosenblatt into place.</p>
<p>(Rosenblatt, for those who do not remember, ran the company that owned MySpace, and he was key to selling it to News Corp.)</p>
<p>Also, Lance Armstrong likes Rosenblatt.</p>
<p><strong>Shelby Bonnie:</strong></p>

<p>A reader actually made the excellent suggestion of former CNET head Shelby Bonnie, who is now investing in start-ups. Bonnie is another steady exec&#8211;despite leaving CNET, now owned by CBS (CBS), under an options backdating controversy&#8211;and is well-liked in the Internet industry.</p>
<p>Yahoo would be a much bigger job than he has ever held, although he certainly has both tech and advertising experience online.</p>
<p><strong>David Rosenblatt:</strong></p>

<p>Lastly, especially if Yahoo is interested in an exec who has turnaround talent, there is probably no better a choice than DoubleClick CEO David Rosenblatt. An experienced online advertising exec, he is also sharply outspoken and knows how to get companies in line and fast. </p>
<p>He is also impossibly rich after Google (GOOG) bought DoubleClick out from under&#8211;<em>wait for it</em>&#8211;Yahoo recently. While he is still running the show for Google, after having decided to stay, Yahoo might present an interesting challenge for the very savvy Rosenblatt.</p>

<p>Today, a panoply of prominent tech and Internet leaders is taking a very public stand against a controversial initiative before California voters, which would eliminate the current legal right of same-sex couples to marry.</p>
<p>Forming a group and taking out a full-page ad in the San Jose Mercury News tomorrow, the execs hope to convince voters to reject Proposition 8, which is titled &#8220;Eliminates Right of Same-Sex Couples to Marry.&#8221;</p>
<p>Silicon Valley has had a long history of supporting gay rights. And recently, Google (GOOG) Co-Founder Sergey Brin has made a strong statement opposing Proposition 8, while Apple (AAPL) gave $100,000 to help defeat it.</p>
<p>The honorary co-chairs of &#8220;Silicon Valley Leaders Say NO on Proposition 8&#8243; include: Brin; Bill Campbell, Chairman, Intuit; David Filo, Founder, Yahoo; Chuck Geschke, Founder and Chairman, Adobe Systems; John Morgridge, Former CEO and Chairman, Cisco Systems; Pierre Omidyar, Founder and Chairman, eBay; Sheryl Sandberg, COO, Facebook; Eric Schmidt, CEO, Google; and Jerry Yang, Founder, Yahoo.</p>
<p>In a statement in a press release set to go out this morning, Yang said: &#8220;Silicon Valley has always been an example for the rest of the country of how diversity and openness help to drive innovation and value creation. This divisive measure is the antithesis of those values that make Silicon Valley so unique.&#8221;</p>
<p>An ad the group&#8211;which also includes star venture capitalist Mike Moritz of Sequoia Capital, as well as Palm Founders Donna Dubinsky and Jeff Hawkins, and many others&#8211;is putting out tomorrow in the Mercury News reads:</p>
<blockquote><p>Silicon Valley Leaders Urge You to Stand for Equality.<br />
Vote No on Proposition 8.</p>
<p>As Silicon Valley leaders, we are committed to equality and fairness. We are opposed to Proposition 8 because it would change our state constitution to take away rights from one group of people. It would set our state, and our country, back in the fight for fundamental fairness and equal rights.  </p>
<p>Please join us by reaching out to friends and neighbors and asking them to stand for fairness: Vote No on Proposition 8 on November 4th.&#8221;</p></blockquote>

<p>If passed by a majority of voters, the California Constitution would be amended to include a new section stating &#8220;only marriage between a man and a woman is valid or recognized in California.&#8221;</p>
<p>Earlier this year, the California Supreme Court held that same-sex couples have a constitutional right to marry under the state&#8217;s constitution.</p>
<p>Former California State Controller and former exec at eBay Steve Westly noted that his own interracial marriage was once illegal, which is one of the reasons he was opposing Propostition 8.</p>
<p>&#8220;It really is the civil rights issue of the day &#8230; people stood up and fought for people like me and now it is time to stand up for others,&#8221; said Westly, who was an early supporter of gay marriage and is said to be eyeing a run for governor of the state. &#8220;While this is a polarizing issue, it is mind-boggling to me not to support the right of any two adults who love each other to marry.&#8221;</p>
<p>One thing is certain&#8211;the issue is indeed polarizing. Currently, the vote on Proposition 8 is very close, and a huge amount of money&#8211;more than $60 million&#8211;has been spent by both sides in the battle, which is considered one of the most contentious and high-profile in the nation. </p>
