<p>In a week, the entire advertising sales staff of MySpace will gather at a swanky new seaside resort about 20 miles south of Los Angeles to get a first glimpse of the fresh direction the company is preparing to take under its new management.</p>
<p>The beleaguered social networking site has been in the midst of an effort to reinvigorate its image, spur innovation in its product and&#8211;most of all&#8211;pull itself out of a too-long slump, even as longtime rival Facebook has seen explosive growth.</p>
<p>Now, with a new team of execs, the News Corp. (NWS) property is putting the finishing touches on a master plan, which will include a new redesign of its hopelessly messy interface and doubling down on a product strategy that will center on, said one source, &#8220;what we own&#8221;&#8211;namely, music and entertainment.</p>
<p>On the agenda, aptly enough, for the 150 ad sales employees, who will gather at Terranea in Palos Verdes, is Ben Sherwood, author of &#8220;The Survivors Club: The Secrets and Science That Could Save Your Life,&#8221; and founder of a <a href="http://www.thesurvivorsclub.org">Web site of the same name</a> that describes itself as &#8220;the place for surviving and thriving.&#8221;</p>
<p>Also coming to the meeting will be several bands that have successfully leveraged MySpace as a platform, to talk about their experiences and to play for the crowd.</p>
<p>And, perhaps most importantly, the group might also get to meet its new boss by then, as several sources close to the situation said that MySpace has settled on an exec to fill the key job of running its ad business. </p>
<p>While it is unclear if the deal is completely done, sources said MySpace management will announce the pick this week.</p>
<p>Sources added that MySpace has been particularly interested in one exec from Viacom (VIA) and another from Microsoft (MSFT).</p>
<p>While the sources would not name the Viacom exec, several pointed to Keith Lorizio, Microsoft VP of U.S. sales, as someone MySpace has been targeting.</p>
<p>In late August, MySpace sales and marketing head Jeff Berman left the company as <a href="http://kara.allthingsd.com/20090820/myspace-to-hire-millard-and-also-media-link-to-take-over-ad-sales-whither-berman/">MySpace hired MediaLink</a>, a New York- and Los Angeles-based media consultancy, to help get its ad sales business back on track. </p>
<p>That effort has been led by <a href="http://mediamemo.allthingsd.com/20090421/wenda-millard-out-at-martha-stewart/">MediaLink President Wenda Millard</a>, who is well known in the ad industry and was longtime leader of the ad sales force at Yahoo (YHOO).</p>
<p>Getting an experienced top ad exec in place will round out a recent spate of new hiring by MySpace, including a new CTO, Alex Maghen, who moved over from its MySpace Music joint venture, and a new CFO, Mark Rosenbaum.</p>
<p>This has been part of a wholesale flushing out of most of the top execs who worked under co-founder and former CEO Chris DeWolfe by new CEO Owen Van Natta.</p>

<p>Van Natta, along with COO Michael Jones and Chief Product Officer Jason Hirschhorn, have been squirreled away since late April, working at cleaning up the company by replacing management, restructuring its various units and cutting costs, including <a href="http://kara.allthingsd.com/20090617/myspace-after-the-layoffs-heres-whats-what-and-whats-next">massive layoffs</a>.</p>
<p>They have also been trying to come up with a plan to differentiate MySpace from Facebook, a good strategy since it is now well-nigh impossible for the Beverly Hills-based MySpace to catch up with the Palo Alto, Calif.-based Facebook&#8217;s galloping growth.</p>
<p>While the whole new offering will not be rolled out prominently until at least the first quarter of next year, said several sources, some changes will begin sooner, including a gradual redesign of the site.</p>
<p>Under the new plan, said several sources, the main idea will be to shift the focus to engagement over sheer audience numbers. While MySpace is still huge, with about 70 million monthly U.S. visitors, increasing how much time they spend on the site is the goal.</p>
<p>&#8220;It&#8217;s not like numbers are not important, but the better metric for MySpace will be how involved users are,&#8221; said one person close to the situation. &#8220;MySpace needs to win on minutes.&#8221;</p>
<p>And, rather than the wider and more scattershot approach of past years, the new direction being stressed is more scalable and focused.</p>
<p>&#8220;It is not about getting everyone and their mothers on MySpace,&#8221; said a source, &#8220;but about being a better site to those here.&#8221;</p>
<p>That will include  stressing &#8220;ownership&#8221; of online categories, which for MySpace are music and entertainment, with the hope that advertisers will be attracted to more engaged users.</p>
<p>Unlike Facebook, which is often described as a utility platform for communications between friends, sources said MySpace will be aimed more at being a platform for communities of interest.</p>
<p>That includes using tools from other companies, such as MySpace&#8217;s recent two-way synch with Twitter, the hot microblogging service, to link those communities. </p>
<p>Presumably, the company&#8217;s <a href="http://kara.allthingsd.com/20090817/sale-of-ilike-to-myspace-135-million-in-cash-6-million-for-talent-retention-delayed-over-tax-issues-reallyplus-the-list-of-other-suitors">August purchase of iLike</a>, the social music start-up, is also part of that plan.</p>
<p>&#8220;Instead of the ability to just connect friend to friend in a single social graph, this will be about connecting a person to their communities of passion and interest and to others like them anywhere,&#8221; said one source. </p>
<p>Music is the obvious key leverage point, the still-bright spot of MySpace, followed by adding big entertainment categories like movies, television, gaming, video and other pop culture arenas.</p>

<p>&#8220;MySpace should represent pop culture online to customers and advertisers,&#8221; said one source. &#8220;The core strength has always been music and that is where the site will really excel, because it binds customers to the service.&#8221;</p>
<p>The even heavier music focus on the main juggernaut site, noted several sources, does create an odd situation with MySpace Music, the separate joint venture the site has with music labels to create a massive music community. </p>
<p>While sources do not think News Corp. will attempt to suck MySpace Music back into the main site, due to the complex partnership issues, the idea is to make them even more deeply integrated and to sell them to advertisers as one powerful marketing message.</p>
<p>In any case, several sources noted that one of the most successful parts of the new plan has been to convince News Corp. leaders that MySpace does not have to beat Facebook to be successful.</p>
<p>Sooner than later, of course, MySpace has to do just that.</p>
<p>Will it work? Who knows, but said one source close to the situation quite correctly:</p>
<p>&#8220;There is no silver bullet for MySpace&#8211;it just has to climb back step by step.&#8221;</p>

<p>Four years ago, the movie, &#8220;Snakes on a Plane,&#8221; became a genuine Internet phenom well before the movie was in theaters.</p>
<p>Which, in the end, only showed that online buzz had negligible impact on the viewing public, given that the movie&#8217;s box office turned out to be tepid at best.</p>
<p>But will another small film, about a demon-plagued couple with an infrared-equipped videocamera, called &#8220;Paranormal Activity,&#8221; prove that the chatter of Facebook and Twitter has more legs today?</p>
<p>It looks like it, given that the very-low-budget film&#8211;acquired by Viacom (VIA) studio Paramount Pictures as a remake&#8211;performed spectacularly well last weekend, selling out midnight-only shows focused on college towns. </p>
<p>That middle-of-the-night tactic was made larger this past weekend, creating a ton of online heat, which led to an expanded release planned for this coming weekend at all hours.</p>
<p>Of course, along with a clever television marketing push, the studio is using Internet feedback to discern where to head next and how.</p>
<p>Well, &#8220;Paranormal Activity&#8221; looks scary and all&#8211;although BoomTown would like to know exactly when people will stop trying to irk demonic spirits.</p>
<p>That quibble aside, it will be interesting to see if the reliance on <a href="http://www.facebook.com/paranormalactivity?ref=search&#038;sid=505674950.2240376764..1">Facebook</a> (where the movie has about 32,000 fans, most whom are posting variations of &#8220;It scared the crap out of me!!!!&#8221;) and <a href="http://twitter.com/#search?q=%23paranormalactivity">Twitter</a> (where is it now a trending topic) turns a cult win into a mega-hit.</p>

<p>That&#8217;s what many predicted would happen to camp thriller &#8220;Snakes,&#8221; starring Samuel Jackson, especially considering the deluge of Internet frenzy starting in 2005 that actually forced Time Warner (TWX) studio New Line Cinema to finally release it.</p>
<p>But the movie buzz peaked too early, well before the film debuted, and it limped to a weak box office&#8211;leaving the blog-fueled &#8220;Snakes&#8221; as an asterisk in the annals of failed Web marketing hype.</p>
<p>So, until all the tweeting gets you to the theater&#8211;I shall pass, as I prefer skeletons in my closet&#8211;here is the clever promo for &#8220;Paranormal Activity,&#8221; as well as the classic line from &#8220;Snakes&#8221;:</p>

<p>In the ongoing fight between Redbox&#8211;which rents DVDs from kiosks for $1&#8211;and major Hollywood studios, 20th Century Fox Home Entertainment just filed a brief to dismiss Redbox&#8217;s lawsuit against it.</p>
<p>Said Fox in a statement:</p>
<p>&#8220;Redbox&#8217;s legal claims are fatally flawed. Fox&#8217;s filing today makes clear that, in the end, the case is all about Redbox&#8217;s refusal to make a business deal on general terms similar to those paid by others in this industry. Instead, Redbox has insisted that Fox sell DVDs to them through distributors, on the date they demand, at the price they want to pay. Unable to get the terms it wanted at the bargaining table, Redbox instead decided to file this meritless lawsuit.&#8221;</p>
<p>In a statement, Redbox president Mitch Lowe responded to the filing by stating that Fox was anti-consumer.</p>
<p>&#8220;Twentieth Century Fox continues its pursuit to prohibit consumer access to new release DVDs at affordable prices&#8230;Redbox remains steadfast in our commitment to protecting consumers&#8217; rights and to providing our customers the DVDs they want, where they want and at the low price they want.&#8221;</p>
<p>In two briefs filed this afternoon, refuting Redbox&#8217;s allegations, Fox is asserting that it has not refused to provide DVDs to the outfit and has tried to negotiate a deal. </p>
<p>Under contention between the two are the price and terms of when DVDs of hit movies can be released to Redbox.</p>
<p>Redbox has asserted that Fox is violating antitrust laws and copyright misuse in not selling DVDs to the company.</p>
<p>Fox denied that claim in the brief, noting that Redbox simply did not want to pay up in order to get certain DVDs on the &#8220;street date,&#8221; as do other retailers.</p>
<p>Fox is one of three studios that have become embroiled in lawsuits with Redbox.</p>
<p>Located in Oakbrook Terrace, Ill., and is wholly owned by Bellevue, Wash.-based Coinstar (CSTR), Redbox is seeing strong rental growth due to its $1-a-night price for first-run movies, which the company distributes via its 15,000 freestanding machines in supermarkets and convenience stores, as well as in big chains like McDonald&#8217;s (MCD), Wal-Mart (WMT) and Walgreens (WAG).</p>
<p>Its <a href="http://kara.allthingsd.com/20090831/louie-swisher-hearts-redbox-but-hollywood-not-so-much">fascinating legal battle with the studios</a> centers around the issues of steep discounting, release windowing and the price for premium content.</p>
<p>Redbox recently sued Warner Home Video, owned by Time Warner (TWX), for denying it the opportunity to buy DVDs without being required to wait a month or more to rent them out.</p>
<p>It has previously gone after NBC Universal’s Universal Studios Home Entertainment, owned by GE (GE) and Fox, a unit of News Corp. (NWS), for similar release restrictions.</p>
<p>The trio&#8217;s movies make up 40 percent of the DVD rental market.</p>
<p>In its brief today, Fox noted that it was willing to sell to Redbox directly, rather than via wholesalers, but that talks collapsed over pricing issues. </p>
<p>And while some studios are holding fast to fighting price declines represented by consumer-friendly, idiot-proof tech solutions like Redbox, others are not.</p>
<p>Redbox has inked deals with Sony (SNE); Lions Gate (LGF); Paramount, a unit of Viacom (VIA); and also gets movies from Walt Disney (DIS).</p>
<p>Here are two briefs filed by Fox in U.S. District Court in Delaware, the first, a motion to dismiss the lawsuit by Redbox, and the second to transfer venue to California:</p>

<p>Music to the beleaguered mergers and acquisitions market, to be sure, especially after a recent uptick from other big companies pulling out their wallets again as the impact of the econalypse subsides.</p>
<p>According to sources, Google (GOOG) is working on at least a half-dozen acquisition deals, most of which are small start-ups in the online advertising and cloud computing arenas.</p>
<p>That would be welcome news for many.</p>
<p><a href="http://kara.allthingsd.com/files/2009/09/mi-ay570_bottom_ns_20090901185637.gif"><img src="http://kara.allthingsd.com/files/2009/09/mi-ay570_bottom_ns_20090901185637.gif" alt="mi-ay570_bottom_ns_20090901185637" title="mi-ay570_bottom_ns_20090901185637" width="184" height="274" class="alignright size-full wp-image-18041" /></a></p>
<p>That&#8217;s because, as The Wall Street Journal noted in a piece today, &#8220;August was shaping up to be the worst month for deal making since 1995, according to data provider Dealogic&#8221; (see the chart).</p>
<p>That was, until Disney (DIS) bought Marvel for $4 billion, in a deal announced Monday.</p>
<p>Then yesterday, eBay (EBAY) traded 65 percent of its Skype Internet telephony unit to a group of free-spending private investors, led by Silver Lake Partners, for $1.9 billion.</p>
<p>While eye-popping numbers like that make dealmakers smile, most think it is in the spate of smaller venture-backed companies that more of the action will happen, with big companies like Google, Microsoft (MSFT), Apple (AAPL) and even Yahoo (YHOO) as predators.</p>
<p>Many of these were funded in the Web 2.0 boom and have done well enough, but are figuring out that a link with a larger fish will likely make for a better outcome, along with filling in tech and product gaps at the giants.</p>
<p>Think about <a href="http://kara.allthingsd.com/20090810/facebook-acquires-not-twitter-oops-friendfeed-plus-the-full-press-release">Facebook&#8217;s $50 million acquisition of social networking site FriendFeed</a> recently and you have the right idea.</p>
<p>According to more than a half-dozen Silicon Valley VCs I have spoken to this week, this is the likeliest kind of exit for a large group of their portfolio companies.</p>
<p>Thus, they are putting on their finest and placing themselves on display in the store window, offering talent and innovation.</p>
<p>&#8220;We all realize that a lot of these companies are not going to be independent, so we&#8217;re all trying to figure out where they best fit in,&#8221; said one VC. &#8220;We essentially did business development for a lot of the large companies.&#8221;</p>
<p>Thus, here are some companies whose names have been bandied about of late by M&#038;A types who say they are more likely candidates for sale:</p>
<p>Veoh, the <a href="http://mediamemo.allthingsd.com/20090706/is-veoh-the-next-video-site-to-go/">Web video portal that MediaMemo wrote about</a> in July, has reportedly been searching for a home for a while now as it struggles in a costly space dominated by giants like YouTube and Hulu.</p>
<p>That goes for many other similar video efforts, such as Joost, Metacafe and Dailymotion, all of which have been trying to gain traction.</p>
<p>There is also likely to be a shakeout in the gaming and &#8220;guy&#8221; content space, which has also seen a lot of funding in the last several years and less monetary success. </p>
<p>Some possible names here include: Xfire, a gaming instant-messaging company Viacom (VIA) bought a couple years ago for $100 million; Giant Realm, a 20-something guy site funded by Comcast (CMCSA) and others; and UGO, Hearst&#8217;s version of a 20-something guy site.</p>
<p>Probably, given the need to focus on monetization, the most active M&#038;A space will be in online advertising.</p>
<p>Sources said Google, for example, has been interested in companies such as <a href="http://www.teracent.com/">Teracent</a>, a dynamic ad-serving and optimization start-up in San Mateo.</p>
<p>There are lots of names in this general arena to pick from, from Tumri to Quantcast to AdMob to the Rubicon Project, not all of which are for sale, but might be for the right price.</p>
<p>Lastly, there is the smart phone and telecom space, where there might be some of the bigger deals. </p>
<p>While Palm (PALM) has been trying mightily to gain traction with its Pre offering, many think that if it does not go as well as hoped, the company will be an acquisition target eventually for giant companies like Nokia (NOK).</p>
<p>While many think Microsoft could also be a buyer of Palm, given the lackluster performance of its Windows Mobile devices, it might be more attuned to a much bigger catch: Research in Motion (RIMM) and its business-oriented BlackBerry empire. </p>
<p>Such a massive acquisition&#8211;most of those I bounced that idea off agreed&#8211;would be an uphill battle, but it would be perhaps the best fish story ever.</p>

<p>Yesterday, BoomTown did a <a href="http://kara.allthingsd.com/20090831/kara-visits-guitar-hero-hq-for-a-sneak-peek-of-gh5-band-hero-and-dj-hero/">tour of the Mountain View, Calif., HQ of Guitar Hero</a>, which is poised for a series of launches, including the fifth version of Guitar Hero and new music games Band Hero and DJ Hero.</p>
<p>While there, I interviewed CEO Dan Rosensweig, the well-known Silicon Valley exec who was once COO of Yahoo (YHOO) and who <a href="http://kara.allthingsd.com/20090322/exclusive-dan-rosensweig-steps-up-to-takes-his-licks-as-guitar-hero-frontman">took over the high-profile division of Activision Blizzard</a> (ATVI) in May in what was a bit of a surprise move into the music gaming industry.</p>
<p>Rosensweig had been working in private equity since his departure from Yahoo in late 2006. Previous to that, he worked at CNET Networks and Ziff-Davis.</p>
<p>Except that Rosensweig is a well known music fan&#8211;for example, having crisscrossed the country to see Bruce Springsteen play innumerable times&#8211;so he seems to be pretty happy with his new gig when I talked to him.</p>
<p>He certainly has a big job ahead, considering renewed competition from Viacom (VIA) in the form of its soon-to-be-released Beatles version of the competing Rock Band game, as well as a big slump in sales in the music game category. </p>
<p>The question is: Can innovation keep Guitar Hero alive? So far, the reviews for the new version are strong, but whether they translate into sales will be closely watched.</p>

<p>If you want to get Hollywood movie studio types irked, mention Google (GOOG). And if you want them steamed, bringing up Netflix (NFLX) will usually work.</p>
<p>But if you want to see the tops of their heads blow off, <a href="http://www.redbox.com/">Redbox</a> is just the ticket.</p>
<p>Except not to their movies, it seems, if the major movie studio execs have their way in an ever-growing legal battle with the DVD-rental kiosk company.</p>
<p>Three of them have become embroiled in lawsuits with Redbox, even as the DVD market contracts.</p>
<p>Well, not for Redbox&#8211;which is located in Oakbrook Terrace, Ill., and is wholly owned by Bellevue, Wash.-based Coinstar (CSTR). </p>
<p>It is seeing strong rental growth due to its $1-a-night price for first-run movies, which the company distributes via its 15,000 freestanding machines in supermarkets and convenience stores, as well as in big chains like McDonald&#8217;s (MCD), Wal-Mart (WMT) and Walgreens (WAG).</p>
<p>Redbox is arguing that once it buys DVDs from the studios through wholesalers, it can charge any price it wants.</p>
<p>Studios beg to differ, claiming that bargain-basement pricing is hurting the market and that Redbox should not get the goods until after the first month of release of movies into the DVD market.</p>
<p>&#8220;These guys are simply grossly undervaluing our content,&#8221; said one studio source, in what is a typical sentiment. &#8220;We get the windowing model is changing, but we can&#8217;t just give these guys our stuff at a low, low price to essentially enable them to give it away&#8230;and that&#8217;s exactly what they wanted us to do.&#8221; </p>
<p>Thus, it&#8217;s a perfect set-up for legal high jinks about the issues of steep discounting, windowing and the price for premium content.</p>
<p>Redbox recently sued Warner Home Video, owned by Time Warner (TWX), for denying it the opportunity to buy DVDs without being required to wait a month or more to rent them out.</p>
<p>It has previously gone after NBC Universal&#8217;s Universal Studios Home Entertainment, owned by GE (GE) and 20th Century Fox, a unit of News Corp. (NWS), for similar release restrictions.</p>
<p>And while some studios are holding fast to fighting price declines represented by consumer-friendly, idiot-proof tech solutions like Redbox, others are not.</p>
<p>Redbox has inked deals with Sony (SNE), Lions Gate (LGF), Paramount, a unit of Viacom (VIA),  and also gets movies from Disney (DIS).</p>
<p>It&#8217;s a fascinating case to watch&#8211;yet another wrinkle in the what-is-content-really-worth question that has been plaguing all traditional media.</p>
<p>Unfortunately for those companies, the kids seem to love it, as you will see from this video I did while renting movies at our local Safeway (SWY) with my seven-year-old son, Louie, at a small competitor to Redbox with about 1,400 outlets called <a href="http://www.dvdplay.com/">DVDPlay</a>.</p>
<p>We use both, but Louie&#8211;like a lot of consumers&#8211;is most definitely a fan of the Redbox method.</p>

<p>Despite the challenges the music gaming industry has been facing of late&#8211;such as sales dropping, <em>yipes</em>, almost 50 percent in the U.S. this year&#8211;the top companies in the field are still churning out new products like it&#8217;s nobody&#8217;s business.</p>
<p>Well, actually, they are hoping it is going to be somebody&#8217;s business&#8211;namely, theirs&#8211;as they seek to reinvigorate the category, which has been one of the most innovative over the last several years.</p>
<p>Case in point is a spate of new products from the Guitar Hero division of Activision Blizzard (ATVI), which is coming out this fall with three separate major launches.</p>
<p>The fifth version of Guitar Hero arrives tomorrow with 85 tracks, more famous player characters and new features; the family-aimed Band Hero comes out soon after that; and then&#8211;in what is probably the most important debut of the three&#8211;DJ Hero will be released on October 27.</p>
<p>In that game, a player can turn into some kind of club king, scratching along with unusual mashups that Guitar Hero provides with the new game, which are heavy on hip-hop (versus Guitar Hero&#8217;s more typical rock and roll vibe).</p>
<p>[In related news, one of the key player characters in DJ Hero--DJ AM, whose real name was Adam Goldstein--was found dead in his apartment in New York on Friday night.)</p>
<p>Nonetheless, the show will go on.</p>
<p>"We are deeply saddened by the loss of DJ AM," said Tim Riley, Activision VP of music affairs, in a statement. "We hope that his work on the game will be a fitting tribute to his creative spirit and musical talent."]</p>
<p>Does this burst of energy coming from Guitar Hero, which has heretofore dominated the music game space, have to do with the Sept. 9 debut of a new Beatles title for Rock Band, the music game from Viacom (VIA)?</p>
<p>As the Fab Four might sing: <em>Yeah, yeah, yeah.</em></p>
<p>But it also has to do with both music game rivals trying to keep consumers from getting weary of the entire genre.</p>
<p>In that vein, for example, the makers of Beatles: Rock Band are telling consumers to use Guitar Hero controllers to play.</p>
<p>In anticipation of these rollouts, BoomTown visited Guitar Hero&#8217;s HQ in Mountain View, Calif., to get a look-see at the new stuff (tomorrow, I will also post interviews I did with Guitar Hero division CEO Dan Rosensweig and its brother founders).</p>
<p>For today, though, here&#8217;s the video of the tour, as well as the Playboy Playmates television advertisement for Guitar Hero 5 (I do believe they are aiming at a male demo, so don&#8217;t blame me&#8211;and it is kind of funny):</p>

<p><em>Stolen equals stolen.</em></p>
<p>But, because this is a &#8220;hot&#8221; issue and it concerns an even hotter Web 2.0 company&#8211;<em>Holy traffic-gooser, Batman!</em>&#8211;the debate will surely go on and on, even as the stolen information inevitably leaks its way out.</p>
<p>Still, let&#8217;s not pretend what it is and is not.</p>
<p>It is most definitely not, for example, one of those great dramatic moments in journalism.</p>
<p>Thus, comparing the ruminations over whether to publish egregiously obtained information&#8211;however true&#8211;to the debate over a major event like the New York Times publishing the Pentagon Papers is pathetic.</p>
<p>It is, though, a tempest in a Silicon Valley teapot.</p>
<p><a href="http://kara.allthingsd.com/files/2009/07/tempestjpg.jpeg"><img src="http://kara.allthingsd.com/files/2009/07/tempestjpg-190x300.jpg" alt="tempestjpg" title="tempestjpg" width="190" height="300" class="alignleft size-medium wp-image-15853" /></a></p>
<p>In point of fact, my colleague Peter Kafka, who works from New York, wrote me tonight:</p>
<p>&#8220;Was at a fancy schmooze tonight packed with digital media bigwigs: Viacom, NBC, News Corp, plus lots of start-up guys. TwitterGate was on *no one&#8217;s* lips. I talked to one guy who has a stake in the company and he pretty much shrugged about it&#8211;several people had no idea about it at all. Total non-news.&#8221;</p>
<p>It is not, however self-righteously (and pompously) put forth, much of a dilemma.</p>
<p>As the very clever<a href="http://daringfireball.net/linked/2009/07/15/arrington-twitter"> John Gruber of Daring Fireball</a> put it: &#8220;What you may ask, is the dilemma, since it is clear that any decent human being would simply refuse to have anything to do with something so lurid?&#8221;</p>
<p>Indeed, it is unequivocally wrong to publish documents you know or think were stolen or hacked, because it is aiding and abetting that theft.</p>
<p>In this regard, then, there should be no difference between &#8220;Web&#8221; journalism and the old-fashioned journalism&#8211;acting as if the former gets a &#8220;process journalism&#8221; (what a crock!) pass at standards and ethics that should be eternal and unwavering, no matter the medium.</p>
<p>And it is a little like pitting &#8220;gay&#8221; marriage against marriage, in order to create a false dichotomy, designed only to obfuscate the issues.</p>
<p>So, it also isn&#8217;t kosher to try to take focus of your own wrongdoing by pointing to other practices, which is almost always an obnoxious reach by the willfully immature.</p>
<p>While comparisons to leaked company documents have been made&#8211;and BoomTown knows from leaked corporate memos&#8211;this is a lazy-man&#8217;s argument, since it simply does not track. </p>

<p>The Twitter docs were stolen from personal accounts, an obvious pilfer, which immediately changes the equation completely. </p>
<p>While you certainly can have a lively debate about whether Yahoos should pass along some widely distributed memo that CEO Carol Bartz penned to the company, it is not even close to the same thing.</p>
<p>And, more to the point, if someone sent me emails jacked from Bartz&#8217;s own email account, I would not need even a second to know I would never use such information.</p>
<p>As I tweeted earlier today: A credible source a reporter knows giving accurate info is clearly different from a thief rifling through someone&#8217;s sock drawer. </p>
<p>That is especially true when you use material from a person you do not know. For the record: When I post a company memo, for example, I know and check out exactly who&#8217;s giving it to me and I don&#8217;t publish stuff just because it happens to land in my email box.</p>
<p>And, a minor beef, blaming victims for the theft by saying they have weak or inadequate passwords is also pathetic. It&#8217;s kind of like blaming people for being robbed because they had crappy locks.</p>
<p>I suppose there is a point in there, but the real finger of blame should always be firmly pointed at the burglar and those who fence his nicked goods.</p>

<p>That brings me to my final point&#8211;thinking you can handle dirty material and then act as if your hands are clean.</p>
<p>How hands get dirty is a concept even my children understand.</p>
<p>And if my kids ever said: &#8220;Hey, this stolen stuff is going to get out anyway, so let me be the one to ladle it out as I see fit&#8221;&#8211;I&#8217;d ground them for life.</p>

<p>MySpace has officially announced the appointment of entrepreneur and former AOL exec Mike Jones as COO, as <a href="http://kara.allthingsd.com/20090427/back-to-school-new-myspace-ceo-van-natta-starts-today-and-joined-by-former-aol-exec-jones-as-coo/">BoomTown reported earlier today</a>.</p>
<p>But the social-networking site also named former Sling Media top exec Jason Hirschhorn as chief product officer in what has become a series of senior management moves at MySpace.</p>
<p>The paidContent Web site <a href="http://www.paidcontent.org/entry/419-industry-moves-userplane-founder-mike-jones-joins-myspace-as-coo/">first reported on the Hirschhorn appointment</a> earlier this morning.</p>
<p>Besides Sling, which he recently left in a mass departure of top execs, Hirschhorn was also the top digital exec at MTV Networks and was part of the team at Viacom (VIA) that unsuccessfully tried to buy MySpace many years ago.</p>
<p>Both Hirschhorn and Jones, who are already based in Los Angeles, will report to newly named CEO Owen Van Natta, the former COO of Facebook, who <a href="http://kara.allthingsd.com/20090424/van-natta-confirmed-as-ceo-of-myspace-the-full-press-release/">replaced MySpace co-founder and CEO Chris DeWolfe last week</a>.</p>
<p>Recently installed News Corp. (NWS) digital head Jon Miller has put in place a trio of well-known Internet execs at the top of MySpace, which has seen its buzz and momentum wane in the face of the huge growth at Facebook.</p>
<p>MySpace&#8217;s motto is &#8220;A Place for Friends.&#8221; But it might very well now be: A place for wandering digital execs.</p>
<p>And expect more top execs to wander away from MySpace too. Once the trio get their bearings, many sources indicate that News Corp., the owner of MySpace, has given Van Natta and his key execs free rein to remake the unit.</p>
<p>There is a lot to fix at the entertainment-, music- and media-heavy site, from a renegotiation with Google (GOOG) over its advertising search deal to goosing traffic to innovating its look and feel.</p>
<p>In addition, MySpace is likely to forge closer tech ties with Silicon Valley, where Facebook is based.</p>
<p>News Corp. already noted that it was in talks with MySpace co-founder and President Tom Anderson about a new role in the company. Also likely to get a major look-see are top execs like sales head Jeff Berman and CTO Aber Whitcomb, as well as a number of others.</p>
<p>To begin, though, the trio will meet the staff of MySpace, more than 1,000 people, in an all-hands event to be held outside of its building in Beverly Hills, Calif., at about 3:30 p.m. today.</p>
<p>Sources tell me there is no space big enough at the HQ to accommodate them, so the courtyard of the building will be used.</p>
<p>BoomTown is in Los Angeles today, by coincidence, but will not be crashing the event, so send interesting tidbits my way.</p>

<p>Jones has founded and operated several online businesses, including Userplane, a leading provider of tools for online communities such as MySpace. Most recently, he was the founder and CEO of Tsavo Media, an online content and search network developing next-generation publishing platforms and technology services.  </p>
<p>Hirschhorn has led both start-up and established online businesses. Most recently, he was president of Sling Media, Inc.’s Entertainment Group, which created consumer-driven applications and services for the Slingbox device. Previously, he was chief digital officer at MTV Networks, where he oversaw the company’s digital media businesses, products and strategies. Hirschhorn joined MTV Networks following the acquisition of his company, Mischief New Media, which provided interactive services to the entertainment industry. </p>
<p>“Michael’s operational insight and knowledge of the social media market will prove to be a valuable asset as we set out to evolve the MySpace product offering,” said Jon Miller, chief digital officer, News Corporation. “From a product perspective, there’s no better choice than Jason, who is highly regarded as an incredibly talented innovator, media executive and leader, all qualities I know will greatly benefit our team and our users.” </p>

<p>He is a high-profile choice to take over for Van Natta, who was<a href="http://kara.allthingsd.com/20090424/van-natta-confirmed-as-ceo-of-myspace-the-full-press-release/"> officially named CEO of MySpace this morning</a> by News Corp. (NWS).</p>
<p>Van Natta, who also worked at Facebook, will remain an adviser to Playlist, which is based in Silicon Valley. It is not clear where Sykes will be located.</p>
<p>Sykes&#8211;who is on the Playlist board&#8211;was one of the original executives who launched the iconic music-focused cable channel 25 years ago, before leaving last year. He was also a key exec at both VH1 and Infinity Broadcasting.</p>
<p>He is well regarded in the music industry, an important criterion since Playlist has been dealing with legal attacks from some music labels. Settling with them will be key to the start-up&#8217;s survival.</p>

<p>With Yahoo board Chairman Roy Bostock reportedly assuring investors and others that the company will have a CEO in place by the end of the year, it seems prudent for BoomTown to initiate an official Yahoo CEO Countdown.</p>
<p>After all, this column had a <a href="http://kara.allthingsd.com/20071025/day-100/">100-Day No-Sacred-Cows Vision Quest</a> to mark the time that Jerry Yang said he needed to give Yahoo a top-to-bottom look-see when he took over last summer as CEO.</p>
<p>Yang announced <a href="http://kara.allthingsd.com/20081117/yahoos-jerry-yang-to-step-down-as-a-search-for-new-ceo-commences/">he was stepping down on Nov. 17</a>, prompting the search for someone to lead Yahoo (YHOO) to the promised land where BoomTown countdowns are illegal.</p>
<p>But that&#8217;s not today, so here&#8217;s the 26-days-to-go update:</p>

<p>It looks like Yahoo has almost no chance to nab a top candidate, News Corp. (NWS) COO Peter Chernin. While Yang made nice and Bostock quickly lobbed in a call to get the well-known exec to come in and talk, several sources said Chernin declined even that.</p>
<p>Of course, moguls like Chernin are pros at <em>not</em> interviewing&#8211;one media player schooled me that you apparently never show interest in a job and only take it if a full offer is made, because if you don&#8217;t get it after chit-chatting, you look like a loser.</p>
<p>But I don&#8217;t think it is a slick feint on his part, even though Chernin is now engaged in contract renewal negotiations at News Corp. (which owns this Web site).</p>
<p>Consider: If you were Chernin, would you want to trade your powerful, well-paid, glamorous job in Hollywood and New York for what will surely be a slog of a job in Sunnyvale, and in a cubicle?</p>
<p>And Chernin has told many he is not interested in doing the job, although News Corp. would still love to do some sort of deal to combine its online assets, like MySpace, with Yahoo&#8217;s, as it almost did many times.</p>
<p>While Chernin did just take delivery on a Tesla, showing some clear geekiness, and he would be an exciting get for Yahoo, it&#8217;s the longest of shots.</p>
<p>The same is true for some other <a href="http://kara.allthingsd.com/20081118/yahoos-peter-chernin-principle-and-other-ceo-choices/">names that have been floated</a> (by me!).</p>
<p>But several of the people are on the Yahoo board&#8217;s list too. And while things can change, it is more unlikely any of them will be the pick.</p>
<p>That includes former Yahoo COO Dan Rosensweig, who has a good life now as a media investor; former eBay exec and OpenTable CEO Jeff Jordan, who told his investors he does not want to be in the running and was sticking with the start-up&#8217;s IPO plans&#8211;if and when the economy recovers (although Yahoo could buy OpenTable and, thus, Jordan); former eBay (EBAY) CEO Meg Whitman, who could be running for governor of California; and former AOL CEO Jon Miller, <a href="http://kara.allthingsd.com/20081203/another-day-another-questionable-yahoo-story-rocks-the-stock/">who is not secretly buying Yahoo</a>, but who could not be its leader anyway, since he is bound by a Time Warner (TWX) noncompete agreement until the end of March.</p>
<p>Another sticking point: The <a href="http://kara.allthingsd.com/20081203/yahoo-board-casts-about-for-new-ceo-no-committee-six-criteria-and-aol-merger-ready/">Yahoo board has limited the pool by a list of six criteria</a> that it has drawn up, with the No. 1 being a CEO candidate has to have public company CEO experience.</p>
<p>If enforced, that nixes some folks, like Google (GOOG) exec Tim Armstrong. In addition, Yahoo President Sue Decker getting the nod is even more unlikely, for that and other reasons, according to many.</p>
<p><a href="http://kara.allthingsd.com/20081119/more-ceo-choices-for-yahoo-freston-jordan-bonnie-and-two-rosenblatts/">From my lists</a>, that leaves DoubleClick head David Rosenblatt (his company is now owned by Google); Demand Media&#8217;s Richard Rosenblatt; former Viacom (VIA) head Tom Freston; former CNET CEO Shelby Bonnie; Hewlett-Packard (HPQ) exec Todd Bradley; and Juniper Networks (JNPR) CEO Kevin Johnson, who was the Microsoft exec who was key in the Yahoo takeover attempt there.</p>
<p>All have reasons not to either want or be able to take the Yahoo CEO job, so that means there could be a dark horse candidate. (I am now drawing up yet another list of qualified public CEO tech and media execs).</p>
<p>Here&#8217;s one: Yesterday, after it was announced he was stepping down from Microsoft (MSFT) in the wake of its hire of former Yahoo tech star Qi Lu as its online leader, I noted that I liked <a href="http://kara.allthingsd.com/20081204/microsoft-confirms-qi-lu-hired-as-digital-chief-mcandrews-out/">Brian McAndrews for the job</a>.</p>
<p>Plus, the former CEO of aQuantive, which Microsoft bought for $6 billion last year, would be a delicious irony. But those who have talked to him told me McAndrews&#8211;who did want the digital head job at Microsoft and was left hanging by the software giant&#8217;s CEO Steve Ballmer&#8211;seems intent on taking time off now.</p>

<p>Alternatively, one of the two Yahoo board members, Maggie Wilderotter or John Chapple, both have the public company CEO checked off.</p>
<p>Personally, I am betting on one of them as CEO, although I believe it would be better if Yahoo picked a fresh outside choice.</p>
<p>So do a lot of execs remaining at Yahoo, most of whom visibly roll their eyes at the idea of a board member taking over, considering the record of the directors so far in guiding Yahoo&#8217;s fortunes.</p>
<p>That&#8217;s why the board&#8211;which definitely has not distinguished itself by any criteria so far in Yahoo&#8217;s long fall from grace&#8211;should try to get it right this time, as Yahoo can&#8217;t take any more of the way it has been running the show so far.</p>

That's why my guess is that the choice of a new CEO is likely to be sooner than later, much more Icahn-friendly and strong on operational skills.

<p>When everyone else has been selling, it seems Carl Icahn has decided to throw good money after bad&#8211;as in nearly $1 billion bad&#8211;by buying almost seven million more Yahoo shares, <a href="http://sec.gov/Archives/edgar/data/921669/000092847508000441/xslF345X03/form4112608_ex.xml">according to a regulatory filing</a>.</p>
<p>Why is he doing it? BoomTown is guessing that the billionaire investor thinks he can recoup some of his massive losses in Yahoo, as <a href="http://kara.allthingsd.com/20081117/boomtown-scoop-confirmed-the-entire-yahoo-press-release-on-yang-stepping-down-as-ceo/">Jerry Yang prepares to step down</a>, and the board, on which Icahn sits, names a new leader. </p>
<p>That&#8217;s why my guess is that the choice of a new CEO is likely to be sooner than later and much more Icahn-friendly.</p>
<p>That could point more clearly to perhaps one of two execs whom Icahn brought with him to the Yahoo (YHOO) board&#8211;either former media exec Frank Biondi Jr. or, more likely, former Nextel exec John Chapple.</p>
<p>Another theory is that Yahoo will pick a more low-key, tech-oriented outsider, an operational star who can get things turned around at Yahoo without a lot of fuss, similar to choices made for eBay (EBAY) in its pick of John Donahoe, and Mark Hurd at Hewlett-Packard (HPQ) recently. </p>

<p>One of the names being bandied about in that regard is HP exec Todd Bradley (pictured here).</p>
<p>Bradley is in charge of its massive Personal Systems group, a $28 billion annual business, which includes personal computers, mobile devices, technical workstations, digital televisions, personal storage solutions and Internet services.</p>
<p>Interestingly, another top HP exec, Vyomesh (VJ) Yoshi, who runs its Imaging and Printing group, is currently a director on the Yahoo board.</p>
<p>In any case, the purchase of 6.7 million more Yahoo shares for about $65 million by Icahn over the last several days is definitely a move to watch.</p>
<p>Icahn, who waged a proxy fight against the Internet giant, owns stock that has lost about $900 million in value since he bought about five percent of Yahoo earlier in the year.</p>
<p>That loss comes from his purchase of about 70 million shares in the spring, at about $25 a share, of Yahoo stock, right in the midst of its takeover battle with Microsoft.</p>
<p>Yahoo shares closed Friday at $10.58, up 33 cents.</p>
<p>With the new purchase, Icahn now owns about 5.4 percent of Yahoo, which&#8211;combined with three board seats&#8211;gives him a lot more clout over decision-making and in forcing the current board to make a CEO pick who will be more interested in doing some sort of deal with Microsoft (MSFT) quickly.</p>
<p>Icahn has long agitated for Yahoo to sell all or part of itself off to the software giant, a move that has been resisted by Yahoo leadership. Instead, Yang tried to pull off a deal with Google (GOOG), which failed.</p>
<p>But that leadership is about to change, as the board searches for a new CEO to replace Yang, who said he was ready to step down a few weeks ago. </p>
<p><a href="http://kara.allthingsd.com/20081118/yahoos-peter-chernin-principle-and-other-ceo-choices/">Lots of names have been floated for the job</a>&#8211;from News Corp. (NWS) COO Peter Chernin to DoubleClick head David Rosenblatt to Google exec Tim Armstrong, as well as former Yahoo COO Dan Rosensweig.</p>
<p>Most sources inside and outside the company do not expect its current president, Sue Decker, who is also up for the job, to be selected. </p>
<p>But many point to a current Yahoo board member as a quick choice, in order to get some key initiatives moving, such as a Microsoft deal or a merger with Time Warner (TWX) online unit, AOL.</p>

<p>That points to someone like Chapple (pictured here), who has been querying a range of midlevel Yahoo execs of late, presumably to get a lay of the land at the company for the board. </p>
<p>He or perhaps even board member Maggie Wilderotter could be picked as an interim CEO, in order to signal to investors that true change is on the way at Yahoo. </p>
<p>Whoever is chosen needs to move quickly said many I spoke to about the Yahoo CEO job.</p>
<p>Wrote one experienced Internet exec in an email to me, reflecting a very common sentiment:</p>
<p>&#8220;Whoever comes in is going to have one shot to define the product to the consumer in a way that differentiates it from the rest of the market and provides unique value. Their brand is fuzzy right now. And they&#8217;ll have to find a uniqueness in their ad sales so they are not relegated to being the also-ran.&#8221;</p>
<p>Well, with all the money riding on it, Carl Icahn certainly has to hope that does not become the case.</p>

<p>BoomTown might have been remiss in <a href="http://kara.allthingsd.com/20081118/yahoos-peter-chernin-principle-and-other-ceo-choices/">my post yesterday on top candidates for the Yahoo CEO job</a>, after the news Monday that Jerry Yang is stepping down, by leaving out several key possibilities.</p>
<p>Yesterday&#8217;s roster included News Corp.&#8217;s Peter Chernin, Google&#8217;s Tim Armstrong, Kevin Johnson of Juniper Networks (JNPR) and also two Yahoo board members, among others. (The main internal candidate, Yahoo President Sue Decker, seems unlikely to get the nod.)</p>
<p>So here is an addendum to my initial list&#8211;all of whom are Yahoo (YHOO) outsiders.</p>
<p><strong>Tom Freston:</strong></p>

<p>Chernin is not the only media mogul whose name is being bandied about&#8211;the other prominent one is former Viacom head Tom Freston.</p>
<p>Freston apparently got shafted by the&#8211;let&#8217;s be polite here&#8211;disturbingly <em>volatile</em> founder of Viacom (VIA), Sumner Redstone, for not buying MySpace. In fact, News Corp. (NWS), which also owns this Web site, did. But Freston remains a well-respected and creative exec and has been dabbling in the Internet space since leaving Viacom.</p>
<p>Also, Oprah and Arianna love Freston&#8211;which is all I need to know.</p>
<p><strong>Jeff Jordan:</strong></p>
<p><a href="http://kara.allthingsd.com/files/2008/11/jeff_jordan.jpg"><img src="http://kara.allthingsd.com/files/2008/11/jeff_jordan.jpg" alt="" title="jeff_jordan" width="107" height="115" class="alignright size-medium wp-image-6711" /></a></p>
<p>Jeff Jordan, the former top eBay (EBAY) exec who is now the CEO of OpenTable, was also on the short list for COO at Facebook, a job that went to former Google exec Sheryl Sandberg.</p>
<p>While the restaurant reservations Web start-up has been headed for a public offering, that event has obviously been pushed out indefinitely by the econalypse, which might be just the impetus to convince Jordan that bussing tables all day is too dull.</p>
<p>Some speculate that Yahoo could buy OpenTable and get Jordan in the process.</p>
<p><strong>Richard Rosenblatt:</strong></p>

<p>Another interesting idea is Richard Rosenblatt of Demand Media, a <a href="http://kara.allthingsd.com/20080709/demand-medias-richard-rosenblatt-speaks-and-says-hes-not-for-sale-to-yahoo-for-now/">company that Yahoo was sniffing around not too long ago</a>. </p>
<p>The network of social-networking sites and apps maker is an innovative play in the space and might give Yahoo some much needed Web 2.0 DNA. Demand could still be bought by Yahoo, in order to put Rosenblatt into place.</p>
<p>(Rosenblatt, for those who do not remember, ran the company that owned MySpace, and he was key to selling it to News Corp.)</p>
<p>Also, Lance Armstrong likes Rosenblatt.</p>
<p><strong>Shelby Bonnie:</strong></p>

<p>A reader actually made the excellent suggestion of former CNET head Shelby Bonnie, who is now investing in start-ups. Bonnie is another steady exec&#8211;despite leaving CNET, now owned by CBS (CBS), under an options backdating controversy&#8211;and is well-liked in the Internet industry.</p>
<p>Yahoo would be a much bigger job than he has ever held, although he certainly has both tech and advertising experience online.</p>
<p><strong>David Rosenblatt:</strong></p>

<p>Lastly, especially if Yahoo is interested in an exec who has turnaround talent, there is probably no better a choice than DoubleClick CEO David Rosenblatt. An experienced online advertising exec, he is also sharply outspoken and knows how to get companies in line and fast. </p>

<p>With a <a href="http://kara.allthingsd.com/20081112/yahoo-stock-drops-close-to-the-perilous-10-mark-uh-oh/">$10 stock price</a>, the turning down of Microsoft&#8217;s $31 a share offer, a collapsed search advertising deal with Google (GOOG), fleeing execs and bad news aplenty, it&#8217;s easy to blame Yahoo CEO Jerry Yang and call for his ouster.</p>
<p>After all, the buck does stop with him.</p>
<p>Or does it? Because, to my mind, if there is anyone to cast stones at in the ongoing crisis at Yahoo, BoomTown would have to toss a large boulder in the direction of the company&#8217;s incredibly shrinking board.</p>
<p>The board is, after all, Yang&#8217;s boss and the ones charged with keeping Yahoo (YHOO) on track. That&#8217;s why their apparent stasis is just astonishing, if it were not quite so appalling.</p>
<p>And that&#8217;s also the opinion of major Yahoo investors, who have been watching with horror as their equity in the company has also shrunk to an infinitesimal size, with little apparent movement by the directors of Yahoo.</p>
<p>&#8220;They have no sense of urgency or seem to feel any pressure to do anything, even though by every metric they have failed,&#8221; said one investor I recently spoke to, who has been in touch with some Yahoo board members recently. &#8220;Should they kick Jerry out? Should they restart talks with Microsoft? Should they consider other options to turn the company around? And while they&#8217;re telling me they are going to do something, nothing happens.&#8221;</p>
<p>Said another big investor: &#8220;With all the other things going on in the economy, I have just decided to move on and write Yahoo off&#8230;but the lack of action by the board is really hard to understand.&#8221;</p>

<p>What&#8217;s hard to know is exactly what new board member Carl Icahn&#8211;the billionaire shareholder activist (pictured here), who joined after a very public fight with Yahoo, along with two others he hand-picked, former Nextel CEO John Chapple and former Viacom exec Frank Biondi&#8211;has been up to.</p>
<p>Not much, it seems, for the typically noisy gadfly, who owns five percent of Yahoo and has lost a fortune doing so. </p>
<p>Last week, Icahn did suddenly pop up on CNBC and make a declaration: &#8220;We believe as large shareholders that eventually we at Yahoo should, if available, make a deal with Microsoft to do search. We could save a fortune at Yahoo if Microsoft could do search for us.&#8221;</p>
<p>Yang himself made a similar suggestion at the Web 2.0 Summit last week that Yahoo was open to a deal to sell the whole company to Microsoft.</p>
<p>It was an offer Microsoft (MSFT) CEO <a href="http://kara.allthingsd.com/20081107/yang-and-ballmer-play-ross-and-rachel-and-it-is-just-as-annoying-as-the-tv-show/">Steve Ballmer shot down the very next day</a>, although the software giant is still obviously interested in a search deal.</p>
<p>But sources at Microsoft tell me that Ballmer has said recently that he has no idea who to work with at the company to get anything done and that Yahoo&#8211;especially its board, since his relations with Yang have not been successful&#8211;has to be the one to act first.</p>
<p>That means, of course, that the ball is squarely in the Yahoo board&#8217;s court to do something&#8211;at this point, really, <em>anything</em>.</p>
<p>And those directors should be hard at work trying to hit it, instead of not even deigning to take a swing.</p>
